Staying compliant in Ohio

Facts checked October 13 to 15, 2026.

Nothing on a yearly schedule with the Ohio Secretary of State: LLCs file no annual or biennial report, so the report fee is $0. Two things still need watching. The LLC must keep a statutory agent on record, and an LLC that loses its agent and doesn't fix it after the state's notice has its Articles canceled. Separately, Ohio's Commercial Activity Tax is charged at 0.26% of Ohio taxable gross receipts above a $6 million annual exclusion. Changing the agent costs $25, and reinstating a canceled LLC costs $25.1, 2, 3, 4

Ohio law uses the term statutory agent. Most states call the same role a registered agent. What the term means in Ohio

Does an Ohio LLC file an annual report?

No. The Secretary of State says "Ohio businesses are not required to file annual reports." Its guide to starting an LLC adds that limited liability companies are not required to submit annual or biennial filings. An Ohio LLC has no report due date, no report form and no late fee for a report.1, 4

Ohio does keep a reporting cycle for a narrow group of entities; only Professional Associations and LLPs file biennial reports. A standard LLC is outside it. If you formed a professional association instead of an LLC, check your own filing duties with the Ohio Secretary of State.1

Mail that looks official

If a letter offers to file an Ohio LLC annual report for a fee, compare the request with the Secretary of State's statement above before paying anything. The Secretary of State filings an Ohio LLC makes after formation are tied to events, such as an agent update, not to a yearly report.

Where Ohio differs from report states

In a report state, the yearly form is a chance to confirm the agent and addresses. Ohio has no such prompt. The agent shown on your record stays there until someone files a change: you, through an update, or the agent, through a resignation. That shifts the work onto you. If you also run an LLC in a report state, compare this page with staying compliant in Illinois or staying compliant in Georgia, and see annual reports explained for how those filings work.

Does Ohio charge LLCs a franchise tax or annual fee?

Ohio's business-level tax is the Commercial Activity Tax (CAT), charged on gross receipts rather than profit, at 0.26% of Ohio taxable gross receipts above a $6 million annual exclusion.2

The CAT is run by the Ohio Department of Taxation, not the Secretary of State, so it sits on a separate calendar from anything on your business record. The Department's page states three points.

Receipts below the $6 million annual exclusion are not taxed. The facts behind this page don't cover whether a business under the exclusion must still register for the CAT or file a return, or what the CAT's deadlines are, so ask the Department of Taxation directly. Federal tax filings, sales tax and local income taxes are outside this page too. A tax professional can tell you how your LLC's income is taxed and which Ohio and city returns apply to it.2

What can get an Ohio LLC canceled, and how is it reinstated?

With no annual report to miss, the main way an Ohio LLC loses its standing is by losing its statutory agent. If the LLC does not cure within 30 days after SOS notice, its Articles shall be canceled without further notice or action.5

The process has three stages.

  1. The LLC has no agent on file. This usually follows a resignation or a lapsed service.
  2. The Secretary of State sends notice, and a short cure period begins.
  3. If no agent is appointed in that period, cancellation happens automatically.

The cure period is the inexpensive exit: filing a Statutory Agent Update (Form 521) for $25 during that window keeps the Articles in place. Treat any notice from the Secretary of State as urgent, and make sure the agent has a mailing address and email for you that still work.4

Reinstatement after cancellation

A canceled LLC can return by filing the Reinstatement and Appointment of Agent (Form 525A). The fee is $25, and the window is within two years of cancellation, set by ORC 1706.09(L). The form appoints an agent as part of reinstatement, so the cause of the cancellation is fixed in the same filing.4, 5

That window can close unnoticed when no annual filing reminds you to check. Look the LLC up on the Secretary of State's business search if you suspect a problem. If the business kept trading, signed leases or took on debt while canceled, talk to a lawyer about the effect on those dealings. The Ohio statutory agent guide covers who may serve and how to appoint one.

How do you keep your Ohio statutory agent current?

Keep an agent who qualifies under Ohio Rev. Code § 1706.09 on record at all times, and file Form 521 whenever the agent or its address changes. That is the main recurring duty for an Ohio LLC, since the statute requires every LLC to continuously maintain a statutory agent.4, 5

Events that call for an update

The update costs $25. The Secretary of State publishes filing methods (Online (Ohio Business Central), by mail, or in person) and a standard time of 3 to 7 business days for the Articles; this page's sources give neither for the update, so ask the Ohio Secretary of State how to submit it and check your record after filing. File the update before you cancel the old service. The steps in order are in the guide to changing a statutory agent, and cancelling an agent service covers notice periods.3, 4, 6

Foreign LLCs registered in Ohio (registration costs $99) have the same duty, and a lapse cancels their Ohio registration instead of Articles.7

What a provider's compliance features do for an Ohio LLC

Agent services market compliance tools built around annual reports. For an Ohio LLC, sort them by what they would actually do here.

Since the report fee is $0, an agent service is probably the only recurring charge tied to your Ohio record. Published prices differ: Tailor Brands renews at $199/year (renews at the same price), Northwest Registered Agent lists $125 per year, InCorp Services $129 per year flat rate, and Harbor Compliance charges $99 first year (new customers) and then $159 annually. The full list is on Ohio statutory agent services compared, and services with compliance tools compares the features above across providers.1, 16, 17, 18, 19

What does an Ohio LLC compliance calendar look like from the first year on?

Ohio's state calendar for an LLC is mostly empty; the dates that exist are ones you set yourself, plus any tax deadlines.

Year one

  1. Articles filed. The Secretary of State files your Articles of Organization; the Ohio LLC formation guide covers that step, and the cheapest ways to form an Ohio LLC page totals the cost.
  2. Agent contact details. Give your agent a mailing address, phone and email you check, and note the service's renewal date.
  3. Trial end dates. If your formation package came with a free compliance trial, write down when it starts billing.
  4. Taxes. Ask the Department of Taxation whether the CAT applies to you, and set up federal and local tax dates on their own list.

Year two and after

  1. No report. Nothing is due at the Secretary of State on your formation anniversary.
  2. Agent renewal. Decide whether to keep the service before it renews, and check any notice period in its terms.
  3. A yearly record check. Search your LLC on the Secretary of State's site and confirm the agent and its address. If either is wrong, file Form 521.4
  4. Watch the mail. A resignation copy or a notice about a missing agent starts a short clock; respond within days.

Terms on this page such as cancellation and service of process are in the glossary, and the role itself is explained in what a statutory agent does.

Ohio LLC compliance questions

Is there any yearly state fee for an Ohio LLC?

No. The Secretary of State charges no annual report fee ($0), because Ohio LLCs file no report. You pay the Secretary of State only when you file something, such as an agent update ($25). The Commercial Activity Tax is separate and applies only to receipts above the $6 million annual exclusion.1, 2, 3

Does a small Ohio LLC owe the gross receipts tax?

The CAT is charged at 0.26% of Ohio taxable gross receipts above a $6 million annual exclusion. The annual minimum tax ended in 2024. Receipts below the exclusion are not taxed. Whether you must still register or file is not covered by this page's sources; ask the Ohio Department of Taxation.2

I got a letter asking me to file an Ohio annual report. Do I have to?

Not for a standard LLC. The Secretary of State says "Ohio businesses are not required to file annual reports." Compare any such letter with that statement before paying, and contact the Secretary of State if you are unsure who sent it.1

What happens if my Ohio LLC has no statutory agent?

If the LLC does not cure within 30 days after SOS notice, its Articles are canceled without further action. Filing Form 521 during the cure period avoids that.4, 5

How do I bring back a canceled Ohio LLC?

File the Reinstatement and Appointment of Agent (Form 525A) with the $25 fee. Reinstatement is available within two years of cancellation, and the form names a new agent at the same time.4

Do I need a compliance plan from my agent service in Ohio?

Not for annual reports, since Ohio LLCs file none. What helps more is reliable forwarding of state notices and a reminder to check your agent record each year. If your package included a free compliance trial, decide before it begins to bill.
