Annual reports, explained

Facts checked October 13 to 15, 2026.

An annual report is the recurring filing that confirms your LLC's basic details with the state, usually with a fee, to keep it active. Some states ask for it every year, some every other year, and a few ask for nothing at all. A common mix-up is treating it as a tax return: in most of the states cited here it's a separate filing, and missing it can lead to late fees, loss of good standing and administrative dissolution.

What does an annual report actually do?

In the states cited here, an annual report updates the state's public record of your LLC: who runs it, where its offices are or who its registered agent is.

The reports cited in this guide mostly ask about people and addresses, not income. Two bring in money, both covered below: Wyoming's fee depends on the LLC's assets, and Maryland combines its report with a business personal property return.

Each state decides what the report asks. Illinois law, for example, asks for the registered office, the principal place of business and the managers. On that last point it reads, "The name and business address of all of the managers and any member having the authority of a manager." Florida's report asks for the principal and mailing addresses, the FEI number and the registered agent, and the state adds that "The limited liability company must provide the name, address and title of each manager or managing member." North Dakota keeps its report short: business mailing address, activities and stakeholders, with a plain note on the state's page reading "No financial statements."1, 2, 3

Some reports go further than names and addresses. Kansas asks for the name/address of each member owning 5% or more of capital. Massachusetts asks for the full contents of the certificate again. Its statute says, "The report shall contain all of the information included in its certificate of organization." Mississippi makes the job lighter with a form that is pre-filled; the state says "The annual report will be pre-populated with the information already in the system."4, 5, 6

Because the report becomes part of the public record, the names and addresses you put on it are usually visible to anyone who searches the state's business database. Our guide to keeping a home address off the public record covers which fields that affects.

What do states call the report, and how often is it due?

The name and cadence change by state: besides "annual report", the states below use biennial report, statement of information, annual list, annual registration, annual renewal, annual statement, annual certificate and periodic report.

Some states tie it to a tax report or fee instead of a stand-alone form.

Reports filed every other year

These LLCs file on a biennial schedule.

West Virginia sits between the two models: its LLCs file yearly, with a biennial report option after 5 consecutive timely annual reports, from July 1, 2026.14

Different names for the same idea

Nevada calls its filing the Annual List of Managers or Members, filed with the State Business License renewal. Georgia's is the Annual Registration ($60), due January 1 to April 1 each year. Michigan LLCs file an Annual Statement, Minnesota an Annual Renewal, Oklahoma an Annual Certificate and Colorado a Periodic Report (yearly, filed online). The name on the form is the one to search for on the state's website; a search for "annual report" alone may not find it.15, 16, 17, 18, 19, 20

Reports tied to a tax or fee

In some states the recurring filing is a tax report or a fee instead of a stand-alone report. Texas's entry reads "No Secretary of State annual report; LLCs file an annual Franchise Tax Report with a Public Information Report (PIR) with the Comptroller, due May 15". Alabama's filing is the Alabama Business Privilege Tax Return and Annual Report for Pass Through Entities Only (Form PPT), filed with the Department of Revenue, and Arkansas LLCs file an Annual LLC Franchise Tax Report. Virginia's entry reads "None; Virginia LLCs pay an annual registration fee ($50), due by the last day of the month of formation".21, 22, 23, 24

States with no LLC report

Some states don't ask LLCs for a recurring report at all. Arizona's entry for an LLC report is "None", and so are Ohio's ("None") and Missouri's ("None, Missouri LLCs do not file an annual report"). Delaware is a special case. Its entry reads "None (LLCs pay an annual tax but file no annual report)", and that tax is a $400 annual LLC tax, due on or before June 1. So a Delaware LLC still has a yearly deadline, just not a report.25, 26, 27, 28

When is an annual report due?

Due dates in the states cited here follow one of a few patterns: a fixed calendar date for every LLC, the anniversary of the LLC's formation, a calendar quarter, or a date tied to the LLC's fiscal year.

Fixed dates are the easiest to remember. Florida's window is January 1 to May 1 each year, Kentucky's deadline is June 30 each year, and Connecticut's window runs January 1 to March 31 each year. Pennsylvania files on this pattern too: Annual Report ($7), due by September 30 each year for LLCs.2, 29, 30, 31

Anniversary dates differ for every company. Washington's rule reads "By the last day of the month in which the LLC was originally formed, each year", and New Jersey's is much the same: "Each year by the last day of the month in which the LLC was originally filed". If you don't know your formation month, the state's business search shows the date on record.32, 33

Two more patterns appear in the states cited here. Hawaii and Wisconsin key the report to a calendar quarter: Hawaii's report is due "By the last day of the calendar quarter in which the LLC was organized (March 31, June 30, September 30 or December 31), each year", and Wisconsin's rule reads "Each year after the year of registration, during the calendar quarter in which the registration anniversary falls". Tennessee and Vermont tie it to the fiscal year instead, so the date depends on when the LLC's fiscal year ends: Tennessee's report is due "On or before the 1st day of the 4th month after the LLC's fiscal year closes", and Vermont's "Within three months after the end of the LLC's fiscal year". Colorado builds slack around its date. Its rule reads "Every year in the entity's Periodic Report month; can be filed two months before or two months after it without penalty".20, 34, 35, 36, 37

The first report

The first filing can come sooner or later than you'd expect. Michigan's first statement is due February 15 each year, starting the year after formation, so a newly formed LLC has nothing to file in its first calendar year. California is the opposite. Its schedule reads "Statement of Information within 90 days of formation, then every two years (biennial)". Washington asks for an Initial Report within 120 days of formation (free if filed with the Certificate of Formation; $10 if filed later). Nevada collects its Initial List of Managers or Members ($150) due when the Articles of Organization are filed, along with the $200 State Business License. The state compliance guides set out the first and second year for each state.8, 38, 39, 40

How much does an annual report cost?

Fees range from nothing in a few states to a sizeable yearly bill in others, and some states use a formula instead of a flat amount.

The fee on the state's form is only part of the picture if the state also levies a separate LLC tax.

At the low end, Mississippi's fee for domestic LLCs is $0. Minnesota's renewal is free if active and in good standing. Montana's fee depends on timing: $0 if filed January 1 to April 15 (fee waived); $35 after April 15. Kentucky charges $15, Hawaii $12.50 online and New York $9 for its biennial statement.29, 41, 42, 43, 44, 45

At the high end, Massachusetts charges $500 and Washington, D.C. charges $300.00 for its biennial report. Maryland combines the report with a property return: Form 1 Annual Report and Business Personal Property Return ($300 for LLCs; due April 15). Florida's on-time fee is $138.75.46, 47, 48, 49

Two states tie the fee to the business itself. Tennessee charges $300 minimum, plus $50 per member over 6, up to $3,000. Wyoming's fee is $60 minimum, or $0.0002 per dollar of Wyoming assets if greater (annual report license tax).50, 51

The report fee and the tax are separate

California's report fee is $20, but LLCs there also owe an $800 annual LLC tax (FTB) to the Franchise Tax Board, filed and paid separately. In Texas there is no tax due at or below the $2,650,000 revenue threshold (2026 to 2027 report years) for the franchise tax, yet the Comptroller notes that an information report is still required. When you budget for a year, add both lines. The California compliance guide, the Texas compliance guide and the Delaware compliance guide show how the report and the tax fit together in each of those states.8, 52, 53

What happens if you file an annual report late?

Among the states cited here, a late report can bring a late fee, loss of good standing or administrative dissolution, and some use more than one.

States differ on which of those steps they use and how fast they move.

Some states lead with money. Florida's penalty is a $400 late fee after May 1 (total $538.75). Alaska raises the fee itself: "Domestic LLC fee rises from $100 to $137.50 on or after February 2". Nevada adds a $75 late fee on the list (plus $100 State Business License late fee). Colorado charges a $50 late filing penalty, and the LLC becomes delinquent if the report still isn't filed. Maine charges $50 in addition to the $85 report fee, and Utah a $10 late renewal fee. Texas charges a $50 penalty per franchise tax report filed late (even if no tax is due).2, 15, 53, 54, 55, 56, 57

Other states list no late fee and move to dissolution or loss of standing. Here is how each describes it.

In some states the consequence comes later or is milder. Massachusetts records "No late fee listed for LLCs; failing to file for 2 consecutive years is grounds for administrative dissolution", and Louisiana "No late fee in statute; articles are revoked after three consecutive years without an annual report". Wisconsin's entry reads "No late fee; the LLC becomes delinquent and can cure by filing a current annual report and paying back annual report fees". In New York, the LLC is shown as past due in DOS records.11, 35, 61, 62

Pennsylvania's dissolution rule starts later. Its entry reads "No late fee; failure to file leads to administrative dissolution six months after the due date, enforced starting with 2027 reports".31

The way back to good standing

In these three states, reinstatement means paying the missed report fees plus a fee or penalty.

A lapsed agent can also mean a state notice never reaches you: Virginia, for example, mails its fee assessment to the registered agent. The guide on what happens without a registered agent covers that side.

How does the registered agent appear on the annual report?

In several states cited here, including Florida, Illinois, Kentucky and Michigan, the report asks for the registered agent and registered office, so each report is a check that the state has the right agent on file.

Whether you can change the agent on the report itself depends on the state.

Michigan's statute is direct: the statement is a document "containing the name of its resident agent and the address of its registered office in this state". New York's biennial statement records the address to which the New York Secretary of State shall mail a copy of any process accepted on its behalf. California's statement includes the agent for service of process, along with the business addresses and the managers or members.11, 63, 64

States where the report can change the agent

In some states the report doubles as the change form. Georgia says so plainly: "Annual registration is also the means for changing officers, registered agents, or address information." Colorado's report allows an entity to update the principal office address and registered agent information. Wisconsin's change-of-agent entry notes that the agent can also be changed on the annual report. Tennessee allows the change on its report, with a note that there is "$20 extra if the registered agent/office is changed".20, 36, 65, 66

States where it can't

Kentucky's report asks you to confirm the agent, but the state notes, "Agent and principal office changes cannot be made on the report"; a separate statement of change is needed. Alaska's biennial report works the same way: the registered agent cannot be changed on it. In those states the report isn't the way to update the agent. The guide to changing your registered agent lists the change form and fee for each state.29, 54

If you use a commercial agent, the report will show the agent's name and address in the agent field. That holds whichever provider you use; the other fields, such as managers and the principal office, still show whatever you enter.

Who files the annual report: you or a service?

The LLC can file the report itself, through a member, manager or someone it authorizes, or it can pay a provider's compliance service to track the date and file it. The state fee is the same either way.

Filing yourself costs only the state fee. What you need is the due date, the login or filing ID the state uses, and current details for the agent, offices and managers. The risk is forgetting: a state reminder sent to an old address or an agent you no longer use can go unseen.

Some registered agent services include reminders. Harbor Compliance lists "Annual report reminders included with registered agent service", and InCorp's agent service lists "Email reminders before deadlines (annual reports, franchise tax)". A reminder doesn't file anything, though.67, 68

Provider filing services

Providers that sell a filing service publish different terms. The list below follows our score, highest first, and every price is the provider's fee; the state fee is extra unless the provider says otherwise.

Billing terms make a difference in biennial states: a per-filing charge applies only when a report is due, while a yearly subscription bills every year. The subscriptions from Swyft Filings and LegalZoom renew automatically under their published terms; the guide to cancelling a registered agent explains how renewals work. Annual report questions

Is an annual report the same as a tax return?

No. The annual report goes to the state's business filing office and confirms who runs the company and where. Tax returns go to the IRS and the state revenue department. A few states blur the line: Texas collects its information report with the franchise tax report, and Alabama files its report with a privilege tax return (Form PPT) at the Department of Revenue.22

Does a single-member LLC have to file an annual report?

In the states cited here, yes. The requirement is written for the LLC, whatever its number of members. Member count can change the fee, as in Tennessee ($300 minimum, plus $50 per member over 6, up to $3,000), but it doesn't decide whether a report is due at all. A single-member LLC in Florida files the same report, at the same fee ($138.75), as one with several owners. States without an LLC report, such as Arizona and Ohio, ask nothing of either.49, 50

Can I file my annual report early?

Often, within the state's filing window. Florida accepts reports January 1 to May 1 each year, and Colorado's rule reads "Every year in the entity's Periodic Report month; can be filed two months before or two months after it without penalty". Where a state publishes no window, its filing page is the place to confirm how early it accepts a report.2, 20

Do I need to file a report in every state where my LLC is registered?

Check each one. The report rule belongs to each state, so a foreign registration can bring its own report, on that state's schedule and at its fee. D.C.'s fee table, for example, lists its biennial report fee ($300.00) for domestic and foreign LLCs alike. Two states can mean two dates and two bills, and each state's compliance page lists its own. The guide to foreign qualification explains registering in a second state.47

What if my registered agent changed during the year?

It depends on whether the state lets the report make the change. Georgia, Colorado and Wisconsin allow it on the report; Kentucky and Alaska don't, so there the change needs its own filing. The Georgia registered agent page covers the other ways to change an agent in Georgia.

Will the state remind me when the report is due?

Not reliably. A state may send a notice by email or to the address on file, but the deadlines and penalties in this guide run whether or not a reminder arrives. A current address and email on the state record, plus the due date in your own calendar or a provider's reminder service, covers that gap.
