Agent for service of process requirements in California
Facts checked October 13 to 14, 2026.
Every California LLC must keep an agent for service of process, and an out-of-state LLC registered here needs one too. The law says the agent "shall be an individual who is a resident of this state or a corporation that has complied with Section 1505" (Cal. Corp. Code § 17701.13). You name the agent on the Articles of Organization (Form LLC-1), filed for $70. Changing the agent later is done on a Statement of Information, and the state's fee chart lists an update filed between required statements as "No fee". One point to plan around: the Statement of Information that reports your addresses and managers is also where a new agent goes.1, 2, 3
California Registered Agent vs Agent for Service of Process
California law calls this role an "agent for service of process"; most states call the same role a registered agent. On the Articles of Organization (Form LLC-1), under "Service of Process", you name either an individual agent with a California street address or a registered agent corporation.
California's statute also requires the LLC to keep an office in the state, which need not be where it does business. The Form LLC-1 agent section asks for the individual agent's California street address, or just the name of the agent corporation.

Who can be an agent for service of process in California?
California allows two kinds of agent: an individual who lives in the state, or a corporation that has complied with Section 1505 of the Corporations Code and still has the capacity to act (Cal. Corp. Code § 17701.13).1
That list is short, and its gaps decide a lot. The statute names individuals and corporations. It does not name LLCs, partnerships or other business types. So when you hire a commercial agent and name it as a business rather than a person, you are naming a corporation that has made the Section 1505 filing. The Articles of Organization give that choice its own box.
For a person, the test is residence. A co-owner in Reno does not qualify, however often they visit Los Angeles. A friend in Fresno does, if papers can reach them at the street address you list. The rule quoted above makes residence the test for a person and mentions no licence or legal training.
The agent's job is narrow: accept lawsuit papers and official notices on the LLC's behalf and get them to you. Our explainer on what an agent for service of process does covers the duties common to every state, and the glossary defines service of process and the other legal terms used here.
What address does California require for the agent?
An individual agent gives a California street address on the formation form; a corporate agent is listed by name alone, without an address on your filing.
The formation form spells this out in its agent section, which reads "Service of Process (Must provide either Individual OR Corporation.)". The individual option is for an agent with California street address. For a corporate agent, the instruction is "Only include the name of the registered agent Corporation", so no address goes on your form for it.4
The LLC itself has a separate address duty. The statute requires an office in California, which need not be a place of its activity in this state (Cal. Corp. Code § 17701.13). In other words, the California office does not have to be where you sell, build or meet clients.1
On P.O. boxes, the form's wording settles the question for individual agents: it asks for a street address, and a box is not one. A virtual office or mailbox at a real street location is a closer call. This guide's sources include no Secretary of State statement on mailbox services, so ask the Secretary of State before listing one for a person serving as agent.
What becomes public is a wider question than the agent field. Every agent, paid or not, appears in that field, so naming a service moves the service's details there instead of yours; that is true of every provider. Your Statement of Information still asks for a list of items, which the form gives as: Principal office, mailing and California office addresses; managers or members; agent for service of process; type of business; CEO if any; labor judgment; email notifications. The sources for this guide don't say which of those the Secretary of State displays, so read the form with that in mind. Some providers sell a business address separately from the agent service: Tailor Brands lists a virtual address product with its price not published, Swyft Filings lists one at $29/mo, and Harbor Compliance lists one at $350/year per company, per location. Our page on agents and what they can keep off the record explains the limits.3, 5, 6, 7
Can you be your own agent for service of process in California?
Yes, if you live in California and can give a California street address where papers can reach you (Cal. Corp. Code § 17701.13). The fee chart lists one Articles fee, $70, whoever you name.1, 2
The practical side deserves more thought than the legal one.
- A process server needs to find you at the address you list. Owners who spend their days on job sites, on the road or out of the country risk missing a delivery.
- Your name and the street address you give go onto the LLC's filing. For a business run from home, that usually means your home address.
- If you move out of California, you stop meeting the residence test and need to name a new agent on a Statement of Information.
- An owner living outside the state cannot serve at all, and neither can the LLC itself, since the statute's list does not include LLCs.
Owners who live out of state, travel for work or want their home address kept out of the agent field tend to look at a commercial service. Our comparison of California agent services sets out each provider's published price and terms, and our list for owners who live abroad or out of state covers that case across states.
How do you name an agent when you form a California LLC?
You name the agent in the Service of Process section of the Articles of Organization (Form LLC-1), choosing either the individual box with a California street address or the corporation box with the agent corporation's name.2
The Articles can be filed in several ways: Online through bizfile Online, or by PDF form (mail or Sacramento drop-off). Online filing is faster. The Secretary of State quotes 5 days or less for online filings and 10+ days for PDF forms. Paid expedite tiers include 24-hour $350 and same-day $750, online or at the Sacramento counter, plus a 4-hour $500 service for precleared documents dropped off in person.2, 8
Before you file, have these settled.
- Which kind of agent you are naming, since the form accepts an individual or a corporation, not both.
- The individual agent's California street address, if you chose a person.
- The exact name of the agent corporation, as it appears on its Section 1505 filing, if you chose a service.
- The agent's agreement to serve. This guide's sources do not describe a separate consent form for California, so ask your agent or the Secretary of State how consent is handled.
If you want to hold your LLC's name first, a name reservation costs $10 for 60 days (online). The step-by-step guide to forming a California LLC walks through the rest of the Articles, and the cheapest ways to form a California LLC adds up the fees.9
How do you change your agent for service of process in California?
You file a Statement of Information (Form LLC-12) naming the new agent. Filed between required statements, the fee chart lists it as "No fee"; filed as your required statement, it costs the usual $20.2, 3
The instructions for that form describe it as a filing made "to update information including changes to the agent for service of process." So the form you file to report your managers and addresses is the same one that switches agents.3
Work through it in this order.
- Choose the new agent and confirm they qualify: a California resident, or a corporation with a Section 1505 filing.
- Get the new agent's agreement before you list them.
- File the Statement of Information with the new agent's details, online through bizfile Online for the faster turnaround.
- Keep the old agent in place until the new statement shows on the Secretary of State's record.
- Cancel the old service last. Dropping it first can leave a stretch with nobody to accept papers.
The old provider's terms may also set conditions. LegalZoom says "we may require proof that a new registered agent has been designated with your state." InCorp Services requires a cancellation condition to be met before the annual fee falls due, such as one of these: dissolve entity, appoint new agent, or resign InCorp with fees. Harbor Compliance asks for notice of non-renewal at least 90 days before the end of the current term. Reading those terms before you file keeps a renewal charge from landing in the middle of the switch.10, 11, 12
The general guides on how to change an agent for service of process and how to cancel an agent service cover the parts that are the same everywhere.
What happens if your California agent resigns?
The agent files a statement of resignation with the Secretary of State, and the agent's authority ends as soon as it is filed; your LLC must then promptly file a new or amended Statement of Information.
The statute is direct about timing: "Upon filing of the statement of resignation, the authority of the agent to act in that capacity shall cease." (Cal. Corp. Code 17701.15(c)). There is no waiting period during which the old agent keeps accepting papers.13
Notice comes from the Secretary of State (SOS). Under the same section, the SOS gives written notice to the LLC's principal office. That letter goes to the principal office on your record, so an out-of-date principal address can mean the notice never reaches you.13
The LLC's duty is in the statute's own words: the LLC "shall promptly file an initial or amended statement of information". California's text says "promptly" rather than giving a number of days. Waiting has a cost, because from the moment the resignation is filed, papers have no agreed place to land.13
Agents resign for ordinary reasons. A relative moves out of state. A former employee no longer wants the job. A commercial service may resign for an account whose renewal went unpaid, and the first warning the owner sees may be the Secretary of State's letter. If you are not sure who is on file, search your LLC on the Secretary of State's business records.
What happens if a California LLC has no agent?
This guide's sources found no California rule that makes the lack of an agent, on its own, a ground for suspending an LLC. The risk runs through the Statement of Information and through missed lawsuits instead.
After a resignation, the statute requires a new or amended Statement of Information. The penalty rule in this guide's sources covers the required statement. When an LLC fails to file it, the Secretary of State sends a delinquency notice, and an LLC that has not filed within 60 days of a delinquency notice can be certified to the Franchise Tax Board, which assesses a $250 penalty. The sources don't say whether that penalty also applies to a statement owed after a resignation.14
Suspension is a separate risk, and this guide's sources don't tie it to a missing agent. For an LLC already suspended, the Secretary of State's FAQ says an SOS suspension is lifted by filing a current Statement of Information. If the Franchise Tax Board has also suspended the LLC, the owner files an Application for Certificate of Revivor (FTB 3557) and meets that agency's requirements, and the entity stays suspended until both the Secretary of State and Franchise Tax Board revivor requirements have been met. The Secretary of State lists no separate reinstatement fee; the sources for this guide did not capture the Franchise Tax Board's revivor costs or any back taxes.15
Then there is the lawsuit risk. A claim filed while no agent is in place may proceed without you learning of it in time to answer. The California compliance guide covers suspension and revivor in more depth.
What does a California LLC file to stay in good standing?
California's recurring filing with the Secretary of State is the Statement of Information, due within 90 days of formation, then every two years, at $20 each time, and it lists your agent every time you file it.2
That timing is easy to miss, because the first statement falls due soon after formation rather than on the first anniversary. Since every statement repeats the agent's details, each one doubles as a check that the agent you named is still the right one.
There is also a charge unrelated to the agent. Every California LLC owes an $800 annual LLC tax to the Franchise Tax Board, a separate agency from the Secretary of State.16
- The Statement of Information: Secretary of State, at the intervals above.
- The annual LLC tax: Franchise Tax Board, every year.
- Your agent service's renewal, if you pay for one.
The California compliance calendar lays out the first and second years in order. For how this kind of filing compares with annual reports in other states, see annual reports explained.
Do out-of-state LLCs need a California agent for service of process?
Yes. An LLC formed elsewhere registers here on the Application to Register, Form LLC-5, for $70, and the Secretary of State's forms for out-of-state LLCs include a resignation form for their agent for service of process.17
That form shows a registered foreign LLC keeps an agent on record too. The qualification rule quoted in this guide is the Corporations Code's LLC agent section (Cal. Corp. Code § 17701.13). This guide's sources don't quote a separate test for foreign LLCs.1
Your home-state agent does not carry over unless it also qualifies here. An individual agent in Nevada fails the residence test outright. A national service can act for you here if it is the corporation it names on the form with a Section 1505 filing, but check how it bills an extra state before assuming California is included.
Registration brings the tax with it as well: Foreign LLCs registered in California also owe the $800 annual tax. If your LLC also works in neighbouring states, compare Nevada's registered agent rules, Oregon's rules and Arizona's statutory agent rules.17

California agent for service of process questions
Can I act as my own agent for service of process in California?
Yes, if you are a California resident and list a California street address where papers can reach you (Cal. Corp. Code § 17701.13). You fill in the individual box on the Articles. If you later leave the state, you need to name a new agent on a Statement of Information.1
Can my LLC name another LLC as its agent?
The statute lists only a resident individual or a corporation with a Section 1505 filing (Cal. Corp. Code § 17701.13). LLCs are not on that list. When you name a commercial service, you enter the name of its agent corporation, and nothing else, in the corporation box.1
How much does it cost to change my agent in California?
Filed between required statements, the Statement of Information that changes the agent appears on the fee chart as "No fee". Filed as your required statement, it costs $20. A paid agent service bills its own fee on top.2, 3
Can my agent use a P.O. box in California?
Not for an individual agent. The individual option on the Articles is for an agent with California street address, and a P.O. box is not a street address. Corporate agents are listed by name only.4
My agent resigned. How long do I have to replace it?
The agent's authority ends when the resignation is filed (Cal. Corp. Code 17701.15(c)). The statute says the LLC "shall promptly file an initial or amended statement of information" but sets no fixed number of days for doing it, which leaves owners to judge what prompt means. Filing as soon as the Secretary of State's notice arrives keeps the gap short.13
Does an out-of-state LLC doing business in California need an agent here?
Yes. Registration uses the Application to Register, Form LLC-5 ($70), and the Secretary of State's forms for out-of-state LLCs include a resignation form for their agent for service of process, which shows one is kept on record. The qualification rule this guide quotes is in Cal. Corp. Code § 17701.13. The registered LLC also owes the annual LLC tax to the Franchise Tax Board.1, 17
