Registered agent requirements in New York
Facts checked October 13 to 14, 2026.
Every New York LLC must name the Secretary of State as the agent that receives lawsuit papers for it, and naming a registered agent as well is optional. The law says an LLC "may designate a registered agent", and if you do, that agent must be a New York resident, a person with a New York business address, an LLC or a corporation (N.Y. Ltd. Liab. Co. Law § 302). Forming the LLC costs $200, and adding, changing or dropping a registered agent later takes a Certificate of Change for $30. The point that is easiest to miss: papers served on the Secretary of State are mailed on to the address the LLC gives for that purpose, so that address is the one to keep current.1, 2, 3
New York Registered Agent vs the Secretary of State
New York's Articles of Organization designate the Secretary of State as the agent upon whom process against the LLC may be served. In addition, an LLC may designate a "registered agent", the term most states use, but in New York that is optional.
New York's Articles of Organization do not ask for a registered office tied to an agent; they designate the Secretary of State to receive process for the LLC.
- New York law: “each domestic limited liability company or authorized foreign limited liability company may designate a registered agent” nysenate.gov
- State filing form: “The Secretary of State is designated as agent of the limited liability company upon whom process against the limited liability company may be served.” dos.ny.gov
Who can be a registered agent in New York?
Three kinds of agent qualify under N.Y. Ltd. Liab. Co. Law § 302: a person who lives in New York or has a business address there, an LLC, or a corporation.1
The statute's wording for individuals is "a natural person who is a resident of this state or has a business address in this state", and subsections (b)(2) and (b)(3) allow LLCs and corporations. The facts checked for this guide don't set out which LLCs and corporations meet those subsections, so a company acting as agent should confirm its own standing with the Department.1
A person does not have to live in New York to be your agent. On the statute's wording, a consultant who lives in New Jersey but keeps an office in Manhattan appears to qualify, because a New York business address can stand in for residence. Someone with neither a home nor a business address in the state does not.
None of this replaces the Secretary of State. In New York, a registered agent is an extra name on the record, added on top of the designation every LLC makes. The explainer on what a registered agent does covers the duties that are the same in every state, and the glossary defines service of process, the formal delivery of lawsuit papers.
Which address does New York use to reach your LLC?
New York keeps two addresses in play. One belongs to the optional registered agent. The other is the address the Secretary of State mails papers to after accepting them for your LLC.
The second one decides whether you hear about a lawsuit. Each biennial statement sets out the address to which the New York Secretary of State shall mail a copy of any process accepted on its behalf. When someone serves the Secretary of State, the copy goes there. If that address is an old office or a former partner's home, the papers can sit unopened while a court deadline runs.4
For an individual registered agent, the address rule comes from the statute: the person must live in New York or have a business address in the state (N.Y. Ltd. Liab. Co. Law § 302). The sources checked for this guide include no Department statement on whether a P.O. box or a virtual mailbox satisfies that wording, so ask the New York Department of State, Division of Corporations before relying on one.
Every registered agent puts its own address in the agent field, so naming a commercial service puts the service's address there in place of yours, with any provider. That says nothing about the mailing address for process or the other details your Articles ask for, and this guide's sources don't list which of those fields the Department shows publicly. If you want a business address to use on those forms, some providers sell one apart from the agent service. Tailor Brands lists a virtual address product (price not published). Bizee (formerly Incfile) lists one at $29/month. Northwest Registered Agent lists Mail Forwarding $20/month in select states only, so check whether New York is one of them. The guide to what an agent can and can't keep off the public record goes further.5, 6, 7
Can you be your own registered agent in New York?
Yes, if you live in New York or have a business address there (N.Y. Ltd. Liab. Co. Law § 302), though you don't have to name anyone. The Secretary of State already receives process for every LLC, since every LLC must designate the Secretary of State as its agent for service of process.8
An owner who skips the optional agent is relying on the state's mail to the address on file.
Naming yourself adds a second route: papers can then be served on you directly at the address you give. That has costs worth weighing.
- A process server can arrive at any point in the working day, and papers can be missed if no one is there.
- Your own name and address go on the record as agent.
- If you leave the state and close your New York office, you no longer meet the statute's test.
Owners who live elsewhere without a New York business address cannot name themselves. For them, the choice is between the Secretary of State alone, a New York contact they trust, or a commercial service. If you travel, rent a shared desk or move often, an address you control yourself is harder to keep reliable. The New York registered agent services compared page sets out each provider's price and terms.
How do you name an agent when you form a New York LLC?
The Articles of Organization (DOS-1336-f) carry the designation every LLC must make: "The Secretary of State is designated as agent of the limited liability company upon whom process against the limited liability company may be served." That clause sits in Article THIRD of the state's form, and you cannot leave it out.9, 10
The registered agent is the optional part. The sources checked for this guide don't say whether the Articles form has a field for one or how the agent's consent is recorded, so read the form's instructions before you file. What the sources do confirm is that a registered agent can be added after formation: the Certificate of Change is the filing to "make, revoke or change the designation of a registered agent".3
You can file the Articles online, by mail, in person (Albany) or by fax with a credit card authorization form. Online filers get an email filing receipt within minutes, and there is no standard time published for paper filings. Faster handling costs extra, charged per document on top of the filing fee, at $25 within 24 hours, $75 same day or $150 within 2 hours.8, 9
Forming the LLC also starts the newspaper publication rule, which applies whether or not you name an agent; the step-by-step New York LLC formation guide walks through it, and the cheapest ways to form a New York LLC adds up what it costs.
How do you change or add a registered agent in New York?
You file a Certificate of Change under LLC Law §211-A with the Department of State, for $30, and you line up the new agent before you cancel the old one.2, 3
The same certificate is the filing to "make, revoke or change the designation of a registered agent", so it covers adding a registered agent for the first time, replacing one, or revoking the designation and relying on the Secretary of State alone.3
The order of steps decides whether anything goes wrong.
- Pick the new agent and confirm they qualify: a New York resident, a person with a New York business address, or an eligible company.
- Confirm the agent has agreed to serve. The sources checked here don't describe a consent form, so ask the Department whether one must accompany the certificate.
- File the Certificate of Change and keep the filing receipt.
- Cancel the old service only after the Department has filed the change.
Some commercial agents build the same order into their cancellation rules. LegalZoom notes that proof of new RA may be required. Bizee (formerly Incfile) lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation, and InCorp Services asks you to meet one condition before the next fee is due: dissolve entity, appoint new agent, or resign InCorp with fees. Harbor Compliance's terms add a timing rule: they require notice of non-renewal at least 90 days before the end of the current term, or the service renews for another term. Read your current contract before you file, so a renewal date doesn't land mid-switch.11, 12, 13, 14, 15
A change filed by the agent itself falls under a different subsection with its own fee: a § 211-A(b) change filed by the agent is $5. The general guides on how to change a registered agent and how to cancel an agent service cover the steps that work alike across states.2
What happens if your New York registered agent resigns?
The agent files a Certificate of Resignation with the Department of State and must send a copy to the LLC by registered mail. Your LLC keeps the Secretary of State as its agent for process, so naming a replacement is optional. Under the statute, the designation ends 30 days after filing.1
Because the Secretary of State stays your LLC's agent for process throughout, a resignation does not leave New York with no one to serve. Lawsuit papers can still reach the LLC through the state's mail to your address on file. What you lose is the second route through a person or service you chose.
Treat the registered-mail copy as the prompt to decide. You can name a replacement with a Certificate of Change, or let the designation end and rely on the Secretary of State. If you take the second route, check the mailing address for process now, since it becomes your only line.
The registered-mail copy can only reach you if the agent holds a current address for your LLC. If you use a paid service, update your contact details with it whenever you move.
What happens if a New York LLC has no registered agent?
Nothing on that count alone, because the agent is optional and every LLC must designate the Secretary of State as its agent for service of process. The state's pages checked for this guide list no penalty, dissolution ground or reinstatement fee tied to having no registered agent.8
The real exposure in New York is a stale mailing address. Papers served on the Secretary of State go to the address in the LLC's record. If no one checks that mailbox, a case can move ahead before you know it exists.
A separate rule carries a heavier consequence. A new LLC must publish its Articles or a notice in two newspapers chosen by the county clerk for six consecutive weeks and file a Certificate of Publication ($50) within 120 days. Missing that deadline suspends the LLC's authority. The New York compliance guide covers what suspension means and how the biennial statement fits in.9
What does a New York LLC file to stay current?
A New York LLC files a biennial statement every other year, in the calendar month the articles of organization were filed, and the fee is $9. The statement is where the LLC confirms the address to which the New York Secretary of State shall mail a copy of any process accepted on its behalf, so it doubles as the regular check on your process address.2, 4, 16
Skipping it carries no published fine; an LLC that fails to file it will be reflected in the New York Department of State’s records as past due. The sources checked for this guide don't say what else past-due status affects, so ask the Department if a bank or landlord asks for proof of good standing.4
These items recur for a New York LLC.
- the biennial statement, in your filing month, every other year
- your agent's renewal, if you pay a service
- a check of the mailing address for process whenever you move
The New York compliance calendar lays out the first year and the second in order, and annual reports explained describes how recurring state reports work in general.
Do out-of-state LLCs need a New York registered agent?
Not as a requirement. A foreign LLC registers by filing an Application for Authority for $250, and the statute gives it the same option as a domestic LLC: each "authorized foreign limited liability company may designate a registered agent".1, 17
The publication rule does follow foreign LLCs: foreign LLCs must also publish within 120 days. If you name a registered agent in New York, it must meet the same test under N.Y. Ltd. Liab. Co. Law § 302 as any other.17
The change procedure described above comes from the Department's guidance for domestic LLCs; the sources checked for this guide don't describe the filing a foreign LLC uses to add or replace an agent, so ask the Department. If your LLC also works across the river or along the state line, compare New Jersey's rules, Connecticut's rules and Pennsylvania's rules.

New York registered agent questions
Does a New York LLC have to have a registered agent?
No. The statute says an LLC "may designate a registered agent", while every LLC must designate the Secretary of State as its agent for service of process. The Secretary of State receives process and mails a copy to the address the LLC gave.1, 8
Can someone outside New York be my registered agent?
Yes, if they have a business address in New York. The statute allows "a natural person who is a resident of this state or has a business address in this state" (N.Y. Ltd. Liab. Co. Law § 302). A person with neither a New York home nor a New York business address does not qualify.1
How much does it cost to change my registered agent in New York?
The Certificate of Change costs $30 in state fees when the LLC files it. A change the agent files itself is priced separately: a § 211-A(b) change filed by the agent is $5. Paid services add their own fee.2, 3
What happens when my registered agent resigns?
The agent files a Certificate of Resignation and must send a copy to the LLC by registered mail. The designation ends 30 days after filing. The Secretary of State remains your agent for process, so you can name a replacement or rely on the state alone.1
Where does the Secretary of State send papers it accepts for my LLC?
They go to the address the LLC gives for that purpose: the biennial statement sets out the address to which the New York Secretary of State shall mail a copy of any process accepted on its behalf. If that address is out of date, you may not learn of a lawsuit in time, so confirm it whenever you move.4
Do I need a registered agent to file the biennial statement?
No. The biennial statement is filed in the calendar month the articles of organization were filed for $9, with or without an agent. Some agent services offer to file it for you; the New York compliance guide compares what they publish.2, 16
