Staying compliant in Oregon
Facts checked October 13 to 15, 2026.
An Oregon LLC files an annual renewal with the Oregon Secretary of State, Corporation Division every year on the anniversary date of the original filing, and the fee is $100. The state sends a renewal notice ahead of time; its FAQ says notices go out about 45 days before the due date. Not delivering the annual report is a ground for administrative dissolution under ORS 63.647(2). Between renewals, the other ongoing duty is keeping a registered agent and registered office on record, which you can update at any time for $0.1, 2, 3, 4
How does the Oregon annual renewal work?
Oregon calls the filing an Annual Report (annual renewal). It costs $100 for a domestic LLC and falls due on the anniversary date of the original filing, so the date is personal to your LLC rather than a statewide deadline.1, 2, 3
That anniversary rule has a few practical effects.
- Your first renewal comes due on the first anniversary of the date the Corporation Division filed your Articles, not at the end of the calendar year.
- If you own several Oregon LLCs formed at different times, each has its own due date. A shared spreadsheet or calendar reminder per entity helps.
The Corporation Division sends a renewal notice first (notices go out about 45 days before the anniversary), but the due date applies whether or not the notice reaches you. If your contact details with the state are out of date, it may not arrive.
On how to file, the Corporation Division's general channels are Online (Oregon Business Registry) or by mail; walk-in front desk in Salem. Forms and payments are not accepted by email. Check the renewal notice itself for the options it offers for your entity. The state's pages used for this guide don't set out what the renewal asks for, so read the notice and compare the details it shows with your current agent, office and addresses.5
Foreign LLCs registered in Oregon renew too, at a higher price: the fee schedule notes the foreign LLC annual renewal is also $275. For how annual reports work in other states, see annual reports explained; if you also run an LLC across the river, staying compliant in Washington follows a different deadline rule.3
Is there an Oregon franchise tax or other state charge on LLCs?
The Corporation Division's recurring charge for a domestic LLC is the $100 renewal. This guide's sources don't establish whether any Oregon business tax applies to an LLC, so tax questions belong with the Oregon Department of Revenue.2
Keep the two systems separate in your head. The Corporation Division keeps the business record: your Articles, your agent, your renewal. The Department of Revenue and the IRS run tax registrations and returns, with deadlines of their own that the renewal notice won't mention.
How your LLC is taxed depends on how many members it has, whether it has elected corporate tax treatment, and what it does and where. A tax professional can answer those questions for your situation. What this page can say is that paying the renewal fee does not settle any tax obligation, and a clean Corporation Division record says nothing about whether your tax filings are current.
What happens if an Oregon LLC misses its renewal?
Oregon's fee schedule lists no late fee, but a missed renewal can cost the LLC its existence: the statute lets the Secretary of State begin administrative dissolution when an LLC does not deliver the limited liability company's annual report to the Secretary of State (ORS 63.647(2)).4
The state's fee schedule reads "No late fee listed in the fee schedule", which can make a late renewal look harmless, but the statute sets a heavier consequence. Under it, "The Secretary of State may commence a proceeding under ORS 63.651 to administratively dissolve a limited liability company" when one of several grounds applies, and an undelivered annual report is one of them.4
The same section names a second ground that catches owners off guard: "The limited liability company is without a registered agent or registered office in this state" (ORS 63.647(4)). An agent who resigns, or moves to an address that no longer qualifies, can put the LLC at risk even when every renewal has been paid.4
A dissolved LLC loses its good standing. Banks, landlords, licensing offices and larger customers sometimes ask for proof of standing, and a dissolved status can hold up a loan, a lease or a contract.
Reinstatement after dissolution
Reinstatement is allowed under ORS 63.654(1) within five years of dissolution. The fee schedule used for this guide shows no reinstatement amount, so ask the Corporation Division what it charges and which unpaid renewals must be cleared before it will act. If the business kept trading or signed contracts while dissolved, talk to a lawyer about where that leaves you. The Oregon registered agent guide explains the agent side of dissolution in more detail.4
How do you keep your Oregon agent and records current?
Keep a registered agent with a qualifying Oregon street office on file at all times, and file the Information Change form whenever the agent or the office changes. The state fee for that update is $0.2
The office must be a physical street address where the agent can be served in person (ORS 63.111), and the statute rules out mail drops and virtual offices. If your agent relocates, check that the new address still meets that test before you assume nothing needs filing.4
When and how to file an update
The update goes on the Corporation/Limited Liability Company - Information Change form, and it can also be done online. You don't need to wait for the renewal to file it. When you switch providers, put the new agent on record first and cancel the old one afterwards; our guide to changing a registered agent sets out the order, and cancelling a registered agent service covers the contract side.6
If your agent resigns, its appointment ends on the 31st day after the Secretary of State files it, unless a successor is appointed sooner. The agent sends a copy to the LLC, so keep your contact details current with the agent, too.4
What provider compliance features do for an Oregon LLC
Oregon's yearly renewal is the filing these features track. A reminder is a different product from a filing service.
- Plans that file the renewal. Tailor Brands puts annual report filing in some plans but not its entry plan (Included in Essential and Elite (annual compliance report filing and updates); not in Lite). LegalZoom sells a one-off filing ($99 + state filing fees, bills once) and a recurring Compliance Filings subscription that starts at $199/year, auto-renews. InCorp Services lists $89 + state fees. Swyft Filings sells a yearly filing subscription (ComplianceGuard $199/year (annual report filing included, state fee applies); 14-day free trial then auto-charged). doola says the Tax and Compliance plan covers your annual state compliance filings; its entry plan doesn't (Starter does not include ongoing compliance filings).7, 8, 9, 10, 11, 12
- Northwest enrols agent customers in its filing service by default. Its site says "you'll automatically be enrolled in our renewal service", priced at $100 + state fees, charged at filing. If you would rather file yourself, ask Northwest how to opt out well before your anniversary.13
- Reminder-only features send alerts but leave the filing to you. The agent service from InCorp Services lists reminders of this kind (Email reminders before deadlines (annual reports, franchise tax)).14
Two points apply across the list. Most of these providers say state fees are extra, so add the state's $100 renewal fee to the service price when comparing; Tailor Brands doesn't publish whether its plans include the state fee. And none of these features covers Oregon tax filings unless the provider says so in writing.
Agent renewal terms belong on the same calendar. Tailor Brands renews at $199/year, InCorp Services at $129 per year flat rate, and Swyft Filings bills $149 per quarter, auto-renews until cancelled. Side-by-side terms are on the Oregon registered agent comparison, and registered agents with compliance tools compares these features nationally.14, 15, 16
What does an Oregon LLC's calendar look like in year one and beyond?
Oregon's calendar hangs on a single date: the day the Corporation Division filed your Articles. Everything recurring follows from it.
Year one
- Formation. Write down the filing date shown on your approved Articles. It becomes your renewal date every year. Our Oregon LLC formation guide covers the filing itself.
- Agent setup. Confirm the email, phone and mailing address your agent will use, and note when its own renewal bills.
- Taxes. Ask the Oregon Department of Revenue and the IRS which registrations apply, and keep those dates on a separate list.
- Renewal notice. Watch for it before your first anniversary; the state says notices go out about 45 days before the due date.3
- First anniversary. File the Annual Report (annual renewal) and pay $100.2, 3
Year two and later
- Each anniversary, file the renewal again for $100.
- Before the agent service renews, decide whether to keep it and check any notice period in its terms.
- Once a year, look up your LLC on the Business Registry and confirm the agent, registered office and addresses. File the Information Change form ($0) if anything has moved.2
- If an agent resignation notice arrives, name a replacement before the appointment ends.
Fees for forming and running the LLC are added up on the cheapest ways to form an Oregon LLC. Terms like administrative dissolution and registered office are defined in the glossary, and what a registered agent does covers the role in plain English.
Oregon LLC compliance questions
When is my Oregon LLC's annual renewal due?
It is due each year on the anniversary date of the original filing, the date the Corporation Division filed your Articles. The state sends a reminder first; its FAQ says notices go out about 45 days before the due date.1, 3
How much does the Oregon annual renewal cost?
A domestic LLC pays $100 a year. A foreign LLC registered in Oregon pays more, as the fee schedule notes the foreign LLC annual renewal is also $275.2, 3
Is there a late fee if I renew after the anniversary?
The fee schedule shows none ("No late fee listed in the fee schedule"). The larger risk is dissolution, because failing to deliver the annual report is a ground for it under ORS 63.647(2). File as soon as you notice the miss and ask the Corporation Division whether a proceeding has started.4
Can a dissolved Oregon LLC be reinstated?
Yes. ORS 63.654(1) allows reinstatement within five years of dissolution. The fee schedule used here gives no reinstatement amount, so ask the Corporation Division for the cost and for any past renewals that must be paid.4
Do I have to wait for my renewal to change my registered agent?
No. The Information Change form can be filed at any time, the state fee is $0, and the change can also be done online. Put the new agent on record before cancelling the old service.2, 6
Does a compliance plan from my agent pay the state fee?
Most of the filing services listed on this page say state fees are extra, so expect to pay the $100 renewal fee as well. Ask the provider whether it files on your behalf or only sends reminders before you sign up.
