Cheapest LLC formation in Oregon
Facts checked October 13 to 15, 2026.
The floor for year one is the Oregon Secretary of State, Corporation Division's $100 fee for the Articles of Organization, with no paid agent: you serve as your own agent if you qualify, or take a package listed at $0 + state fee that includes the agent's first year (Bizee bundles it for the first year with any Bizee formation package). From year two the floor is the state's $100 renewal, due on the anniversary date of the original filing, plus whatever a paid agent renews at. That yearly renewal is why a formation package priced at nothing never means a free LLC in Oregon: the state fee is added at checkout, the state bills again every year, and a bundled agent then renews at the provider's price, such as $149/year (ongoing annual fee) at Bizee.1, 2, 3, 4
What does the state of Oregon charge an LLC?
The state sets these fees and no provider can discount them; package prices are always quoted before them.
| Filing | Fee |
|---|---|
| Form the LLC | $100 sos.oregon.gov |
| Reserve a name | $100 for 120 days sos.oregon.gov |
| Change of registered agent | $0 sos.oregon.gov |
| Recurring report | $100 sos.oregon.gov |
| Register an out-of-state LLC | $275 (Application for Authority) sos.oregon.gov |
Every new Oregon LLC pays $100 for the Articles, whether you file it yourself, online (Oregon Business Registry) or by mail, or a service files it for you. A service adds to that figure and never reduces it.
The second fixed cost is easy to leave out of a budget. Oregon LLCs renew every year on the anniversary date of the original filing, and the renewal costs $100, the same amount as forming. So by the first anniversary the state alone has collected its formation fee and its renewal fee, before any agent or package is counted. The state says notices go out about 45 days before the due date.5
A name reservation is optional and costs $100 for 120 days, as much as filing the Articles. Paying for a reservation only makes sense when the filing itself has to wait.6
Changing your registered agent later costs $0 on the Information Change form, which can also be done online. That keeps switching away from an expensive renewal cheap.1, 7
An LLC formed in another state pays a different set of fees to register here: an Application for Authority at $275, and the fee schedule shows that foreign LLC annual renewal is also $275. For a business that will operate only in Oregon, forming here costs less on both counts. Neighboring rules are on the Washington registered agent page.5
What raises the cost of an Oregon LLC?
A paid registered agent, a paid annual report service, yearly-billed packages and checkout add-ons all push the bill above the state's fees. A missed renewal adds risk rather than a late fee.
The registered agent
Every Oregon LLC needs an agent with an office at a physical street address where process may be personally served on the registered agent (ORS 63.111). A paid agent is a yearly charge, and owners handle it in one of these ways.8
- Act as your own agent, if you qualify and can be at that address to receive papers. The cost is nothing, but your address goes on the public record. The Oregon registered agent guide explains who qualifies.
- Take a first year bundled with formation, then pay the provider's renewal from year two.
- Buy the agent on its own at a published standalone price.
When a bundled agent's renewal comes due at a price you don't like, moving to a cheaper agent costs the state $0. Put the new agent on record before cancelling the old one; how to change a registered agent gives the order.
A paid service to file the renewal
Owners can file Oregon's $100 renewal themselves. Provider filing services charge their own fee on top of the state's: ZenBusiness, for example, lists Annual Report Filing $100 per report, and LegalZoom's single filing is $99 + state filing fees, bills once. Northwest says registered agent customers are auto-enrolled in its renewal service, which bills at each filing, so an owner who files alone has to watch for that charge.9, 10, 11
Packages billed every year
Several formation plans are subscriptions rather than one-time fees. doola's Starter is $297/yr, Tailor Brands' Essential is $199/yr plus state fees, and ZenBusiness's Pro is $199 + state fees, renews at $199/yr. Some of these include the Oregon renewal filing, which offsets part of the cost, but the plan price recurs whether or not you use the other features.12, 13, 14
Add-ons at checkout
EIN filing, operating agreements, business addresses and compliance trials are sold separately or folded into higher tiers. A provider's EIN fee pays for its own time on the IRS application. A trial that converts to a paid plan, such as Swyft's ComplianceGuard trial, described as a 14-day free trial then auto-charged, becomes a variable cost if you forget to cancel.15
Faster processing
There is little to buy here. The state's staff review of an online filing typically begins within one business day, the state has no overall processing time published, and the state doesn't publish an expedite fee among the facts on this page. A provider's rush fee pays for its own handling; InCorp's, for example, is a $50.00 InCorp expedite fee (state expedite fee extra).16, 17
A missed renewal
There is no late fee listed in the fee schedule, but failing to file the annual report when due is grounds for administrative dissolution. Losing an agent is likewise grounds for administrative dissolution (ORS 63.647). The statute allows reinstatement within five years of dissolution, and the cheapest path is never needing it. Staying compliant in Oregon covers the renewal and reinstatement.8

Below, in the same order, is what each provider's cheapest route adds to the $100 Articles fee in year one, and what keeps billing from year two, next to Oregon's own $100 renewal.
Tailor Brands' cheapest plan is $0 plus state fees, and its card notes no annual compliance, operating agreement or branding tools. No agent is listed, so budget $199/year or serve yourself. Essential, at $199/yr plus state fees, adds annual compliance (report filing and updates), a yearly charge that covers the renewal filing. Details in the Tailor Brands review.13, 18
ZenBusiness's Starter is $0 + state fees (does not renew). Its agent, though, is an add-on (+$199/yr) that ZenBusiness discounts with 50% off the first year ($99) when you form an LLC before it moves to $199/yr. Starter also carries Worry-Free Compliance free for 1 year (then $199/yr), so note when that free year ends. More in the ZenBusiness review.14, 19
LegalZoom's lowest package is $0 + state filing fees. Its agent costs $249/year (first-time registered agent customers) and renews at the purchase rate each year, with the rate subject to change. See the LegalZoom review.20, 21
Bizee's Basic is $0 + state fee with the agent free for the first year with any Bizee formation package, which makes the state fee the main year-one cost. From year two the agent renews at $149/year (ongoing annual fee), beside the state's renewal. Bizee sells renewal filing with no standalone price stated. See the Bizee review.3, 4, 22
Swyft Filings' Basic is $0 + state fees, with no agent listed. Its agent is $149 per quarter ($596/year), so compare it on the yearly figure. Every plan carries a trial of ComplianceGuard (ComplianceGuard $199/year), which turns into the yearly charge unless cancelled. See the Swyft Filings review.23, 24
doola's Starter, $297/yr, includes the agent, but the whole plan price repeats each year rather than just an agent fee. See the doola review.12
Northwest charges $39 + State Fees for formation and describes it, on its corporation page, as a total that includes one year of registered agent service; confirm that applies to an LLC. Its standalone agent is $125 per year. Its renewal filing service is $100 + state fees, charged at filing, and registered agent customers are auto-enrolled. See the Northwest review.11, 25, 26, 27
Rocket Lawyer offers the first registration free with a Rocket Lawyer membership, and every membership is billed yearly. Standard is $149/year and excludes the agent; the agent ($125 with a Plus or Pro membership) needs Plus at $249/year or Pro at $349/year, and only Pro adds renewal filing ($100 with Pro membership). See the Rocket Lawyer review.28, 29, 30, 31
InCorp prices formation starting at $99 plus state fees, with the registered agent sold separately at $129 per state per year; its terms say the agent is billed at then-current fee unless a cancellation condition is met. Renewal filing is $89 + state fees. See the InCorp review.32, 33, 34, 35
Harbor Compliance's formation starts at $99 plus state fees. The agent is $99 first year (new customers), then $159 annually, and stopping it takes notice at least 90 days before the end of the current term. See the Harbor Compliance review.36, 37, 38

Oregon LLC cost questions
Can I form an Oregon LLC for only the state fee?
Yes, in year one. If you serve as your own agent or use a package listed at $0 + state fee that bundles the agent's first year, the $100 Articles fee can be the only charge. You won't stay there: the state's $100 renewal arrives on the first anniversary.1, 2
What does an Oregon LLC cost every year after it is formed?
At minimum the state's $100 renewal, due on the anniversary date of the original filing. Add a paid agent's renewal if you use one, any yearly formation plan, and any provider fee for filing the renewal. Taxes are separate and not covered here.1
Is there a late fee if I miss the Oregon renewal?
Not in the state's published fees: there is no late fee listed in the fee schedule. The bigger cost is that failing to file the annual report when due is grounds for administrative dissolution, and the statute allows reinstatement within five years of dissolution. Filing on time is the cheapest option.8
Does it cost anything to switch registered agents in Oregon?
The state charges $0, and the Information Change form can also be done online. A provider's own terms can still cost you, such as Harbor Compliance's rule that notice arrive at least 90 days before the end of the current term. Get the new agent on record first, then cancel.1, 7, 38
Is it cheaper to form in Oregon or register an out-of-state LLC here?
For a business that operates only in Oregon, forming here costs less. A foreign LLC pays $275 to register, and the fee schedule shows that foreign LLC annual renewal is also $275, compared with $100 to form and $100 to renew a domestic LLC.1, 5
