Staying compliant in Arkansas
Facts checked October 13 to 14, 2026.
One filing and one payment, both due May 1 each year. Every Arkansas LLC files the Annual LLC Franchise Tax Report with the Secretary of State and pays the $150 annual LLC franchise tax with it. File late and the state adds a $25 late filing penalty plus daily interest. Leave the report unfiled for long enough, or let your registered agent lapse for 60 consecutive days, and the state has grounds to dissolve the LLC.1, 2, 3
What goes on the Arkansas annual franchise tax report?
It is the yearly filing that keeps an Arkansas LLC's record current, and in Arkansas the report and the franchise tax travel on the same form. The current form says "Reports and taxes are due on or before May 1, 2026."1
Besides a tax contact, the report's fields cover the registered agent name and Arkansas street address, principal office in Arkansas, member- or manager-management and their names, federal tax ID, nature of business. In practice, filing it means confirming three things each spring.4
- Who your registered agent is and the Arkansas street address where the agent sits. The form's instructions repeat the rule in these words: "The registered agent's address must be a street address in Arkansas, and the agent must be located at that address."1
- Your principal office in Arkansas.
- How the LLC is run. The form's management section reads "Limited Liability Company Management is (Select One)", followed by the names of the members or managers.4
The franchise tax page lists the LLC tax for both online and paper filing, and it says online filing adds a $5.00 card processing fee.2
Because the report repeats your agent details every year, it is a good moment to catch problems. If your agent has moved, quit, or let its contract lapse, fix that with the Notice of Change of Registered Agent for LLC first, then file the report with the correct details.5
Owners with an LLC in another state too can compare this with staying compliant in Missouri or Tennessee's compliance rules. For how yearly reports work in general, see annual reports explained.
How much is the Arkansas LLC franchise tax?
Each LLC owes a flat franchise tax, which the state sets as the $150 annual LLC franchise tax, due May 1. The report form puts it simply: "If this report is timely filed, all limited liability companies are liable for only the $150.00 payment."2
That sentence carries a condition. The flat amount applies when the report goes in on time. A late report adds the penalty and interest covered in the next section, so the cost of missing the date rises with every day.
The tax also keeps running after trouble starts. The state's franchise tax page says "Franchise taxes continue to accrue, even for revoked businesses, until the business is dissolved, withdrawn, or merged." An LLC that stops operating but is never formally dissolved can keep building a tax bill, so closing down properly counts as a compliance step too.2
The franchise tax is a Secretary of State charge. Income tax, sales tax and payroll registrations are separate from it, and this page doesn't cover them. Ask a tax professional which of those apply to your LLC, and keep their dates on a separate list.
What happens if an Arkansas LLC files late or not at all?
A late report costs a $25 late filing penalty plus interest, and a long delay can lead to revocation or administrative dissolution.2
The form spells out the interest. It is figured on the tax and penalty together, at a daily rate: (tax + penalty x .000274 x days late). A report a few days late costs little beyond the penalty. One that sits for months costs more, and the risk shifts from money to standing.2
The franchise tax page warns that non-payment can lead to revocation of the authorization to do business. Under Ark. Code 4-38-708(a), the state also has grounds for administrative dissolution in these cases.2, 3
- The LLC has no registered agent in Arkansas for 60 consecutive days.3
- Non-payment of fees/taxes and failure to deliver the annual report within six months of the due date are also grounds.3
For an agent lapse, the state sends notice first and the LLC has 60 days to cure after notice. Answering that notice quickly is the inexpensive way out.3
A dissolved or revoked LLC can't show good standing to a bank, a landlord or a licensing office, and the tax keeps accruing until the business is formally closed. The sources for this page don't list Arkansas's reinstatement fee or process. If your LLC has been revoked or dissolved, ask the Secretary of State what it takes to restore it, and talk to a lawyer if the business kept signing contracts in the meantime. The Arkansas registered agent guide covers the agent side of dissolution in more detail.
How do you keep your registered agent current in Arkansas?
Keep an agent at an Arkansas street address at all times, and file Form DO-03, which the state lists as "No fee", whenever the agent changes.5
The rule applies to every Arkansas LLC. Out-of-state LLCs register here for $300 paper ($270 online); the facts behind this page don't quote their agent rule, so they should confirm it with the Secretary of State. The Division says it completes most filings within two business days of receipt. The Arkansas registered agent guide sets out who qualifies and the order of steps for a change, and our page on how to change a registered agent covers the general process.6, 7
A resignation is one way an agent can lapse without the owner noticing. A resignation takes effect on the earlier of the 31st day after the statement of resignation is filed or the appointment of a new agent (Ark. Code 4-20-111(b), (c)), and the agent must promptly notify the LLC of the filing date. If that notice goes to an inbox nobody reads, the dissolution clock can start before you know.8
What provider compliance features cover in Arkansas
Agent services sell two kinds of compliance help. The examples below follow our score order, highest first.
Annual report filing. Tailor Brands includes annual report filing in its Essential and Elite plans, not in Lite. LegalZoom charges $99 + state filing fees, Northwest Registered Agent charges $100 + state fees, Rocket Lawyer lists $100 with Pro membership, excluding state fees, and InCorp Services charges $89 + state fees. The state payment due with the Arkansas report is the franchise tax, so a filing service's fee comes on top of the $150 annual LLC franchise tax. Ask in writing whether the provider pays the tax from your account or bills it back, and what happens if your card fails close to May 1 each year.9, 10, 11, 12, 13
Reminders are the lighter option. doola lists annual report notifications, InCorp Services lists email reminders before deadlines (annual reports, franchise tax), and Harbor Compliance lists annual report reminders included with registered agent service. A reminder service files nothing for you, so the deadline stays yours.14, 15, 16
Lawsuit papers and official notices reach you through your agent, so a reminder only helps if the provider can reach you. Check that your provider has a current email and phone for you.
Renewal terms. The agent fee is a second recurring cost next to the franchise tax. Tailor Brands lists $199/year (renews at the same price), Swyft Filings renews at $149 per quarter (billed until cancelled), InCorp Services at $129 per year flat rate (its terms allow the then-current fee), and Harbor Compliance at $159 annually. Put the renewal date on the same calendar as the May report.15, 16, 17, 18
Side-by-side prices and terms are on the Arkansas registered agent comparison, and a wider look at reminder and filing features is on registered agents for compliance. Before you drop a service, read how to cancel a registered agent service.
What does an Arkansas LLC's compliance calendar look like?
The calendar centres on May 1 each year, with the agent renewal as the other date to track.1
Year one
- Formation. The Secretary of State files your Certificate of Organization (Form LL-01). How to get there is in our Arkansas LLC formation guide, and the fees are added up on the cheapest Arkansas LLC options.19
- Agent setup. Confirm the email and phone your agent will use for notices and write down its renewal date.
- First report. The sources for this page don't say whether an LLC formed late in the year owes a report on the very next due date. Ask the Secretary of State when your first report is due rather than guessing.
- Taxes. Ask a tax professional which state and federal tax registrations apply, separately from the franchise tax.
Year two and later
- Early spring: review the agent, principal office and manager or member names on your record. If the agent changed, file Form DO-03 first.5
- File the report and pay the tax by May 1 each year. On time, the tax stays at the flat $150 annual LLC franchise tax.
- If you missed the date, file as soon as you can; the penalty is fixed but interest grows daily. Failing to deliver the report within six months of the due date gives the state grounds for dissolution.3
- Around the agent's renewal date, decide whether to keep the service, and check its notice terms before cancelling.
Unfamiliar terms such as administrative dissolution are defined in our glossary, and what a registered agent is explains the agent's day-to-day role.
Arkansas LLC compliance questions
When is the Arkansas LLC annual report due?
The Annual LLC Franchise Tax Report is due May 1 each year, and the franchise tax is paid with it. The current form states "Reports and taxes are due on or before May 1, 2026." Ask the Secretary of State when a newly formed LLC's first report falls due.1, 2
How much does an Arkansas LLC pay each year to stay in good standing?
The state charges the $150 annual LLC franchise tax when the report is filed on time. Paying online costs slightly more, because online filing adds a $5.00 card processing fee. A paid agent service, if you use one, is a separate yearly cost set by the provider.2
What is the penalty for filing the Arkansas franchise tax report late?
A $25 late filing penalty is added, plus interest calculated daily on the tax and penalty together. The longer the report sits, the larger the interest. Non-payment can also lead to revocation of the authorization to do business.2
Can Arkansas dissolve my LLC for not filing the report?
Yes. Under Ark. Code 4-38-708(a), failing to deliver the annual report within six months of the due date is a ground for administrative dissolution, as are unpaid fees or taxes and going 60 consecutive days without a registered agent.3
Does the franchise tax stop if my LLC is revoked?
No. The state's franchise tax page says "Franchise taxes continue to accrue, even for revoked businesses, until the business is dissolved, withdrawn, or merged." The tax stops only when the LLC is formally dissolved, withdrawn or merged, so an inactive LLC keeps owing until it is closed.2
Do I need my agent's annual report service in Arkansas?
It depends on how much you want handled. The report is a single form plus the franchise tax payment, and owners can file it themselves. A provider's filing service adds a fee on top of the tax; reminder-only services leave the filing to you.
