Registered agent requirements in Arkansas

Facts checked October 13 to 14, 2026.

Every Arkansas LLC must keep a registered agent at an Arkansas street address where the agent is actually located. You name the agent on the Certificate of Organization (Form LL-01), which costs $45 online, $50 by paper, and the state's fee for switching agents later on the Notice of Change of Registered Agent for LLC is listed as "No fee". The rule people trip over is the address. In the state's words, "The registered agent's address must be a street address in Arkansas, and the agent must be located at that address." A mailbox or a P.O. box does not meet that wording, and an LLC that goes 60 consecutive days without an agent gives the state grounds to dissolve it administratively.1, 2, 3, 4

Who is allowed to act as an Arkansas registered agent?

Arkansas lets an individual or a business act as your registered agent, as long as the agent is located at an Arkansas street address.

Arkansas's agent rules sit in the Model Registered Agents Act. Its definitions separate commercial registered agents from noncommercial ones, and the code defines a noncommercial registered agent as "an individual or a domestic or foreign entity that serves in this state as the agent for service of process of an entity" (Ark. Code Ann. § 4-20-102). That wording can cover a member of your LLC, a friend, your bookkeeper, or a local company you work with.5

The definition says nothing about licences, legal training or citizenship. The working test comes from the state's own instructions, which tie the agent to a place: the agent must be at an Arkansas street address and actually located there. The sources for this page frame the rule around location, not residency, so a person who lives across the line in Texarkana, Texas but runs a shop on the Arkansas side should ask the Secretary of State before relying on that shop.

Some choices fail that test.

The agent's job is to receive service of process (lawsuit papers) and official notices, then get them to you. If you want the duties explained without the Arkansas detail, read what a registered agent does, and look up unfamiliar terms in the glossary.

Which addresses work for an Arkansas registered agent?

Only a street address in Arkansas where the agent can be found. The Secretary of State's annual report instructions put it plainly: the address "must be a street address in Arkansas" and the agent must be located there.3

That language closes off several shortcuts.

The agent's address is not the only one the state asks for. Each year's Annual LLC Franchise Tax Report collects more. Besides a tax contact, its fields cover the registered agent name and Arkansas street address, principal office in Arkansas, member- or manager-management and their names, federal tax ID, nature of business. The sources for this page don't say which of those fields appear in the public business search, so read the report form before you file it.6, 7

Every agent lists its own address in the agent field. Hiring any commercial agent moves that one line off your home, and no provider can do more than that for the agent field. The principal office line is separate. Some providers sell a business address product apart from the agent service. Tailor Brands sells a Virtual Address product, price not published; Swyft Filings lists one at $29/mo; and Harbor Compliance lists $350/year per company, per location as a limited-time offer. Whether such an address may stand in for an Arkansas principal office is a question for the Secretary of State. Our page on what stays on the public record explains the general picture.8, 9, 10

Can you act as your own registered agent in Arkansas?

Yes, if you have an Arkansas street address and you are actually located there. It adds no state fee, because the agent is named on filings you make anyway.

The catch is practical. A process server who arrives while you are at a job site, on the road, or on vacation leaves without handing anything over, and a missed lawsuit can end in a default judgment. Your name and that address also go onto the record as the agent, and the Annual LLC Franchise Tax Report asks for them again each spring.6

Owners outside Arkansas can't act as their own agent. They need someone with an Arkansas street address: a person they trust or a commercial service. The definition above includes a "domestic or foreign entity", but the sources for this page don't say whether an LLC may name itself. Ask the Secretary of State before you put your own company in the agent field.

A paid agent tends to fit when owners move often, keep irregular hours, live out of state, or want the agent line to show something other than their home. The Arkansas registered agent comparison sets out each provider's published price and terms.

How is the agent named when you form an Arkansas LLC?

You list the agent's name and Arkansas street address on the Certificate of Organization (Form LL-01), the filing that creates the LLC.1

The state accepts filings in more than one way: Online (credit card), or print the PDF and mail or deliver it. Its FAQ adds that in-person filings are possible. Online filing costs less, and the fee difference shows in the $45 online, $50 by paper figure.2

Settle three things before you submit.

  1. The agent's identity, and that the person or business meets the street-address rule.
  2. The exact address, written as a street address with no box number.
  3. The agent's agreement. The sources for this page don't describe a separate consent form for Form LL-01, so confirm with the agent directly and check the form's instructions.1

The Secretary of State says it completes most filings within two business days of receipt, and it notes a 48-hour turnaround for in-person drop-offs. The rest of the formation steps, from the name check to the EIN, are in our walkthrough on forming an LLC in Arkansas, and the cheapest Arkansas LLC options page adds up what you pay.11

How do you switch registered agents in Arkansas?

File the Notice of Change of Registered Agent for LLC (Form DO-03). Arkansas charges nothing for it on paper or online, and the forms page says it can be filed online.2

The order of steps counts for more than the form.

  1. Pick the new agent and confirm they have an Arkansas street address where they are located.
  2. Get their agreement to act for your LLC.
  3. File Form DO-03, online or on paper. The Division completes most filings within two business days of receipt.2
  4. Check the business search to see that the new agent shows on your record.
  5. Only then cancel your old service. Cancelling first can leave your LLC with no agent, which starts the dissolution clock described below.

Providers handle cancellation in different ways. LegalZoom lets you cancel by phone or online and says proof of new RA may be required. Northwest Registered Agent lets you cancel through the online account with no cancellation fee. Rocket Lawyer takes cancellations by phone at any time, and its terms say to cancel before renewal date to avoid the next annual charge. InCorp Services requires you to meet a cancellation condition (dissolve entity, appoint new agent, or resign InCorp with fees) before the annual fee is due. Read your own provider's renewal date before filing, so a switch in progress doesn't trigger another year's charge.12, 13, 14, 15

Because the state charges nothing for the change, there's no filing-fee reason to keep an agent who no longer fits. The step-by-step guide to changing a registered agent and the one on cancelling an agent service cover the parts that apply in every state.

What happens when an Arkansas registered agent resigns?

The agent files a statement of resignation. It takes effect on the earlier of the 31st day after the statement of resignation is filed or the day your LLC appoints a new agent (Ark. Code 4-20-111(b), (c)).16

The agent must promptly notify the LLC of the filing date. That notice goes to whatever contact details the agent holds, so an old email address can mean you learn about the resignation late.16

Treat the notice as your deadline. Once the resignation takes effect, your LLC has no agent, and 60 consecutive days without one is a ground for dissolution. Filing Form DO-03 right away costs nothing and closes the gap before it opens.2, 4

Agents resign for ordinary reasons: a friend moves to another state, an employee quits, or a commercial service drops a client whose renewal went unpaid. If you are not sure who the state has on file, search your LLC on the Secretary of State's site.

What happens if an Arkansas LLC has no registered agent?

An LLC without an Arkansas registered agent for 60 consecutive days gives the state grounds to dissolve it administratively under Ark. Code 4-38-708(a).4

The process runs in stages.

  1. The LLC goes without an agent for the period above.
  2. The state sends notice, and the LLC then has 60 days to cure after notice. Naming a new agent on Form DO-03 removes the ground the notice is about.2, 4
  3. If nothing changes, the state can dissolve the LLC.

The agent rule is one of several grounds. Non-payment of fees/taxes and failure to deliver the annual report within six months of the due date are also grounds. Separately, the franchise tax page warns that non-payment can lead to revocation of the authorization to do business.4, 6

A dissolved LLC loses its good standing, which can stall a loan, a licence renewal or a contract that asks for proof of standing. Lawsuit papers served while no agent is in place may never reach you. The tax side keeps running too: "Franchise taxes continue to accrue, even for revoked businesses, until the business is dissolved, withdrawn, or merged". The sources for this page don't list Arkansas's reinstatement fee or steps, so ask the Secretary of State before you count on getting the LLC back. The Arkansas compliance guide covers the annual report, late penalties and what to do after dissolution.6

Which yearly filing keeps an Arkansas LLC in good standing?

The Annual LLC Franchise Tax Report, due May 1 each year. It carries the $150 annual LLC franchise tax, and a late report adds a $25 late filing penalty plus interest.3, 6

The report doubles as an agent check. Its registered agent section asks for the agent's name and Arkansas street address every year, so a quiet resignation or an outdated address tends to surface each spring. If the agent on your report doesn't match the one the state has on file, sort that out with Form DO-03 before you submit.2

The compliance calendar for Arkansas walks through the first year and the one after it, and annual reports explained covers how these filings work in general.

Do out-of-state LLCs need a registered agent in Arkansas?

An LLC formed elsewhere registers here with the Application for Certificate of Registration of Foreign LLC (Form FL-01), which costs $300 paper ($270 online). The facts behind this page don't quote Arkansas's agent rule for registered foreign LLCs, so confirm the agent requirement with the Secretary of State before you file.17

Plan for the address question either way. An agent your LLC uses in its home state may have no Arkansas location at all, and the agent wording quoted on this page always ties the agent to an Arkansas street address where the agent is located. If your Texas LLC's agent sits in Dallas, ask that company whether it has such an address here before you list it.

If your business also crosses into a neighbouring state, compare Missouri's registered agent rules, Tennessee's rules, Oklahoma's rules and the Texas requirements.

Arkansas registered agent questions

Can I list a P.O. box as my registered agent address in Arkansas?

No. The Secretary of State's instructions say the agent's address must be a street address in Arkansas and the agent must be located at that address, so a box number on its own does not qualify. A private mailbox with a street number fails too unless the agent is actually there.3

Does it cost anything to change my registered agent in Arkansas?

No. The state lists the Notice of Change of Registered Agent for LLC as "No fee" both online and on paper. If you move to a paid service, its own annual price is separate and is set by the provider.2

Can someone who lives in another state be my Arkansas registered agent?

Only if they have an Arkansas street address and are located there. The state's rule is about location, so a person living elsewhere with no Arkansas address can't act for your LLC. A commercial service with an Arkansas office can.

How long do I have after my agent resigns?

The resignation takes effect on the earlier of the 31st day after the statement of resignation is filed or the appointment of a new agent. After that, 60 consecutive days without an agent gives the state grounds to dissolve the LLC, though the state first sends notice and allows 60 days to cure after notice. File the free change form when the notice arrives.4, 16

Does the annual report ask about my registered agent?

Yes. The Annual LLC Franchise Tax Report has a registered agent section asking for the agent's name and Arkansas street address. The report is due May 1 each year, so it works as a yearly check that your agent details are current.3, 6

Does an out-of-state LLC doing business in Arkansas need its own agent here?

A foreign LLC registers with the Application for Certificate of Registration of Foreign LLC (Form FL-01) for $300 paper ($270 online). The facts behind this page don't quote the agent rule for foreign LLCs, so ask the Secretary of State what the registration requires before relying on a home-state agent with no Arkansas address.17
