Staying compliant in Minnesota

Facts checked October 13 to 14, 2026.

The yearly state filing for a Minnesota LLC is the Annual Renewal, due December 31 each year, starting the year after formation, and the fee is $0. It goes to the Minnesota Secretary of State. Skip it and the sequence is that a missed renewal leads to administrative dissolution, then a reinstatement fee, with no separate late fee. Beyond the renewal, keep the registered office address accurate and, if your LLC files as a multi-member partnership, check whether the minimum fee set by the Minnesota Department of Revenue reaches you.1, 2, 3, 4

How does the Minnesota annual renewal work?

The renewal is a short yearly filing due December 31 each year, starting the year after formation, and it costs $0 for an active LLC in good standing.2

The governing rule is in the LLC chapter's renewal section: a limited liability company and foreign limited liability company must file with the secretary of state by December 31 of each calendar year a renewal. The same section waives the charge outright, saying no fee is required to file an annual renewal. Foreign LLCs registered in Minnesota fall under the same sentence, so an out-of-state company holding a Certificate of Authority renews on the same schedule.2, 5

When the first one is due

An LLC formed in, say, the spring does not file a renewal that same year. Under the statute, the requirement begins in the calendar year following the year the articles of organization are filed. So the first deadline lands at the end of your second calendar year of existence, which can be well over a year after formation for an LLC formed early in the year. That gap makes the first renewal easy to forget.2

What the form asks

The state's form instruction is simple: "Use this form to file your annual renewal once every calendar year." The form asks for these items. Business name, registered office address, principal executive office address, manager or person exercising principal functions, email for official notices, agricultural-land question. Most of that should already match your Articles. Two items deserve a second look each year.1, 6

The form's own fee note reads: "There is no fee for filing the annual renewal if the entity is active and in good standing." An LLC that has slipped out of good standing may face a different process, so ask the Minnesota Secretary of State first. For how other states handle yearly reports, see annual reports explained, or compare a neighbour such as staying compliant in Wisconsin.6

Does Minnesota charge LLCs a franchise tax or minimum fee?

This page's sources don't show a Minnesota franchise tax on LLCs, but the Minnesota Department of Revenue charges a minimum fee to some multi-member LLCs taxed as partnerships once their in-state activity crosses a threshold.4

The Department's rule reads: "An LLC filing as a partnership with two or more members is subject to minimum fee". The fee applies once Minnesota property, payroll and sales total $1,280,000 or more, and the Department's table for the year checked runs from $260 up to $12,830. A single-member LLC sits outside it entirely, because, in the Department's words, "The minimum fee does not apply to a single-member LLC".4

So the practical checks look like this.

  1. Count your members. A single-member LLC can set this fee aside.
  2. If you have two or more members and file as a partnership, add up Minnesota property, payroll and sales against the threshold.
  3. If you are over it, find your bracket on the Department's current table.

An LLC that elected corporate tax treatment follows different rules, which this page doesn't cover. Income tax, sales tax and payroll registrations sit apart from anything you file with the Minnesota Secretary of State, on their own calendar and with their own agency, so ask the Department of Revenue or a tax professional which of them apply.

What happens if you miss the Minnesota annual renewal?

Missing the renewal brings no late charge; instead, a missed renewal leads to administrative dissolution, then a reinstatement fee. The state's renewals page puts it plainly: "If you miss the renewal, your business will be administratively dissolved, or no longer considered active in Minnesota."3

A dissolved LLC is no longer active on the state's record. That can stall a bank loan, a licence renewal or a contract that asks for proof of good standing.

The amount for reinstatement is the open question. This page's verified facts don't include the reinstatement fee, so it doesn't state one. Ask the Minnesota Secretary of State what applies to your record, and talk to a lawyer if the LLC kept trading or signed contracts while dissolved.

Agent problems are not a separate path to dissolution here: Dissolution is tied to the annual renewal, not the agent. The LLC statute says each LLC "may have a registered agent", so losing an agent doesn't dissolve the company by itself. A dead office address still breaks the rule that every LLC must keep a registered office, and it can leave you without a working contact point. The Minnesota registered agent guide covers the office and agent rules in full.7

How do you keep your registered office and agent current?

You keep a valid registered office on file at all times, and you file the Change of Registered Office/Agent form, costing $35 by mail, $55 online or in person, whenever the office or the agent changes.8, 9

The statute's starting point is that "Every limited liability company shall have a registered office". If you name an agent, a second rule applies: "The registered agent must maintain a business office that is identical with the registered office." So moving office, changing agents, or an agent moving premises each means a filing.7, 10

Online filings are returned electronically within 3 to 5 business days; mail goes first in/first out. File the change before cancelling any old service. If an agent resigns, the appointment ends 30 days after the notice is filed with the secretary of state, and the office it supplied may stop working with it. The step order is in the guide to changing a registered agent, and cancelling an agent service covers contract terms.5, 10

What paid compliance features do for a Minnesota LLC

Minnesota's renewal is free and short, so the value of a paid plan lies in remembering the date and filing for you, not in saving a state fee. Here is what each provider publishes, in the order of our score, highest first.

"Plus state fees" adds nothing for an LLC in good standing, because the renewal costs $0. The plan descriptions above are about the annual report, so ask a provider before assuming its plan covers the Department of Revenue minimum fee. Renewal terms count too: Harbor Compliance wants notice of non-renewal at least 90 days before the end of the current term, or its agent service renews, and Swyft Filings lists its agent service as $149 per quarter, auto-renews until cancelled. For a side-by-side view, see the Minnesota registered agent comparison and the list of services with compliance tools.22, 23

What does a Minnesota LLC compliance calendar look like in the first year and after?

The calendar has one fixed state date each year after the first. The formation year carries no renewal at all.

Year one (the calendar year you form)

  1. Articles filed. Formation steps and fees are in the Minnesota LLC formation guide, and the cheapest Minnesota LLC options page compares totals.
  2. Note the notice email and registered office you listed; these carry into every renewal.
  3. If you use an agent service, record its renewal date and any notice period.
  4. Ask the Department of Revenue and the IRS which tax registrations apply, and keep those dates on a separate list.
  5. No renewal is due before the year ends.

Year two and every year after

  1. File the Annual Renewal by the deadline, December 31 each year, starting the year after formation. Filing early in the autumn leaves room to fix problems.1, 2
  2. Confirm the registered office and email on the form. If the office or agent changed, file the change form as well ($35 by mail, $55 online or in person).9
  3. Multi-member LLCs filing as partnerships check the minimum fee threshold with their tax return.
  4. Decide on your agent service before its renewal date.

Terms such as administrative dissolution are defined in the glossary, and what a registered agent does explains the agent's day-to-day role.

Minnesota LLC compliance questions

Is there a fee for the Minnesota annual renewal?

No, not for an active LLC in good standing. The statute says no fee is required to file an annual renewal, and the form repeats that there is no charge while the LLC is in good standing. Other state charges, such as the fee for changing your office or agent, come from separate filings.2

When is my first Minnesota annual renewal due?

Not in the year you form. The statute says the requirement begins in the calendar year following the year the articles of organization are filed, and each renewal is due December 31 each year, starting the year after formation.2

What happens if I forget to file the renewal?

The state warns: "If you miss the renewal, your business will be administratively dissolved, or no longer considered active in Minnesota." There is no late fee; instead, a missed renewal leads to administrative dissolution, then a reinstatement fee. Ask the Minnesota Secretary of State for the current reinstatement amount.3

Does my single-member Minnesota LLC owe the minimum fee?

No. The Department of Revenue states that "The minimum fee does not apply to a single-member LLC". The fee is aimed at LLCs filing as partnerships with two or more members above the Department's threshold.4

Do I need an agent service to stay compliant in Minnesota?

No. The LLC statute says each LLC "may have a registered agent", so the agent is optional. What you do need is a working registered office and a renewal filed every year; a service can supply the office and send reminders.7

Can a provider file the annual renewal for me?

Yes. Several providers sell annual report filing, at prices listed above, and some include it in a plan. Because the state fee for the renewal is $0 for an LLC in good standing, the provider's fee is the whole cost.2
