Best LLC formation services in Minnesota

Facts checked October 13 to 14, 2026.

A Minnesota LLC is formed by filing Articles of Organization with the Minnesota Secretary of State, which costs $135 by mail or $155 online or in person. The higher price buys speed: online filings come back electronically within 3 to 5 business days, while mail filings are handled first in/first out with no published time. You also need a registered office; an agent is optional. A formation service files the same Articles and adds its own fee, and the packages differ mainly in whether they add an agent, an EIN, an operating agreement and help with the free yearly renewal.1, 2, 3

How do you form an LLC in Minnesota, step by step?

Check the name, settle the registered office and whether to name an agent, file the Articles online, by mail or in person, then get an EIN and sign an operating agreement.

The order helps. Filing method decides both price and speed in Minnesota, so pick it before you start the form.

  1. Search the name. Confirm with the Secretary of State that the name is free. A reservation costs $35 by mail or $55 in person or online, and the fee schedule we cite doesn't say how long a hold lasts, so ask the office.3
  2. Decide on the registered office. The LLC statute reads "Every limited liability company shall have a registered office and may have a registered agent." If you name an agent, Minn. Stat. § 5.36 adds: "The registered agent must maintain a business office that is identical with the registered office." A commercial agent's address can fill that field; so can an address of your own if you don't use an agent. The Minnesota registered agent guide explains who may be named.4, 5
  3. Complete the Articles of Organization. A service prepares this for you. If you file yourself, you fill in the state's form or its online version.
  4. Pick a filing method. The office takes filings online, by mail, or in person by appointment. For counter visits, its page notes "We are appointment-only."1
  5. Weigh price against speed. Expedited service is built into in-person and online filings. By mail you pay less, but processing runs first in/first out and the state publishes no turnaround for it. Online, filings come back within 3 to 5 business days. At an in-person appointment, the office lists counter filings while you wait.3, 6
  6. Get an EIN. The Employer Identification Number is the LLC's federal tax ID. The IRS issues it, not Minnesota, and a bank will normally ask for one before opening an account.
  7. Sign an operating agreement. This private contract sets ownership shares, voting and what happens when a member leaves. It stays between the owners.
  8. Mark the first Annual Renewal. It is due December 31 each year, starting the year after formation, and the fee is $0. Multi-member LLCs taxed as partnerships should also read the Department of Revenue's line: "An LLC filing as a partnership with two or more members is subject to minimum fee." It applies only once the department's thresholds are met, and the same page says "The minimum fee does not apply to a single-member LLC." Staying compliant in Minnesota covers both.1, 7, 8

What does a Minnesota LLC cost with and without a service?

The state's fee depends on how the Articles reach the office, not on who files them. A service adds its price on top of whichever state fee applies.

Minnesota Secretary of State fees for LLCs
FilingFee
Form the LLC$135 by mail, $155 online or in person sos.mn.gov
Reserve a name$35 by mail; $55 in person or online sos.mn.gov
Expedited processingExpedited service is built into in-person and online filings: Articles cost $155 that way vs $135 by mail sos.mn.gov
Change of registered agent$35 by mail, $55 online or in person sos.mn.gov
Recurring report$0 revisor.mn.gov
Register an out-of-state LLC$185 by mail; $205 in person or online (Certificate of Authority) sos.mn.gov

The state lists no separate expedite fee for the Articles. The online price already includes faster handling, so the gap between $135 by mail and $155 online or in person is the cost of speed. When a provider advertises quick processing, ask which method it files by; a mailed filing is the cheaper state fee but has no published turnaround. "Not listed" means the provider's published package description doesn't mention the item, so ask before you order. Because Minnesota makes the agent optional, a package without one still works if you have an address of your own for the registered office. Totals for the first year and the years after, with renewals, are on the cheapest ways to form a Minnesota LLC.

What does each provider's formation package include in Minnesota?

Each paragraph covers only that provider's published formation terms, in the order of the site's provider table (how we score).

Trustpilot ratings sit in that table, separately. None of the package descriptions we cite say whether the provider files Minnesota Articles online or by mail, and that choice sets both the state fee and the state's turnaround. Registered agent services compared for Minnesota covers the agent side in depth.

Tailor Brands

Lite, the cheapest package, is $0 plus state fees and processes the LLC within 14 business days; its description notes no annual compliance, operating agreement or branding tools. The next tier up is billed yearly at $199/yr plus state fees. It processes the LLC within 1 business day and adds annual compliance (report filing and updates), an operating agreement and a funding search tool; both tiers list coaching and a bookkeeping trial, which sit outside the state filing. Minnesota's own yearly filing, the Annual Renewal, has no state fee. Its terms describe government 'expedite fees' as extra costs the customer may owe. The packages don't say a registered agent is included; agent service is priced separately at $199/year. The top tier, Elite, is $249/yr plus state fees.9, 10

ZenBusiness

Starter costs $0 + state fees (does not renew) and lists processing of 7-10 days, which ZenBusiness says excludes Secretary of State time, so Minnesota's own handling comes after. Starter bundles Worry-Free Compliance free for 1 year (then $199/yr); the EIN and operating agreement are +$99 add-ons. The registered agent is sold separately as an add-on +$199/yr, though ZenBusiness offers new LLCs 50% off the first year ($99). On Starter, the Rush upgrade is listed as +$79 to upgrade to Rush. Pro ($199 + state fees, renews at $199/yr) adds the EIN and operating agreement along with ongoing filing compliance, though Minnesota charges no state fee for its renewal.12, 32

LegalZoom

The cheapest LegalZoom package is $0 + state filing fees and covers the Articles of organization. The EIN is $79 on its own, an operating agreement starts at $99, and the registered agent is $249/year (first-time registered agent customers). The middle package, $249 + state filing fees, adds attorney consultations on these terms: 30 days included, then $49/month auto-renew. Check that renewal date if you only wanted the formation.14, 15, 16, 17

Bizee

Bizee's Basic package is $0 + state fee and includes a registered agent for the first year, listed as "Registered Agent (1st year included)", renewing afterwards at $149/year (ongoing annual fee). On Basic, the EIN ($70) and the operating agreement (+$99) are both sold as add-ons at checkout, so an owner who wants both pays extra or moves up a tier. Standard, at $199 + state fee, includes both and describes its timing as ~2 weeks (includes expedited filing). Bizee doesn't explain how its timing lines up with Minnesota's online and mail turnaround.18, 19, 33

Swyft Filings

Basic is $0 + state fees and covers preparing and filing the Articles, for which Swyft quotes 7-10 business days without saying whether the state's handling is part of that figure. Standard, at $169 + state fees (promotional, 'SAVE $30'; regular $199), cuts that to 3 business days and adds custom organizational minutes, custom banking resolution, business banking essentials, operating agreement. No registered agent appears in the packages; the agent is $149 per quarter ($596/year). Every package includes a trial of its annual report service, ComplianceGuard $199/year, on these terms: 14-day free trial then auto-charged. With a free state renewal, that subscription is optional, and it can be cancelled before the trial ends.20, 34, 35

doola

doola's Starter plan, $297/yr, is billed every year. It includes LLC filing, EIN, US bank account guidance, US business address, registered agent. doola says the filing goes in within 1-2 business days, with the Secretary of State's handling after that. It says it works with US citizens and with a non-resident without a US SSN, which suits founders without a Social Security number; registered agents for non-resident founders covers that group.21, 22, 36

Northwest Registered Agent

Northwest prices formation at $39 + State Fees and lists a free domain name, open source website, phone line, business email, business address, brand protection. Its corporation page describes the price as a total that includes one year of registered agent service, but the LLC page is silent on the agent, so confirm before ordering. The agent alone is $125 per year. Northwest lists its operating agreement as "Free template", and the EIN costs $50 (with SSN); $200 without SSN.23, 24, 25, 26, 37

Rocket Lawyer

Rocket Lawyer ties formation to a membership; its listing reads "First registration free with a Rocket Lawyer membership." Memberships are yearly, at $149/year for Standard, $249/year for Plus and $349/year for Pro. A pricing footnote adds "Excludes government and third party fees." A registered agent costs $125 with a Plus or Pro membership, which rules out Standard. The EIN is $70 with Plus or Pro membership. The formation listing names no operating agreement.27, 28, 38, 39

InCorp

InCorp prices formation starting at $99 plus state fees, and the only item its package description lists is "Live chat and phone support included." The agent is sold separately at $129 per state per year. InCorp's own expedite charge is $50.00, billed separately from any state fee. Neither an EIN nor an operating agreement is itemized in the package.29, 30, 40

Harbor Compliance

Harbor's formation service is priced from $99 plus state fees, and Harbor says it can prepare and file the government forms to create most LLCs in one business day. Its formation page lists name check, articles, registered agent, EIN, and the operating agreement, but Harbor doesn't publish which tier carries which item or how long an included agent lasts. The standalone agent is $99 first year (new customers), renewing at $159 annually.31, 41, 42

Should you file the Minnesota Articles yourself or use a service?

Filing yourself costs $135 by mail or $155 online or in person. A service saves you the paperwork and, in some packages, adds an EIN, an operating agreement or an agent.2

The agent is optional in Minnesota, so an owner with an address that qualifies as the registered office can file without naming anyone. That address then goes on the filing in the office field. Owners who live elsewhere, or who want a different address there, are the ones most likely to need a commercial agent.

Speed is set by the state's method more than by the provider. Online filings come back within 3 to 5 business days; mail has no published turnaround. A provider's quoted turnaround is its own time and may not include the office's handling, as ZenBusiness says outright.

Watch for recurring charges. Bundled agent or compliance years renew at regular prices, and some packages are themselves yearly. In Minnesota the Annual Renewal costs $0, so a compliance subscription is paying for reminders and someone to file, not for a state fee. For an address that isn't the registered office, some providers sell a business address product; Swyft Filings, for example, lists a business address and virtual mailbox at $29/mo. Owners with co-owners, investors or a licensed profession may want a lawyer to review the operating agreement. The glossary defines the filing terms used here.20

Questions about forming an LLC in Minnesota

How long does it take to form an LLC in Minnesota?

Online filings are returned electronically within 3 to 5 business days. Mail filings are processed first in/first out, and the state publishes no time for them. Appointment-based counter service lists counter filings while you wait. A formation service adds its own handling time before the state's clock starts.3

Why does Minnesota charge more to file online?

Expedited handling is built into online and in-person filings, and that is what the higher fee pays for. The Articles form puts it this way: "Filing Fee: $155 for expedited service in-person and online filings, $135 if by mail." There is no separate expedite fee to add on top.6

Do I need a registered agent to form a Minnesota LLC?

Not by law. Minnesota requires a registered office and lets the LLC decide whether to name an agent. If you don't have a suitable address, a commercial agent's office is the usual answer; registered agent services for Minnesota compares them.

Should I reserve a name before filing the Minnesota Articles?

Only if you can't file soon. A reservation costs $35 by mail or $55 in person or online, and the fee page we cite doesn't state how long it lasts. If the name is free and you're ready, you can go straight to the Articles.3

Is an annual report service useful for a Minnesota LLC?

Less than in states with a filing fee. The Annual Renewal is due December 31 each year, starting the year after formation, and it costs $0, so a paid service covers reminders and the filing itself. The state's rule for a missed renewal is: No late fee; a missed renewal leads to administrative dissolution, then a reinstatement fee. Some owners still want help for that reason; see what Minnesota LLCs must do after formation and how annual reports work.1, 7, 43
