Registered agent requirements in Minnesota
Facts checked October 13 to 14, 2026.
In Minnesota, an LLC does not have to name a registered agent. The LLC statute says "Every limited liability company shall have a registered office and may have a registered agent", so the office is mandatory and the agent is a choice. If you do name one, the agent must be a Minnesota resident or a qualifying business whose business office is the same as your registered office (Minn. Stat. § 5.36). Articles of Organization cost $135 by mail, $155 online or in person, and changing the office or agent later costs $35 by mail, $55 online or in person. The rule owners most often get wrong is what triggers dissolution. Lacking an agent doesn't; instead, a missed renewal leads to administrative dissolution, then a reinstatement fee.1, 2, 3, 4
Who can be a registered agent in Minnesota?
Under Minn. Stat. § 5.36, the agent may be a natural person residing in this state, a domestic corporation, or limited liability company, or a foreign corporation or foreign limited liability company authorized to do business in the state, and the agent's business office has to match the LLC's registered office.2
The statute opens with permission, not a command: "A business entity formed under the laws of Minnesota may designate a registered agent". Read with the LLC chapter, that means the agent slot can be left blank. When it is filled, these are the only kinds of agent the law recognises.2
- a person who lives in Minnesota
- a corporation or LLC formed in Minnesota
- a corporation or LLC from another state that holds authority to transact business here
The second test is the one people overlook. The same subdivision says "The registered agent must maintain a business office that is identical with the registered office." That ties the agent to a single place. A cousin in Duluth can serve only if the registered office you list is the cousin's business office; you cannot list your own shop in Rochester as the office and the cousin's address as the agent.2
Nothing in Minn. Stat. § 5.36 asks the agent to hold a licence or a law degree. The job is to receive service of process (court papers in a lawsuit) and official notices on the LLC's behalf. The explainer on what a registered agent does covers those duties in general, and the glossary defines the legal terms used here.2
What address does Minnesota require for the registered office and agent?
Every Minnesota LLC must list a registered office, and if it names an agent, that office must be the agent's business office (Minn. Stat. § 5.36). The office address stays on file with the state and is confirmed on every annual renewal.
The renewal form makes the field compulsory: it is labelled "Registered Office Address: (Required)". So even an LLC that never names an agent keeps a registered office address on file and confirms it each year.5
What counts as an acceptable office comes from the first subdivision of the registered agent statute: the office has to be in Minnesota and be an actual office location, and a post office box on its own does not qualify. A mailing address or box may be added alongside the street location.
- A Minnesota storefront, office or workshop is an actual office location.
- A home address in Minnesota is a real location too, but it then sits on file as your registered office.
- A mail drop is the doubtful case, since the statute asks for an actual office. Ask the Minnesota Secretary of State before you file one.
Naming a commercial agent changes what appears in the office field, because the office becomes the agent's business address. Every agent service puts its own address there; that is true of all of them, not a feature of one. The renewal also asks for a principal executive office address, which is a separate field. If you would rather not list a home address in that field, some providers sell an address or mail product apart from the agent service: Northwest lists Mail Forwarding $20/month (24 select states), so check whether Minnesota is among them; Bizee prices a virtual address at $29/month; 1 month free with Bizee LLC formation; and Swyft Filings sells one at $29/mo; Standard 1 month free; Premium 3 months free. The page on what an agent can and can't keep private explains which fields stay public.6, 7, 8
Can you be your own registered agent in Minnesota, or skip having one?
Yes to both, within limits: an owner who lives in Minnesota can serve as agent, and an LLC can also leave the agent field empty, because the statute says it "may" have one, which means Minnesota LLCs must keep a registered office, but a registered agent is optional.1
Those are two different setups.
- You as the named agent. You must reside in Minnesota, and your business office must be the LLC's registered office (Minn. Stat. § 5.36). Court papers come to you by name.
- No agent at all. The LLC lists only a registered office. With no named person on file, whoever handles mail at that office has to recognise a summons and pass it on quickly.
Both cost nothing beyond the filings you make anyway. The trade-offs are practical. A home-based owner lists a home address either way. An owner who travels, or whose office is unstaffed for stretches, risks a summons sitting unopened while a court deadline runs. And an owner who moves out of Minnesota can no longer serve as agent, though the LLC could carry on without one if the office stays valid.
Owners who live in another state face a harder question. They can't serve as agent, and running with no agent still needs an actual office location in Minnesota. For them, a commercial service often supplies both at once. The Minnesota registered agent services compared page lists published prices and terms.
How do you name a registered agent when you form a Minnesota LLC?
You name the agent, if you want one, in the Articles of Organization, the same filing that creates the LLC; the registered agent statute lets a Minnesota entity designate its agent in that formation document.9
Filing methods: Online, by mail, or in person by appointment. The method you pick changes both the price and how long the state takes. Mail is the cheaper route at $135 by mail, but it is handled first in/first out with no time published. Online or at the counter, the Articles cost $155 online or in person; the Articles form explains that the higher price is for expedited service in-person and online filings. That extra money buys speed. Online expedited filings are returned electronically within 3 to 5 business days, and the in-person desk, which is appointment-only, offers counter filings while you wait.3, 9, 10, 11
Settle these points before filing.
- Decide whether you want an agent at all, given the office rule above.
- If so, pick a person or business from the statute's list and confirm the office address is their business office.
- Confirm they agree to serve. This guide's sources don't describe a consent requirement for Minnesota agents; the Articles instructions or the Minnesota Secretary of State can say whether one applies.
The rest of the Articles is covered in the Minnesota LLC formation walkthrough, and the cheapest ways to form a Minnesota LLC page compares the mail and online totals.
How do you change or remove a registered agent in Minnesota?
You file the Change of Registered Office/Agent form with the Minnesota Secretary of State; the fee is $35 by mail or $55 online or in person, and the same form adds, swaps or drops an agent and moves the registered office.3, 12
The state describes it this way: "Use this form to change the registered office address and/or add or remove a registered agent." Because the agent's office must match the registered office, switching to a commercial agent usually means changing both on the one filing.12
This order keeps the record from showing a gap.
- Choose the new agent and confirm they meet the statute's test.
- File the change form. Online filings are returned electronically within 3 to 5 business days; mail is processed first in/first out.10
- Look up your LLC's record and confirm the new agent and office appear.
- Cancel the old service only after that. Until the change is on file, the old agent's address is where papers go.
Provider contracts can make the order for you. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. InCorp lists its conditions as dissolve entity, appoint new agent, or resign InCorp with fees. Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, or the service renews for another term. Read your current provider's terms before you file.13, 14, 15, 16
Dropping the agent without naming a new one is also allowed here, since the agent is optional. If you do that, remember the office field still has to hold a valid address. The general guides on changing a registered agent and cancelling an agent service cover the steps that work the same way everywhere.
What happens if your Minnesota registered agent resigns?
A resigning agent files a signed notice with the Minnesota Secretary of State, certifying a copy was given to the entity, and the appointment ends 30 days after the notice is filed with the secretary of state.2
If the agent's business office was also your registered office, the resignation can leave the LLC with an office address that no longer works, which is a bigger problem than losing the agent itself.
This guide's sources don't set a deadline for naming a replacement, and because each LLC may have a registered agent, a new agent is optional. The office is the item to fix. After a resignation, file the change form promptly to list either a new agent with a matching office, or a new office with no agent.1
If you use a commercial agent, keep the contact email in that account current so a resignation notice doesn't land in an abandoned inbox.
What happens if a Minnesota LLC has no registered agent?
No state penalty follows from having no agent: the LLC statute says each LLC "may have a registered agent", and Dissolution is tied to the annual renewal, not the agent. An LLC without an agent stays active as long as it keeps a registered office and files its yearly renewal.1
The real risks are practical. If court papers reach the registered office and nobody there recognises them, a lawsuit can move toward a default judgment without you hearing of it in time. The renewal form also asks for an email for official notices, so a dead inbox means missed warnings.5
The missed renewal is what dissolves LLCs here. The state warns: "If you miss the renewal, your business will be administratively dissolved, or no longer considered active in Minnesota." Put simply, a missed renewal leads to administrative dissolution, then a reinstatement fee. This guide's verified facts don't include the reinstatement fee, so ask the Minnesota Secretary of State what applies to your record. The Minnesota compliance guide covers dissolution and reinstatement in more depth.4
What does a Minnesota LLC file each year to stay in good standing?
The yearly filing is the Annual Renewal, due December 31 each year, starting the year after formation, and the fee is $0; the form says filing is free if active and in good standing.5, 9, 17
The statute's wording is direct: "a limited liability company and foreign limited liability company must file with the secretary of state by December 31 of each calendar year a renewal". The first one is not due in the year you form; the requirement begins in the calendar year following the year the articles of organization are filed.17
The renewal is also where agent and office details get confirmed. It asks for the registered office address and an email for official notices, so a stale address or inbox shows up there. If the office or agent has changed, the Change of Registered Office/Agent form records it; ask the Minnesota Secretary of State whether the renewal itself can also update those details. The Minnesota compliance calendar lays out the opening year and the one after it, and the explainer on how annual reports work compares other states' versions.5, 12
Do out-of-state LLCs need a Minnesota registered agent?
An LLC formed elsewhere registers here by filing for a Certificate of Authority, which costs $185 by mail or $205 in person or online, and whether it may skip the agent is less clear than for a domestic LLC.10
The optional-agent wording quoted above comes from the domestic LLC chapter, and this guide's facts don't confirm that a foreign LLC may skip the agent the same way, so read the Certificate of Authority form or ask the Minnesota Secretary of State before leaving the field blank.
The agent list in Minn. Stat. § 5.36 includes foreign corporations and LLCs authorized here, which is how national services qualify. Your home-state agent does not carry over unless it meets that test itself and keeps a business office matching your Minnesota registered office. Foreign LLCs also file the Annual Renewal: the renewal statute names a "foreign limited liability company" alongside domestic ones, and the fee is $0.2, 9, 17
If your LLC operates across the border, compare the rules in Wisconsin, Iowa, North Dakota and South Dakota, where the registered agent requirement may differ.

Minnesota registered agent questions
Does a Minnesota LLC have to have a registered agent?
No. The LLC statute says "Every limited liability company shall have a registered office and may have a registered agent". The office is required; the agent is optional. Naming one gives court papers a specific person to reach.1
Can I be my own registered agent in Minnesota?
Yes, if you live in Minnesota and your business office is the LLC's registered office (Minn. Stat. § 5.36). You can also leave the agent field empty and rely on the office alone.2
Can someone in another state be my Minnesota registered agent?
Not as an individual, because the statute requires a person residing in Minnesota (Minn. Stat. § 5.36). A business from another state can serve only if it is authorized to do business in Minnesota and its office matches your registered office.
How much does it cost to change my registered agent in Minnesota?
The Change of Registered Office/Agent filing costs $35 by mail, $55 online or in person. A paid agent's own yearly fee is separate from the state fee.3, 12
How long until my agent's resignation takes effect?
The appointment ends 30 days after the notice is filed with the secretary of state. Minnesota doesn't require a replacement agent, but the registered office must still be valid, so file a change if the agent's office was your registered office.2
Will my LLC be dissolved for not having a registered agent?
No. The statute says an LLC "may have a registered agent", and the state ties dissolution to the yearly renewal instead: "If you miss the renewal, your business will be administratively dissolved, or no longer considered active in Minnesota." The renewal is free while the LLC is in good standing and due December 31 each year, starting the year after formation.1, 4, 17
