Staying compliant in Wyoming

Facts checked October 13 to 14, 2026.

A Wyoming LLC files one Annual Report a year with the Secretary of State, due on the first day of the anniversary month of formation. The report carries a license tax of $60 minimum, or $0.0002 per dollar of Wyoming assets if that is higher, which for most small LLCs means paying the minimum and nothing more. The fee schedule shows no late fee for LLCs, but an LLC is administratively dissolved if not filed within 60 days of the due date. Beyond the report, you must keep a registered agent at a staffed Wyoming street address, and an LLC that goes without one can forfeit its articles.1, 2

How does the Wyoming annual report work?

The Annual Report is due on the first day of the anniversary month of formation, filed with the Secretary of State's Business Division, and paid together with the license tax.1

When it's due

Wyoming uses a rolling calendar. Your due date is set by the month your LLC was formed, so an LLC created in August reports on the first of August each later year, while one created in November reports in November. If you hold several LLCs, each can fall due in a different month.

What it costs

The license tax is whichever is greater: $60 minimum, or $0.0002 per dollar of Wyoming assets. The state's FAQ gives a rule of thumb: "An entity with $300,000 or less in assests pays $60." So the minimum covers most small LLCs, and the asset-based figure applies only once Wyoming assets pass that level. Filing online adds a 2.4% card processing fee (minimum $1).2

What it asks for

The form asks for your Secretary of State Filing ID and, for some entities, current financial information to compute the license tax. Have a figure for the LLC's assets located in Wyoming ready before you start.1

How to file

The state's annual report page allows online filing. There is a ceiling, though, because online filing is not allowed if the annual report fee exceeds $500. An LLC with enough Wyoming assets to cross that line has to file another way, and the Business Division can say how.1

Other states run their reports differently, some on a fixed statewide date. The guide to annual reports compares the common models, and the pages on staying compliant in Montana and staying compliant in Colorado set out the rules next door.

Does Wyoming charge LLCs a franchise tax?

The Secretary of State's materials describe one recurring state charge for LLCs: the license tax, which is paid with the annual report. The license tax is the annual report fee, not a separate return.2

The official sources this page relies on do not mention any other franchise or privilege tax on LLCs. They also don't settle every tax question. The Secretary of State handles business records, not tax registrations, so sales tax, employer accounts and any licence tied to your trade sit outside this page. Ask the Wyoming Department of Revenue which registrations apply to what you sell, and use the IRS for federal returns. A tax adviser can explain how your LLC's income is taxed given its owners and any election it has made.

Keep the license tax on the same calendar as the annual report, because they are one payment. Keep everything else on a separate list.

What happens if a Wyoming LLC misses its annual report?

The fee schedule shows no late fee for LLCs, so the first consequence of a missed report isn't a fee. The cost comes later: an LLC that still hasn't filed is administratively dissolved if not filed within 60 days of the due date.2

The Business Division's FAQ says an LLC is deemed delinquent on the second day of the month following its due date, which is the day after a due date that falls on the first. If the report is still missing when the window closes, the state dissolves the LLC.2

There is a second path to the same result. An LLC without a registered agent or office that does not fix the problem within 60 days of notice is deemed defunct and forfeits its articles. The Wyoming registered agent guide covers that rule in full.3

Reinstatement

Wyoming lets a dissolved LLC come back, at a price that depends on why it was dissolved. The fee schedule lists $100 if dissolved for unpaid annual report tax and $350 if dissolved for having no registered agent. Reinstatement is available only within 2 years of dissolution; past that point the state's rules do not allow it.4

Ask the Business Division what your particular record needs, and speak to a lawyer if the LLC signed contracts or kept trading while dissolved.

How do you keep your registered agent current in Wyoming?

You keep a registered agent whose registered office shall be located at a street address in Wyoming which shall be a physical location where the agent is present, and you file an Appointment of New Registered Agent and Office ($5) whenever the agent or that office changes (Wyo. Stat. § 17-28-101).4, 5, 6

Three situations call for that filing.

  1. You switch to a new agent or service.
  2. Your individual agent moves, retires or leaves Wyoming.
  3. Your agent resigns. It must give you notice at least 30 days before filing its resignation. With no successor, service goes to the Secretary of State. Appoint the replacement inside that notice period.5

The order of steps and the cancellation pitfalls are on our guide to changing a registered agent. Foreign LLCs registered in Wyoming (the registered agent rules apply to them too, and registration costs $150) keep the same duty.4

What provider compliance features do in Wyoming

The list below follows the order used across this site, by our score, highest first, with ties in editorial order. It shows what each provider publishes about annual report help.

Two Wyoming details shape how useful these are. First, the report needs your Wyoming asset figure where the license tax could exceed the minimum, so a filing service will still need that number from you. Second, a report above the online ceiling can't be filed online. If either could apply to you, ask the provider in writing whether its plan handles it.

The agent's renewal terms belong on your calendar too. Swyft Filings bills its agent service at $149 per quarter until you cancel, and Harbor Compliance's service auto-renews for successive one-year terms unless you give notice of non-renewal at least 90 days prior. Side-by-side prices are on the Wyoming registered agent comparison, and services with compliance tools compares these features nationally. Before dropping a service, read how to cancel a registered agent service.17, 18

A compliance calendar for a new Wyoming LLC

Wyoming's calendar has one fixed state deadline a year, set by your formation month, plus whatever renewals your agent service bills.

Year one

  1. Formation. Note the month on your approved Articles. That month is your annual report month from now on. The Wyoming LLC formation guide covers the filing itself, and the cheapest ways to form a Wyoming LLC shows the costs.
  2. Confirm your registered agent's contact details for you, and write down the renewal date of any paid service.
  3. Ask the Wyoming Department of Revenue and the IRS which tax registrations apply, and keep those dates on a separate list.
  4. Set a reminder a few weeks before your first anniversary month so you can gather the asset figure if you need one.

Year two and after

  1. File the Annual Report by the first day of the anniversary month of formation and pay the license tax, $60 minimum or the asset-based amount if higher.1, 2
  2. If you miss it, file at once. The LLC is administratively dissolved if not filed within 60 days of the due date.2
  3. Renew or replace your agent service before its renewal date or notice deadline.
  4. Look up your LLC on the state's records once a year and confirm the agent and registered office. File the appointment form ($5) if anything changed.4

Definitions of terms on this page, such as administrative dissolution, are in the glossary. For the agent's role in general, read what a registered agent is.

Questions about Wyoming LLC compliance

When is my Wyoming annual report due?

It is due on the first day of the anniversary month of formation. The date depends on the month your LLC was formed, so check your Articles if you are unsure. Every LLC keeps its own month.1

How much is the Wyoming annual report fee?

The license tax is $60 minimum, or $0.0002 per dollar of Wyoming assets if that is greater. According to the state's FAQ, "An entity with $300,000 or less in assests pays $60." Filing online adds a card processing charge.2

Is there a late fee for a Wyoming annual report?

The fee schedule shows no late fee for LLCs. The risk is dissolution: an LLC is administratively dissolved if not filed within 60 days of the due date. Reinstatement then costs $100 if dissolved for unpaid annual report tax.2, 4

Can I file the Wyoming annual report online?

Usually yes, through the state's online annual report page. The exception is a large report: online filing is not allowed if the annual report fee exceeds $500, so in that case ask the Business Division how to file.1

How long do I have to reinstate a dissolved Wyoming LLC?

Reinstatement is possible only within 2 years of dissolution, and the state does not allow it after that window closes. The fee schedule lists $100 if dissolved for unpaid annual report tax and $350 if dissolved for having no registered agent.4

Does a compliance plan file the Wyoming report for me?

Some do. Tailor Brands includes report filing in its Essential and Elite plans, and ZenBusiness, LegalZoom, Swyft Filings, Northwest, InCorp and Harbor Compliance list paid filing services; reminder-only features leave the filing to you. Either way, the license tax is paid to the state on top of the provider's fee.7
