Cheapest LLC formation in Wyoming

Facts checked October 13 to 14, 2026.

The smallest first-year bill is the $100 Articles fee plus a registered agent that costs nothing in year one, either a package listed at $0 + state fee with the agent's first year bundled, or yourself if you live in Wyoming and keep an office at the registered address. Paying online adds a credit card processing fee of 2.4% (minimum $1) of the filing fee; mailing the form avoids it but takes longer. From year two the floor rises: the annual report license tax ($60 minimum) every year, plus an agent renewal unless you serve yourself. That is why a "free" formation package is never free. The state fee is charged on top, and the bundled agent then renews at the provider's yearly price, $149/year (ongoing annual fee) at Bizee.1, 2, 3, 4

What does Wyoming charge to form an LLC?

The Secretary of State sets one filing fee for a new LLC, and no service can discount it.

Wyoming Secretary of State, Business Division fees for LLCs
FilingFee
Form the LLC$100 sos.wyo.gov
Reserve a name$60 for 120 days sos.wyo.gov
Expedited processing$700 next business day or $1,400 same business day per document; not available for initial formations or other filings that can be completed online sos.wyo.gov
Change of registered agent$5 sos.wyo.gov
Recurring report$60 minimum, or $0.0002 per dollar of Wyoming assets if greater (annual report license tax) sos.wyo.gov
Reinstatement after dissolution$100 if dissolved for unpaid annual report tax; $350 if dissolved for having no registered agent. Only within 2 years. sos.wyo.gov
Register an out-of-state LLC$150 (Certificate of Authority) sos.wyo.gov

Every new Wyoming LLC pays $100 for the Articles of Organization. That figure is the same whether you file through the state's online system or a provider files for you. Online payment adds the card processing fee. A paper filing skips that fee but waits longer, with mailed filings up to 15 business days.3

Two other state fees appear only in some situations. A name reservation costs $60 for 120 days, which helps only if you need to hold a name before you can file. And an LLC already formed elsewhere that registers to do business in Wyoming pays $150 for a Certificate of Authority instead of the formation fee.1, 5

There is no paid rush to add. Wyoming's expedited review is not available for initial formations, so the formation fee is the whole state charge for speed as well.6

What pushes a Wyoming LLC above the state fee?

The registered agent, the yearly license tax, and any filing service or add-on you accept at checkout are what turn the state's fee into a larger bill.

The registered agent

The agent is the one cost that comes back every year. The statute lets an individual serve only if the person resides in this state and keeps a business office at the registered office, so owners who live elsewhere generally pay a commercial agent. You have three routes. Serve yourself, if you qualify, and pay nothing. Take a package that bundles the first year, then pay the provider's renewal. Or buy the agent on its own at the standalone prices below.7

The state's charge for switching later is the $5 appointment fee. File the new appointment before cancelling the old service so the LLC is never without an agent. Changing a registered agent walks through it.1

The annual report license tax

The report is due each year on the first day of the anniversary month of formation. The tax is $60 minimum, or $0.0002 per dollar of Wyoming assets if greater (annual report license tax). The Secretary of State's FAQ gives an example: an LLC with $300,000 or less in assets pays the minimum. The first report falls due in the anniversary month, not at formation. Online filing adds a 2.4% card processing fee (minimum $1). The fee schedule shows no separate late fee (No late fee listed), but the LLC is administratively dissolved if not filed within 60 days of the due date.3, 8

Report filing services

Many providers sell annual report filing, and in Wyoming it has a yearly job. The license tax is owed either way, so a service fee is an extra cost. ZenBusiness, for instance, lists Annual Report Filing $100 per report, and InCorp $89 + state fees. Filing the report yourself online costs only the tax and the card fee.9, 10

Add-ons and upsells

At checkout you'll likely see offers for a tax ID, a template operating agreement, mail or address services and compliance plans. The state's charge for the Articles stays $100 whichever of them you take. Provider rush fees deserve a second look here: with online filings active at once and no state rush for formations, a rush fee only speeds the provider's own preparation.

Reinstatement after a lapse

Letting either the agent or the report lapse is the expensive mistake. The state's reinstatement fee is $100 if dissolved for unpaid annual report tax or $350 if dissolved for having no registered agent, and the state's FAQ says Wyoming statutes do not allow for reinstatement after two (2) years in an administratively dissolved standing. The Wyoming compliance page lists what keeps the LLC in good standing.1

Questions about what a Wyoming LLC costs

Can a Wyoming LLC be formed for only the state fee?

Yes, in year one, if you mail the Articles yourself to skip the card fee and serve as your own agent, if you qualify. The state fee is $100. A package listed at $0 + state fee that bundles the agent's first year comes close; ask whether the provider passes on the online card fee. Year two adds the license tax and, with a paid agent, its renewal.1, 2

What does a Wyoming LLC cost every year after formation?

At minimum, the annual report license tax: $60 minimum, or $0.0002 per dollar of Wyoming assets if greater (annual report license tax). Add the agent renewal if you pay one, and any yearly package or report-filing plan you kept. Federal and other taxes are separate from these filing costs.3

Is it cheaper to file the Wyoming Articles online or by mail?

By mail, slightly, because online payment adds a credit card processing fee of 2.4% (minimum $1) of the filing fee. Online is faster, though. The state gives this timing: Online filings are active immediately; mailed filings up to 15 business days. The state filing fee itself is the same either way.1, 3

Does it cost anything to switch registered agents in Wyoming?

The state charges $5 to appoint a new agent and office. Switching can still save money when another provider's yearly price is lower than your renewal. Check the old provider's notice and refund terms first.1

What happens if I skip the Wyoming annual report?

The LLC is administratively dissolved if not filed within 60 days of the due date. The reinstatement fee is then $100 if dissolved for unpaid annual report tax, and Wyoming statutes do not allow for reinstatement after two (2) years. Filing on time costs only the tax and, online, the card fee.1, 3
