Staying compliant in Oklahoma
Facts checked October 13 to 14, 2026.
An Oklahoma LLC files the Annual Certificate with the Oklahoma Secretary of State each year, due on the anniversary of the LLC's formation date, with a 60-day grace period. The state lists an annual fee of $25 for an LLC, paid to keep the registration active. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax. Miss the certificate past the grace period and the entity becomes inactive and not in good standing; the reinstatement form is free, but each past-due Annual Certificate (and its fee) must be filed.1, 2, 3
How does the Oklahoma annual certificate work?
The Annual Certificate is Oklahoma's yearly filing for an LLC, due each year on the anniversary of the LLC's formation date; the Secretary of State's FAQ adds that a 60 days grace period is given to file them.1
When it falls due
Oklahoma does not use a single statewide date. Your due date is tied to your LLC's formation date, so an LLC formed in spring files in spring and one formed in autumn files in autumn. If you run several LLCs, each has its own date.
The grace period gives some slack, but it is a cushion, not a second deadline to aim for. Filing on time leaves room to fix a rejected filing before the cushion runs out.
What it costs
Oklahoma's business registration page lists an annual fee of $25 for an LLC, and says it is paid to keep the registration active. The state's materials checked here don't say whether that fee is paid with the certificate or as a separate step, so check the filing screen or ask the Secretary of State when you file.2
What it asks for
The facts checked for this page don't include the certificate's questions, because the state's form pages could not be read when the facts were gathered. The filing screen shows what it asks when you file. Our explainer on how annual reports work covers what these filings usually ask in other states.
If you also own an LLC elsewhere, compare this with staying compliant in Texas or staying compliant in Missouri.
Does Oklahoma charge LLCs a franchise tax?
No. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax, and the franchise tax that applied to corporations ended after tax year 2023, so an Oklahoma LLC has no franchise tax return to file.3
The Commission's help page puts it plainly for later years: there will be no Oklahoma franchise tax filing requirement. If you read older guides that mention an Oklahoma franchise tax return, they describe the corporate tax before it ended.3
That does not make the LLC tax-free. The annual fee above is a Secretary of State charge, not a tax. Income tax, sales tax and payroll rules depend on how your LLC is owned and what it sells, and this page does not cover them. Ask the Oklahoma Tax Commission which registrations apply to your business, and the IRS about federal returns. A tax professional can explain how your LLC's income is taxed. Keep those deadlines on a separate list from the Secretary of State items here.
What happens if an Oklahoma LLC files its annual certificate late?
Once the grace period passes without a filing, the entity becomes inactive and not in good standing, with no late fee stated in the Secretary of State's FAQ.1
The FAQ names the loss of good standing as the consequence, rather than a fee. An inactive LLC may have trouble getting a certificate of good standing, which banks, landlords and licensing offices can ask for. If your LLC signed contracts while inactive, a lawyer can explain what that means for them.
How reinstatement works
The Secretary of State's FAQ sets out two parts.
- File the reinstatement form. The FAQ says "A Reinstatement form has no fee but must be included anytime an entity is inactive".1
- Catch up on every missed year: an Annual Certificate form is required for each year past due.1
The form is free, but the catch-up is not: each past-due Annual Certificate (and its fee) must be filed, and the LLC annual fee is $25. The longer an LLC stays inactive, the more certificates wait.1, 2
The facts checked for this page don't say how long Oklahoma keeps an inactive LLC's name reserved, or whether the state ever moves from inactive status to dissolution. If your LLC has been inactive for a long time, or kept trading while inactive, ask the Secretary of State and consider a lawyer. The Oklahoma registered agent guide covers what happens to legal papers when an LLC has no agent.
How do you keep your registered agent current in Oklahoma?
Keep an agent whose Oklahoma office is open during regular business hours to accept service of process (18 Okla. Stat. § 2010), and file a change with the Secretary of State as soon as the agent or office changes, before cancelling any old service.4
The facts checked here don't show whether the Annual Certificate updates agent details, so treat a change of agent as its own filing. These events should prompt a check.1
- Your agent moves out of Oklahoma or closes the office.
- Your paid agent sends a renewal or a resignation notice.
- You switch providers.
A resigning agent must give the LLC at least 30 days' notice, and the resignation takes effect 30 days after it is filed. Where no successor is named, the Secretary of State is deemed the registered agent until one is designated. That keeps a name on the record, but papers left with the state are easy to miss. The full rules and the order of steps for a change are in our Oklahoma registered agent guide and the general walkthrough on changing a registered agent.4
What a provider's compliance features do in Oklahoma
Oklahoma has a yearly filing for these tools to track, and its date depends on your formation day, so a reminder set for the right date is useful. Here is what providers publish, in order of our score.
- Filing plans. Tailor Brands includes annual report filing in its Essential and Elite plans, not in Lite. LegalZoom charges $99 + state filing fees, bills once. Swyft Filings sells ComplianceGuard $199/year, with a 14-day free trial then auto-charged. Rocket Lawyer lists $100 with Pro membership, excluding state fees, and InCorp Services lists $89 + state fees. These are general annual report services: none of these facts names the Oklahoma Annual Certificate, and none removes the state fee.1, 5, 6, 7, 8, 9
- Reminders. LegalZoom lists email reminders about annual report deadlines via Compliance Calendar, and doola lists annual report notifications. InCorp Services lists email reminders before deadlines (annual reports, franchise tax); for an Oklahoma LLC, the franchise tax part has nothing to track.10, 11, 12
- Billing terms. Under Northwest Registered Agent's auto-pay terms, registered agent customers are automatically enrolled in Compliance Services (annual report filing), billed in annual auto-pay. Read what that enrolment covers before the first charge.13
None of these features replaces checking the record yourself. A reminder goes to the email on file, and a filing plan works only if your details are current. Ask a provider in writing whether its plan files the Oklahoma Annual Certificate specifically.1
Renewal terms are the other recurring cost. Tailor Brands renews its agent service at $199/year (renews at the same price), Swyft Filings bills $149 per quarter, auto-renews until cancelled, and InCorp Services lists $129 per year flat rate. Prices side by side are on the Oklahoma registered agent comparison, and a wider view is on our list of services with compliance tools. Before you drop a service, read how to cancel a registered agent service.12, 14, 15
What does an Oklahoma LLC compliance calendar look like?
An Oklahoma LLC's calendar is built around one moving date: the anniversary of its formation, when the Annual Certificate falls due each year.1
Year one
- LLC formed. Write down the formation date. It sets every future deadline. The Oklahoma LLC formation guide covers the filing, and the cheapest ways to form an Oklahoma LLC adds up the cost.
- Agent check. Confirm your registered agent's office details and the email it will use for notices.
- Taxes. Ask the Oklahoma Tax Commission and the IRS which registrations apply, and list their dates separately.
- Reminder. Put the first certificate date in a calendar a few weeks ahead of the anniversary.
Year two and later
- The Annual Certificate. Due on the anniversary of the LLC's formation date, with a 60-day grace period. Budget for the annual fee of $25.1
- Agent renewal, if you pay for one. Decide whether to keep it before the renewal date in its terms.
- A yearly record check. Look up your LLC with the Secretary of State and confirm it is active and the agent details are right.
- If a certificate slipped, file the reinstatement form with each missed certificate as soon as you notice.
Terms such as good standing and service of process are defined in our glossary. For the agent's role in plain words, read what a registered agent is.
Oklahoma LLC compliance questions
When is my Oklahoma annual certificate due?
It is due each year on the anniversary of the LLC's formation date, with a 60-day grace period. Your date depends on your LLC's formation date, so check your formation documents.1
How much does an Oklahoma LLC pay each year to the state?
The state lists an annual fee of $25 for an LLC, paid to keep the registration active. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax. A paid registered agent, if you use one, is billed separately by the provider.2, 3
Is there a late fee for a missed annual certificate?
The Secretary of State's FAQ describes the consequence, with no late fee stated. What you lose instead is status, because once the grace period ends the entity becomes inactive and not in good standing. Getting back means filing every missed certificate.1
How do I reinstate an inactive Oklahoma LLC?
File the reinstatement form, which has no fee, with the missed filings: the Secretary of State's FAQ says each past-due Annual Certificate (and its fee) must be filed. Ask the Secretary of State if your LLC has been inactive for a long stretch.1
Do Oklahoma LLCs pay franchise tax?
No. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax, and the corporate franchise tax ended after tax year 2023. Other state taxes may still apply depending on your business.3
Does my agent service file the annual certificate for me?
Only if you buy a plan that includes it, and only if the provider confirms it covers Oklahoma. Some providers list annual report filing plans, while others list reminders only. Check the plan's terms before relying on it.
