Registered agent requirements in Oklahoma
Facts checked October 13 to 14, 2026.
Every Oklahoma LLC must keep a registered agent and a registered office, and the agent must keep a business office identical with the registered office that is open during regular business hours to accept service of process (18 Okla. Stat. § 2010). The statute also lets the LLC itself act as its agent. Filing articles of organization with the Oklahoma Secretary of State costs $100 (plus a service fee). One rule is easy to overlook, the open-office test: a mailbox that nobody staffs during the working day is hard to square with it.1, 2
Who can be a registered agent in Oklahoma?
Oklahoma lets an individual who lives in the state, a domestic or qualified foreign corporation, a domestic or qualified foreign LLC or partnership, or the LLC itself act as registered agent (18 Okla. Stat. § 2010).1
Here is how that list reads in plain terms.
- A person who is a resident of Oklahoma.
- A corporation formed in Oklahoma, or one formed elsewhere that is qualified to do business here.
- An LLC or partnership on the same footing: formed in Oklahoma, or registered here as a foreign entity.
- Your own LLC, acting for itself.
The statute's own words open the list with "an individual resident of this state or a domestic or qualified foreign corporation" (18 Okla. Stat. § 2010).
What it adds is a place. Whoever you pick must keep an office at the LLC's registered office, and that office must be open during regular business hours to receive legal papers. A cousin in Tulsa who works from home could qualify if someone is there to answer the door. A friend in Dallas could not, however reliable, because they are not an Oklahoma resident.
If you are new to the role, our explainer on what a registered agent does covers the duties that are the same everywhere, and the glossary defines service of process and the other legal terms used here.
What address can an Oklahoma registered agent use?
The agent's address must be the LLC's registered office and be open during regular business hours, since the statute requires a business office identical with the registered office (18 Okla. Stat. § 2010). An address that only receives mail is hard to fit to that description.1
Two parts of the rule work together. The LLC keeps a registered office, and the agent's business office must be the same place. Then the hours test applies: the office must be open during regular business hours to accept service of process.
Common choices compare like this against the wording.
- A home in Oklahoma where the agent lives and is usually present may work, as long as someone can accept papers during the day.
- A shop, office or clinic in Oklahoma fits naturally, because it already keeps business hours.
- A P.O. box on its own is hard to square with an office that is open to accept papers. The facts checked for this guide include no Secretary of State statement on boxes, so ask the Oklahoma Secretary of State before listing one.
- A virtual office or mail drop raises the same question. If no one there accepts service in person, it may fall short of the hours rule.
Naming a commercial agent puts that company's Oklahoma address in the agent field, which is true of every provider. It does not change any other name or address the form asks for. This guide's sources don't list those fields or say which the Secretary of State shows publicly, so read the form before filing. Some providers sell a business address separately from the agent service: Tailor Brands lists a virtual address product, price not published, Swyft Filings lists one at $29/mo, and doola describes a US business address included in Starter. Our page on registered agents and privacy explains what stays on the public record either way.3, 4, 5
Can you be your own registered agent in Oklahoma?
Yes. An owner who is an Oklahoma resident can serve personally, and Oklahoma also allows the LLC itself to be its agent, provided the office rule is met (18 Okla. Stat. § 2010).1
The LLC-as-agent option sounds like a shortcut, but the same test applies. The LLC needs an Oklahoma office that matches its registered office and is open during regular business hours. For a storefront or a staffed office, that may already be true. For a one-person business run from a laptop, it may not be.
The practical trade-offs are worth weighing before you file.
- Someone has to be there. A process server who finds a locked door during business hours is the situation the hours rule exists to prevent, and a missed delivery can mean a missed court deadline.
- Your address becomes the agent address on file. For a home business, that means your home.
- Owners outside Oklahoma cannot serve personally. Their LLC can act for itself only if it keeps a staffed Oklahoma office.
Owners who travel, work on job sites or live out of state are the usual buyers of a paid service. Our comparison of Oklahoma registered agent services sets out their published prices and terms.
How do you name a registered agent when you form an Oklahoma LLC?
The state's fee for filing the original articles of organization is $100 (plus a service fee), paid to the Oklahoma Secretary of State. The facts checked for this guide don't show the form's fields, so read its instructions to see where the agent and registered office go.2
The state accepts the filing online or on paper forms filed with the Secretary of State. Its FAQ says online filing is open 24 hours a day, 7 days a week, which suits owners who want to file outside office hours.2
Before filing, settle three things.
- Pick an agent who fits the statute's list.
- Confirm the registered office is a real Oklahoma location the agent keeps open during business hours.
- Get the agent's agreement. The facts checked for this guide don't cover how the articles record consent, so read the form's instructions or ask the Secretary of State if a signature line for the agent appears.
This guide's facts don't include a standard processing time or expedite options, so plan for some waiting. The Oklahoma LLC formation guide walks through the rest of the articles, and our breakdown of the cheapest ways to form an Oklahoma LLC adds up the fees.
How do you change your registered agent in Oklahoma?
You file a change of registered agent with the Oklahoma Secretary of State; the form name, fee and filing methods were not readable when this guide's facts were checked, so confirm both with the Secretary of State before filing.
That gap is about the form, not the process. The safe order is the same as anywhere.
- Choose the new agent and confirm they meet the statute's list and the open-office rule.
- Get their agreement to serve.
- File the change with the Secretary of State.
- Treat your old agent as your agent until the state records the change.
- Cancel the old service last. Cancelling first can leave papers going to an agent who no longer forwards them.
Provider terms can shape that last step. LegalZoom says proof of new RA may be required. Northwest Registered Agent's terms read "Cancel anytime through the online account; no cancellation fee". Rocket Lawyer allows cancellation by phone, before renewal date. InCorp Services requires a condition to be met before the annual fee falls due: dissolve entity, appoint new agent, or resign InCorp with fees. Read your provider's terms before you file so a renewal does not land mid-switch.6, 7, 8, 9
Our general guides on changing a registered agent and cancelling an agent service cover the steps that work the same way in every state.
What happens if your Oklahoma registered agent resigns?
The agent must give your LLC at least 30 days' notice, and the resignation takes effect 30 days after it is filed; if your LLC names no successor, the Secretary of State is deemed the registered agent until one is designated (18 Okla. Stat. § 2010).1
That fallback is a thin safety net. The facts checked for this guide don't describe how the Secretary of State passes papers on, and you may not learn of a lawsuit in time to answer it.
The notice period gives you a working window. Read a resignation letter as a deadline, not a courtesy. Pick a new agent and file the change before the resignation takes effect.
A resignation notice helps only if it reaches you. If the contact details a paid agent holds for you are out of date, the first you hear of a problem may be a missed court date, so keep them current.
Suspect your agent has stopped serving but never got a letter? Ask the Secretary of State which agent its records show for your LLC.
What happens if an Oklahoma LLC has no registered agent?
Oklahoma's statute makes the Secretary of State the fallback: the section allows service on the Secretary of State when there is no agent, and after an agent resigns with no successor named, the Secretary of State is deemed the registered agent until one is designated (18 Okla. Stat. § 2010).1
In practice a lawsuit can move ahead against your LLC with papers left at a state office instead of with someone you chose. A missed answer deadline can end in a judgment against the LLC.
The facts checked for this guide don't include a dissolution rule for going without an agent. The clearer risk to good standing comes from the yearly filing. An LLC that misses its Annual Certificate becomes inactive: the Secretary of State's FAQ says that after the grace period the entity becomes inactive and not in good standing. Losing good standing can stall a bank loan, a contract or a licence renewal that asks for proof.10
The way back takes paperwork. The FAQ says a reinstatement form has no fee but must be included anytime an entity is inactive, and each past-due Annual Certificate (and its fee) must be filed. Reinstatement step by step is in the Oklahoma compliance guide.10
What does an Oklahoma LLC file each year to stay in good standing?
Each year your LLC files an Annual Certificate, due on the anniversary of the LLC's formation date with a 60-day grace period, and Oklahoma lists an annual fee of $25 for an LLC.2, 10
The deadline moves with your formation date, so two LLCs formed in different months have different due dates. Note the anniversary when the articles are approved. Oklahoma has no franchise tax to add to that list for an LLC: LLCs are statutorily exempt from franchise tax.11
These are the agent-related items to watch alongside it.
- Your paid agent's renewal date, if you use one.
- Whether your agent still lives in Oklahoma or keeps its office there. If not, they no longer qualify.
- Whether the registered office is still open during business hours.
The Oklahoma compliance calendar sets out the first and second year in order. For how yearly reports work across states, see annual reports explained, and for services that send reminders, our list of registered agents with compliance tools.
Do out-of-state LLCs need an Oklahoma registered agent?
The facts checked for this guide don't cover Oklahoma's rules for LLCs formed in other states, so ask the Oklahoma Secretary of State whether your LLC must register, which form and fee apply, and what agent details it needs.
The agent rules in this guide come from the section of Oklahoma's LLC act on registered agents and offices (18 Okla. Stat. § 2010). That section's list of who may serve names a qualified foreign corporation and a domestic or qualified foreign LLC or partnership, so a company formed elsewhere can serve as an agent here once it is qualified.1
An agent in your home state would also have to meet the Oklahoma rules above, including the open office. Using a national service elsewhere? Check how it bills a second state before assuming Oklahoma is covered. For LLCs that also operate next door, compare Texas registered agent rules, Kansas rules, Arkansas rules and Missouri rules.

Oklahoma registered agent questions
Can my LLC be its own registered agent in Oklahoma?
Yes. Oklahoma's statute lists the LLC itself among those who may serve (18 Okla. Stat. § 2010). The LLC must still keep an Oklahoma office matching its registered office that is open during regular business hours to accept papers.1
Can I be my own registered agent if I live outside Oklahoma?
Not as an individual, because the statute requires an individual agent to be an Oklahoma resident (18 Okla. Stat. § 2010). Your LLC could act for itself only if it keeps a staffed office in the state. Otherwise you need an Oklahoma resident or a qualifying business.1
Does an Oklahoma registered agent have to be available during business hours?
Yes. The agent's office must be open during regular business hours to accept service of process (18 Okla. Stat. § 2010). A mail drop with no one present to accept papers may not meet that wording.1
How much notice does a resigning agent have to give?
The agent must give the LLC at least 30 days' notice, and the resignation takes effect 30 days after it is filed (18 Okla. Stat. § 2010). Filing a change naming a new agent during that window avoids any gap.1
What happens if I never replace an agent who resigned?
Under the statute, the Secretary of State is deemed the registered agent until one is designated. Papers can then be served on the state, and you may not hear about a lawsuit in time. Naming a new agent before the resignation takes effect avoids that.1
How much does it cost to change registered agents in Oklahoma?
The Secretary of State's fee for a change of agent was not among the facts this guide could verify, because the state's forms and fees pages could not be read. Check the current fee with the Oklahoma Secretary of State. A paid service's annual price is separate from any state fee.
Does filing the annual certificate keep my agent on record?
The facts here don't describe what the Annual Certificate asks for, so they don't show whether it records or updates your agent. It is due on the anniversary of the LLC's formation date, which makes it a useful yearly prompt to check that your agent's details are still right.10
