Staying compliant in Utah
Facts checked October 13 to 14, 2026.
The recurring filing for a Utah LLC is the Annual Report/Renewal with the Division of Corporations and Commercial Code (Utah Department of Commerce), which costs $18 and is due one year from the date of registration and due annually thereafter. Missing it adds a $10 late renewal fee. Between renewals, the LLC must keep a registered agent with a street address in this state on record; going 60 consecutive calendar days without one is a ground for administrative dissolution, and reinstatement starts at $54 plus charges for each missed year.1, 2, 3, 4
How does the Utah annual renewal work?
The renewal is Utah's annual report under another name. The Division's renewal page says it is due one year from the date of registration and due annually thereafter, so the deadline follows your LLC's own approval date rather than a statewide date in spring or at year end.3
That one detail changes how you plan. An LLC approved in late summer renews in late summer every year after. If you own several Utah LLCs, each keeps its own date, and none of them lines up with tax season unless you happened to form it then.
What the renewal costs
The fee schedule lists "Domestic/foreign limited liability company (LLC) $18", so foreign LLCs registered in Utah pay the same amount as home-grown ones. The schedule adds that the starred renewal fees include a $5 surcharge for the State's single sign-on portal, which means part of the $18 pays for the online login system rather than the filing itself.2
What it asks for
The renewal confirms/updates entity information. The Division also says at least one manager, member or other governing person will need to be provided in the annual report, so even an LLC that uses a commercial agent keeps at least one person's name on its record with the Division each year. This is also the natural point to confirm the agent and principal address are still right.5
How to file it
The Division's LLC page, which links the renewal, describes filing online through the Division's business registration system (UtahID login). The Division says most filings are processed immediately, but asks you to allow 5 to 7 business days for those requiring manual review. Filing a little ahead of the anniversary leaves room if yours is one of the filings pulled for a manual check.1, 6
For how renewals compare with reports in other states, see annual reports explained. Owners with an LLC in a neighbouring state can compare staying compliant in Colorado, Arizona or Wyoming.
Does Utah charge LLCs a franchise tax or other annual state fee?
The Division's only recurring LLC charge in the facts behind this page is the $18 renewal. This page doesn't cover Utah's tax rules, and the renewal fee is a filing charge, not a tax.2
Taxes are handled elsewhere. The Utah State Tax Commission administers state taxes, and the IRS handles federal returns. Which registrations and returns apply depends on what your LLC sells, whether it has employees, and how it has chosen to be taxed, so ask the Tax Commission or a tax professional about your business. Keep tax deadlines on their own list. Filing the renewal on time does nothing for a tax return, and a tax filing does not renew the LLC.
What happens if a Utah LLC misses its renewal or loses its agent?
A late renewal costs an extra $10 late renewal fee on top of the regular fee. The bigger risks are dissolution and the cost of coming back from it.2
The ground for administrative dissolution set out in the facts for this page is the agent one: under Utah Code 16-1a-602(3), failing to maintain a registered agent in Utah for 60 consecutive calendar days lets the Division dissolve the LLC. The fee schedule's reinstatement note also charges for each year the renewal was missed. These sources don't say whether a missed renewal on its own leads to dissolution, how long the Division waits, or what notice it sends first.4
How reinstatement works in Utah
Reinstatement falls under section 16-1a-604 of the Utah Code. The Division charges $54 for a domestic LLC, plus $18 for each year the annual renewal was missed and a $10 delinquency fee. Because of the per-year charge, the bill grows with each renewal missed while the LLC stays dissolved.2, 4
If the LLC was dissolved for lacking an agent, line up a new one before you file, and gather the details for any missed renewals. If the LLC signed contracts or kept trading while dissolved, a lawyer can tell you how Utah treats that period. The Utah registered agent guide covers the agent rules behind the dissolution ground in more detail.
How do you keep your Utah registered agent current?
You keep an agent with a street address in this state on record at all times (Utah Code § 16-1a-403), and you file a change for $17 whenever the agent or its address changes. The renewal confirms details once a year; changes in between need their own filing.2, 4
When and how to file a change
Changes can be made online, and the fee schedule lists "Online changes $17". The paper route is the Limited Liability Company Registration Information Change Form, at the same $17. Line up the new agent before you file, because Utah's agent chapter says the designation affirms the agent's consent. Cancel an old service only once the change shows on the Division's record. The step order is set out in how to change a registered agent, and how to cancel an agent service covers the provider side.2, 4, 7
If your agent resigns, the resignation takes effect at 12:01 a.m. on the 31st day after the Division files the statement of resignation, or sooner if you name a replacement. The agent must promptly notify the LLC of the filing date, so keep your email and mailing address current in any provider account.4
Foreign LLCs registered here (the registration costs $59) pay the same renewal fee under the schedule's "Domestic/foreign limited liability company (LLC) $18" line.2
What a provider's compliance features cover in Utah
Utah's renewal is a real yearly deadline, so reminder and filing features have something to do here. The list below follows our score, highest first.
- Tailor Brands lists annual report filing as included in Essential and Elite (annual compliance report filing and updates); not in Lite. Its registered agent page also says the agent can file the annual report if instructed.8, 9
- ZenBusiness's agent page mentions state compliance notices and annual report reminders going to owners, and it sells Annual Report Filing $100 per report or Worry-Free Compliance $199/year.10, 11
- LegalZoom offers email reminders about annual report deadlines via Compliance Calendar, and its filing service is $99 + state filing fees, bills once.12, 13
- Bizee (formerly Incfile) includes free lifetime compliance notifications and offers annual report filing with no standalone price stated.14, 15
- Swyft Filings sells ComplianceGuard $199/year (annual report filing included, state fee applies), with a 14-day free trial then auto-charged.16
- doola includes annual report notifications with its agent service.17
- Northwest Registered Agent files the report for $100 + state fees; Rocket Lawyer for $100 with Pro membership, excluding state fees; InCorp Services for $89 + state fees.18, 19, 20
- Harbor Compliance charges $199 per state per year plus filing fees.21
Compare those prices with the state's $18. Where a provider publishes a filing price, it is well above the state fee, so the extra pays for someone else submitting the form. A free reminder plus filing it yourself through UtahID costs least. What none of these features can do is fix an agent lapse you never hear about, so contact details still count.
Agent renewals are the other recurring bill. Tailor Brands lists $199/year (renews at the same price) and Harbor Compliance renews at $159 annually, while Swyft Filings lists $149 per quarter, auto-renews until cancelled. Prices for every provider are side by side on the Utah registered agent comparison, and the compliance-focused list ranks providers on these features.22, 23, 24
What does a Utah LLC compliance calendar look like?
The whole calendar hangs on one date: the day the Division approved your LLC. Note it on day one.
First year
- Approval day. Save the approval record and write down the date; your renewal falls on its anniversary. Filing the Certificate of Organization is covered in the Utah LLC formation guide, and the costs in the cheapest ways to form a Utah LLC.
- Set two reminders, one a few weeks before the anniversary and one a few days before.
- Confirm the email and phone your agent service holds, and note when it bills.
- Ask the Utah State Tax Commission and the IRS which tax registrations apply, and track those separately.
Second year and after
- Renewal. File the Annual Report/Renewal by the anniversary, paying $18. Late filing adds the $10 late renewal fee.1, 2
- Check the agent, principal address and governing person while you file.
- Decide on your agent service before its renewal date.
- If anything changes mid-year, file the change ($17) rather than waiting for the next renewal.2
Terms such as administrative dissolution are defined in the glossary, and what a registered agent is explains the role.
Utah LLC compliance questions
When is my Utah LLC's annual renewal due?
The Division says the renewal is due one year from the date of registration and due annually thereafter. So the date is your LLC's approval anniversary, which differs from one LLC to the next. Check your approval record or the Division's online listing if you are unsure.3
How much is the Utah annual renewal?
The fee is $18 for a domestic or foreign LLC, and the schedule says the starred renewal fees include a $5 surcharge for the state's login portal. Filing late adds a $10 late renewal fee.2
Does Utah charge LLCs a franchise tax?
This page's facts show only the Division's $18 renewal fee as a recurring state filing charge, and they don't cover state taxes. Ask the Utah State Tax Commission which taxes apply to your LLC.2
What does it cost to reinstate a dissolved Utah LLC?
The Division charges $54 for a domestic LLC, plus $18 for each year the annual renewal was missed and a $10 delinquency fee. The longer an LLC stays dissolved, the more missed renewals it pays for.2
Can I update my registered agent on the annual renewal?
The renewal confirms/updates entity information, but these sources don't say whether an agent change can be made on it. A change filed on its own goes online or on the Limited Liability Company Registration Information Change Form for $17.2, 5, 7
Do I need a paid compliance plan for a Utah LLC?
Nothing in the Division's rules covered here requires one. The renewal is a single filing with a fee of $18, and several agent services include reminders at no extra cost. A paid filing service, such as Northwest Registered Agent's at $100 + state fees, mainly saves you the job of filing it yourself.2, 18
