Registered agent requirements in Utah

Facts checked October 13 to 14, 2026.

Utah law says an LLC "shall designate and maintain a registered agent in this state", and when that filing gives an address it must be a street address in this state (Utah Code § 16-1a-403). You name the agent when you file the Certificate of Organization ($59) and can switch later online or on paper for $17. Two points are easy to miss: Utah's registered agent rules now sit in a new chapter of the Utah Code, effective 10/1/2026, and an LLC that goes 60 consecutive calendar days without an agent gives the state grounds to dissolve it.1, 2, 3

Who can be a registered agent in Utah?

Utah sorts agents into two kinds rather than listing who qualifies by residency. Under Utah's agent chapter, the filing names the entity's commercial registered agent, or it gives the name and address of the represented entity's noncommercial registered agent.1

So for a commercial agent the filing carries a name only, while a noncommercial agent needs both a name and an address. The sources behind this guide don't define either kind or say which people or businesses may act as a noncommercial agent, so check the statute's definitions or ask the Division of Corporations and Commercial Code (Utah Department of Commerce) if you plan to name a co-owner, a relative or your bookkeeper.

The same provision allows a third option: the filing can give an office title instead of naming an agent. The sources behind this guide don't explain how the Division records an office title in practice, so ask the Division before using one.1

The quoted text sets no age or licensing test, and it doesn't use the word "resident". What it does require is a Utah street address whenever a record states an address (Utah Code § 16-1a-403), so a person living in Boise or Las Vegas would need a street address in Utah to list. The new chapter replaces the Model Registered Agents Act; older advice may still cite the repealed act, so check it against the current text.1

What the agent actually does, accept service of process (the formal delivery of court papers) and official mail, is the same in every state; the registered agent explainer covers it, and the glossary defines the terms.

What address can a Utah registered agent use?

Where Utah's agent chapter requires a record to state an address, the record must include a street address in this state (Utah Code § 16-1a-403). The words "street address" do most of the work here.1

Whatever you file becomes part of your LLC's record with the Division. With a commercial agent, the agent's details fill the agent field instead of yours, the same way it works for every provider in every state. It does not hide the other names your filings ask for: each year the renewal must list at least one manager, member or other governing person, so at least one person's name stays on the record.4

Some providers sell a business address separately from the agent service, which owners use for mail and, where a filing allows it, for other address fields. Northwest lists Mail Forwarding $20/month (24 select states), so check whether Utah is one of those states; Swyft Filings lists a virtual address at $29/mo; and Tailor Brands offers a virtual address product, with the price not published. The guide to what an agent keeps off the public record explains which details stay visible.5, 6, 7

Can you be your own registered agent in Utah?

Probably, as a noncommercial agent, but the sources behind this guide don't say so directly.

For a noncommercial agent the filing gives the name and address of the represented entity's noncommercial registered agent, and any address it states must be a street address in this state (Utah Code § 16-1a-403), so you would need a Utah street address of your own.1

The quoted text doesn't bar an owner from serving or set a residency test. Because it doesn't spell out who may serve either, confirm with the Division before you list yourself.

If you go ahead, weigh a few practical points.

  1. Court papers come to the address on file. If you are away for work, a delivery missed during the week can cost you time to respond in a lawsuit.
  2. For a business run from home, your home address becomes the agent address on the Division's record.
  3. If you move out of Utah, you no longer have a Utah street address to list, so the LLC needs a new agent before the 60 consecutive calendar days rule can apply.1
  4. The annual renewal is a natural point to confirm your details, but changes in between still need a filing.

A commercial agent is the alternative for owners who live in another state, travel often, or want their home address off the agent field. The comparison of Utah registered agent services sets out each provider's price and renewal terms.

How do you name a registered agent when forming a Utah LLC?

A new LLC designates its agent in the formation filing, the Certificate of Organization ($59). This guide's sources don't show the form's agent field itself, so read the form before you start.2

You file it online through the Division's business registration system (UtahID login); paper filings are uploaded via its Submit a Paper Filing option, so even a paper form ends up in the online system.8

Utah ties consent to the filing itself. The agent chapter says the designation affirms the agent's consent, so naming someone on the form counts as stating that they agreed to serve. There is no separate acceptance form in the facts behind this guide, which makes it all the more important to ask before you file.1

Have these ready before you start the online filing.

Timing is short. The Division says most filings are processed immediately, and asks you to allow 5 to 7 business days for those requiring manual review. Expedited handling costs $75 per filing, and the Division doesn't publish how fast that is. The full formation walkthrough is on how to form an LLC in Utah, and the fees are added up on the cheapest ways to form a Utah LLC.3, 9

How do you change your registered agent in Utah?

You can change agents online or on the Limited Liability Company Registration Information Change Form, and the state fee is $17 either way. The Division's fee schedule lists "Online changes $17", and its changes page notes that "The Division will still accept the Registration Information Change form."3, 10

The paper form asks a direct question, "Do you want to Change the Registered Agent or the Address of the Registered Agent?", so the same filing handles a new agent and a new address for the existing agent.10

Work through the switch in this order.

  1. Choose the new agent and get their agreement. Because naming them affirms consent, do this first.
  2. File the change online, or on the form through the paper upload option. Most online filings go through at once; a filing pulled for review can take longer.
  3. Look up your LLC on the Division's records and confirm the new agent shows.
  4. Then end the old arrangement. Cancelling a service before the change is on record can leave a gap.

Commercial agents set their own exit terms. InCorp's terms say you must satisfy a cancellation condition (dissolve entity, appoint new agent, or resign InCorp with fees) before annual fee is due. Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. Harbor Compliance asks for notice of non-renewal at least 90 days before the end of the current term, or the service renews. LegalZoom notes that proof of new RA may be required when you cancel. Read your provider's terms before the renewal date, not after.11, 12, 13, 14

The general guides on changing a registered agent and cancelling an agent service cover the steps that are the same everywhere.

What happens if your Utah registered agent resigns?

An agent who wants to stop files a statement of resignation with the Division. The resignation takes effect at 12:01 a.m. on the 31st day after the Division files the statement of resignation, or earlier if your LLC designates a new agent first.1

The agent must promptly notify the LLC of the filing date, so the warning comes from the agent, not the state. Whether you see it depends on the contact details the agent holds for you.1

A resignation can come from a friend who agreed to help and then moves to Idaho, or from a commercial agent dropping a client whose renewal went unpaid after reminders went to an address nobody checks. In the second case the notice may land in an old inbox. Treat any resignation notice as a cue to file a change straight away. Once the resignation takes effect, every day without a new agent counts toward the 60 consecutive calendar days that give the state grounds for dissolution.1

If you think your agent has stopped serving but saw no notice, search your LLC on the Division's records to see who is listed.

What happens if a Utah LLC has no registered agent?

Failing to keep a registered agent in Utah for 60 consecutive calendar days is a ground for administrative dissolution under Utah Code 16-1a-602(3).1

The sources behind this guide don't describe the notice the Division sends before dissolving an LLC on that ground, or how long it allows for a fix. Act on the earliest signal you get, whether that is a resignation notice or a letter from the Division.

A dissolved LLC is out of good standing. That can block a loan, a contract that asks for a certificate of good standing, or a licence renewal. Court papers delivered while no agent is in place may never reach you.

Reinstatement brings the LLC back. The Division's fee schedule charges $54 for a domestic LLC, plus $18 for each year the annual renewal was missed and a $10 delinquency fee, so the bill climbs with every renewal that passes while the LLC sits dissolved. The Utah compliance guide covers reinstatement and the renewal schedule in more depth.3

What does a Utah LLC file each year?

Every Utah LLC files an Annual Report/Renewal with the Division of Corporations and Commercial Code (Utah Department of Commerce). It is due one year from the date of registration and due annually thereafter, and the fee is $18 for each filing.3, 8, 15

Since the date follows your own registration, two Utah LLCs formed months apart have different deadlines. Put yours on the calendar the day the Division approves your filing. A late renewal adds a $10 late renewal fee.3

The renewal is also the routine point to check the agent. It confirms or updates your entity's details, so an agent who moved or a service you dropped should be corrected there or by a separate change filing. Some agent services list renewal reminders; the Utah compliance calendar lists what is due in the first and second year, and annual reports explained covers how these filings work across states.

Do out-of-state LLCs need a Utah registered agent?

An LLC formed elsewhere pays $59 to register with the Division as a foreign LLC, and it then renews each year for the same $18 as a Utah LLC.3

Utah's agent duty attaches to a list of entities set out in the agent chapter, which opens "the following entities shall designate and maintain a registered agent in this state". The excerpt quoted in this guide's sources gives the opening words of that duty, not the full list, so confirm with the Division what agent details the foreign registration asks for. In practice an agent with a Utah street address is what lets papers reach you here.1

Your home state's agent does not carry over unless that same company also serves in Utah. If your LLC also works in a neighbouring state, compare Arizona's statutory agent rules, Colorado's rules, Nevada's rules and Wyoming's rules.

Utah registered agent questions

Can I be my own registered agent in Utah?

Probably, though this guide's sources don't say so directly. A noncommercial agent is named with the name and address of the represented entity's noncommercial registered agent, and the address must be a street address in this state, so you would need a Utah street address; confirm with the Division before listing yourself. If you later leave Utah, you will need to name a new agent and file the change.1

Does a Utah registered agent have to live in Utah?

The quoted statute doesn't use a residency test. It requires a Utah street address whenever the filing states an address (Utah Code § 16-1a-403), so the agent needs a real place in Utah where papers can be delivered. With a commercial agent, the filing gives the agent's name only.1

How much does it cost to change my registered agent in Utah?

The Division charges $17, whether you file online or on the paper change form. Expedited handling, if you need it, costs $75 per filing. A paid agent service bills its own fee on top.3

Does the new agent have to sign an acceptance form?

The facts behind this guide show no separate acceptance form. Utah's agent chapter says the designation affirms the agent's consent, so get the agent's agreement before you file the change.1

How long do I have after my agent resigns?

The resignation takes effect at 12:01 a.m. on the 31st day after the Division files the statement of resignation, or sooner if you name a new agent. After that, going 60 consecutive calendar days without an agent is a ground for administrative dissolution, so file the change as soon as the notice arrives.1

Can a Utah registered agent use a P.O. box?

Not on its own. When a filing states an address under the agent chapter, it must include a street address in this state (Utah Code § 16-1a-403), and a box has no street address. Ask the Division if you are unsure whether a particular address qualifies.1

What does it cost to reinstate a Utah LLC dissolved for having no agent?

The Division's fee schedule lists $54 for a domestic LLC, plus $18 for each year the annual renewal was missed and a $10 delinquency fee. You also need to name an agent so the original problem is fixed.3
