Staying compliant in Iowa
Facts checked October 13 to 14, 2026.
An Iowa LLC files a biennial report with the Iowa Secretary of State in odd-numbered years, due by April 1, for a fee of $30 online, $45 by paper. No biennial report is due in even-numbered years. In between, the LLC must keep a registered agent with an Iowa place of business on record (Iowa Code § 489.115); the Statement of Change used to replace the agent is listed as "No fee". If the LLC loses its status, the Application for Reinstatement fee is $5.1, 2
How does the Iowa biennial report work?
Iowa LLCs report once every other year rather than yearly: the filing window opens on January 1st of each odd-numbered year, and the report is due by April 1.1
When it is due
The Secretary of State's fee page puts the report under the heading for LLCs, LLPs and nonprofit corporations, with one rule for all of them: odd-numbered years, due by April 1. The fee page states one date, not an anniversary date tied to each LLC's formation, so planning comes down to knowing which years count.1
One point the sources here leave open is the first report. The wording names every odd-numbered year, but it does not say whether an LLC formed late in an even-numbered year files the following spring or waits a cycle. If your LLC is new, ask the Secretary of State which reporting year applies to you before you assume you can skip one.
What it costs
The fee depends on how you file: $30 online, $45 by paper, so paper costs more. Many of the office's forms can be submitted online through its Fast Track Filing system.1
If you need the filing processed fast, the office sells expedited handling for a surcharge charged per document on top of the filing fee. The tiers run from "5 business days $15" to "same business day $125" and faster. For a report filed in good time, that surcharge should not be needed.3
What it asks for
The pages this guide relies on do not list the report's questions. Our explainer on how annual and biennial reports work covers what such reports usually contain. For Iowa's exact fields, open the report in the office's online system before the deadline and check what it shows.
If you also hold an LLC in a neighboring state, the timing there may differ. Compare this page with staying compliant in Minnesota or staying compliant in Illinois.
Does Iowa charge LLCs a franchise tax?
This guide's sources cover the Secretary of State's filings only and do not address Iowa taxes, so they neither confirm nor rule out a franchise or privilege tax for LLCs.
The biennial report fee is a filing charge, not a tax. Tax registrations and returns sit with the Iowa Department of Revenue for state taxes and with the IRS at the federal level, each on its own schedule. Which ones reach your LLC depends on what it sells, whether it has employees, and how it has chosen to be taxed. Ask the Department of Revenue for the state list and a tax professional for how your LLC's income is treated. Keep those dates in a separate place from the Secretary of State items on this page, because filing your biennial report on time does nothing for a tax deadline.
What happens if an Iowa LLC misses the report or loses its agent?
The sources checked for this page do not state Iowa's late penalty or the grounds for dissolution; they do show that a dissolved LLC can apply for reinstatement for $5.1
The report is due by April 1 of a reporting year, so a missed deadline is a fixed date you can see coming. And the statute says every LLC "shall designate and maintain a registered agent in this state" (Iowa Code § 489.115), so an LLC whose agent has quit or moved away is out of line with the law until it files a replacement.1, 2
What the sources do not say is how long the Secretary of State waits after a missed report, what notice it sends, or whether it dissolves an LLC for the agent problem alone. A letter from the office about either problem is the signal to file the overdue report or a Statement of Change.
If the LLC has been dissolved, Iowa's fee schedule lists an Application for Reinstatement at $5. That covers the application. Any reports or fees still owed are a separate matter, and the office can tell you what your record shows. If the business kept signing contracts or trading while dissolved, ask a lawyer how that affects you. The Iowa registered agent guide explains the practical risks of going without an agent.1
How do you keep your Iowa registered agent current?
Keep an agent with an Iowa place of business on record at all times, file a Statement of Change when you replace the agent, and keep its Iowa street and mailing addresses accurate.
The fee schedule lists the Statement of Change as "No fee" for LLCs. The sources here do not say which filing updates an agent's address alone, so ask the Secretary of State when the address moves. The statute says the agent "must have a place of business in this state", and the certificate records the agent's "street and mailing addresses in this state" (Iowa Code § 489.115). Both need to stay true after formation. If your agent is a local accountant who retires, or an office that relocates to Omaha, the record no longer matches the law.1, 2
How to replace the agent
An LLC pays the state nothing for the Statement of Change; the fee schedule entry reads "No fee". Line up the new agent first, file the statement, check the state record, and only then cancel the old service. A gap between the two leaves the LLC with no one to receive papers. Foreign LLCs registered here (registration is $100) carry the same duty, since the statute's place-of-business rule names a registered foreign limited liability company too. The general steps are in our guides to changing a registered agent and cancelling an agent service.1, 2
What a provider's compliance features do in Iowa
Iowa's every-other-year cycle changes how provider plans compare. A service that bills per report charges only in reporting years; one that bills yearly charges in the off year too.
- Per-report filing. Northwest Registered Agent charges $100 + state fees when it files. ZenBusiness prices its Annual Report Filing at $100 per report, and LegalZoom charges $99 + state filing fees, billed once. In Iowa, you would pay these once per cycle, on top of the state's own fee ($30 online).1, 4, 5, 6
- Filing with other conditions. InCorp Services lists $89 + state fees and doesn't publish whether that is charged per report or yearly. Rocket Lawyer charges $100 with Pro membership, excluding state fees, so the membership is part of the cost.7, 8
- Yearly plans. Harbor Compliance charges $199 per state per year plus filing fees. ZenBusiness also sells Worry-Free Compliance at $199/year, and Swyft Filings sells ComplianceGuard at $199/year. For an Iowa LLC, a yearly plan bills through a year with no report; ask what else the plan covers before choosing it.5, 9, 10
- Bundled filing. Tailor Brands includes annual report filing in its Essential and Elite plans but not in Lite. Bizee (formerly Incfile) offers report filing, with no standalone price stated.11, 12
- Reminders with the agent service. Bizee (formerly Incfile) advertises free lifetime compliance notifications, doola lists annual report notifications, and LegalZoom sends email reminders about annual report deadlines. Confirm that a reminder service knows Iowa runs on odd years, so it does not chase you for a report in an even one.13, 14, 15
None of these features replaces your own check of the state record. Renewal terms also count, because a paid agent bills every year, report or not. Tailor Brands renews at $199/year, InCorp Services at $129 per year, and Harbor Compliance at $159 annually, with notice of non-renewal due at least 90 days before the end of the current term. Prices side by side are on the Iowa registered agent comparison, and the Best-for list on compliance covers providers' compliance features across states. Individual terms are in the reviews of Northwest, ZenBusiness and Harbor Compliance.16, 17, 18, 19
What does an Iowa LLC compliance calendar look like?
The calendar turns on whether a given year is odd or even. Odd years carry the biennial report, due by April 1; even years carry no Secretary of State filing, only agent and record upkeep.1
Year one
- File the Certificate of Organization ($50). The steps and options are in the Iowa LLC formation guide, and the guide to the cheapest ways to form an Iowa LLC totals the fees.1
- Write down your agent's Iowa street and mailing addresses and the date its service renews.
- Work out which odd-numbered year brings your first report. If formation fell in an even year, the next spring may be a reporting year; confirm with the Secretary of State.
- Ask the Iowa Department of Revenue and the IRS which tax registrations apply, and keep them on a separate list.
Year two and later
- In an odd year, file the biennial report once the window opens on January 1st, and no later than April 1. The lower fee is $30 online.1
- In an even year, there is no report. Use the quiet year to look up your LLC's record and confirm the agent and addresses.
- Each year, decide on your agent's renewal before any notice deadline in its terms.
- Whenever you replace the agent, file the Statement of Change, which the fee schedule lists as "No fee".1
Terms such as administrative dissolution and service of process are defined in our glossary, and what a registered agent is explains the role in plain English.
Iowa LLC compliance questions
Does an Iowa LLC file an annual report?
No, it files a biennial report instead, in odd-numbered years, due by April 1. Even-numbered years have no report to file with the Secretary of State.1
How much does the Iowa biennial report cost?
The fee is $30 online, $45 by paper. Expedited handling adds a surcharge charged per document on top of the filing fee, which a report filed in good time should not need.1, 3
When does my Iowa LLC file its first biennial report?
The rule names odd-numbered years, with the window opening on January 1st. The sources for this page do not say whether a newly formed LLC files in the first odd year after formation, so ask the Secretary of State which year applies to yours.1
What is the penalty for filing the Iowa biennial report late?
The pages checked for this guide do not state one, so ask the Secretary of State what a late filing costs and what your record shows. If the LLC has been dissolved, the reinstatement application costs $5.1
Does it cost anything to update my registered agent in Iowa?
No. The fee schedule lists the Statement of Change as "No fee" for LLCs. A provider's own agent fee is separate, and faster state processing starts with the "5 business days $15" tier.1, 3
Is a yearly compliance plan worth it for an Iowa LLC?
That depends on what else the plan includes. Iowa has a report only every other year, so a plan billed yearly, such as Harbor Compliance's at $199 per state per year plus filing fees, charges in years with nothing to file. Per-report services bill only when they file.9
