Registered agent requirements in Iowa

Facts checked October 13 to 14, 2026.

Every Iowa LLC "shall designate and maintain a registered agent in this state", and the agent "must have a place of business in this state" (Iowa Code § 489.115). You name the agent on your Certificate of Organization, which the Iowa Secretary of State files for $50, and you can replace the agent later with a Statement of Change, which the fee schedule lists as "No fee" for LLCs. The detail to check first is the address: Iowa's certificate asks for both a street address and a mailing address for the agent, and both must be in Iowa.1, 2

Who can be a registered agent in Iowa?

The statute quoted here sets two conditions rather than a list of who may serve: the agent has a place of business in Iowa, and the LLC is affirming that the agent agreed to the role (Iowa Code § 489.115).1

In place of a list of qualifying people and entities, the quoted text gives a location test: the agent "must have a place of business in this state". That test applies to an agent for an Iowa LLC and to an agent for a registered foreign limited liability company, so the same rule covers businesses formed elsewhere.1

Iowa's wording names a place of business. It does not mention a residence, and that raises a fair question for a sole owner who works from home. If you plan to name yourself or a family member and the only Iowa address is a house, ask the Secretary of State how the office reads that wording before you file.

The second requirement is consent. Under the same section, "The designation of a registered agent is an affirmation of fact by the limited liability company" that the agent has agreed to serve. In plain terms, by listing someone you are telling the state they said yes. Naming a cousin in Des Moines or a former employee without asking puts a false statement on the record and leaves papers going to someone who may not pass them on.1

Nothing in the quoted text asks for a license or legal training. An agent's job is to accept service of process (the formal delivery of a lawsuit) and official notices for the LLC. Our explainer on what a registered agent does covers the duties common to every state, and the glossary defines the legal terms used here.

What address does an Iowa registered agent need?

An Iowa agent needs a place of business in the state, and the Certificate of Organization must list the agent's street address and mailing address, both in Iowa (Iowa Code § 489.115).1

The filing rule reads in full: "The name and street and mailing addresses in this state of the limited liability company's registered agent" (Iowa Code § 489.115). So there are two addresses, each with its own purpose. The street address is where a process server can physically hand over papers to the agent, and the mailing address is where post goes.1

Here is how the usual address choices line up with that wording.

Every registered agent, commercial or not, lists its own address in the agent fields. Naming a service puts the service's Iowa addresses there instead of yours. That is true of any provider and does not change the other names and addresses the certificate requests. The sources for this guide do not say which of those other fields the Secretary of State displays in its public records, so read the form before you file. Some providers sell a separate address product for owners who want a business address elsewhere on their filings: Northwest sells Mail Forwarding $20/month in 24 select states, so check whether Iowa is one of them. Bizee lists a virtual address at $29/month. Tailor Brands offers a Virtual Address product, price not published. Our page on what an agent can and can't keep off the record explains what stays public.3, 4, 5

Can you be your own registered agent in Iowa?

The statute's quoted text does not rule it out; its test is an Iowa place of business, which you would list as the agent's street address along with an Iowa mailing address (Iowa Code § 489.115).1

Doing it yourself costs nothing beyond the filings you would make anyway. The trade-offs are about availability and exposure rather than law.

  1. Someone needs to be at that street address to take papers when they arrive. A process server who finds the office locked can come back, but repeated misses can leave you learning about a lawsuit late.
  2. Your own name and address go into the agent fields of the LLC's state record.
  3. If you close the office, move it out of Iowa or start working only from home, your agent details on file may no longer meet the place-of-business test, and a Statement of Change becomes due.

Owners who live outside Iowa and have no place of business in the state cannot meet the test themselves. Their options are an Iowa business or person who agrees to serve, or a commercial service with an Iowa location. Contractors who spend the season on job sites across the Midwest face a similar problem even if they live in Iowa: the office may be empty when papers arrive.

The quoted statute text does not say whether an LLC may name itself as its own agent. If that is your plan, ask the Secretary of State how to complete the agent fields.

A service usually makes sense for owners who live elsewhere, work away from a fixed office, or want a business address instead of a home one on the record. The Iowa registered agent services list sets out each provider's published price and renewal.

How do you name a registered agent when you form an Iowa LLC?

You name the agent on the Certificate of Organization, giving the agent's name and its Iowa street and mailing addresses; the state fee for the certificate is $50.2

The certificate can go in on paper or online through the office's Fast Track Filing system.2

Before you submit, confirm three things.

  1. The agent has a place of business in Iowa that you can list as the street address.
  2. You also have the agent's Iowa mailing address.
  3. The agent has agreed. The sources checked for this guide do not mention a separate acceptance signature; instead, "The designation of a registered agent is an affirmation of fact by the limited liability company" that consent was given. You are vouching for it.1

The Secretary of State does not publish a standard processing time on the pages this guide relies on. If you need the LLC on the record quickly, the state sells faster handling for a surcharge charged per document on top of the filing fee. The tiers read 5 business days $15, 2 business days $50, same business day $125 and one hour $200, and the surcharge is nonrefundable. You can also hold a name before filing with a name reservation for $10.2, 6

The Iowa LLC formation walkthrough covers the rest of the certificate step by step, and the guide to the cheapest ways to form an Iowa LLC adds up the fees.

How do you change your registered agent in Iowa?

You file a Statement of Change with the Secretary of State, and for an LLC the fee schedule shows "No fee". Faster processing costs extra, a surcharge charged per document on top of the filing fee.2, 6

The paperwork is free, so the risk lies in the timing. Work through it in this order.

  1. Choose the new agent and confirm it has an Iowa place of business and an Iowa mailing address.
  2. Get the new agent's agreement. Under the statute, naming an agent is an affirmation that it has consented.
  3. File the Statement of Change online or on paper. If you want it handled sooner, add an expedite tier; the cheapest one reads "5 business days $15".6
  4. Check the state record and confirm the new agent appears.
  5. Cancel the old service after that, not before. Cancelling first can leave the LLC with no agent on file at all.

Provider terms also shape the timing. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. With LegalZoom, proof of new RA may be required. InCorp's terms name the option to "appoint new agent" as one of the conditions that stops its annual billing. Harbor Compliance asks for notice at least 90 days before the end of the current term, so a switch made close to renewal can still cost a further term.7, 8, 9, 10, 11

The guides on changing a registered agent and cancelling an agent service cover the steps that work the same way in every state.

What happens if your Iowa registered agent resigns?

The sources for this guide do not describe Iowa's resignation procedure or set a deadline for naming a replacement; the filing that names a new agent is the Statement of Change.

What is clear from the statute is the standing duty: the LLC must designate and maintain an agent (Iowa Code § 489.115). An agent stepping down does not pause that duty. Because the Statement of Change costs nothing for an LLC, there is little reason to wait.1

Resignations tend to come from ordinary events. An accountant closes the office. A relative who agreed to help retires to Arizona. A commercial service ends the arrangement after an unpaid renewal. In that last case the warning goes to whatever email or mailing address the service holds, which may be years out of date.

If you think your agent may have stopped serving, look up your LLC in the Secretary of State's business records and see who is listed. For the official rules on how a resignation takes effect, ask the Secretary of State or read the LLC chapter of the Iowa Code.

What happens if an Iowa LLC has no registered agent?

Going without an agent breaks the statute's requirement to maintain one (Iowa Code § 489.115), and papers meant for the LLC may never reach you; the pages checked for this guide do not list Iowa's specific penalty.1

The practical harm comes first. A lawsuit can be filed and served while no one is acting for the LLC, and a court can move forward on deadlines you never knew about.

The state side is less detailed in the sources here. They do not set out when the Secretary of State may dissolve an LLC for lacking an agent, or how much notice it gives. The fee schedule does list an Application for Reinstatement, at $5. The sources here do not say what else reinstatement requires; the Secretary of State can tell you what your record shows.2

A lapsed agent is fixed by naming a new one with a Statement of Change. If the LLC has already been dissolved, ask the office what reinstatement requires, and speak to a lawyer if the business kept trading in the meantime. The Iowa compliance guide covers dissolution and reinstatement in more depth.

What does an Iowa LLC file to stay in good standing?

Iowa LLCs file a biennial report in odd-numbered years, due by April 1, for $30 online or $45 by paper; there is no yearly report in the even-numbered years.2

The filing window opens on January 1st of each reporting year. Because the report comes round only every other year, it is easy to forget between cycles, and that is where an outdated agent can surface: the report is a natural point to compare what the state holds with what is true.2

A few habits help between reports.

The Iowa compliance calendar sets out the first and second years in order, and our explainer on how annual and biennial reports work covers the general rules.

Do out-of-state LLCs need an Iowa registered agent?

Yes. An LLC formed elsewhere registers in Iowa with a Foreign Registration Statement for $100, and it needs an agent with an Iowa place of business (Iowa Code § 489.115).1, 2

The statute's location test names a registered foreign limited liability company alongside Iowa LLCs, so the agent rule is the same for both. Your home-state agent does not carry over. A Nebraska LLC with its agent in Omaha, for instance, still needs someone with a place of business on the Iowa side of the river.1

The fee schedule's Statement of Change entry points to the LLC act's chapter and has no separate line for registered foreign LLCs, so ask the Secretary of State which filing a foreign LLC uses to change its Iowa agent. If you also do business in a neighboring state, compare the registered agent rules for Illinois, Minnesota, Missouri and Wisconsin.

Iowa registered agent questions

Can I be my own registered agent in Iowa?

The quoted statute does not rule it out, provided you have a place of business in Iowa to list as the agent's street address and an Iowa mailing address (Iowa Code § 489.115). Your name and those addresses go into the agent fields of your LLC's state record. If the office closes or leaves the state, file a Statement of Change.1

Can my registered agent's home address be used in Iowa?

The statute says the agent "must have a place of business in this state" and does not mention a residence. Whether a home qualifies is not answered in this guide's sources, so ask the Secretary of State before listing one.1

How much does it cost to change my registered agent in Iowa?

Nothing at the state level: the fee schedule lists the Statement of Change as "No fee" for LLCs. Faster processing is extra, starting with the "5 business days $15" tier. A paid service bills its own fee separately.2, 6

Does my new Iowa registered agent have to sign anything?

The sources for this guide do not mention a separate acceptance form. Instead, "The designation of a registered agent is an affirmation of fact by the limited liability company" that the agent consented, so make sure you have the agent's agreement before you file.1

Can my Iowa registered agent use a P.O. box?

A box does not fit the statute's words for the street address, which the Certificate of Organization requires in Iowa alongside a mailing address (Iowa Code § 489.115). The sources here do not mention boxes directly, and whether a box is accepted for the mailing address alone is a question for the Secretary of State.1

Does a foreign LLC need an Iowa registered agent?

Yes. The place-of-business rule names registered foreign LLCs directly (Iowa Code § 489.115). Registration costs $100, and the agent in your home state does not count unless it also has an Iowa place of business.1, 2

When is the Iowa biennial report due?

In odd-numbered years, due by April 1, with the window opening on January 1st. The fee is $30 online or $45 by paper, and filing early in the window leaves time to sort out any problem with the record.2
