Registered agent requirements in Alabama
Facts checked October 13 to 14, 2026.
Every Alabama LLC names a registered agent and a registered office in its Certificate of Formation, filed with the Secretary of State for $200. The agent can be an Alabama resident or a business entity formed or registered in the state, and the office has to be a street address in Alabama where papers can be handed to the agent in person (Ala. Code § 10A-1-5.31). Replacing the agent later takes the Change of Registered Agent or Registered Office by Entity form and a $100 fee. The rule to watch is the address: the registered office must be located at a street address in this state where process may be personally served, so a P.O. box can't fill that line.1, 2, 3
Who can serve as a registered agent in Alabama?
Alabama allows two kinds of registered agent: an individual who is a resident of this state, or a domestic entity or a foreign entity that is registered to transact business in this state (Ala. Code § 10A-1-5.31). Anyone or anything outside those two groups can't be named.2
The individual route turns on residency. A sister in Huntsville or a bookkeeper in Mobile can serve if they agree to it. A co-owner who lives across the line in Georgia or Mississippi can't, however often they come into the state.
The business route is wider than it first looks. "Domestic entity" means a business formed under Alabama law, and a business formed elsewhere qualifies once it has registered to transact business in Alabama. That second group is how national registered agent companies serve here: they register in Alabama and keep an office in the state.
The state materials reviewed for this guide don't mention any licence or training for agents. The job is narrow: accept service of process (the formal delivery of lawsuit papers) and official notices for your LLC, and pass them to you. The real test is reliability: can a process server find them at the office when papers arrive? The explainer on what a registered agent does covers the duties that are the same everywhere, and the glossary defines terms such as registered office.
What address can an Alabama registered agent use?
Alabama's statute describes the registered office narrowly: it must be located at a street address in this state where process may be personally served on the agent (Ala. Code § 10A-1-5.31). Two words do the work there, "street" and "personally".2
A street address means a physical building with a deliverable street location. "Personally served" means a process server should be able to walk in and hand the papers to your agent. Read together, they decide most of the address questions owners ask.
- A P.O. box fails the test, because it has no street location and nobody can be served there in person.
- A mailbox at a shipping store or a virtual office address carries the same problem if your agent isn't actually there to receive papers. Ask the Secretary of State before you list one.
- A home address can fit the wording if the agent lives there and can be served there in person.
- A shop or office works if the agent is present there.
- The statute wording quoted here ties the office to the agent, not to your LLC's own premises, and commercial agents list their own Alabama offices.
Every registered agent puts its own address in the agent field. If you hire a service, its Alabama office appears there in place of your home, and that is true of every provider. It does nothing to the other names and addresses the Certificate of Formation asks for, and the sources behind this guide don't say which of those fields the Secretary of State displays publicly. Read the form's fields before you file.
Owners who want a business address for those other fields can buy one separately from some providers, listed here by our score. Tailor Brands sells a virtual address product (price not published). Bizee (formerly Incfile) lists a virtual address at $29/month (1 month free with Bizee LLC formation), and Swyft Filings lists one at $29/mo. Northwest Registered Agent lists Mail Forwarding $20/month (24 select states); its listing doesn't say whether Alabama is one of those states. Harbor Compliance lists a virtual address at $350/year per company, per location (limited time offer). The guide to what an agent keeps off the public record goes further into this.4, 5, 6, 7, 8
Can you be your own registered agent in Alabama?
Yes, if you live in Alabama and can list a street address in the state where you can be personally served (Ala. Code § 10A-1-5.31).
The Secretary of State doesn't publish a separate fee for naming yourself; you go in the agent field of the formation filing. Whether it suits you depends on your day, more than on the law. A process server can turn up on any business day. If you work from a truck, split time between two homes, or travel for weeks, papers may sit unreceived while a response deadline runs. Your listed address also becomes the registered office for your LLC, and for a home business that usually means your home.
Moving away ends your eligibility. An owner who relocates to Florida or Tennessee stops being an Alabama resident and needs to name someone who qualifies, ideally before the move.
Owners outside Alabama have two routes: a resident they trust, or a business entity that qualifies under the statute. The sources behind this guide don't say whether an LLC may name itself as its own agent, so ask the Secretary of State if you plan to try that.
Commercial agents tend to suit owners who live out of state, keep irregular hours, or don't want their home address as the registered office. The Alabama registered agent services comparison sets out each provider's published price and terms.
How do you name a registered agent when forming an Alabama LLC?
You name the agent and the registered office on the Domestic Limited Liability Company (LLC) Certificate of Formation, filed online or by mail with the Secretary of State for $200. Have the agent's agreement and the street address ready before you start.1, 9
Alabama adds a step before formation. The Secretary of State's LLC page says: "You must obtain a Certificate of Name Reservation [10A-1-4.02(f)] prior to filing your formation documents." The reservation costs $25 by mail ($28 online for non-subscribers), so plan on reserving the name, then filing the certificate.10
Online filing is fast; the form says you can file in the time it takes to type this request. For a paper filing, the form's instruction reads "Mail 2 copies of this completed form along with a self-addressed, stamped envelope", and it adds that the form will not be accepted via email. The Secretary of State doesn't publish a standard processing time for mailed forms or an expedite option for LLC formation.9
Before you file, confirm three things.
- The person or company fits one of the statute's two groups.
- The registered office is a street address in Alabama where the agent can be served in person.
- The agent has agreed to serve. This guide's sources don't describe a separate consent form at formation, so read the certificate's instructions.
The step-by-step formation walkthrough is on forming an Alabama LLC, and the cheapest ways to form an Alabama LLC adds up the state fees with provider prices.
How do you change your registered agent in Alabama?
You file the Change of Registered Agent or Registered Office by Entity form with the Secretary of State and pay $100. The form accepts a check, money order, or credit card payment. The same form updates the registered office address, so a move by your current agent goes on it too.3
Sequence counts here more than speed.
- Pick the new agent and confirm they qualify and agree to serve.
- Complete the change form with the new agent's name and Alabama street address.
- File it with the fee. The Secretary of State doesn't publish a processing time for this form, so allow time and keep a copy.
- Check the state's record shows the new agent.
- Cancel the old service last, once the change is on file.
Doing step five first can leave your LLC with nobody on record to accept papers. Some providers' cancellation terms build in this order. LegalZoom says: "If you choose to cancel, we may require proof that a new registered agent has been designated with your state." InCorp Services lists cancellation conditions to meet before its annual fee falls due, and one of the listed conditions is "appoint new agent". Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, so a switch close to the renewal date can mean paying for another year.11, 12, 13
The general guide to changing agents and the guide on cancelling a registered agent service cover the steps common to every state.
What happens if your Alabama registered agent resigns?
An agent who wants to quit files a resignation notice with the Secretary of State, and the notice is effective on the 31st day after the date the Secretary of State receives and files the notice. The form cites Ala. Code Section 10A-1-5.34 and states "No fee is involved" for the filing.14
Alabama sets an order for this. On the form, the agent certifies that written notice of the resignation was given to the entity prior to submitting to the Secretary of State. The Secretary of State's page adds a timing rule for the filing: "Must be received within 11 days of notice to entity". So you should hear about a resignation before the state does, at the contact details your agent holds for you.14
That notice is your cue to act. The time between the notice and the effective date is your chance to file the change form naming a replacement, so there is no period with no agent on record. The state's materials reviewed for this guide don't set a separate deadline for the LLC to replace a resigning agent.
A commercial agent may resign over an unpaid renewal; an individual may move or change jobs. In both cases the notice goes to the contact details the agent holds. If those are out of date, you may first learn about it from the state record, so check who is listed for your LLC if you haven't heard from your agent in a while.
What happens if an Alabama LLC has no registered agent?
The Secretary of State materials reviewed for this guide state no specific penalty for an LLC without a registered agent and list no reinstatement fee tied to one. The practical risk is still serious.
Lawsuit papers have to go somewhere. With no agent or no valid registered office, a plaintiff's process server has nobody to hand them to, and a case can move ahead while you don't know it exists. A court judgment entered by default is far harder to undo than a form is to file.
Banks, landlords and licensing offices can look up the state's record too. An entry that shows an agent who resigned, or an address where nobody can be served, can raise questions when you need a loan or a contract.
The filing that names a new agent is the change form ($100), with a qualifying agent and street address; the Secretary of State can say whether anything else is needed for your record. Questions about your LLC's legal status after a gap are ones for a lawyer. The Alabama compliance guide covers the filings that keep an LLC current.3
What does an Alabama LLC file each year?
The yearly filing for an Alabama LLC is the Alabama Business Privilege Tax Return and Annual Report for Pass Through Entities Only (Form PPT), filed with the Department of Revenue, due 2.5 months after the start of the tax year (March 15 for calendar-year LLCs), unless the exemption below applies.15, 16
The yearly report is part of a tax return, sent to a different agency from the one that holds your registered agent record. That split is the thing to keep straight. Form PPT is filed with the Alabama Department of Revenue, not the Secretary of State. Your agent and registered office sit with the Secretary of State, and changes to them go on the change form, not on the tax return.16
The return carries the business privilege tax, and the Department of Revenue's rule is that tax due of $100 or less is fully exempt and no return is required. An LLC under that line has no yearly return to file. New LLCs also face an initial return, Form BPT-IN, which runs on a similar timetable and carries the same exemption for small amounts of tax.15
Because the yearly filing goes to the Department of Revenue, it never prompts you to look at your agent record. A quick look at the state's entry once a year fills that gap. The Alabama compliance calendar lays out the first and second years, and the explainer on annual reports in other states shows how other states handle annual reports.
Do out-of-state LLCs need an Alabama registered agent?
An LLC formed in another state registers with the Secretary of State to do business in Alabama, for $150.10
The facts behind this guide don't quote the rule on a foreign LLC's own agent, so check the agent fields on the registration with the Secretary of State. Any agent named in Alabama has to pass the statute's tests. It must be an Alabama resident or a qualifying entity, and the registered office must be a street address in Alabama where papers can be served in person (Ala. Code § 10A-1-5.31). An agent in your home state doesn't carry over unless it is also registered and located in Alabama.2
The facts here don't say whether a foreign registration changes its agent on the same form as an Alabama LLC, so confirm that with the Secretary of State. If you already pay a national service in your home state, ask how it bills an extra state before you assume Alabama is included. Owners active across the region can compare Georgia's registered agent rules, Tennessee's rules and Florida's rules.

Alabama registered agent questions
Can I be my own registered agent in Alabama?
Yes, if you are an Alabama resident and can list a street address in the state where you can be personally served (Ala. Code § 10A-1-5.31). You give your name and that address in the Certificate of Formation. If you later move out of Alabama, name a qualifying replacement on the change form.2
Can my registered office be a P.O. box?
No. The statute says the registered office must be located at a street address in this state where process may be personally served (Ala. Code § 10A-1-5.31). A P.O. box has no street location and nobody can be served there in person, so it doesn't meet that wording.2
How much does it cost to change my registered agent in Alabama?
The Secretary of State charges $100 for the Change of Registered Agent or Registered Office by Entity form. If you switch to a paid service, its yearly fee is separate from the state fee.3
How much notice do I get if my registered agent resigns?
The agent has to give your LLC written notice before filing, and the resignation takes effect on the 31st day after the SOS receives and files the notice. That gives you a window to file the change form naming a new agent before the resignation takes effect.14
Do I need to reserve my LLC name before naming an agent and filing?
Yes. The Secretary of State says: "You must obtain a Certificate of Name Reservation [10A-1-4.02(f)] prior to filing your formation documents." The reservation fee is $25 by mail ($28 online for non-subscribers).10
Does the annual report update my registered agent in Alabama?
No. The yearly filing is Form PPT, a tax return filed with the Alabama Department of Revenue, not the Secretary of State, due March 15 for calendar-year LLCs. Agent and registered office changes go to the Secretary of State on the change form.16
Can an out-of-state company be my Alabama registered agent?
Yes, if it is registered to transact business in Alabama and has a street address in the state where it can be served in person (Ala. Code § 10A-1-5.31). An out-of-state individual can't serve; only Alabama residents qualify as individuals.2
