Agent for service of process requirements in New Jersey

Facts checked October 13 to 14, 2026.

Every New Jersey LLC, and every out-of-state LLC registered to do business here, must keep an agent for service of process (N.J.S.A. 42:2C-14a(2)) and a registered office in the state. The statute says the agent can be "an individual who is a resident of this State or other person with authority to transact business in this State" (N.J.S.A. 42:2C-14). You name the agent in the Certificate of Formation, filed for $100, and a later change costs $25. The point owners most often miss: the yearly annual report asks for the registered agent name and contact information, so an out-of-date agent record shows up there, and a resigned agent stops acting on the 31st day after the filing office files the resignation at the latest.1, 2, 3, 4, 5, 6

New Jersey Registered Agent vs Agent for Service of Process

New Jersey's LLC statute uses the phrase "agent for service of process", but the state's filing forms call the same role a "registered agent", the term most states use. You also list a New Jersey street address as the registered office.

The registered office is the New Jersey street address on file for the LLC, where the agent can be reached; the statute calls it simply an office that need not be where the business operates.

Who can be an agent for service of process in New Jersey?

New Jersey allows two kinds of agent: an individual who lives in New Jersey, or any other person, such as a company, that has authority to transact business in the state (N.J.S.A. 42:2C-14).2

The statute's wording is short. Its full test reads that the agent "shall be an individual who is a resident of this State or other person with authority to transact business in this State". Two practical readings follow from it.2

"Person" in a statute is broader than a human being, which is why commercial agent companies fit the second branch. The statute's test doesn't mention a licence or legal training. What the role demands is that someone reliably receives service of process (the formal delivery of court papers) and gets it to you. The explainer on what an agent for service of process does covers those duties in general terms, and the glossary defines service of process and the other legal phrases used here.

What address does a New Jersey agent need?

The LLC must keep an office in New Jersey at all times, and it need not be a place where the LLC does business (N.J.S.A. 42:2C-14).2

That office is the registered office, the street address on file where the agent can be reached.

Your registered office does not have to be your shop, warehouse or home office. It can be the agent's location, which is how commercial agents work: their New Jersey address goes in the registered office field for every client.

Here is how a few common choices sit against the statute's wording.

Picking a commercial agent swaps their address into the agent and registered office fields. That is true of any agent you hire, so it is no special feature of one company. Other filings still ask for other details. The annual report, for instance, asks for a mailing address and the names and addresses of business partners (members). If you want a separate business address for fields like those, some providers sell one apart from the agent service. doola lists a US business address included in Starter, Bizee (formerly Incfile) lists a virtual address at $29/month, and Tailor Brands lists a Virtual Address product without a published price. The page on what an agent can and cannot keep off the public record explains which details stay visible.5, 7, 8, 9

Can you be your own agent in New Jersey?

Yes, if you live in New Jersey, because the statute lets any resident individual act as the LLC's agent (N.J.S.A. 42:2C-14).

You list your own name and a New Jersey office address when you file.

Being your own agent saves a service's yearly bill. It also means a process server may knock while you are with a client, at a job site or away for the weekend, and papers that go unanswered can lead to a default judgment. For a home-based LLC, your home address goes in the registered office field.

Commuters are a common case here. Someone who lives in Pennsylvania or New York and drives into New Jersey every day still fails the residence branch, because the test looks at where you live, not where you work. Their options are a New Jersey resident they trust or a company with authority to do business in the state.

Whether an LLC can name itself is a separate question. The statute's second branch covers persons with authority to transact business in New Jersey, which a New Jersey LLC has, but the sources for this guide don't say whether an LLC may list itself as its own agent. Ask the Division before you try it.

If you would rather hand the role to a company, the New Jersey agent services comparison sets out each provider's published price and renewal.

How do you name your agent when you form a New Jersey LLC?

The agent and registered office first go on record when you file the Certificate of Formation, the filing that creates the LLC, which costs $100.3, 4

The fee page and filing guidance checked for this guide don't list the certificate's fields, so follow the Division's instructions for where each goes.

Before you file, settle three things.

  1. Who the agent is, checked against the statute's two branches above.
  2. Which New Jersey address goes in as the registered office.
  3. That the agent has agreed to act. The sources for this guide don't describe a separate consent form for New Jersey, so read the filing's instructions or ask the Division how consent is recorded.

If you are still choosing a name, the Division charges $50 to reserve one. The state pages checked for this guide don't publish a standard processing time or the filing methods for the Certificate, so check the Division's site for current options. The step-by-step walkthrough on forming an LLC in New Jersey covers the rest of the filing, and the cheapest ways to form a New Jersey LLC page adds up the state fees.4

How do you change your agent for service of process in New Jersey?

You file a Change of Registered Office or Agent or Both with the Division of Revenue, and the state fee is $25. As the name says, one filing can update the agent, the registered office, or both at once.4

Order of steps makes the difference between a clean switch and a gap.

  1. Choose the new agent and confirm they qualify under the statute.
  2. Get their agreement, and their New Jersey office address if it is changing too.
  3. File the change with the Division and pay the fee.
  4. Keep the old agent in place until the Division's record shows the new one.
  5. Cancel the old service last.

Several providers tie cancellation to the state record. LegalZoom takes cancellations by phone or through its online account and says proof of new RA may be required. InCorp Services requires one of a set of conditions before the annual fee is due (dissolve entity, appoint new agent, or resign InCorp with fees). Rocket Lawyer takes cancellations by phone, and its terms add that you must file change-of-agent paperwork with the state. ZenBusiness's terms say to cancel by contacting customer support by phone. Read your own contract before the renewal date arrives, or you may pay for a year you no longer need.10, 11, 12, 13

General guides on changing an agent and cancelling an agent service cover the steps that work the same way everywhere.

What happens when your New Jersey agent resigns?

The agent's role ends on the 31st day after the filing office files the resignation, or earlier when a new agent designation takes effect. Either way, the LLC needs a new agent on file before the old one drops off.6

New Jersey's statute adds a protection: the filing office sends a copy to the LLC's registered office. That copy goes to the registered office address, which, if your departing agent was a commercial service, may be the service's own address. Check whether your provider forwards that notice to you, and keep your email and mailing details current in its account.6

The Division's fee list shows the same Change of Registered Office or Agent or Both filing also includes resignation of agent without successor, so an agent can resign without anyone named to replace them. That is the situation to avoid, and the change filing naming a new agent is what closes the gap.4

A service whose renewal goes unpaid may resign as agent, and the first sign could be a notice sent to an inbox you no longer check. If you are not sure who is on file, check the LLC's record with the Division.

What happens if a New Jersey LLC has no agent?

An LLC without an agent is out of step with the statute's requirement to keep one (N.J.S.A. 42:2C-14), and the practical risks are missed lawsuits and trouble at report time.

The statute sections and Division pages this guide relies on don't name a penalty tied only to having no agent. That does not make a gap harmless.

If the LLC does fall out of good standing and the state revokes it, New Jersey has a reinstatement path. The Division's reinstatement page lists "$75.00 for reinstatement filing", and the full bill is $75 plus all delinquent annual reports, plus $25 agent/office change if applicable. That last item is where a missing agent costs you twice: you pay to reinstate and to name a new agent. The New Jersey compliance guide covers reinstatement and the reports behind it.14

What does a New Jersey LLC file each year?

A New Jersey LLC files an annual report every year, due by the last day of the month in which the LLC was originally filed, with a state fee of $75.4, 15

The state's portal is plain about it: "Every business in New Jersey must file an annual report." On timing, the business portal puts it as "Firms have until the last day of the month during which they originally filed", so the month you formed in sets your deadline for good.5, 15

For agent purposes, the report is your yearly checkpoint, because it asks for the registered agent name and contact information. Use it to confirm three things.5

If something has changed, the dedicated change filing costs $25. The New Jersey compliance calendar sets out the first and second year, and our explainer on how annual reports work covers the concept across states. Agent services that advertise report reminders are aimed at exactly this deadline; services with compliance tools compares what each publishes.4

Do out-of-state LLCs need a New Jersey agent?

Yes. An LLC formed elsewhere registers in New Jersey with a Certificate of Registration, for $100, and must keep an agent here like a domestic LLC.4

The statute writes this in directly: the agent of a "foreign limited liability company shall be an individual who is a resident of this State or other person with authority to transact business in this State" (N.J.S.A. 42:2C-14). Your home-state agent does not carry over unless that same company has authority to do business in New Jersey.2

Consider a Pennsylvania LLC with a store in Camden. It needs a New Jersey agent and registered office on top of its Pennsylvania ones. If a national service already acts for you in another state, ask how it bills a second one. Foreign LLCs use the same Change of Registered Office or Agent or Both filing to switch agents later. For neighbouring rules, see Pennsylvania's registered agent requirements, New York's rules and Delaware's rules.

New Jersey agent for service of process questions

Do I have to live in New Jersey to be my LLC's agent?

Yes, if you act as an individual. The statute allows "an individual who is a resident of this State or other person with authority to transact business in this State" (N.J.S.A. 42:2C-14). Working in New Jersey while living in another state does not meet the residence test.2

Can a company from another state be my New Jersey agent?

Only if it has authority to transact business in New Jersey (N.J.S.A. 42:2C-14). A commercial agent service acting in New Jersey has to meet this branch, and it supplies its New Jersey address for the registered office.2

How much does it cost to change my agent in New Jersey?

The Division charges $25 for a Change of Registered Office or Agent or Both filing. A paid agent service bills its own yearly fee on top of that state charge.4

Does the registered office have to be where my business operates?

No. The statute requires an office in New Jersey but says it need not be a place where the LLC does business (N.J.S.A. 42:2C-14). It is usually the agent's address.

How long do I have after my agent resigns?

The resignation takes effect on the 31st day after the filing office files the resignation, or sooner when a new agent designation takes effect. File the change naming your new agent before that date so the LLC is never without one.6

Does the annual report ask about my agent?

Yes. New Jersey's annual report asks for the registered agent name and contact information, along with the business name, mailing address and members. It is due by the last day of the month in which the LLC was originally filed, and the fee is $75.4, 5, 15

Can a revoked New Jersey LLC be reinstated?

Yes, New Jersey has a reinstatement filing. The cost is $75 plus all delinquent annual reports, plus $25 agent/office change if applicable. Ask the Division which past-due items your record shows before you file.14
