Registered agent requirements in Nevada
Facts checked October 13 to 14, 2026.
Every Nevada LLC must keep a registered agent with a street address in Nevada, and state law sorts agents into two kinds: a commercial registered agent or a noncommercial registered agent (NRS 77.230). You name the agent in your Articles of Organization, which costs $75 to file, and you can switch later on the Change of Registered Agent by Represented Entity filing for $60. The rule that catches owners out is the resignation deadline: an LLC that does not file a statement of change of registered agent before its agent's resignation takes effect is in default and subject to charter revocation (NRS 86.251).1, 2, 3, 4
Who can be a registered agent in Nevada?
Nevada allows a commercial registered agent or a noncommercial registered agent to act for an LLC, and whichever kind you pick must give a Nevada street address or rural route box number (NRS 77.300).1
The two labels come from the definitions section of the state's registered agent chapter (NRS 77.230). The chapter's own definitions decide which label fits a given agent, and the sources checked for this guide don't quote them in full. If you are unsure how your chosen agent would be listed, the Secretary of State can tell you.1
Nevada law also offers another route. An LLC that does not use a commercial registered agent may name the title of an office or position with the entity (NRS 77.310). Put simply, the filing can point to a role inside the LLC instead of naming a person. The sources for this guide don't describe how that choice is entered on the form or who then receives papers, so ask the Secretary of State before you rely on it.1
What the quoted statute sets is an address test. Nothing in the sections checked for this guide mentions residency, a licence or legal training, though the sources also don't confirm that no such rule exists. Read that way, the address test sorts candidates like this.
- A sibling with a home in Henderson has the Nevada street address the statute asks for.
- A business partner in Boise with no Nevada address cannot meet the address rule, however often they visit Reno.
- An accounting firm based in another state would need a Nevada street address to qualify.
The agent's job is to accept service of process, the formal delivery of court papers, and pass it on to you in time to respond. Our explainer on what a registered agent does covers the duties common to every state, and the glossary defines the legal terms used here.
What address can a Nevada registered agent use?
A Nevada agent's filing must give an actual street address or rural route box number in this State, plus a separate Nevada mailing address if mail goes somewhere else (NRS 77.300).1
So the statute separates the place where papers can be handed over from the place where post arrives, when the two differ. For most owners the practical question is which everyday addresses pass.
- A home or office in Nevada with a real street address fits the wording.
- A post office box is neither a street address nor a rural route box, so on the statute's text it cannot fill the first field. Whether it can serve as the separate mailing address in this State is a question the sources here don't answer; ask the Secretary of State.1
- A mailbox store or virtual office has a street address, but the statute asks for an "actual" one, and the sources here don't say whether such an address qualifies. Check with the Secretary of State before listing one.
Whoever you appoint, their address goes in the agent field of your filings. Every agent works that way, so a paid service shows its own address there rather than yours. Other parts of the record stay as they are. The annual list, for instance, asks for the names and addresses of the LLC's managers or managing members, and the sources for this guide don't state which of those details the state displays. Some providers sell a business address you could use for those other fields, separately from the agent service. In order of our score, that includes Tailor Brands (Virtual Address product offered; price not published), Bizee (formerly Incfile) ($29/month; 1 month free with Bizee LLC formation) and Swyft Filings ($29/mo; Standard 1 month free; Premium 3 months free). Our page on what an agent can and can't keep off the public record explains the limits.5, 6, 7, 8
Can you be your own registered agent in Nevada?
Yes, if you have a Nevada street address where you can reliably accept court papers (NRS 77.300). The state fee schedule used for this guide lists no separate charge for naming yourself.1
Before you list yourself, weigh a few practical points.
- Being reachable. A process server can arrive on any working day. Owners who travel for work, run job sites in rural counties or keep odd hours risk missing a delivery, and a missed delivery can mean a missed court deadline.
- The address you list becomes part of your LLC's filings, which for a home business is usually your home.
- If you move out of Nevada, your old address no longer meets the rule, and the resignation and default rules below make delay costly.
The office-title option described above may suit an LLC with a manager who stays in Nevada. Owners who live in another state need either a trusted contact with a Nevada address or a paid service. The comparison of Nevada registered agent services sets out published prices and terms, and owners abroad can start with the guide for non-resident owners.
How do you name a registered agent when you form a Nevada LLC?
You name your agent in the Articles of Organization, giving the agent's Nevada street address and, if different, a Nevada mailing address (NRS 77.300). The same filing starts several fees at once.2
Formation in Nevada brings a second filing with it: the Initial List of Managers or Members ($150) due when the Articles of Organization are filed, along with the $200 State Business License. So a new Nevada LLC normally pays the formation fee of $75, the list fee and the $200 State Business License fee together, before any agent service is added. The statute also allows an alternative due date for the initial list in some cases, which the sources here don't spell out. The cheapest ways to form a Nevada LLC page adds these up.2, 4
The formation instructions list these filing methods: Online (via nvsos.gov), by mail or in person. The sources for this guide include no standard processing time. If speed counts, the state's fee schedule lists paid tiers for formation and other filings, each priced per item, as follows: 24-hour $125; 2-hour $500; 1-hour $1,000 per item, on top of the filing fee. If you want to hold a name while you line up your agent, a name reservation costs $25 (reserved for 90 days).2
The sources for this guide don't say whether the agent must sign the Articles or a separate acceptance. Read the form's own instructions before you file, and confirm with your chosen agent that they agree to serve. The full step-by-step process sits on the Nevada LLC formation guide.
How do you change your registered agent in Nevada?
You file the Change of Registered Agent by Represented Entity form with the Secretary of State and pay $60, the fee set for a statement of change (NRS 77.280). The filing itself is governed by NRS 77.340.2, 3
The order you do things in counts for more than the form.
- Choose the new agent and confirm they have a Nevada street address and agree to act.
- Complete the change form with the new agent's name and addresses. The sources here don't say whether the new agent must sign; the form's instructions will.
- File it by one of the state's methods and pay the fee. The same fee schedule offers paid speed tiers if you need it on record quickly.
- Keep the old agent until the state has filed the change.
- Cancel the old service last, so there is never a day with no agent on record.
Provider contracts can add their own conditions, so read yours before you start. In order of our score, LegalZoom says proof of new RA may be required; Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation; InCorp Services requires one of three conditions before its annual fee is due, listed as dissolve entity, appoint new agent, or resign InCorp with fees; and Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, otherwise service auto-renews for another one-year term.9, 10, 11, 12
The general guides on switching agents and cancelling an agent service cover the steps that work the same everywhere.
What happens if your Nevada registered agent resigns?
An agent can step down by filing a statement of resignation, which takes effect on the earlier of the 31st day after filing or appointment of a new agent (NRS 77.370). The statute also says the agent must promptly notify the entity of the filing date.13
In Nevada that effective date doubles as your deadline. The LLC rules treat a company that does not file a statement of change of registered agent before its agent's resignation takes effect as in default and subject to charter revocation (NRS 86.251). There is no long grace period built into that rule: the clock runs only from the agent's filing to its effective date, and appointing your new agent is what stops it.4
A resignation can follow ordinary events, such as a friend who acted as agent moving to Arizona or a manager leaving the business, and the notice may go to an email address nobody checks any more. Keeping the contact details your agent holds for you current gives you the most time to file the change form.
If you think your agent may have resigned without telling you, look up your LLC with the Secretary of State and check which agent is on file.
What happens if a Nevada LLC has no registered agent?
An LLC left without an agent after a resignation is in default, and a company in default can have its charter revoked (NRS 86.272, 86.274).4
A revoked LLC is no longer in good standing with the state, and lenders, landlords and licensing offices that ask for proof of standing can see that. And without an agent on file, court papers aimed at your LLC have no reliable route to you, so a lawsuit can move ahead before you know it exists.
Revocation can be undone, at a price. Reinstatement costs $300, plus each missed annual list fee and $75 late penalty. There is also an outer limit: a charter revoked for 5 consecutive years cannot be reinstated. The Nevada compliance guide covers reinstatement and the other ways an LLC can fall into default.4
What does a Nevada LLC file each year to stay in good standing?
Once a year, every Nevada LLC files its Annual List of Managers or Members together with the State Business License renewal, by the last day of the month in which the LLC's organization anniversary falls, and the list fee is $150.2, 14
That yearly filing is a natural moment to check that your agent's details are right. Missing the deadline adds a $75 late fee on the list, plus a separate $100 State Business License late fee. Our Nevada compliance calendar lays out the first and second years in order, and annual reports explained shows how these filings compare across states.2
Do out-of-state LLCs need a Nevada registered agent?
An LLC formed elsewhere registers in Nevada for $75 (plus $150 initial list and $200 State Business License), and any agent it lists there faces the same Nevada street address rule.2
The sources for this guide don't quote the foreign registration form's agent field, so confirm it with the Secretary of State.
The address rule sits in the state's registered agent chapter rather than in its LLC chapter (NRS 77.300). A home-state agent without a Nevada street address therefore can't meet it.1
A national service that already acts for you elsewhere may bill Nevada as a separate state. Ask before you assume it is included. If your LLC also works across the border, compare the agent rules in Arizona, California and Utah.

Nevada registered agent questions
Does a Nevada registered agent have to live in Nevada?
The statute quoted for this guide sets an address test, and the sources checked don't mention a residency test: the agent must give a Nevada street address or rural route box (NRS 77.300). In practice someone has to be at that address to accept papers. Ask the Secretary of State if your situation is unusual.1
Can my Nevada LLC name a job title instead of a person as its agent?
Nevada law lets an LLC that doesn't use a commercial registered agent name the title of an office or position with the entity (NRS 77.310). The sources here don't explain how the form handles it. Confirm the details with the Secretary of State first.1
How much does it cost to change my registered agent in Nevada?
The state fee for the Change of Registered Agent by Represented Entity filing is $60. Paid speed tiers cost extra. A new paid agent's yearly fee is separate from the state fee.2, 3
How long do I have to replace an agent who resigns?
Until the resignation takes effect, which is the earlier of the 31st day after filing or appointment of a new agent. An LLC that hasn't filed a change by then is in default and subject to charter revocation (NRS 86.251). Filing the change as soon as the notice arrives leaves the most room.4, 13
Can I use a P.O. box as my registered agent address in Nevada?
Not as the main agent address. The statute asks for an actual street address or rural route box number in this State (NRS 77.300), which a post office box is not. A separate Nevada mailing address is allowed, and the Secretary of State can tell you whether a box qualifies for that field.1
Can a revoked Nevada LLC be reinstated?
Yes, within a time limit. Reinstatement costs $300, plus each missed annual list fee and $75 late penalty. The exception is long revocation: a charter revoked for 5 consecutive years cannot be reinstated.4
Do I need a Nevada agent if my LLC has no office in Nevada?
Yes, a Nevada LLC needs an agent with a Nevada street address even if its owners and office are elsewhere (NRS 77.300). That agent can be a trusted contact in Nevada or a paid service.1
