Cheapest LLC formation in Colorado

Facts checked October 13 to 14, 2026.

The floor for a Colorado LLC is the Secretary of State's $50 (online only) filing fee to form it and the $25 Periodic Report each year in its reporting month. You reach that floor by filing yourself and acting as your own registered agent, which Colorado allows when your primary residence or usual place of business is in this state. With a paid agent, the formation bill can still be just the state fee, for example with Bizee's Basic package ($0 + state fee), since Bizee gives a free agent for the first year with any Bizee formation package. After that a "free" formation package stops being free: the yearly report fee applies, and the bundled agent renews, at $149/year (ongoing annual fee) in Bizee's case.1, 2, 3, 4, 5

What does Colorado charge to form and keep an LLC?

The state sets these fees, and no provider can lower them. Every package price on this page is quoted before them.

Colorado Secretary of State fees for LLCs
FilingFee
Form the LLC$50 (online only) sos.state.co.us
Reserve a name$25 for 120 days (renewable) coloradosos.gov
Expedited processing$150 additional for expedited paper filing (fulfilled within 3 business days); online filings are effective immediately; no expedite for curing delinquency sos.state.co.us
Change of registered agent$10 sos.state.co.us
Recurring report$25 sos.state.co.us
Reinstatement after dissolution$100 Statement Curing Delinquency (for a delinquent LLC); $100 Articles of Reinstatement for a dissolved LLC sos.state.co.us
Register an out-of-state LLC$100 (Statement of Foreign Entity Authority) sos.state.co.us

Forming the LLC costs $50 (online only), paid when you file the Articles of Organization online. There is no paper form, so no cheaper paper route exists, and none is needed: the state says your filing takes effect immediately after payment.6, 7

Keeping the LLC means filing the yearly Periodic Report, $25 each time, online. The report can be filed two months before or two months after it without penalty, a wide window that makes late fees avoidable.8

Other fixed fees apply only in some cases. A name reservation is $25 for 120 days, which buys something only if a delay will hold up your filing. An LLC formed in another state pays $100 to register in Colorado, in place of the formation fee.1, 9

What pushes a Colorado LLC above the state fees?

A paid registered agent, report-filing subscriptions, packages billed every year, a missed report deadline and rush fees that buy little here all raise the bill. Most can be avoided by choosing deliberately.

A paid registered agent

A Colorado LLC without a registered agent risks its good standing with the state, and C.R.S. § 7-90-701 sets who may serve. You pay nothing if you serve as your own agent, are an adult and live or work in Colorado, though your address then sits in the agent field of the public record. Otherwise a commercial agent bills every year, and every agent price on this page is higher than the state's report fee. Switching is cheap if a renewal rises: a Statement of Change costs $10, and Colorado also lets you update the agent on the Periodic Report. File the change before cancelling the old service.1, 2, 10

Report-filing subscriptions

Colorado's report costs $25 and is filed online, so a service that files it for you charges more than the state does. ZenBusiness's Starter includes Worry-Free Compliance free for 1 year (then $199/yr); Swyft Filings starts every plan on a free trial of ComplianceGuard $199/year (14-day free trial then auto-charged). Neither is a problem if you want the help, but note the date each one starts billing.11, 12

Yearly-billed formation packages

Some packages recur. doola's Starter is $297/yr, Tailor Brands' middle plan is $199/yr plus state fees, and Rocket Lawyer's formation offer depends on a yearly membership ($149/year and up). A plan priced per year adds its price again in year two, on top of the report fee.13, 14, 15

A late Periodic Report

A late report adds a $50 late filing penalty, and the LLC becomes Delinquent if still not filed. Bringing a delinquent LLC back costs a $100 Statement Curing Delinquency, and a dissolved LLC files Articles of Reinstatement for $100. Each of those charges is larger than the report fee itself. The rules are on staying compliant in Colorado.1

Rush fees

The state's expedite charge is $150 additional for expedited paper filing, which doesn't apply to online Articles. Provider rush upgrades speed up the provider's own work; ZenBusiness, for one, says its timing excludes Secretary of State time. With no state queue for online Articles, they are the easiest charge to skip.1, 11

The cheapest options fall into the patterns below, and the pattern decides your year-two bill more than the headline price does. The groups below keep the table's order within each group.

Agent's first year folded into formation

Bizee's Basic package is $0 + state fee and comes with the agent free for the first year with any Bizee formation package, so the formation bill in Colorado is the state's $50 (online only). From year two you add Bizee's agent renewal, $149/year (ongoing annual fee), to the $25 report. Northwest's formation package, $39 + State Fees, may also bundle an agent year: Northwest's corporation page describes its formation price as a total that includes one year of registered agent service, and the LLC page doesn't repeat that. Before ordering, ask Northwest whether it covers an LLC order, since its agent otherwise runs $125 per year. Harbor Compliance's formation starts at $99 plus state fees and its page lists an agent too, without saying for how long; its standalone agent then renews at $159 annually.4, 5, 16, 17, 18, 19, 20

Free formation, agent bought separately

Tailor Brands' Lite ($0 plus state fees), ZenBusiness's Starter ($0 + state fees (does not renew)), LegalZoom's Basic ($0 + state filing fees) and Swyft Filings' Basic ($0 + state fees) don't list an agent. For a Colorado resident acting as their own agent, any of them keeps the formation bill at the state fee. Everyone else pays for an agent from the day the LLC exists; ZenBusiness, for example, sells it as an add-on +$199/yr, with 50% off the first year when it forms the LLC. Swyft's quarterly agent bill, $149 per quarter ($596/year), is the largest yearly agent charge on this page. InCorp belongs here as well, though its formation is priced starting at $99 plus state fees, with the registered agent sold separately at $129 per state per year.11, 14, 21, 22, 23, 24, 25, 26

Plans that bill every year

doola's Starter, $297/yr, includes the agent, but the whole plan renews, so year two costs the plan again plus Colorado's report fee. Tailor Brands' middle plan, $199/yr plus state fees, is also priced per year, though its pricing page states no renewal terms beyond that, and includes annual compliance (report filing and updates); the listing doesn't name Colorado's Periodic Report or any other state's report.13, 14

Formation tied to a membership

Rocket Lawyer forms the LLC for members (First registration free with a Rocket Lawyer membership). The cheapest membership, $149/year, doesn't include the agent. The agent is $125 with a Plus or Pro membership, so you need Plus ($249/year) or Pro ($349/year). Count the membership as part of the yearly cost.15, 27, 28

Each provider's full terms are in its review: Tailor Brands, ZenBusiness, LegalZoom, Bizee, Swyft Filings, doola, Northwest, Rocket Lawyer, InCorp and Harbor Compliance.

Colorado LLC cost questions

Can I form a Colorado LLC for just the state fee?

Yes. File the Articles yourself online for $50 (online only) and serve as your own registered agent, which Colorado allows if your primary residence or usual place of business is in this state. A package at $0 + state fee with the agent's first year included reaches the same total on the day you form the LLC.1, 2, 3

What does a Colorado LLC cost every year after formation?

The state charges $25 for the Periodic Report. Add a paid agent's renewal if you use one, and the plan price again for any yearly package. An owner acting as their own agent who files the report on time pays only the state fee.1

What if my Colorado periodic report is late?

The state adds a $50 late filing penalty, and the LLC turns delinquent if the report still isn't filed. Fixing that takes a $100 Statement Curing Delinquency. The report can be filed two months before or two months after it without penalty, which leaves room to file on time.1, 8

Does it cost anything to change registered agents in Colorado?

A Statement of Change costs $10. You can also change the agent while filing the Periodic Report. Make sure the new agent is on file before you cancel the old one, so the LLC is never without an agent; the Colorado registered agent guide explains why.1
