Cheapest LLC formation in Indiana

Facts checked October 13 to 15, 2026.

The lowest first-year bill for an Indiana LLC is the online filing fee of $75, with no agent cost. That happens when an owner with an Indiana street address acts as the registered agent, or when the LLC uses a package listed at $0 + state fee that bundles the agent's first year (Bizee: free first year with any Bizee formation package). From the second year, the recurring costs are a paid agent's renewal, if you have one, and the Business Entity Report fee of $20 online in the years it falls due. A formation package advertised as free never brings the total to zero: the state fee is always added, and a bundled agent renews at the provider's yearly price, such as $149/year (ongoing annual fee) at Bizee.1, 2, 3, 4, 5, 6

What does the state of Indiana charge to form an LLC?

These fees are set in Indiana statute and collected by the Secretary of State, and no provider can lower them; package prices are quoted before them.

Indiana Secretary of State, Business Services Division fees for LLCs
FilingFee
Form the LLC$75 online, $100 by paper filing iga.in.gov
Reserve a name$10 (electronic application) iga.in.gov
Change of registered agentNo fee iga.in.gov
Recurring report$20 online, $50 by paper filing iga.in.gov
Reinstatement after dissolution$20 online, $30 on paper; paper reinstatement also requires a Certificate of Clearance and a Business Entity Report with its fee iga.in.gov
Register an out-of-state LLC$75 online, $125 on paper iga.in.gov

The one fee every new Indiana LLC pays is for the Articles of Organization. How you file sets the amount: $75 through INBiz, $100 on a paper form.

Name reservation is optional. An electronic reservation costs $10, and only owners who want to hold a name before they file need one.5

An LLC formed in another state that registers to do business in Indiana pays the foreign registration fee in place of the Articles fee: $75 online or $125 on paper.1

After formation, the Business Entity Report (biennial, State Form 48725) is due every other year, in the anniversary month of the LLC's formation. Its fee is $20 online and $50 on paper, so online filing is the cheaper route for the Articles and for every report. Changing your registered agent carries no fee at the state.1, 4, 5, 7

What raises the cost of an Indiana LLC?

Paper filing, a paid registered agent, provider rush fees, checkout add-ons and yearly compliance plans that don't match Indiana's report schedule all push the bill above the state fee.

Paper filing

Paper costs more on both the Articles and the report. The gap is small per filing, but it repeats each time the report comes due, and the Secretary of State's own wording is "Save time and money by filing online".8

The registered agent

Every Indiana LLC needs a registered agent (Ind. Code § 23-0.5-4-3), and the record must state a street address in this state. An owner can cover it in one of these ways.1

  1. Act as your own agent. An owner with an Indiana street address pays nothing, though that address goes in the public agent field. The Indiana registered agent guide explains who qualifies.
  2. Take a free or discounted first year bundled with formation, then pay the renewal.
  3. Buy agent service on its own at the prices in the table below.

Because the Statement of Change of Registered Agent (State Form 56367) carries no fee, moving from a bundled agent to a cheaper one after the first year costs only the new provider's price. File the change before cancelling the old service; how to change a registered agent has the steps.4

Provider rush fees

The state doesn't publish an expedite fee for the Articles. Faster options at checkout are the provider's own: ZenBusiness sells a Rush upgrade +$79 on Starter, and InCorp lists a $50.00 InCorp expedite fee, adding that any state expedite fee is charged in addition. If you have no deadline, the standard option is the cheaper one.9, 10

Add-ons at checkout

The EIN, an operating agreement, a business address and legal document libraries are each sold separately or folded into a higher tier. The IRS issues the EIN itself, so a provider's EIN fee pays for filling in the application.

Yearly compliance plans

Indiana's report comes every other year, so a compliance plan billed yearly charges you in the gap years too. ZenBusiness also lists report filing at $100 per report. Northwest's annual report page says $100 + state fees, charged at filing, though its auto-pay terms place that service in an annual auto-pay charge, and Northwest doesn't say how that works for a report due every other year. A free trial that auto-charges, such as Swyft's 14-day free trial of ComplianceGuard, is worth a calendar note.11, 12, 13

A lapse and reinstatement

Indiana can start administrative dissolution when an LLC goes without an agent for 60 consecutive days or still hasn't delivered its report sixty (60) days after it is due. Reinstatement costs $20 online or $30 on paper, and paper reinstatement also requires a Certificate of Clearance and a Business Entity Report with its fee. The Indiana compliance page covers good standing.1, 5

The notes below cover what each cheapest option adds to the Indiana filing fee in year one and what recurs afterwards, in the same order.

Tailor Brands. Lite is $0 plus state fees and doesn't list an agent, so add $199/year or act as your own. Essential is $199/yr plus state fees, billed every year. See the Tailor Brands review.14, 15

ZenBusiness. Starter is $0 + state fees (does not renew). The agent costs extra (add-on +$199/yr), with 50% off the first year ($99) when you form an LLC, then $199/yr. Starter also includes Worry-Free Compliance free for 1 year (then $199/yr), so mark the date it starts billing. See the ZenBusiness review.9, 16

LegalZoom. Basic is $0 + state filing fees. The agent is $249/year (first-time registered agent customers) and renews at the purchase price, rate subject to change. LegalZoom lists a one-time annual report filing at $99 + state filing fees, billed once, and says its subscription auto-filing excludes Indiana, Maryland, Wyoming. See the LegalZoom review.17, 18, 19, 20

Bizee. Basic is $0 + state fee with the agent's first year included, so year one is the state fee alone. From then on the agent is $149/year (ongoing annual fee). See the Bizee review.6

Swyft Filings. Basic is $0 + state fees. Its agent is $149 per quarter ($596/year), billed quarterly, which makes it the highest yearly agent figure in the table. Its packages don't list an agent. See the Swyft Filings review.21, 22

doola. Starter is $297/yr and includes the agent, duration not stated. The whole plan renews yearly, not just the agent. See the doola review.23, 24

Northwest Registered Agent. Formation is $39 + State Fees, and a year of agent service is included as stated on the corporation page, so ask whether that applies to an LLC. The agent alone is $125 per year. See the Northwest review.25, 26, 27

Rocket Lawyer. Rocket Lawyer offers a first registration free with a Rocket Lawyer membership, and every membership is a yearly charge. Standard ($149/year) leaves the agent out; the agent ($125 with a Plus or Pro membership) needs Plus ($249/year) or Pro ($349/year). See the Rocket Lawyer review.28, 29, 30

InCorp Services. Formation starts at $99 plus state fees, with the registered agent sold separately at $129 per state per year, and its terms say renewals are billed at then-current fee unless a cancellation condition is met. See the InCorp review.31, 32, 33

Harbor Compliance. Formation starts at $99 plus state fees. The agent costs $99 first year and renews at $159 annually; to stop renewal, give notice at least 90 days before the end of the current term. See the Harbor Compliance review.34, 35, 36

Indiana LLC cost questions

Can I form an Indiana LLC for only the state fee?

Yes. File online for $75 and either act as your own registered agent with an Indiana street address or use a package listed at $0 + state fee that includes the agent's first year. Skip optional add-ons such as name reservation.1, 2

What does an Indiana LLC cost each year after formation?

A paid registered agent renews every year at the provider's price. The Business Entity Report adds $20 online in report years, which come every other year, in the anniversary month of the LLC's formation. Owners acting as their own agent pay only the report fee. Taxes are separate and not covered here.4, 5

Is it cheaper to file the Indiana Articles online?

Yes. Online filing through INBiz costs $75, against $100 on paper. The report fee follows the same pattern: $20 online, $50 on paper.1, 5

Does switching registered agents in Indiana cost anything?

The state charges no fee for the change form, so switching costs only the new agent's price. Check your old provider's terms first: Harbor Compliance, for example, needs notice at least 90 days before the end of the current term to stop a renewal.1, 36

What does it cost to reinstate a dissolved Indiana LLC?

The state fee is $20 online or $30 on paper, and paper reinstatement also requires a Certificate of Clearance and a Business Entity Report with its fee. Keeping the report and the agent current avoids the cost; annual reports explained covers how report deadlines work.5
