Resident agent requirements in Maryland

Facts checked October 13 to 14, 2026.

Every Maryland LLC names a resident agent in its Articles of Organization, along with the address of "its principal office in this State". Maryland law defines that agent as an individual residing in this State or a Maryland corporation, limited liability company, or limited partnership (Md. Code, Corps. & Ass'ns § 1-101(x)). Forming the LLC costs $100 at the Maryland State Department of Assessments and Taxation (SDAT), and switching agents later costs $25. The part of that definition that is easiest to miss is the second half: it doesn't list companies formed in another state, even ones with a Maryland office.1, 2, 3

Maryland Registered Agent vs Resident Agent

Maryland calls the registered agent a "resident agent." Most states say "registered agent," but the role is the same: accepting legal papers for your LLC. Your articles must also give the LLC's principal office address in Maryland (no P.O. box), listed separately from your resident agent's name and address.

Maryland's articles of organization must state the LLC's principal office address in Maryland, separately from the resident agent's name and address.

Who can be a resident agent in Maryland?

The definition in Md. Code, Corps. & Ass'ns § 1-101(x) allows two kinds of agent: a person who lives in Maryland, or a corporation, LLC or limited partnership formed under Maryland law, and no other kind of person or business qualifies.2

Maryland's wording names Maryland corporations, LLCs and limited partnerships only, so an out-of-state firm with a Baltimore office does not fit unless it acts through a Maryland-formed entity. Whoever you hire, a national service, a smaller firm or a professional's office, ask which entity will be named on your filing and whether it was formed in Maryland.

For individuals, the test is residence. A member who lives in Silver Spring can be the agent. A co-founder who lives across the line in Virginia or Pennsylvania cannot, however often they come in to work. If that person later moves out of Maryland, they stop meeting the definition and the LLC needs someone else.

The definition ends with a filing condition: the agent is someone whose name, address, and designation as a resident agent are filed or recorded. In other words, a person becomes your resident agent through a filing, not by private agreement. Telling a relative they are your agent changes nothing until a filing names them.2

SDAT's own Articles form describes the role this way: "A resident agent is another entity or individual designated to accept service of process for the LLC." The phrase "another entity or individual" suggests the agent is someone other than the LLC itself. Members can still serve as individuals if they live in Maryland. If you want the LLC to name itself, ask SDAT first. For the duties that come with the role in any state, see what a resident agent does, and the glossary explains service of process and related terms.4

What address can a Maryland resident agent use?

The Articles ask for two separate addresses, under the line "The address of its principal office in this State and the name and address of its resident agent". One is the LLC's principal office in Maryland. The other is the agent's address, given with the agent's name.1

Keep those two apart when you plan your filing. Hiring a commercial agent fills the agent's name and address with the provider's details, but the principal office line still needs an address of the LLC's own. For a home-based business with no other Maryland premises, that may be a home address. Every agent service lists its own address in the agent field, so that substitution is the same whichever provider you pick. The agent service leaves the principal office line to you, and that is where a separate address product comes in.

Several providers sell one apart from the agent service. Tailor Brands lists a Virtual Address product (price not published). Bizee (formerly Incfile) lists a virtual address at $29/month; 1 month free with Bizee LLC formation. Northwest Registered Agent lists Mail Forwarding $20/month (24 select states), so check whether Maryland is one of those states. Whether SDAT accepts a given mailbox or virtual office as a principal office is a question for SDAT, and this page's sources don't include its answer.5, 6, 7

The same caution applies to P.O. boxes for the agent. The statute's definition turns on the agent's name and address being on file and gives no list of acceptable address types, and the sources behind this page include no SDAT statement on boxes. Ask SDAT before listing one. Our page on what an agent can and can't keep off the public record covers which filing fields stay visible.

Can you be your own resident agent in Maryland?

Yes, as an individual, if you live in Maryland (Md. Code, Corps. & Ass'ns § 1-101(x)). You list your own name and address as agent in the Articles, and it costs nothing beyond the filing fee you pay anyway.

The questions to ask yourself are practical.

If you start as your own agent and later want a service, or want your home off the agent line, the switch costs Maryland's change fee of $25. Prices and terms for paid services are compared on the best Maryland resident agent services.

How do you name a resident agent when you form a Maryland LLC?

You name the agent in the Articles of Organization (filed with SDAT), the form that creates the LLC, and the same form asks for the principal office address.8

SDAT takes the Articles by several routes: Online (Maryland Business Express), by mail, or hand delivery to the SDAT drop box in Baltimore. The fee is $100, and timing depends on what you pay for.8

  1. Standard filing takes 6 to 8 weeks under SDAT's current instructions.8
  2. The expedited option costs $150 in total and takes 7 to 14 business days.8
  3. Same-day filing is listed at $425 online or $525 on paper, through the drop box or in person.8

Before you submit, settle who the agent is and confirm they meet the definition. Get the agent's agreement too. The sources for this page do not show whether the Articles carry a separate consent line for the agent, so read the form's instructions on that point. A commercial service will give you the exact name and address to enter.

How do you change your resident agent in Maryland?

You file the form SDAT lists as "Change Principal Office or Resident Agent form and instructions (Resolution)". The fee is $25, for Maryland and foreign LLCs alike.3, 9

The same form changes the principal office, and SDAT labels it a resolution; its instructions say who signs. The order of steps below keeps the LLC covered throughout the switch.

  1. Choose the new agent and confirm they qualify: a Maryland resident or a Maryland-formed corporation, LLC or limited partnership.
  2. Complete the change form with the new agent's name and address.
  3. File it with SDAT by one of its accepted methods (Online (Maryland Business Express), by mail, or hand delivery to the SDAT drop box in Baltimore).
  4. Keep paying the old agent until SDAT has the new one on record. The sources for this page give a processing time only for the Articles (6 to 8 weeks), not for the change form, so check your LLC's record before you cancel.8
  5. Cancel the old service last.

Provider contracts can set conditions of their own. LegalZoom says proof of new RA may be required when you cancel. The terms at InCorp Services require a cancellation condition to be met before the annual fee is due, listed as dissolve entity, appoint new agent, or resign InCorp with fees. Harbor Compliance's terms require notice of non-renewal at least 90 days before the end of the current term. Read your current provider's terms before you file so the renewal date doesn't fall in the middle of the switch.10, 11, 12

The general guides to changing an agent and cancelling an agent service cover the steps that work the same everywhere.

What happens if your Maryland resident agent resigns?

The agent acts on its own: it files a signed resignation with SDAT. Under Md. Code, Corps. & Ass'ns §4A-210(d), the resignation is effective on filing if a successor has been appointed, and otherwise takes effect 10 days after filing (unless a later time is specified).13

That default leaves little room. If no successor is on file, your LLC can be without an agent within days of the agent's filing. Maryland's statute, as gathered for this page, does not state a separate deadline for the LLC to name a replacement, so the safe reading is to file the change form as soon as you learn of a resignation.

A commercial agent may resign after an unpaid renewal; an individual may move away or simply tire of the job. Check that your agent has a current email and mailing address for you, because a resignation notice sent to an old inbox is easy to miss. If you aren't sure who SDAT has on file, look up your LLC's record or ask SDAT directly.

What happens if a Maryland LLC has no resident agent?

The Maryland sources gathered for this page do not set out a specific penalty or countdown for an LLC that is left without a resident agent. What they do show is the risk around it.

The practical problem is delivery. Lawsuit papers and official notices go to the agent on file. With no agent, or an agent who has resigned, they may never reach you, and a case can move ahead while you know nothing about it.

The formal risk is forfeiture. Under Md. Code, Corps. & Ass'ns §4A-911(c), an LLC can lose its right to exist when it has not filed an annual report with the Department for the prior year as required by law. An agent gap and a missed annual report can go together when both depend on mail that never reached the owner.14

Getting back is possible. SDAT charges $100 for Articles of Reinstatement, and all delinquent annual reports must be filed and state/local taxes paid before the LLC is reinstated. The Maryland compliance guide covers forfeiture and reinstatement in more detail.3

What does a Maryland LLC file each year to stay in good standing?

Each year, a Maryland LLC files the Form 1 Annual Report and Business Personal Property Return with SDAT by April 15, and the fee for an LLC is $300.14, 15

The filing duty comes from Md. Code, Tax-Property § 11-101(a), part of Maryland's tax-property law, and SDAT is the assessments and taxation department. The form combines the annual report with a business personal property return, so it asks about property as well as the LLC's details.15

Your resident agent connects to this filing only in a practical way. If your agent service includes compliance reminders, Maryland's April report is the state deadline they would point to; check what your provider actually sends. The Maryland compliance calendar sets out the first and second year in order, and annual reports explained covers how these filings work across states.

Do out-of-state LLCs need a Maryland resident agent?

Yes. An LLC formed elsewhere registers in Maryland with a Foreign LLC Registration, for $100, and it keeps a resident agent on the record like a Maryland LLC.3

SDAT's fee schedule shows this: it lists the resident agent change fee for LLCs as "(foreign & domestic)". The definition in Md. Code, Corps. & Ass'ns § 1-101(x) applies to that agent.2, 3

Here Maryland's narrow list bites. Your home-state agent can act for you in Maryland only if it is a Maryland resident or has a Maryland-formed entity to name. Before relying on an agent based outside Maryland, ask which Maryland resident or Maryland-formed entity it would name on your filing.

Foreign LLCs also file the annual report: the fee schedule lists the same charge for a "Domestic or Foreign Limited Liability Company" ($300). Changing the agent later costs the same $25 as for a Maryland LLC. If you run LLCs in neighbouring states, compare Delaware's registered agent rules, Virginia's rules and Pennsylvania's rules.14

Maryland resident agent questions

Can a company from another state be my Maryland resident agent?

Only through a Maryland-formed entity. The definition allows an individual residing in this State or a Maryland corporation, limited liability company, or limited partnership (Md. Code, Corps. & Ass'ns § 1-101(x)). An out-of-state company that is merely registered in Maryland is not on that list.2

Can I be my own resident agent in Maryland?

Yes, if you live in Maryland. You list your own name and address as agent on the Articles of Organization. If you move out of state, you no longer qualify and need to file a change naming someone who does.

How much does it cost to change a resident agent in Maryland?

SDAT charges $25 for the change form, and the same fee covers a principal office change. If you are moving to a paid service, its yearly price is a separate cost.3

How quickly does a Maryland agent resignation take effect?

It takes effect on filing if a successor is already appointed. Otherwise it takes effect 10 days after filing (unless a later time is specified). If no successor is on file, the change form is how the LLC names one.13

Is the principal office the same as the resident agent's address?

No. The Articles ask for both: "The address of its principal office in this State and the name and address of its resident agent." A commercial agent supplies the agent's address, but the principal office line still needs a Maryland address for the LLC itself.1

Does my Maryland LLC need a resident agent if no one works in Maryland?

Yes. Every Maryland LLC's Articles must give "The address of its principal office in this State and the name and address of its resident agent", wherever its owners live. Owners outside the state can use a commercial service with a Maryland-formed entity, or a Maryland resident they trust.1

What happens if my LLC is forfeited while I am replacing an agent?

The forfeiture ground in this page's sources is an unfiled annual report, not the agent change itself (Md. Code, Corps. & Ass'ns §4A-911(c)). If it happens, SDAT's Articles of Reinstatement cost $100, and all delinquent annual reports must be filed and state/local taxes paid.3, 14
