Registered agent requirements in Virginia
Facts checked October 13 to 14, 2026.
Every Virginia LLC, and every out-of-state LLC registered with the State Corporation Commission, must keep a registered agent and a registered office in the state at all times (Va. Code § 13.1-1015). Naming the agent is part of the Articles of Organization, which cost $100, and changing the agent later carries no state charge at all (No fee). The rule people most often get wrong is who qualifies. Virginia does not let just any adult resident act as agent; an individual must also be a member or manager of the LLC, a member of the Virginia State Bar, or an officer of the LLC.1, 2, 3
Who can be a registered agent in Virginia?
Virginia sets out a closed list. Under Va. Code § 13.1-1015, the agent must fall into one of three groups, and the LLC can't name itself under any of them.1
- A Virginia resident individual who is a member or manager of the LLC, or a member of the Virginia State Bar. If a member or manager is itself a company, a Virginia resident who is an officer, director, general partner or trustee of that company also counts, and a Virginia lawyer can act for an LLC they have no ownership stake in.
- A domestic or foreign corporation, LLC or registered limited liability partnership that is authorized to transact business in Virginia.
- A Virginia resident who is an officer of the LLC, which the statute describes as an employee designated in writing to receive service.
A trusted neighbour in Norfolk, a parent in Chesapeake or a bookkeeper in Richmond cannot be your agent just because they live in Virginia and agree to it. Unless that person is a member or manager, an officer of the LLC, or a Virginia lawyer, they don't qualify. Commercial agent companies fit the second group, which is where owners who don't qualify themselves usually look.
Residence alone settles nothing for an individual, and membership alone doesn't either. A manager who lives in Maryland cannot act as agent; a Virginia resident who has no role in the LLC cannot either, unless they are a member of the Virginia State Bar. For a refresher on the duties every agent carries, read what a registered agent does, and look up unfamiliar legal terms in the glossary.
What address can a Virginia registered agent use?
Virginia ties the agent to a second requirement, the registered office. The statute calls for "A registered office that may be the same as any of its places of business" (Va. Code § 13.1-1015), and an individual or company acting as agent must have a business office identical with that registered office.1
Put simply, the registered office is where the agent works, and it has to be in Virginia. It can be the LLC's own shop or office, because the statute allows the registered office to match one of the LLC's places of business. It can also be a commercial agent's Virginia office.
Here is how common choices fare against that wording.
- The LLC's own premises in Virginia work if the person named as agent qualifies and has their business office there.
- A home address works when the agent is, say, a member who runs the business from home in the state. That home then becomes the registered office on the record.
- A P.O. box raises a question this guide's sources don't answer. The statute speaks of a business office, which suggests a physical place, but the facts gathered for this page include no SCC statement on boxes. Ask the SCC before you list one.
- A mailbox rental or virtual office raises the same doubt, and the sources here don't settle it either.
The agent field shows the agent's address, so a commercial service puts its own office in that slot. That is true of every agent, not a perk of one. Your Articles may ask for other addresses too, such as a principal office, and the sources for this page do not say which of those the SCC publishes. A few providers sell address or mail products separately from the agent service: Northwest Registered Agent lists Mail Forwarding $20/month in select states, Swyft Filings lists a business address and virtual mailbox at $29/mo, and Harbor Compliance lists a virtual address at $350/year per company, per location. The guide to what an agent can keep off the public record explains the limits.4, 5, 6
Can you be your own registered agent in Virginia?
Yes, if you live in Virginia, are a member or manager of the LLC, and have a business office in the state to list as the registered office (Va. Code § 13.1-1015).1
Out-of-state owners are shut out. A member living in Washington, D.C. or North Carolina fails the residency test, however close the business is to the border. So does an owner who moves away after formation, who then needs a replacement before leaving.
Your LLC cannot name itself either; Virginia's statute says so in plain terms.
For owners who do qualify, the trade-offs are practical ones.
- You need to be reachable at the registered office during business hours, because court papers and state notices go there.
- The registered office becomes part of your LLC's record, which for a home business usually means your home address.
- In Virginia the agent also receives the SCC's yearly fee assessment. The SCC mails the fee assessment to the registered agent two months before the due date, so an owner acting as their own agent gets that bill directly, and an agent who is slow to pass mail along can cost you a late penalty.7
A service tends to make sense when no member or manager lives in Virginia, when the owners travel or work off-site, or when they would rather not list a home. The comparison of Virginia registered agent services sets out each provider's published price and terms.
How do you name a registered agent when forming a Virginia LLC?
You name the agent and the registered office in the Articles of Organization, Form LLC-1011, which the SCC charges $100 to file.2, 8
The SCC accepts the Articles in two ways: Online (SCC eFile, encouraged) or paper form. Its own guidance is "We encourage you to file online to save time and prevent processing errors."3
Before you file, settle three points.
- Which of the statute's groups your agent belongs to. Because Virginia limits who may act, you should know whether the agent is a member or manager, a lawyer, an officer or a qualifying company.
- The registered office address, which must match the agent's Virginia business office.
- Whether the agent has agreed. The sources for this guide don't describe a separate consent form at formation, so read the form's instructions or ask the SCC.
On timing, the SCC's expedited-services page says organizational documents are usually processed within 3 to 5 business days. For an extra charge, which the sources for this page don't state in dollars, the SCC also offers Expedited (generally filed by 4:00 p.m. next business day) and Same Day service (organizational documents received by noon). If you want to hold a name before filing, a reservation costs $10. The full filing walkthrough is on forming an LLC in Virginia, and the fee arithmetic is on the cheapest ways to form a Virginia LLC.3, 9
How do you change your registered agent in Virginia?
You file a Statement of Change of Registered Office and/or Registered Agent (Form LLC-1016). The SCC charges nothing for it (No fee). The same form updates the registered office, so a move of the agent's office uses it too.3
A free filing makes the switch cheap, but the order of steps still counts.
- Pick a replacement who fits one of the statute's groups and confirm they will act for you.
- File Form LLC-1016 with the new agent's name and registered office. The sources for this page don't give a separate processing time for this form, so check its status with the SCC before going further.3
- Keep the old agent in place until the change is on file.
- Then end the old service. Ending it first can leave your LLC with no agent, and if an agent resigns and no change follows, Virginia can cancel the LLC's existence (see below).
Providers handle that last step differently. Northwest Registered Agent's terms read "Cancel anytime through the online account; no cancellation fee". InCorp Services requires one of its cancellation conditions to be met (dissolve entity, appoint new agent, or resign InCorp with fees) before the annual fee falls due. LegalZoom notes that proof of new RA may be required, and ZenBusiness's terms say to "Cancel by contacting customer support by phone". Read your current contract before filing so a renewal date doesn't land mid-switch.10, 11, 12, 13
The general walkthrough on changing a registered agent and the guide to cancelling an agent service cover the steps that work the same everywhere.
What happens if your Virginia registered agent resigns?
The agent files a statement of resignation with the SCC. It takes effect at the earlier of 12:01 a.m. on the 31st day after filing or the filing of a statement of change naming a new agent.14
The agent has to tell you, but in a specific way: the agent must mail a copy to the LLC's principal office. So the copy goes by mail to the principal office on your record, and if your principal office moved without an update to the SCC, the notice can go astray.14
From there the clock runs fast. Virginia's cancellation rule applies when an LLC fails to file a statement of change pursuant to § 13.1-1016 within 31 days. The SCC then sends notice of impending cancellation, and if no statement of change arrives by the last day of the second month following, its existence is automatically canceled.15
Owners lose agents for ordinary reasons. A member who was acting as agent moves to another state. A lawyer retires. A commercial service resigns over an unpaid renewal. Whatever the cause, the fix is the same free filing, Form LLC-1016, and the earlier you send it, the less exposure you carry.3
What happens if a Virginia LLC has no registered agent?
Virginia does not wait for a court or a hearing. An LLC left without an agent after a resignation, which then ignores the SCC's notice, has its existence canceled automatically under the statute.
A canceled LLC is no longer in existence on the state's records. That can block a bank account, a loan, a licence renewal or a contract that requires a certificate of good standing. And with no agent on file, a lawsuit served on the LLC may move ahead before you learn of it.
There is a way back. Reinstatement costs $100 plus all unpaid annual registration fees and penalties, and an LLC must apply within five years of cancellation. One more condition applies when an agent resigned: the LLC must file a statement of change if the agent resigned and no new agent was appointed. The Virginia compliance guide covers reinstatement in more depth, along with the other cancellation route, an unpaid annual fee.3
What does a Virginia LLC pay each year to stay in good standing?
Virginia LLCs file no annual report. The recurring obligation is an annual registration fee of $50, due each year by the last day of the month in which the LLC was formed.16
The fee is first due by the last day of the 12th month after the month of organization. So an LLC formed in May first pays by the end of the following May, then every May after that.16
The agent has a part in this: the SCC mails the fee assessment to the registered agent two months before the due date. An agent who no longer works with you, or one with stale contact details for you, can sit on that notice. The Virginia compliance calendar lays out year one, year two and the late penalty in order, and annual reports explained covers how the report-based states differ.7
Do out-of-state LLCs need a Virginia registered agent?
Yes. An LLC formed elsewhere registers here with an Application for Registration, Form LLC-1052, which costs $100.8
Once registered, it carries the same duty to keep a registered agent and registered office in Virginia (Va. Code § 13.1-1015), and its annual registration fee follows the same statute, which covers any LLC "organized, established, or registered".1, 16
Your home-state agent does not carry over unless the same company is authorized in Virginia and has an office here. Foreign LLCs face the same narrow list of who may act, so an out-of-state manager cannot step in. If your LLC also works across a nearby border, compare the rules for Maryland, North Carolina and West Virginia; each sets its own registered agent test.

Virginia registered agent questions
Can a friend or family member who lives in Virginia be my registered agent?
Only if they fit one of the statute's groups (Va. Code § 13.1-1015). A resident individual must also be a member or manager of your LLC, an officer of it, or a member of the Virginia State Bar. A relative with no role in the LLC does not qualify just by living in the state.1
Can my LLC act as its own registered agent in Virginia?
No. The statute lets a corporation, LLC or registered partnership act as agent if it is authorized in Virginia, but it excludes the LLC itself. A member or manager who lives in Virginia can act personally instead.
How much does it cost to change a registered agent in Virginia?
Nothing at the state level. The SCC's fee table shows the statement of change, Form LLC-1016, as No fee. If you move to a paid service, its own yearly fee is separate.3
How long do I have after my agent resigns?
The resignation takes effect at the earlier of 12:01 a.m. on the 31st day after filing or your filing of a new agent. If the LLC fails to file a statement of change pursuant to § 13.1-1016 within 31 days, the SCC sends a cancellation notice, and the LLC is canceled if nothing is filed by the last day of the second month following. Filing the free change form promptly avoids all of it.14, 15
Why does Virginia send the annual fee notice to my registered agent?
The SCC mails the fee assessment to the registered agent two months before the due date. That makes a current, responsive agent part of paying the $50 fee on time. If your agent is a service, keep your email and mailing details current in its account.7, 16
Does a foreign LLC need a Virginia registered agent?
Yes. Registering with Form LLC-1052 brings the same duty to keep a registered agent and registered office in the state (Va. Code § 13.1-1015). The agent must meet the same qualifications as for a Virginia LLC.1, 8
Can my registered office be a P.O. box?
The statute requires the registered office to match the agent's business office in Virginia (Va. Code § 13.1-1015), which points to a physical place. This page's sources include no SCC statement on P.O. boxes, so ask the SCC before relying on one.1
