Best LLC formation services in Rhode Island
Facts checked October 13 to 15, 2026.
A Rhode Island LLC is formed by filing the Articles of Organization for a Domestic Limited Liability Company (Form 400) with the Rhode Island Department of State, Business Services Division; the fee is $150 whether you file online or on paper, and the state says processing takes 1 to 3 business days. You also need a resident agent who meets R.I. Gen. Laws § 7-16-11. A formation service files the same form, adds its own price, and decides what else comes in the package: an agent, an EIN, an operating agreement, or help with the annual report that starts the following year.1, 2, 3
Rhode Island law uses the term resident agent. Most states call the same role a registered agent. What the term means in Rhode Island
How do you form an LLC in Rhode Island, step by step?
Pick a name the state will accept, line up a resident agent, file the Articles of Organization by one of three methods, then get an EIN and sign an operating agreement.
The order below avoids the two usual holdups: a name that is already on the state's records and an agent who doesn't qualify.
- Search the name. Look the name up in the Department of State's business records before you file. The state doesn't publish a name reservation fee on a page we can cite, so if you want to hold a name, ask the Business Services Division.
- Line up a resident agent. Under R.I. Gen. Laws § 7-16-11, the agent may be an individual resident of this state or a business entity formed in Rhode Island or authorized to do business here. A resident agent is the person or company that receives lawsuit papers and state notices for the LLC. Who qualifies, and whether you can serve yourself, is covered in the Rhode Island resident agent guide.3
- Complete the Articles. The form is the Articles of Organization for a Domestic Limited Liability Company (Form 400). A service fills it in from your order; on your own, you complete it online or on the paper form.
- File it. You can file online, by mail, or in person; in-person filings go to the Business Services Division in Providence. The paper form says the fee is "payable either by mail via check made payable to RI Department of State", or "in person via cash, credit card, or check at the Business Services Division".1
- Wait for approval. The Department of State says a filing may take 1 to 3 business days. We found no expedite option on the state pages we cite, so we can't point to a faster paid tier.2
- Get an EIN. The Employer Identification Number is the federal tax ID the IRS issues. Banks usually ask for it, and some packages below include it.
- Sign an operating agreement. It records who owns the LLC, who makes decisions and what happens when an owner leaves. The state pages we checked don't ask for it to be filed, and owners usually keep it with the LLC's records.
- Plan for next year. The state says LLCs file the annual report "starting the calendar year after they register their business", in the window February 1 to May 1 each year, and the Division of Taxation charges a $400 minimum annual tax. Staying compliant in Rhode Island covers both.4, 5

"Not listed" means the provider's package description doesn't mention the item, so ask before you pay. Year-one and later totals, including the tax and agent renewals, are worked out in the cheapest ways to form a Rhode Island LLC.
What does each provider's formation package include for a Rhode Island LLC?
Each paragraph covers only the provider's published formation terms, in the same order as the table, and notes how its timing and extras compare with the state's own process.
Agent service is compared separately in resident agent services for Rhode Island. Trustpilot ratings sit in the provider table and aren't repeated here.
Tailor Brands
Lite costs $0 plus state fees and is processed within 14 business days, which is longer than the state's own 1 to 3 business days. Its description says it has no annual compliance, operating agreement or branding tools. Essential, at $199/yr plus state fees, is processed within 1 business day and adds an operating agreement plus annual compliance (report filing and updates), which covers the report a Rhode Island LLC files every spring. Essential and Elite ($249/yr plus state fees) are yearly charges. The packages don't list an agent; Tailor Brands sells it at $199/year.6, 7
ZenBusiness
Starter is $0 + state fees (does not renew), with ZenBusiness handling quoted as 7 to 10 days; that figure excludes Secretary of State time. Starter includes Worry-Free Compliance free for 1 year (then $199/yr), and the EIN and operating agreement are +$99 add-ons. Faster handling is a Rush upgrade +$79 on Starter. Pro ($199 + state fees, renews at $199/yr) adds state-required annual report filings and up to 2 amendments per year, plus the EIN and an operating agreement template. No ZenBusiness plan includes the agent; it is an add-on +$199/yr, though ZenBusiness offers 50% off the first year ($99) when you form an LLC.9, 29
LegalZoom
The $0 + state filing fees package covers the Articles of organization, a name check and a tax consultation, and other extras are priced one by one. The EIN is $79, the operating agreement starts at $99, and the agent $249/year (first-time registered agent customers). The middle package, $249 + state filing fees, adds attorney consultations (30 days included, then $49/month auto-renew); the top package adds bookkeeping tools with a 6-month subscription included. We didn't find a handling time on LegalZoom's pricing page, so ask how long its filing takes before the state's own processing starts.11, 12, 13, 14
Bizee
Basic is $0 + state fee and lists "Registered Agent (1st year included)" and a "Virtual Address (1st month included)". Bizee's own timing for Basic is 4 to 6 weeks, a long wait next to the state's 1 to 3 business days. Standard, at $199 + state fee, adds the EIN and operating agreement and is quoted at ~2 weeks (includes expedited filing). Premium ($299 + state fee) lists expedited filing (~4 business days). After the free year, the agent renews at $149/year (ongoing annual fee).15, 30
Swyft Filings
Basic is $0 + state fees, with 7 to 10 business days of handling. Standard, priced at $169 + state fees (promotional, 'SAVE $30'; regular $199), adds custom organizational minutes, custom banking resolution, business banking essentials, operating agreement and cuts handling to 3 business days; Premium lists 1 business day. Every package includes a trial of ComplianceGuard, Swyft's report service at $199/year, and the terms describe a 14-day free trial then auto-charged. A Rhode Island LLC files its first report in the calendar year after it registers, so the trial ends well before there is a report to file. No package lists the agent; it is sold at $149 per quarter ($596/year).17, 31, 32
doola
Starter costs $297/yr, a yearly plan, and includes LLC filing, EIN, US bank account guidance, US business address, registered agent. doola says it files in 1 to 2 business days, and the state's own processing follows. It says it works with a non-resident without a US SSN; agent services for non-resident founders covers that case. Annual report filing comes with the higher plans, and Starter does not include ongoing compliance filings.18, 19, 33, 34
Northwest Registered Agent
The $39 + State Fees package includes the filing and a free domain name, open source website, phone line, business email, business address, brand protection. Northwest says a year of agent service comes with formation, but only as stated on the corporation page; the LLC page doesn't repeat it, so confirm at checkout. The EIN is $50 (with SSN); $200 without SSN. Its operating agreement is a free template. The standalone agent is $125 per year.20, 21, 22, 23, 35
Rocket Lawyer
Formation is tied to membership: Rocket Lawyer lists the first registration free with a Rocket Lawyer membership, and says additional registrations are $99 each. Memberships bill yearly at $149/year (Standard), $249/year (Plus) or $349/year (Pro), and the formation offer excludes government and third party fees. The agent is $125 with a Plus or Pro membership. The EIN is $70 with Plus or Pro membership; no operating agreement is listed with formation.24, 25, 36, 37
InCorp
InCorp prices formation starting at $99 plus state fees, and its description mentions only live chat and phone support. The agent is not part of it; InCorp lists the registered agent sold separately at $129 per state per year. Its own expedited processing is a $50.00 InCorp expedite fee, with any state expedite fee charged on top. For the yearly Rhode Island report, InCorp sells filing at $89 + state fees.26, 27, 38, 39
Harbor Compliance
Harbor prices formation starting at $99 plus state fees and lists name check, articles, registered agent, EIN, operating agreement on its formation page, without saying which tier includes which item. It says it can prepare and file the government forms to create most LLCs in one business day. Harbor mentions state expedite options in most states but doesn't publish a price for them, and we found no Rhode Island expedite tier to pay for. The agent alone is $99 first year (new customers), renewing at $159 annually.28, 40, 41
Should you file the Rhode Island Articles yourself or use a service?
Filing yourself costs $150 and takes the state 1 to 3 business days; a service charges its package price on top and, in several cheap tiers, takes longer than the state does.2
Filing alone in Rhode Island takes little more than the form and the fee. The fee is the same online or on paper, and the paper form allows payment "in person via cash, credit card, or check at the Business Services Division". The state pages we checked list no paid expedite tier, so a service has no faster state review to buy.1
The agent is where many owners decide. An owner who lives in the state can serve as an individual resident of this state and skip the agent fee, but that person's address then sits in the agent field of the public record and someone needs to be there to receive papers. A service puts its own address in that field instead. That holds for every commercial agent, and it leaves the other addresses on your filing unchanged; for those, some providers sell a business address, such as Swyft Filings' business address and virtual mailbox at $29/mo.3, 17
Look past the first year before choosing. The annual report is due February 1 to May 1 each year from the next calendar year, and the $400 minimum annual tax is owed even without business activity or profit. Packages that bundle report filing (Tailor Brands' Essential, ZenBusiness's Pro) are yearly charges, while a free agent year renews at the provider's normal price. A single-owner LLC can often work from a template operating agreement; one with partners or investors may want a lawyer to draft it. Terms used here are defined in the glossary.4, 5
Questions about forming an LLC in Rhode Island
How long does it take to form an LLC in Rhode Island?
The Department of State says a filing may take 1 to 3 business days. A service adds its own handling first, which ranges from within 1 business day on Tailor Brands' Essential to 4 to 6 weeks on Bizee's cheapest package, by each provider's own description. We found no state expedite option on the pages we cite.2
Can I file the Rhode Island Articles of Organization in person?
Yes. You can file online, by mail, or in person, and in-person filings go to the Business Services Division in Providence. The paper form allows payment "in person via cash, credit card, or check at the Business Services Division"; a mailed filing is paid by check. The fee is $150 either way.1, 2
Do Rhode Island formation packages include a resident agent?
Some do. Bizee's Basic lists "Registered Agent (1st year included)", and doola's Starter lists the agent, while ZenBusiness sells it as an add-on +$199/yr. Check the renewal price as well as the first year; resident agents compared for Rhode Island lists each one.9, 15
Is a package that files annual reports useful for a Rhode Island LLC?
It can be, because the state has a yearly report ($50, due February 1 to May 1 each year). Tailor Brands' Essential includes report filing, and ZenBusiness's Pro covers state-required annual report filings and up to 2 amendments per year. Compare that yearly cost with filing the report yourself; annual reports explained shows what the filing involves.4, 9
Does a formation package cover the Rhode Island minimum tax?
No. The $400 minimum annual tax goes to the Division of Taxation and is owed even without business activity or profit. Package prices cover the provider's service, and providers say state fees are extra. The Rhode Island compliance page explains the tax and the report.5
