Resident agent requirements in Rhode Island

Facts checked October 13 to 14, 2026.

Rhode Island law says an LLC "shall have a resident agent for service of process on the limited liability company" (R.I. Gen. Laws § 7-16-11), and that covers out-of-state LLCs registered here as well. The agent can be a Rhode Island resident or a qualifying business. The statute requires the LLC's filings to state the address of its resident agent, starting with the Articles of Organization ($150), and you replace the agent later with a Statement of Change of Agent on Form 642, which costs $20. The rule with the shortest clock: an LLC that fails for 30 days to appoint and maintain a resident agent gives the Secretary of State grounds to revoke its certificate of organization.1, 2, 3, 4, 5

Rhode Island Registered Agent vs Resident Agent

Rhode Island calls the registered agent a "resident agent." Most states say "registered agent," but the role is the same: accepting legal papers for your LLC. The agent must be a Rhode Island resident or a business authorized in the state.

The articles ask for the name and address of the resident agent/office in Rhode Island, plus the LLC's principal office address if it is determined at the time of organization.

Who can be a resident agent in Rhode Island?

Rhode Island allows two kinds of agent: an individual who lives in the state, or a corporation, limited partnership or LLC that was formed in Rhode Island or is authorized to do business here (R.I. Gen. Laws § 7-16-11).2

The statute sets this out in two short lines. The first reads "An individual resident of this state". The second covers "A corporation, limited partnership, or limited liability company, and in each case either domestic or one authorized" in Rhode Island. The quoted text names residency as the test for a person; the sources checked for this page list no licence or separate registration for an individual agent.2

The residency line is narrow, and the borders are close. A co-founder who lives in Cranston qualifies. A business partner in Attleboro, Massachusetts, or Pawcatuck, Connecticut, does not, however short the drive. An accounting firm based in Boston can act only if the firm itself is authorized to do business in Rhode Island.

Commercial agent services qualify under the entity line, as long as the company is authorized to do business in Rhode Island. The agent's job is to accept service of process, the formal delivery of court papers in a lawsuit, and pass it on to you without delay. For the duties that apply in every state, read what a resident agent does; the glossary defines service of process and the other legal terms on this page.

What address does a Rhode Island resident agent need?

Rhode Island's agent section requires the LLC's filings to state the address of its resident agent, and it sets no separate registered office test beyond the agent's own residency or authorization (R.I. Gen. Laws § 7-16-11).2

The Department's forms still treat the office as its own item. If only the office address moves while the same agent stays on, the Department uses Form 642A rather than the full change-of-agent filing. So the address you list is something you are expected to keep current, not a one-time detail.4

How common choices hold up depends on whether papers can actually reach the agent there.

Every agent, whichever provider you pick, lists its own address in the agent field, so naming a service moves the service's address onto the record in place of yours. The other addresses on your record are a separate matter: the annual report, covered below, asks for the principal office and a mailing address. Some providers sell a business address product apart from the agent service. In order of our score: Tailor Brands sells a Virtual Address product but doesn't publish its price; Bizee charges $29/month for a virtual address and Swyft Filings $29/mo; Northwest lists Mail Forwarding $20/month, offered only in select states, so confirm Rhode Island is one of them. Our page on what an agent can and can't keep off the public record goes further.6, 7, 8, 9

Can you be your own resident agent in Rhode Island?

Yes, if you live in Rhode Island. The statute's wording, "An individual resident of this state", covers any member or manager who resides in the state.2

Whether it suits you comes down to practical points rather than legal ones.

  1. Papers can arrive at the listed address on any working day, so someone needs to be there to take them. A missed delivery can mean a missed response deadline in court.
  2. The address you give goes onto your LLC's record. For a business run from home, that means your home address.
  3. Moving out of state ends your eligibility. An owner who relocates even a few miles into Massachusetts needs a replacement agent on file.

Owners who already live in Massachusetts or Connecticut and run a Rhode Island LLC cannot act as its agent at all. They need either a resident they trust or a company authorized here. The statute names limited liability companies among the entities that may serve, but the text checked here doesn't say whether an LLC may name itself, so ask the Department before trying that route.

A service tends to make sense for owners who live across the border, travel for work, or would rather keep a home address out of the agent field. The Rhode Island resident agent services compared page sets out each provider's published price and terms.

How do you name a resident agent when forming a Rhode Island LLC?

The agent first goes on record in the Articles of Organization (Form 400), the document that creates the LLC, filed with the Rhode Island Department of State, Business Services Division for $150. The statute requires the LLC's filings to state the address of its resident agent (R.I. Gen. Laws § 7-16-11).2, 3, 10

The Department accepts the Articles in three ways: Online, by mail, or in person (Business Services Division, Providence). It says a filing may take 1 to 3 business days to process. This guide's sources don't list a paid expedite option for Rhode Island, so plan on the standard turnaround.3, 10

Before you file, settle three things.

  1. Who the agent is, and that they meet one of the statute's two lines.
  2. The exact address to list, which should be a place where papers can be handed to the agent.
  3. That the agent has agreed. The sources checked for this page don't say whether the Articles ask for a signed consent, so read the form's instructions or ask the Department, and get agreement in writing either way.

The rest of the filing, including the name check and what a formation package adds, is covered in how to form an LLC in Rhode Island. For the full cost of getting started, see the cheapest ways to form a Rhode Island LLC.

How do you change your resident agent in Rhode Island?

You file a Statement of Change of Agent, which the Department numbers Form 642, and pay a $20 filing fee. If the agent stays the same and only the office address moves, the Department points you to Form 642A instead.4

The sequence protects you more than the form does.

  1. Choose the replacement and check that it qualifies: a Rhode Island resident, or an entity formed or authorized here.
  2. Get its agreement and the exact name and address it wants on the record.
  3. File Form 642 with the Department. The filing methods quoted in this guide come from the Articles of Organization form, so follow the change form's own instructions for how to submit it. The Department says a filing may take 1 to 3 business days to process.
  4. Look up your LLC once the filing is processed and confirm the new agent appears.
  5. Only then cancel the old service. Cancelling first leaves a gap, and a gap is what starts the revocation clock described below.

Providers write their own conditions into the exit. Listed by our score, ZenBusiness handles cancellation by contacting customer support by phone, and LegalZoom notes that proof of new RA may be required. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, or the service renews for another term. Read your current contract before filing so a renewal charge doesn't land in the middle of the switch.11, 12, 13, 14

The steps that work the same everywhere are in the general guide to changing a resident agent, and cancelling an agent service covers the provider side. Full terms for each company are in the reviews of ZenBusiness, LegalZoom, Bizee and Harbor Compliance.

What happens if your Rhode Island resident agent resigns?

The agent files a signed resignation with the Secretary of State, with a statement that it was delivered to the LLC, and the resignation is effective 30 days after filing unless a later time is specified (R.I. Gen. Laws § 7-16-11).2

That window is short, and it lines up with the revocation rule in the next section. The revocation ground is an LLC that fails for 30 days to appoint and maintain a resident agent. The sources checked here don't say exactly when that count begins after a resignation, so the cautious approach is to treat the resignation notice itself as your deadline and file Form 642 straight away.5

Because the agent has to state that it delivered the resignation to the LLC, the notice goes wherever the agent last had your contact details. If you changed email or let an account lapse, it can sit unread. This can happen when a paid service resigns after a renewal invoice goes unpaid and the notice goes to an inbox nobody checks.

Keep your contact details current with your agent, and if you think your agent has stopped acting without telling you, ask the Department which agent it shows for your LLC.

What happens if a Rhode Island LLC has no resident agent?

Under § 7-16-41, an LLC that fails for 30 days to appoint and maintain a resident agent gives grounds for revocation, and its certificate of organization may be revoked by the secretary of state.5

Rhode Island's statute speaks of revoking the certificate, where many other states use the phrase administrative dissolution. The effect is similar. A revoked LLC generally can't show good standing with the state, which can block a bank loan, a contract that asks for a certificate of good standing, or a licence renewal.

There is a second risk that has nothing to do with the Department. A lawsuit filed while no agent is on record may proceed without you, and a default judgment is far harder to undo than a late filing.

This guide's sources don't cover how Rhode Island restores a revoked LLC or what it charges. If your LLC has lost its certificate, contact the Rhode Island Department of State, Business Services Division for the current process, and speak to a lawyer if the company kept trading or signing contracts in the meantime. The Rhode Island compliance guide lists the other recurring obligations that can affect standing.

What does a Rhode Island LLC file each year to stay in good standing?

Each Rhode Island LLC files an annual report on Form 632 during the window of February 1 to May 1 each year, with a $50 filing fee; the Department says LLCs file "starting the calendar year after they register their business".15

A report not filed in time draws a late penalty, listed as "$25 applied June 1". The report asks for the principal office, a mailing address and "A brief statement of the character of the business", so it is a natural yearly moment to look at your whole record, agent included. A change of agent still goes on Form 642; the sources here don't say the annual report can replace that filing.15, 16

The annual report is not the only recurring bill. LLCs also owe a $400 minimum annual tax to the Division of Taxation, which runs separately from the Department of State. The Rhode Island compliance calendar covers both in order, and annual reports explained shows how these filings work across states.17

Do out-of-state LLCs need a Rhode Island resident agent?

Yes. The statute's opening line reads "Each domestic or foreign registered limited liability company shall have a resident agent for service of process", so an LLC formed elsewhere and registered in Rhode Island needs an agent here on the same terms (R.I. Gen. Laws § 7-16-11).2

Your home-state agent does not carry over automatically. A Massachusetts LLC whose agent is an individual in Worcester needs someone else for Rhode Island, unless that agent is a company also authorized here. If you use a national service, check whether its price covers Rhode Island as a second state.

This guide's sources don't include Rhode Island's foreign registration fee; ask the Department for the current amount. If your LLC also operates next door, compare Massachusetts registered agent rules, Connecticut's rules and New York's rules.

Rhode Island resident agent questions

Can I be my own resident agent in Rhode Island?

Yes, as long as you live in Rhode Island, because the statute allows "An individual resident of this state" to serve. Your name and address go on the filings. If you later move out of state, you need to file a change naming a new agent.2

Can someone who lives in a neighbouring state be my agent here?

Not as an individual, even a few miles over the line in Massachusetts or Connecticut. A person must be a Rhode Island resident (R.I. Gen. Laws § 7-16-11). A company based elsewhere can act only if it is authorized to do business in Rhode Island.2

How much does it cost to change resident agents in Rhode Island?

The state fee for Form 642 is $20. Any paid service you switch to charges its own annual fee on top. Changing only the office address uses Form 642A.4

How quickly does Rhode Island process a change of agent?

The Department says filings may take 1 to 3 business days to process. This guide's sources don't list a paid expedite option, so file well before your old service's renewal date.3

How long do I have after my agent resigns?

A resignation is effective 30 days after filing unless a later time is specified, and an LLC that fails for 30 days to appoint and maintain a resident agent can lose its certificate. File the change as soon as the notice arrives instead of waiting for the resignation to take effect.2, 5

Does my agent's address go on the LLC's filings?

Yes. The LLC's filings must state the address of its resident agent (R.I. Gen. Laws § 7-16-11). A commercial service puts its own address there, but that doesn't change the other addresses your annual report asks for.2

Does a Rhode Island LLC with no office in the state still need an agent?

Yes. The law requires every domestic LLC and every registered foreign LLC to keep one (R.I. Gen. Laws § 7-16-11), wherever the owners live. Owners outside the state need a Rhode Island resident or a company authorized here.2
