Registered agent requirements in Washington
Facts checked October 13 to 14, 2026.
Every Washington LLC must continuously maintain a registered agent, and the appointment itself is governed by RCW 23.95.415. You name the agent in the Certificate of Formation ($180), and switching agents later on a Statement of Change/Designation of Agent carries no state charge (No fee). The rule owners most often miss is consent: under Washington law an agent shall not be appointed without having given prior consent in a record to the appointment, so you cannot list a friend, relative or service until they have agreed in writing or another record.1, 2, 3, 4
Who can be a registered agent in Washington?
Washington lets an LLC name a commercial registered agent or, if it has none, a noncommercial registered agent or an office or position title, and every one of them must have consented before being named (RCW 23.95.415).1
The statute sorts agents into two groups. When the filing names a commercial registered agent, the commercial agent's name is what appears. When it doesn't, the filing lists a noncommercial registered agent (name and address) or an office or position title. The second route is the one an LLC uses when it doesn't hire a commercial agent, whether it lists a person or a role inside the business.1
Naming an office or position title lets an LLC point to a role instead of a named person, which can help when staff change. It does not remove the need for someone who reliably receives papers at the listed address; a title with nobody behind it is a weak choice in practice.
The facts gathered for this page cover the structure of the appointment and the consent rule. They don't include a separate residency test or the statute's definition of a commercial agent, so if you plan to use someone who lives outside Washington, or a business you are not sure qualifies as commercial, ask the Corporations and Charities Division before you file. For the duties that apply in every state, read what a registered agent does, and the glossary defines service of process and the other legal terms used here.
What address does a Washington registered agent need?
For a noncommercial agent, the filing must include the agent's name and address; for a commercial agent, the statute speaks only of the filing naming it (RCW 23.95.415).1
The sources behind this guide don't include a Division statement on P.O. boxes, mail drops or virtual offices. The agent's job is to receive lawsuit papers and official notices, so an address where someone can actually take delivery is the practical choice. If you are thinking about a box or a mailbox store, ask the Division whether it will accept it before you file.
Each common setup raises its own question.
- A home in Spokane or Tacoma works only if someone is usually there to receive papers, and that address then sits on the LLC's record as the agent's address.
- A shared office or coworking desk depends on whether the front desk will accept legal papers for you.
- A commercial agent's office. The agent's own address goes in the agent field, which is true of every provider, not a feature of any one of them.
Using a commercial agent changes only the agent field. The Annual Report also asks for a principal office and lists the LLC's governors, so those entries stay on the record whoever your agent is. Owners who want a separate business address for those fields can look at address products sold apart from the agent service: Northwest lists Mail Forwarding $20/month (24 select states), so check whether Washington is one of its states, and Bizee lists $29/month; 1 month free with Bizee LLC formation. Our page on what a registered agent can keep off the record explains the limits.5, 6, 7
Can you be your own registered agent in Washington?
The facts behind this guide don't bar it. The statute's noncommercial route takes an agent's name and address, which is how an owner serving personally would be listed, after giving the consent the law requires (RCW 23.95.415).1
Whether it suits you depends on how you work.
- Think about where you are on weekdays. If you spend days on job sites around Seattle or travel for weeks at a time, papers may sit unclaimed while a response deadline runs.
- Decide whether you are comfortable with your address on the record. For many home-based businesses, the agent address ends up being the owner's house.
- Plan for change. If you move or take a job elsewhere, a free Statement of Change/Designation of Agent fixes the record, but only if you remember to file it.3
The cost side is easy to state. Serving yourself means no agent fee, and switching later carries no state fee (No fee). That makes Washington a low-risk state to start as your own agent and move to a service later, or the other way round. The Washington registered agent comparison lists each service's published price and renewal terms if you want to weigh that switch.4
How do you name a registered agent when forming a Washington LLC?
You name the agent in your Certificate of Formation ($180), and you should have the agent's consent in hand before you submit it, because the statute bars an appointment made without prior consent in a record (RCW 23.95.415).2
The Division takes the Certificate in several ways: Online (Corporations and Charities Filing System), by mail, or in person.2
Before you file, settle these points.
- Whether the agent is commercial or noncommercial, since that decides what the filing lists.
- For a noncommercial agent, the exact name and address to enter.
- Written or electronic consent from the agent, kept with your records.
- Whether to add the Initial Report now. It records principal office information and is due within 120 days of formation; it is free if filed with the Certificate of Formation, or $10 if filed later.2
Washington doesn't publish a standard processing time for the Certificate in the facts used here. If timing is tight, the Division sells expedited handling at $100 per entity, generally within three working days, and same-day service at the front counter for $150 per entity. Our step-by-step walkthrough of forming a Washington LLC covers name checks and reservations, which the fee schedule prices at $30 for 180 days (not renewable), along with the rest of the Certificate, and the lowest-cost ways to form a Washington LLC page adds up the fees.2, 4
How do you change your registered agent in Washington?
You file a Statement of Change/Designation of Agent with the Secretary of State, and the state charges nothing for it (No fee). Because the change is free, the only real cost is the new agent's own fee, if any.3, 4
The order of the steps is where owners slip.
- Choose the new agent and get their consent in a record. The prior-consent rule applies to a change just as it does at formation.
- File the Statement of Change/Designation of Agent with the Division. The facts used here don't list how this form can be submitted or whether expedited handling applies to it, so check with the Division if timing is tight.
- Check the Division's record shows the new agent.
- Only after that, cancel the old service.
Several providers' cancellation terms assume the new appointment is already on file. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. InCorp's terms list three conditions (dissolve entity, appoint new agent, or resign InCorp with fees), one of which must be met before the annual fee falls due. LegalZoom notes that proof of new RA may be required when you cancel. Northwest says there is no cancellation fee, while Harbor Compliance asks for notice at least 90 days before the end of the current term, or the service rolls into another term. Read your provider's terms before you file so a renewal doesn't land mid-switch.8, 9, 10, 11, 12
The parts of the process that are the same everywhere are in the guides to changing a registered agent and cancelling an agent service.
What happens if your Washington registered agent resigns?
The facts behind this guide don't describe Washington's resignation filing, its effective date or a deadline for the LLC to replace the agent, so ask the Division how a resignation is recorded if you receive notice of one.
What is clear is the underlying duty. The LLC must continuously maintain a registered agent (RCW 23.95.415), so a resignation leaves a gap you need to close. Replacing the agent costs nothing at the state level (No fee), which leaves no reason to wait.1, 4
Resignations rarely come out of nowhere. A noncommercial agent may move away or leave the business. A commercial agent may stop serving after an unpaid renewal, and its notice goes to whatever email or mailing address it holds for you. Keeping those details current with the agent lowers that risk.
If you are unsure whether your agent is still serving, look up the LLC on the Division's records and compare the agent shown with the one you are paying.
What happens if a Washington LLC has no registered agent?
Going without an agent breaks the statute's requirement to continuously maintain a registered agent. This guide's sources don't quote Washington's administrative dissolution grounds, so ask the Division how it treats an LLC whose agent has lapsed.1
There are practical effects too. Lawsuit papers and state notices sent to an agent who no longer serves may never reach you, and a case can move forward while you are unaware of it. A record that shows no valid agent may also cause problems when a bank, landlord or licensing office asks for proof of good standing.
If an LLC is administratively dissolved, Washington allows reinstatement. The Division charges a $140 penalty plus all missed annual report fees, and an LLC must reinstate within 5 years of dissolution. Because the charge includes every annual report that went unfiled, a long gap gets more expensive each year. The Washington compliance guide explains the reinstatement path and the delinquency fee in more detail.2
What does a Washington LLC file each year to stay in good standing?
A Washington LLC files an Annual Report every year, due by the last day of the month in which the LLC was originally formed, for a fee of $70. If the LLC's status is listed as Delinquent when it files, a $25 delinquency fee is added.3, 4, 13
Each year the form covers the same ground, and the registered agent is one of the items it asks about (Registered agent, principal office, governors, nature of business, and real estate excise tax controlling-interest questions). That makes it the natural moment to check your agent each year. If the agent shown is wrong, the Statement of Change/Designation of Agent is the filing the Division names for changing it; ask the Division whether a correction on the report alone is enough.5
The full year-by-year schedule, including the Initial Report in your first months, is on the Washington compliance calendar. For how these filings work in general, see annual reports explained, and for services that track the deadline for you, see agent services with compliance tools.
Do out-of-state LLCs need a Washington registered agent?
Plan on it, but confirm with the Division. An LLC formed elsewhere registers in Washington with a Foreign Registration Statement, for $180, and the facts behind this guide don't quote the agent provision for foreign LLCs, so ask what the statement requires.2
An agent appointed in your home state sits on that state's record, not Washington's. That applies to an Oregon LLC with a warehouse in Vancouver as much as to an Idaho company with customers in Spokane. A national service that already acts for you elsewhere may cover Washington too, and its terms say whether that is a separate charge.
The Statement of Change/Designation of Agent is described as a form for changing the agent of a specified business entity, and the LLC fee table charges nothing for that change (No fee). For the rules next door, compare Oregon's registered agent requirements, Idaho's requirements and California's requirements.3, 4

Washington registered agent questions
Does my Washington registered agent have to agree before I list them?
Yes. Washington law says an agent shall not be appointed without having given prior consent in a record to the appointment (RCW 23.95.415). Get that consent in writing or an email before you file, and keep a copy with your LLC's records.1
Can I list a job title instead of a person as my registered agent?
The statute allows a filing without a commercial agent to name a noncommercial registered agent (name and address) or an office or position title (RCW 23.95.415). Someone still needs to receive papers at the address on file, so make sure the role is always filled.1
How much does Washington charge to change a registered agent?
Nothing. The Division's LLC fee table shows the change of registered agent or office with no charge (No fee). The fee schedule lists expedited service for LLCs at $100 per entity if you ask for it, and a new commercial agent charges its own fee.4
Do I have to file anything else when I form my LLC?
An Initial Report records your principal office and is due within 120 days of formation. It is free if filed with the Certificate of Formation, or $10 if filed later, so filing it with the Certificate avoids the extra charge.2
My agent quit. What should I do first?
Find a replacement who consents, then file a Statement of Change/Designation of Agent, which costs No fee. This guide's sources don't state a Washington replacement deadline, so act right away and ask the Division if your record shows a problem.3, 4
Does an LLC with no Washington office still need a Washington agent?
Yes. Every Washington LLC must continuously maintain a registered agent (RCW 23.95.415), wherever its owners live. Owners who live elsewhere can name a commercial agent, or a person who has consented and can receive papers at the listed address.1
