Registered agent requirements in Idaho

Facts checked October 13 to 14, 2026.

Every Idaho LLC, and every out-of-state LLC registered in Idaho, must keep a registered agent, and any address the agent filing gives must be a street address in Idaho (Idaho Code § 30-21-404 and § 30-21-403). The agent is named in the Certificate of Organization to Limited Liability Company, which costs $100 online, $120 by paper. Switching agents later costs $0 online, $20 by paper, so filing the change on SOSBiz is free. The rule to watch is the gap rule: an LLC without a registered agent in Idaho for 60 consecutive days gives the Idaho Secretary of State grounds to dissolve it.1, 2, 3, 4, 5

Who can be a registered agent in Idaho?

Idaho lets an LLC name either a commercial registered agent or a noncommercial one, and the filing reads differently for each (Idaho Code § 30-21-404 and § 30-21-403).1

Idaho's agent statute is built on that split, with one branch where the filing gives "The name of the entity’s commercial registered agent" and another that asks for "The name and address of the entity’s noncommercial registered agent". Put simply, a commercial agent is identified by name alone on your filing, while an individual or business acting as a noncommercial agent needs a name and an address written out.1

The statute excerpts gathered for this guide don't mention a residency test or a licence, so ask the Idaho Secretary of State if either is a concern. What the statute does fix is location: whatever address goes on the agent filing has to be, in the statute's words, "A street address in this state". So a co-owner who lives in Spokane can only act as a noncommercial agent if there is an Idaho street address to list where papers will actually reach them. A brother-in-law in Pocatello with a home address and a regular schedule is a simpler fit.1

One more point from the same provision is easy to skim past. A registered agent filing must be signed by the represented entity, so the LLC itself signs the appointment, and the agent you name is not the one who files it.1

For what an agent actually does once named, see what a registered agent is. The glossary explains service of process and the other legal terms.

What address can an Idaho registered agent use?

An Idaho registered agent filing must give a street address in Idaho, plus an Idaho mailing address when that differs, under the address section of the agent statute.

That wording settles the question people ask first. A post office box cannot be the only address, because the statute asks first for a street address. Whether a box may be listed as the separate mailing address is not spelled out there. Read it this way when sorting out your options.

Every agent, commercial or not, puts its own address in the agent field, so hiring a commercial agent swaps the service's address in for yours there and nowhere else. Your principal office street and mailing addresses still go on the state record, because the Annual Report asks for them (Entity name and jurisdiction, registered agent information, principal office street and mailing addresses, and the name of at least one governor). A business address for those fields is a separate purchase. Swyft Filings lists a virtual address at $29/mo and Bizee at $29/month, while Northwest sells Mail Forwarding $20/month (24 select states), so confirm Idaho is one of its states. The page on registered agents and privacy covers which entries stay public whatever you choose.6, 7, 8, 9

Can you be your own registered agent in Idaho?

Yes, as a noncommercial agent, if you can list an Idaho street address where you reliably receive papers (Idaho Code § 30-21-404 and § 30-21-403).1

The sources for this guide list no separate state fee for naming yourself; the agent goes on the formation filing you already pay for.

The harder questions are practical.

Owners living outside Idaho have two choices: a person or business with an Idaho street address who agrees to act as a noncommercial agent, or a commercial service. If you are leaning toward a service, the comparison of Idaho registered agent services sets out each provider's published price and renewal.

How do you name a registered agent when you form an Idaho LLC?

You name the agent on the Certificate of Organization to Limited Liability Company, the filing that creates the LLC, by giving either the commercial agent's name or the noncommercial agent's name and Idaho street address.2

Filing options are Online (SOSBiz), by mail or hand delivery. Most business filings can be completed online at sosbiz.idaho.gov, and the Secretary of State's forms page says online filing avoids the additional $20 manual processing fee required for paper submissions. Paper costs more ($100 online, $120 by paper), and the form must be typed, so a handwritten copy will not go through.2, 3

Before you submit, check three things.

  1. That the agent fits one of the two branches above.
  2. That the address is an Idaho street address, with a mailing address added only if it differs.
  3. That the person or service has agreed to serve. The facts gathered for this page do not describe a separate consent form for Idaho, so read the form's instructions or ask the Secretary of State.

Standard processing runs approximately 7-10 days from the date of filing. The paper certificate also lists faster tiers for an extra charge (Expedited: +$40; same-day: +$100 (paper form)). Our Idaho LLC formation walkthrough covers the rest of the certificate, and the cheapest ways to form an Idaho LLC adds up the fees, including the paper surcharge.2, 3

How do you change your registered agent in Idaho?

You file a Statement of Change of Registered Office or Registered Agent, or Both. It costs $0 online, $20 by paper, so the online route on SOSBiz costs nothing, and the same form also updates the registered office address.2, 4

The paperwork is short. The order of the steps is the part to get right.

  1. Pick the new agent and confirm it has an Idaho street address and has agreed to serve.
  2. File the statement of change, online if you can. On paper, the form must be typed, and the manual processing fee applies.
  3. Allow for processing, which the office puts at approximately 7-10 days from the date of filing. The faster tiers in this guide's sources are printed on the formation form, so ask the office whether a statement of change can be rushed.2
  4. Check the state record and confirm the new agent shows.
  5. Only then cancel the old agent's service. If you cancel first, the days without an agent count toward the 60 consecutive days.5

Provider terms shape the timing too. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. InCorp requires you to meet a cancellation condition first (dissolve entity, appoint new agent, or resign InCorp with fees) before the annual fee comes due. Harbor Compliance asks for notice of non-renewal at least 90 days before the end of the current term, or the contract rolls over. Read your current provider's terms before filing so a renewal does not land mid-switch.10, 11, 12

The general walkthrough on changing a registered agent and the guide to cancelling an agent service cover the steps that are the same in every state.

What happens if your Idaho registered agent resigns?

An Idaho agent who resigns files with the Secretary of State, and the resignation takes effect at 12:01 a.m. on the 31st day after filing, or earlier when a new agent is designated (Idaho Code § 30-21-410).13

The statute also says the agent must promptly notify the entity. That notice is your cue. It goes to whatever contact details the agent holds, so an outdated email address can swallow it.13

From the effective date, the LLC has no agent until it names one. Idaho's dissolution statute treats going without a registered agent in the state for 60 consecutive days as grounds for administrative dissolution. Add the resignation's waiting period to that and the total sounds generous, but the safer course is to file the statement of change as soon as the notice arrives. Online, it costs nothing.5

A commercial agent can resign when renewals go unpaid, and an individual can resign after a move or a falling-out. If you think your agent stopped serving without telling you, check your LLC's record with the Secretary of State to see who is listed.

What happens if an Idaho LLC has no registered agent?

Going without a registered agent in Idaho for 60 consecutive days is grounds for the Secretary of State to start administrative dissolution (Idaho Code § 30-21-601).5

Dissolution takes away your LLC's good standing. Lenders, landlords, licensing offices and larger customers may ask for proof of standing, and a dissolved record can stall all of them. During the gap, nobody is on record to accept lawsuit papers for the LLC, so a case can move ahead before you hear about it.

Idaho does allow reinstatement under its reinstatement statute. The Secretary of State does not publish a reinstatement fee on the pages checked for this guide, so ask the office what your record owes before applying. The Idaho compliance guide explains the reinstatement route and the other filings that can lead to dissolution.

What does an Idaho LLC file each year to stay in good standing?

An Idaho LLC files an Annual Report with the Secretary of State once a year, due by the last day of the month the LLC was formed (Each year by the last day of the month in which the LLC was formed).6, 14

The report asks for the LLC's basic details, including its agent (Entity name and jurisdiction, registered agent information, principal office street and mailing addresses, and the name of at least one governor). That makes it a yearly chance to see whether the agent on file is still the one you use. If it is not, file the statement of change rather than waiting a year.6

The Secretary of State's pages reviewed for this guide show no late fee for a missed report. Instead, failure to file by the due date is grounds for administrative dissolution, so the cost of missing it is the LLC's standing. Our Idaho compliance calendar sets out the first and second year in order, and annual reports explained covers how these filings work across states.5

Do out-of-state LLCs need an Idaho registered agent?

Yes. An LLC formed elsewhere registers in Idaho with a Foreign Registration Statement ($100 online; $120 on paper (incl. $20 manual processing)), and like any domestic LLC it must name an agent with an Idaho street address (Idaho Code § 30-21-404 and § 30-21-403).1, 15

The street address rule applies the same way, so a Washington or Utah agent does not carry over unless it also has an Idaho street address. For a business in Coeur d'Alene, Lewiston or the Treasure Valley that trades across a state line, check whether a service already acting for you elsewhere bills Idaho as a separate state.

The sources for this guide don't name a separate change form for foreign LLCs, so confirm with the Secretary of State which form applies before switching. If your LLC also operates next door, compare Washington's agent rules, Oregon's rules, Utah's rules, Nevada's rules and Wyoming's rules.

Idaho registered agent questions

Can I be my own registered agent in Idaho?

Yes. You would serve as a noncommercial agent, listing your name and an Idaho street address on the filing (Idaho Code § 30-21-404 and § 30-21-403). If you move out of the state, you lose that in-state address and need to appoint someone else before the gap rule applies.1

What is the difference between a commercial and a noncommercial registered agent in Idaho?

The filing for a commercial agent gives its name only, while a noncommercial agent's filing needs a name and an address (Idaho Code § 30-21-404 and § 30-21-403). A commercial agent is usually a paid service; a noncommercial agent can be you, a co-owner or another person or business you trust.1

Does it cost anything to change my registered agent in Idaho?

Not online. The statement of change costs $0 online, $20 by paper, and the paper version must be typed. A paid service's own annual fee is separate from that state fee.4

Can my Idaho registered agent use a P.O. box?

Not on its own. The statute requires a street address in Idaho, so a box cannot stand in for it (Idaho Code § 30-21-404 and § 30-21-403). Ask the Secretary of State before listing a box even as a separate mailing address.1

How long do I have to replace an agent who resigns?

The resignation takes effect at 12:01 a.m. on the 31st day after filing, or earlier when a new agent is designated. After that, going 60 consecutive days without an agent is grounds for dissolution. File the change as soon as the notice arrives, since it costs nothing online.5, 13

Does an out-of-state LLC doing business in Idaho need an Idaho agent?

Yes. A foreign LLC registers with the Secretary of State ($100 online; $120 on paper (incl. $20 manual processing)) and keeps an agent with an Idaho street address, the same as an Idaho LLC.15

How do I check who is listed as my LLC's registered agent?

Look up your LLC's record with the Secretary of State, or ask the office. The yearly Annual Report also shows the agent on file, so compare it against your records each time you file.6
