Registered agent requirements in Kentucky

Facts checked October 13 to 14, 2026.

Every Kentucky LLC, and every out-of-state LLC registered to do business here, must keep a registered agent and a registered office in the Commonwealth (KRS 14A.4-010). The agent's business address has to be the same as that registered office, so check this rule before you list a friend's home or a mailbox. You name the agent in your Articles of Organization, filed for $40, and you can switch agents later for $10. An LLC left without an agent for 60 days or more can be administratively dissolved by the Kentucky Secretary of State.1, 2, 3

Who can be a registered agent in Kentucky?

Kentucky allows two kinds of agent: an individual who lives in the state, or a business entity qualified to transact business here, and in both cases the agent's business address must match the registered office (KRS 14A.4-010).1

The statute words the two options this way.

  1. An individual who resides in this Commonwealth and whose business address is identical with the registered office.1
  2. An entity or foreign entity qualified to transact business in this Commonwealth, again with a business address identical with the registered office.1

The phrase "identical with the registered office" carries the weight here. Kentucky ties the agent and the office together, so the person or company you name has to keep its business address at the exact office you file. A cousin in Lexington who works from an office downtown cannot list her home as your registered office unless that home is also her business address.

The entity option covers Kentucky LLCs and corporations as well as foreign entities that hold authority to do business in the Commonwealth. A law firm or accounting practice based in Cincinnati, across the river, qualifies only if it is registered in Kentucky and keeps a Kentucky office that doubles as your registered office. The test in that subsection is residence or qualification plus the address match. For what the agent actually does once appointed, the explainer on what a registered agent does covers the duties common to every state, and the glossary defines service of process and the other legal terms used here.

What address can a Kentucky registered agent use?

The registered office must be in Kentucky, may be the same as one of your LLC's places of business, and must match the agent's business address (KRS 14A.4-010).

Kentucky's statute words the office requirement as "A registered office that may be the same as any of its places of business". So your shop, warehouse or storefront can double as the registered office, provided the agent you name does business at that same spot. If you run a bakery in Bowling Green and serve as your own agent, the bakery's street address can be both.1

Common choices fare differently under this rule.

Every commercial agent lists its own Kentucky address in the agent field, so hiring a service moves that line away from your home; that is true of every provider, not a feature of one. The other names and addresses your Articles ask for are a separate matter, and this guide's sources do not say which fields the state shows publicly, so read the form first. Some providers sell a business address apart from the agent service: Tailor Brands sells a Virtual Address product but doesn't publish its price, Bizee (formerly Incfile) lists a virtual address at $29/month, and Swyft Filings lists one at $29/mo. The page on providers that sell an address product explains what each covers and what stays on the record.4, 5, 6

Can you be your own registered agent in Kentucky?

Yes, if you live in Kentucky and your business address is the same as the registered office you list for the LLC (KRS 14A.4-010). You name yourself in the Articles, the same filing that names any other agent.

The legal test is simple. The day-to-day test is harder, and it comes down to a few practical points.

Owners who live in Tennessee, Ohio or Indiana and run a Kentucky LLC cannot name themselves. Their options are a Kentucky resident whose business address can be the registered office, or a qualified business such as a commercial agent. The statute lists entities qualified in Kentucky among permitted agents, but this guide's sources do not say whether an LLC may name itself; ask the Secretary of State if you plan that. Prices and terms for paid services in this state are on the Kentucky registered agent comparison.

How do you name a registered agent when you form a Kentucky LLC?

You name the agent and the registered office in the Articles of Organization (Form KLC, profit LLC), which you file with the Kentucky Secretary of State for $40.2, 7

Filing works three ways: Online (FastTrack), by mail or in person. On paper, the form's instructions say one exact or conformed copy of the documents with the filing fee must be submitted. When you file online through FastTrack, no copies are required.7

Before you submit, settle three things.

  1. The agent's name, whether that is you, another Kentucky resident or a qualified company.
  2. The registered office address, which has to be the agent's business address in Kentucky.
  3. That the agent has agreed to act for you. This guide's sources do not describe how consent is shown on Form KLC, so check the form's instructions before signing.7

The Secretary of State's FAQ says documents are usually processed the same day they are received, though some may take up to three business days. If you want to hold a name while you line up an agent, a reservation costs $15 for 120 days. The Kentucky LLC formation guide walks through the rest of the Articles, and the cheapest ways to form a Kentucky LLC page adds up the fees.2, 8

How do you change your registered agent in Kentucky?

You file the Statement of Change of Registered Agent and Office (Form RAC) with the Secretary of State and pay $10. The Forms Library lists an online option for it alongside paper filing.2, 9

One Kentucky rule changes how owners plan a switch. The annual report can confirm your agent but not replace one; for any change, a separate statement of change is required. A new agent typed only onto the yearly report won't change the agent on record.10

Do the steps in this order.

  1. Pick the new agent and confirm they meet the statute's test: Kentucky residence or qualification, with a business address that will be your registered office.
  2. Get the new agent's agreement, and their exact office address as it will appear on the form.
  3. File Form RAC; the Secretary of State says documents are usually processed the same day they are received.8, 9
  4. Check the Secretary of State's record shows the new agent and office.
  5. Cancel the old service only after that. Cancelling first can leave your LLC with no agent on record.

Providers handle the exit differently. Northwest Registered Agent lets you cancel through the online account with no cancellation fee, while LegalZoom warns that proof of new RA may be required. The terms at InCorp Services say you must satisfy a cancellation condition (dissolve entity, appoint new agent, or resign InCorp with fees) before annual fee is due, and Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. Look up your renewal date first. A switch filed a few days after the term rolls over can mean paying the old provider for a year you never use. The general guides on changing a registered agent and cancelling an agent service cover the steps that work the same in every state.11, 12, 13, 14

What happens if your Kentucky registered agent resigns?

The agent files a statement of resignation with the Secretary of State (SOS), and it takes effect when a successor is appointed or on the 31st day after filing, whichever comes first (KRS 14A.4-030(3)(b)).15

After the filing, the SOS mails copies to the registered office and the LLC's principal office. Two practical points follow.15

First, one of those copies goes to the registered office, which is the resigning agent's own address. The copy sent to your principal office is the one likely to reach you, so that address needs to be current on the state record. Second, the clock runs from filing, not from when you open the letter.

The dissolution statute adds a deadline of its own: failing to tell the Secretary of State within 60 days that the agent resigned or the office changed is a separate ground for administrative dissolution (KRS 14A.7-010). Filing Form RAC naming a new agent as soon as the notice arrives keeps you inside both deadlines. Appointing the successor also makes the resignation effective at once.3, 9

Agents resign for everyday reasons: a retired relative moves to Florida, a bookkeeper closes her practice, or a commercial service drops a client whose renewal went unpaid. If you suspect your agent has stopped acting for you but never saw a letter, look up your LLC on the Secretary of State's records.

What happens if a Kentucky LLC has no registered agent?

A Kentucky LLC without a registered office or agent in the state for 60 days or more can be administratively dissolved under KRS 14A.7-010, and getting reinstated costs a penalty plus letters from other state agencies.3

Losing the agent is not the only way to get there. Domestic entities that fail to file their annual reports by June 30 are administratively dissolved, so a missed annual report leads to the same place, and the Kentucky compliance guide covers that route in full.10

A dissolved LLC loses good standing, which can stall a bank loan, a licence renewal or a contract that asks for a certificate. A lawsuit served while no agent is on file can also proceed without you knowing.

Reinstatement in Kentucky has more parts than a fee. The Secretary of State lists a $100 reinstatement penalty plus any delinquent filing fees, and its annual reports page says letters of good standing from the Department of Revenue (and, for profit companies, the Division of Unemployment Insurance) are required. Those letters depend on your accounts with those agencies, so check them before you file. A change of agent costs $10, well under the reinstatement penalty.2

What does a Kentucky LLC file each year to stay in good standing?

Kentucky LLCs file an annual report with the Secretary of State by June 30 each year, and the fee is $15.10

On the agent side, the Secretary of State says you must confirm the principal and registered agent/office. It is a yearly prompt to check that the agent and office on record are still right, but as noted above, a change has to go on Form RAC instead. Kentucky also has a separate entity tax, the Limited Liability Entity Tax (LLET), set out in KRS 141.0401(2)(a) and handled by the Department of Revenue. The month-by-month detail, the dissolution rule for a missed report and the tax are on the Kentucky compliance calendar, and annual reports explained covers how these filings work in general.9, 10, 16

Do out-of-state LLCs need a Kentucky registered agent?

Yes. An LLC formed elsewhere registers in Kentucky by filing an Application for Certificate of Authority for $90, and it must keep a Kentucky registered agent and office like a domestic LLC (KRS 14A.4-010).1, 2

Your home-state agent does not cover Kentucky. An Ohio LLC whose agent sits in Columbus needs a separate agent with a Kentucky business address, unless that same company is qualified here and has a Kentucky office. If a national service already acts for you elsewhere, ask how it bills an added state.

This guide's sources list the Form RAC fee under domestic LLCs, so a foreign LLC changing its Kentucky agent can confirm the form with the Secretary of State. If your business also operates nearby, compare the rules in Ohio, Tennessee, Indiana and Virginia.9

Kentucky registered agent questions

Can I be my own registered agent in Kentucky?

Yes, if you live in Kentucky and your business address is the same as the registered office you list (KRS 14A.4-010). If you work from home, that home address becomes the registered office. Moving out of state means you must appoint someone else.1

Can my registered agent's home be my LLC's registered office?

Only if the agent's business address is that home. Kentucky requires the agent's business address to be identical with the registered office (KRS 14A.4-010), so a relative who works elsewhere would need to list their workplace, not their house.

How much does it cost to change my registered agent in Kentucky?

The state fee for Form RAC is $10. The Forms Library offers an online filing option as well as the paper form. A paid agent service bills its own fee on top of the state charge.2, 9

Can I change my registered agent on the annual report?

No. The annual report only confirms the agent and office, and for any change a separate statement of change is required. File Form RAC whenever your agent or office changes, whatever the time of year.9, 10

How long do I have to replace an agent who resigns?

The resignation is effective on appointment of a successor or the 31st day after filing, whichever is earlier. Separately, failing to notify the Secretary of State within 60 days that the agent resigned or the office changed is grounds for dissolution. Filing a change as soon as the letter arrives avoids both problems.3, 15

What does it take to reinstate a Kentucky LLC dissolved for having no agent?

The Secretary of State lists a $100 reinstatement penalty plus any delinquent filing fees. It also asks for good standing letters from the Department of Revenue and, for profit companies, the Division of Unemployment Insurance. Ask the Secretary of State what else your record needs.2

Does an LLC formed in another state need a Kentucky agent?

Yes. After filing the Application for Certificate of Authority ($90), a foreign LLC must keep a Kentucky registered agent whose business address matches its Kentucky registered office (KRS 14A.4-010).2
