Best LLC formation services in Massachusetts

Facts checked October 13 to 15, 2026.

A Massachusetts LLC is formed by filing a Certificate of Organization with the Secretary of the Commonwealth of Massachusetts, Corporations Division, and the state's fee is $500 however you file. Online and fax filings add a service charge ($20 on a $500 filing), and only fax has a published turnaround: generally same business day, no later than the next business day. After that, the LLC owes an annual report every year for $500. A formation service prepares and files the same certificate for its own fee. The packages differ in whether they add a resident agent, an EIN, an operating agreement and help with that yearly report.1, 2, 3, 4

Massachusetts law uses the term resident agent. Most states call the same role a registered agent. What the term means in Massachusetts

How do you form an LLC in Massachusetts, step by step?

You confirm the name, choose a resident agent and a records office, file the certificate with the Corporations Division, then get an EIN and sign an operating agreement.

The order helps, because a name conflict or an agent who doesn't fit the statute is easier to fix before the certificate goes in than after.

  1. Search the name. Check the Corporations Division's records for a conflicting name first. To hold a name before you are ready, a reservation costs $30 and lasts 60 days, and it is renewable for another $30. A founder who is ready to file can skip it.5
  2. Choose a resident agent. Massachusetts law asks for an agent that is an individual resident of the commonwealth, a domestic corporation, or a foreign corporation authorized to do business in the commonwealth (Mass. Gen. Laws ch. 156C, § 5). The resident agent is whoever accepts lawsuit papers and official notices for the LLC. Who may serve and how the agent is named are covered in the Massachusetts resident agent guide.6
  3. Pick the records office. The certificate also lists an office in the commonwealth where records are kept. The statute says this office may but need not be a place of business. It is a separate entry from the agent's address.6
  4. Complete the Certificate of Organization. The form asks for the name and street address of the resident agent among its other entries. A service fills it in from your order; filing yourself, you complete it directly.1
  5. Choose a filing method. The Division accepts filings online, by fax, by mail or walk-in. The $500 fee applies to all of them. Online and fax filings also carry a service charge set by the order subtotal: $20 on a $500 filing, and 4.5% over $500.3, 7
  6. Wait for approval. Fax filings are processed generally same business day, no later than the next business day. For the other methods, the Division lists no published time for mail or online filings. There is no separate expedite option to buy, so no service can pay the state for a faster lane than these.3, 4
  7. Get an EIN. The Employer Identification Number is the LLC's federal tax ID, issued by the IRS rather than the state. Banks usually ask for it before opening an account.
  8. Sign an operating agreement. It sets out who owns what share, who makes decisions and what happens when an owner leaves. It stays with the LLC's own records.
  9. Note the first report's due date. The annual report is due by the anniversary date of the filing of the original certificate of organization, every year, and contains the same information as the Certificate of Organization, updated for any changes. The calendar and penalties are on staying compliant in Massachusetts.8

None of the Corporations Division pages we cite mention a newspaper publication step for LLCs, so no publication cost appears on this page.

What does a Massachusetts LLC cost with and without a service?

The certificate fee and any online or fax charge go to the state, and no provider discounts them. Each package price below is added on top.

Secretary of the Commonwealth of Massachusetts, Corporations Division fees for LLCs
FilingFee
Form the LLC$500 malegislature.gov
Reserve a name$30 for 60 days (renewable for another $30) sec.state.ma.us
Expedited processingNo separate expedite option. Fax and online filings carry a sliding 'expedited service fee' ($20 on a $500 filing; 4.5% over $500) sec.state.ma.us
Change of resident agent$25 by paper or fax, $0 if filed electronically sec.state.ma.us
Recurring report$500 malegislature.gov
Reinstatement after dissolution$100 (Application for Reinstatement Following Administrative Dissolution); may apply at any time sec.state.ma.us
Register an out-of-state LLC$500 (Foreign Registration) sec.state.ma.us

Year two brings the $500 annual report, whoever files it. That puts more weight on what a package includes for the report than in states where the yearly filing is small or absent. "Not listed" means the published package description doesn't mention the item, so ask before ordering. The first-year and second-year totals, agent renewals included, are worked out on the cheapest ways to form a Massachusetts LLC.

What does each formation package include for a Massachusetts LLC?

The paragraphs follow the site's provider order: our score, highest first, ties in editorial order (how we score).

Trustpilot ratings sit in the table above as a separate number. Each paragraph ends with how the provider handles the annual report, because in Massachusetts that is the cost that returns every year. The agent services themselves are compared on resident agent services in Massachusetts.

Tailor Brands

Lite costs $0 plus state fees and processes the LLC within 14 business days. Its own description says it has no annual compliance, operating agreement or branding tools. The next package, at $199/yr plus state fees, processes the LLC within 1 business day and lists annual compliance (report filing and updates) and an operating agreement, so the yearly Massachusetts report is part of that plan; the $500 state fee is still yours. The third package is $249/yr plus state fees. Both higher packages are billed every year. A resident agent isn't listed in any package description, and the agent service is priced at $199/year.9, 10

ZenBusiness

Starter is $0 + state fees (does not renew), and ZenBusiness says its processing time excludes Secretary of State time, so the Division's own time is added. Starter includes Worry-Free Compliance free for 1 year (then $199/yr); that free year may cover the first Massachusetts report, depending on when it ends, and later reports fall under the renewal. The EIN and operating agreement are +$99 add-ons, and a rush upgrade on Starter costs $79. Pro ($199 + state fees, renews at $199/yr) lists ongoing filing compliance (state-required annual report filings and up to 2 amendments per year). No package includes the agent. It is an add-on (+$199/yr) with 50% off the first year ($99) when you form an LLC, after which it renews at $199/yr.12, 33

LegalZoom

The cheapest LegalZoom package is $0 + state filing fees and covers the filing itself, which LegalZoom lists as Articles of organization; in Massachusetts that document is the certificate. Everything else is separate: the EIN at $79, an operating agreement (Starts at $99), and the agent at $249/year (first-time registered agent customers). The package at $249 + state filing fees adds attorney consultations (30 days included, then $49/month auto-renew). For the report, LegalZoom sells each filing once, at $99 + state filing fees, so a Massachusetts LLC using it would buy it every year.14, 15, 16, 17, 34

Bizee

Bizee's Basic package is $0 + state fee and lists Registered Agent (1st year included), after which the agent renews at $149/year (ongoing annual fee). Basic leaves out the EIN ($70) and the operating agreement (+$99). Standard, at $199 + state fee, is described as Basic plus EIN, operating agreement, faster processing (~2 weeks). Its virtual address add-on lists 1 month free with Bizee LLC formation. For the yearly report, Bizee sells a filing service, with no standalone price stated, so the cost of handing it the Massachusetts report isn't known in advance.18, 19, 35, 36, 37

Swyft Filings

Swyft's Basic package costs $0 + state fees and covers preparation and filing of Articles of Organization (in Massachusetts, the certificate), with processing in 7 to 10 business days. Standard costs $169 + state fees (promotional, 'SAVE $30'; regular $199) and adds custom organizational minutes, custom banking resolution, business banking essentials, operating agreement, with processing listed at 3 business days. The packages don't list an agent; on its own it costs $149 per quarter ($596/year). Every package comes with a trial of its report service, ComplianceGuard $199/year, described as a 14-day free trial then auto-charged. In Massachusetts that service has a report to file every year, so decide before the trial ends.20, 38, 39

doola

doola's Starter plan is $297/yr, a yearly charge, and includes LLC filing, EIN, US bank account guidance, US business address, registered agent. doola says it files within 1 to 2 business days, and the Division's own processing follows. For the yearly report, doola says Starter does not include ongoing compliance filings; its pricing grid shows Annual State Report Filing included in the Tax and Compliance plan, priced at $1,999/yr. For founders outside the U.S., see agent services for non-resident founders.21, 22, 40

Northwest Registered Agent

Northwest's LLC package costs $39 + State Fees and lists filing plus a free domain name, open source website, phone line, business email, business address, brand protection. Its corporation page mentions one year of registered agent service included with formation, but the LLC page doesn't, so confirm before ordering. The agent on its own is $125 per year. Its terms say RA customers auto-enrolled in Compliance Services billed in annual auto-pay. That service is priced at $100 + state fees, charged at filing, which in Massachusetts means a charge each year the report comes due unless you opt out. Its operating agreement is a free template, and the EIN costs $50 (with SSN); $200 without SSN.23, 24, 25, 26, 41, 42, 43

Rocket Lawyer

Rocket Lawyer ties formation to membership: First registration free with a Rocket Lawyer membership. Membership is yearly, at $149/year for Standard, $249/year for Plus and $349/year for Pro, and the offer excludes government and third party fees. The agent is $125 with a Plus or Pro membership, and the annual report service is $100 with Pro membership, excluding state fees, so the report filing needs the top tier. The EIN is $70 with Plus or Pro membership.27, 28, 44, 45, 46

InCorp

InCorp's formation service starts at $99 plus state fees, and the package text we cite lists live chat and phone support. The agent is sold separately at $129 per state per year, and its EIN service costs $69. Its own expedite is a $50.00 InCorp expedite fee; with no state expedite tier in Massachusetts, ask what that fee speeds up. Report filing is $89 + state fees.29, 30, 31, 47, 48

Harbor Compliance

Harbor's formation starts at $99 plus state fees, and it says most LLCs are prepared and filed in one business day. Its formation page lists a name check, the articles, a registered agent, an EIN and an operating agreement without saying which tier includes which, or how long an included agent lasts. The standalone agent is $99 first year (new customers), renewing at $159 annually. Harbor mentions expedited state processing in most states, price not published; Massachusetts has no separate expedite option, so that offer has little to act on here.3, 32, 49, 50

Should you file the Massachusetts certificate yourself or use a service?

Filing yourself costs $500, plus the service charge if you file online or by fax, and you handle the name search, the agent, the records office and the EIN. A service saves you the form-filling.2

Speed is one area where a service can't do much in Massachusetts. The state offers no separate expedite option, and fax filings already come back generally same business day, no later than the next business day. Whatever a provider charges for rush handling pays for its own preparation time, since there is no faster state queue for it to buy into.3

Agent choice is the other decision a do-it-yourself filer makes alone. An owner who lives in Massachusetts fits the statute's first category (Mass. Gen. Laws ch. 156C, § 5) and can be the resident agent without paying a provider, but that person's street address then goes on the certificate as the agent's address. A service puts its own address there instead, as every commercial agent does. The records office is a separate line either way. Some providers sell a business address product, Swyft Filings' at $29/mo for example, and whether one can be used as the records office is a question for the Division.6, 20

The yearly report is where the two routes keep diverging. Filing it yourself costs the state fee alone. A provider's report service adds its price every year, from $89 + state fees at InCorp to $199 per state per year plus filing fees at Harbor Compliance. Owners with several members, investors or a licensed profession may want a lawyer to draft the operating agreement rather than relying on a template. The Massachusetts resident agent guide covers the agent rules, and the glossary defines the filing terms.48, 51

Questions about forming an LLC in Massachusetts

How long does it take to form an LLC in Massachusetts?

Fax filings are processed generally same business day, no later than the next business day. The Division lists no published time for mail or online filings, so only fax has a stated turnaround. A formation service adds its own handling time before the state receives the certificate.4

Is there an expedite fee for a Massachusetts LLC?

Massachusetts has no separate expedite option. Online and fax filings carry a sliding service charge instead, listed as $20 on a $500 filing and 4.5% over $500. The charge is described for fax and online filings only.3

Do I need to reserve my LLC name in Massachusetts?

Only if you can't file soon. A reservation costs $30 for 60 days and is renewable for another $30. If you are ready, search the name and file the certificate instead.5

Does a formation package include a Massachusetts resident agent?

Some include the first year and some sell it separately. Bizee's Basic package includes the agent for the first year, while ZenBusiness sells it as an add-on (+$199/yr). Compare the renewal price too; resident agent services in Massachusetts lists each one.12, 18

Should I pick a package that files the annual report?

That depends on whether you want to file a $500 report yourself each year. Packages that include filing, such as ZenBusiness Pro's ongoing filing compliance (state-required annual report filings and up to 2 amendments per year), still leave the state fee to you. Annual reports explained covers how these filings work in general, and the Massachusetts compliance page gives the deadline.2, 12
