Resident agent requirements in Massachusetts

Facts checked October 13 to 14, 2026.

Every Massachusetts LLC must name "a resident agent for service of process on the limited liability company" (Mass. Gen. Laws ch. 156C, § 5), and the statute limits that role to an individual resident of the commonwealth, a domestic corporation, or a foreign corporation authorized to do business in the commonwealth. You name the agent on the Certificate of Organization, which costs $500 to file, and you can switch later with a Statement of Change of Resident Agent/Resident Office for $25 by paper or fax, $0 if filed electronically. The rule people most often miss: on top of the agent's street address, Massachusetts requires an in-state office where the LLC's records are kept (Mass. Gen. Laws ch. 156C, § 5).1, 2, 3, 4, 5

Massachusetts Registered Agent vs Resident Agent

Massachusetts calls the registered agent a "resident agent." Most states say "registered agent," but the role is the same: accepting legal papers for your LLC. Massachusetts also requires your LLC to keep an office in the state where its records are kept, listed separately on the certificate of organization.

Separately from the agent, the LLC must keep a Massachusetts office where its required records are maintained, and the certificate lists that address.

Who can be a resident agent in Massachusetts?

A Massachusetts resident agent may be an individual who lives in the state, a Massachusetts corporation, or an out-of-state corporation authorized to do business in Massachusetts (Mass. Gen. Laws ch. 156C, § 5).1

The list names resident individuals and corporations and stops there. An LLC is not on it, and neither is a partnership. If the person or company you have in mind is organized as an LLC, ask the Corporations Division whether it can be named before you put it on your certificate. The same caution applies to commercial services: ask the provider how its Massachusetts agent entity is organized if you want to be sure it fits the text.

For individuals, the test is residency in the commonwealth. A co-owner who lives across the border in Rhode Island or New Hampshire does not qualify, however close they are to Boston. A sibling in Worcester or a bookkeeper in Springfield does, if they are willing to act and can be found at the street address you list.

The part of the statute quoted here tests residency or corporate status only. The agent's job is to receive service of process, meaning the formal delivery of a lawsuit, and pass it on to you without delay. The explainer on what a resident agent does covers the duties that are the same everywhere, and the glossary defines terms such as service of process and good standing.

What address rules apply to a Massachusetts resident agent?

The state's form asks for "The name and street address, of the resident agent in the commonwealth", so the agent's address must be a street address inside Massachusetts.2

A street address points to a physical place where someone can hand over papers. A P.O. box has no street address, so it does not fit the form's wording. A mailbox at a shipping store or a virtual office plan is less clear cut: it may come with a street address, but the agent still needs to be reachable there. Ask the Corporations Division before you rely on one.

Massachusetts adds a second address. Separately from the agent, the LLC must keep "an office, which may but need not be a place of its business in the commonwealth at which shall be kept the records" (Mass. Gen. Laws ch. 156C, § 5). Some points about that office are easy to miss.1

  1. It may but need not be a place where the LLC does business, so a home or a relative's address can work if the records are kept there.
  2. It is a separate requirement from the agent's address. A commercial agent fills the agent field with its own address; the records office is still a place of your choosing where the records are kept.

Every resident agent lists its own address in the agent field, whichever provider you use, so hiring a service changes only that line. This guide's sources do not say which of the certificate's other fields the Division shows to the public, so read the form before you file and assume anything you write may be searchable. If you want a business address for the other fields, some providers sell one apart from the agent service. Swyft Filings lists a virtual address at $29/mo, Bizee (formerly Incfile) at $29/month, and Harbor Compliance at $350/year per company, per location, marked as a limited-time offer; Tailor Brands offers one, with the price not published. None of these sources says whether such an address would satisfy the records office rule, so ask the provider and the Division. The page on which providers sell a separate business address explains what stays public either way.6, 7, 8, 9

Can you be your own resident agent in Massachusetts?

Yes, if you are an individual who lives in Massachusetts and can list a street address there (Mass. Gen. Laws ch. 156C, § 5), as the form's agent field asks for "The name and street address, of the resident agent in the commonwealth".1, 2

Whether it suits you depends on your routine more than on the law.

Owners who live outside Massachusetts cannot act as their own agent. Neither, on the statute's wording, can the LLC itself, because an LLC is not among the entities listed. If you want to try that route, ask the Division first.

A service tends to make sense for owners who live elsewhere, who move around for work, or who prefer a provider's address in the agent field. The Massachusetts resident agent services comparison sets their published prices and terms side by side, and the page on agents for founders outside the U.S. covers providers that say they serve non-U.S. owners.

How do you name a resident agent when you form a Massachusetts LLC?

You list the agent's name and Massachusetts street address on the Certificate of Organization, the filing that creates the LLC, and the form's agent line reads "The name and street address, of the resident agent in the commonwealth".2

The Division accepts new filings in several ways: Online, by fax, by mail or walk-in. Fax filings are generally processed the same business day, no later than the next business day. For mail and online filings the state publishes no standard time. Massachusetts has no paid rush tier. Instead, fax and online orders carry what the fee schedule calls an expedited service fee: $20 on a $500 filing, and for larger orders 4.5% of the subtotal.10, 11, 12

Before you file, settle these points.

  1. Who the agent is, and that they fit the statute's list.
  2. The agent's street address in Massachusetts and, separately, the address of the office where your records will be kept.
  3. That the agent has agreed to act for you. This guide's sources do not describe a separate consent form for Massachusetts, so read the certificate's instructions for any signature the agent must give.

If you are still choosing a name, a name reservation costs $30 for 60 days (renewable for another $30). The steps for the rest of the certificate are on the guide to forming an LLC in Massachusetts, and the cheapest ways to form a Massachusetts LLC page adds up the state fees.13

How do you change your resident agent in Massachusetts?

You file a Statement of Change of Resident Agent/Resident Office with the Corporations Division. The fee is $25 by paper or fax, $0 if filed electronically, so the electronic route is the cheaper one.4, 5

The same statement handles a change to the agent, to the records office, or both. Follow this order to avoid a gap.

  1. Pick the new agent and confirm they meet the statute's list: a Massachusetts resident or a qualifying corporation.
  2. Get their agreement and their exact street address.
  3. File the statement online, or by paper or fax. Fax filings are generally done the same business day, no later than the next business day. No time is published for online filings, so check your record afterwards.11
  4. Confirm the Division's record shows the new agent.
  5. Cancel the old service last. Until the change is on file, the old agent is still the one the state will send papers to.

Commercial agents set their own exit rules. Northwest Registered Agent says you can cancel anytime through the online account; no cancellation fee. InCorp Services requires one of its cancellation conditions to be met before the annual fee falls due; the listed options include the step to appoint new agent. Harbor Compliance wants notice of non-renewal at least 90 days before the end of the current term, and LegalZoom notes that proof of new RA may be required. Read your provider's terms before you file the change, so its renewal date doesn't overlap the switch.14, 15, 16, 17

The general guides on changing a resident agent and cancelling an agent service cover the parts that work the same in every state.

What happens if your Massachusetts resident agent resigns?

A resigning agent files a certificate of resignation with the Corporations Division and must send your LLC a copy, and the appointment ends on the 31st day after filing.18

That gap between filing and the end of the appointment is your time to find a replacement and file a statement of change. Aim to have the new agent on record before the old appointment runs out.

The copy goes to whatever contact details the agent holds. Owners who changed email address, or whose agent was a former employee or a relative who moved away, may hear about it late. If you think your agent may have quit, search your LLC on the Division's records and check who is listed.

This guide's sources do not state a fee for the resignation itself or a separate deadline for the LLC beyond the end of the appointment, so treat the resignation date as the practical limit.

What happens if a Massachusetts LLC has no resident agent?

The Massachusetts sources checked for this guide do not set out a specific penalty for going without a resident agent, but an LLC without one has nobody in the state to receive a lawsuit or official notice.

That alone carries risk: papers that never reach you can mean you learn of a lawsuit late. The annual report also asks for the agent again, because the report repeats the certificate's information, updated for any changes.5

The ground for administrative dissolution these sources do spell out is tied to the annual report: failing to file for 2 consecutive years is grounds for administrative dissolution.19

If the Division does dissolve the LLC, it can come back. The Application for Reinstatement Following Administrative Dissolution costs $100, and a dissolved LLC may apply at any time. The conditions sit in a separate section of the statute that these sources do not quote, so ask the Division what it will require. The Massachusetts compliance guide covers reinstatement in more depth.5

Which yearly filing keeps a Massachusetts LLC in good standing?

Each Massachusetts LLC files an annual report with the Corporations Division on or before the anniversary date of the filing of its original certificate of organization, and the fee is $500.3, 5

The report must contain the certificate's information, updated for any changes. Because the agent's name and address are part of the certificate, each report is a yearly check that your agent on file is still correct. If it isn't, file a statement of change rather than waiting for the report.5

The Division lists no late fee for LLCs, but failing to file for 2 consecutive years is grounds for administrative dissolution, as described above. The Massachusetts compliance calendar lays out the first year and the years after it, and annual reports explained covers how these filings work across states.19

Do out-of-state LLCs need a Massachusetts resident agent?

An LLC formed in another state registers here through a Foreign Registration with the Corporations Division, for $500.12

This guide's sources quote the agent rule for Massachusetts LLCs and do not include the foreign-registration section of the statute. Ask the Division whether the registration names a Massachusetts agent and who may act for a foreign LLC. A Connecticut LLC with a Hartford agent should check before listing it.

If you use a national service, ask how it prices a second state. If your LLC also works in a neighbouring state, compare the registered agent rules in New Hampshire, Rhode Island, Connecticut and New York.

Massachusetts resident agent questions

Can an LLC be the resident agent for a Massachusetts LLC?

The statute's list names an individual resident of the commonwealth, a domestic corporation, or a foreign corporation authorized to do business in the commonwealth (Mass. Gen. Laws ch. 156C, § 5). An LLC is not on that list. If you want to name an LLC, including your own, ask the Corporations Division first whether it will accept the filing.1

Does it cost anything to change my resident agent?

Not if you file online. The Statement of Change of Resident Agent/Resident Office costs $25 by paper or fax, and $0 if filed electronically. Any new provider's annual price is separate from the state fee.4, 5

Is the records office the same thing as the resident agent's address?

No. The agent's street address goes in one field, and the LLC must also keep "an office, which may but need not be a place of its business in the commonwealth at which shall be kept the records" (Mass. Gen. Laws ch. 156C, § 5). The two can be the same place if you act as your own agent and keep the records there.1

How long does my LLC have after its agent resigns?

Under the resignation rule, the appointment ends on the 31st day after filing, and the agent must give the LLC a copy. File a statement of change naming a new agent within that window so the record never shows a gap.18

Can my resident agent use a P.O. box?

The state's form asks for "The name and street address, of the resident agent in the commonwealth", so a box with no street address does not fit. Ask the Division before you list any mailbox or virtual office address for the agent.2

Can I live outside Massachusetts and act as my own resident agent?

No. An individual agent must be a resident of the commonwealth (Mass. Gen. Laws ch. 156C, § 5). Owners who live elsewhere need a Massachusetts resident who agrees to act, or a qualifying corporation. If you hire a commercial service, ask how its Massachusetts agent entity is organized.1

Will the annual report show my resident agent?

Yes. The annual report repeats the information in the certificate of organization, updated for any changes, and the agent's name and street address are part of that. If the agent has changed, file a statement of change so the report and the record match.5
