Resident agent requirements in Michigan
Facts checked October 13 to 14, 2026.
Every Michigan LLC must keep a resident agent and a registered office in the state, and the agent's own business office or home has to be that registered office (MCL 450.4207). You name the agent in your Articles of Organization (Form CSCL/CD-700), filed for $50, and changing agents later costs $5. Watch one rule. In Michigan the agent's address and the LLC's registered office are the same place, so picking an agent also picks your registered office.1, 2, 3
Michigan Registered Agent vs Resident Agent
Michigan calls the registered agent a "resident agent." Most states say "registered agent," but the role is the same: accepting legal papers for your LLC. Michigan also requires a "registered office," the Michigan address where your resident agent works or lives.
The registered office is the Michigan address where the resident agent is located; the agent's business office or residence must be identical with it.
- Michigan law: “(b) A resident agent.” legislature.mi.gov
- State filing form: “The name of the resident agent at the registered office is:” michigan.gov
- Registered office: “A registered office that may, but need not be, the same as its place of business.” legislature.mi.gov
Who can be a resident agent in Michigan?
Michigan's statute allows two kinds of resident agent (MCL 450.4207). The first is an individual resident in this state whose business office or residence is identical with the registered office. The second is a domestic corporation or LLC, or a foreign corporation or LLC authorized to transact business in Michigan, but only if its business office is identical with the registered office.1
Put another way, a person qualifies by living in Michigan and working or living at the address you file. A company qualifies by being formed in Michigan or authorized to do business here, and by having its own office at that address. The statute's test, as quoted here, is residence and location.
Some practical consequences follow.
- A co-owner who spends winters in Florida can still serve if Michigan remains their residence and the registered office is their Michigan home or office. If they have moved for good, they no longer fit.
- A law firm or accountant in Toledo or Chicago cannot serve unless the firm is authorized in Michigan and keeps an office here that you list as the registered office.
- A national agent service qualifies through its Michigan office, which becomes your registered office.
The role itself is to receive service of process, the formal delivery of lawsuit papers, plus official notices sent to the LLC. The explainer on what a resident agent does covers duties that are the same in every state, and the glossary defines the legal terms used here.
What address does a Michigan resident agent need?
The address you file is your LLC's registered office, and it must be the agent's own Michigan business office or, for an individual agent, their office or home (MCL 450.4207).
The statute describes it this way: "A registered office that may, but need not be, the same as its place of business." So your registered office can be somewhere other than where you actually run the business. What it cannot be is somewhere the agent doesn't work or live: an individual's business office or residence, or a company agent's business office, must be identical with the registered office (MCL 450.4207).4
That wording sorts the usual choices.
- Your own Michigan home works if you are the agent and live there.
- A shop, office or studio in Michigan works if the agent is based there.
- A P.O. box is a poor fit for wording that asks for a business office or residence. The sources for this guide include no LARA statement on post office boxes, so ask the Corporations Division before listing one.
- A virtual office or mail drop raises the same question. If it is neither the agent's real office nor their home, it may not meet the statute; check before you file.
Form CSCL/CD-700 asks for this in a single line, "The name of the resident agent at the registered office is:", followed by the office address. Naming a commercial agent puts that company's Michigan office in the field, which is true of every provider. It leaves the rest of the form's names and addresses as they are, and this guide's sources do not say which of those LARA displays publicly, so read the form before filing.2, 5
If you want a separate business address for mail or for other fields, some providers sell one apart from the agent service. Northwest lists Mail Forwarding $20/month (24 select states), so confirm Michigan is one of them. Bizee's virtual address is listed as "$29/month; 1 month free with Bizee LLC formation", and Swyft Filings lists its address product as "$29/mo; Standard 1 month free; Premium 3 months free". Our page on what an agent can and can't keep off the record explains what stays public.6, 7, 8
Can you be your own resident agent in Michigan?
Yes, if you live in Michigan and the registered office you file is your Michigan home or business office (MCL 450.4207).
Whether it suits you depends on how you work.
- Someone has to be at that address to take papers when they are delivered. Owners who drive routes, work on site or travel for long stretches can miss a delivery.
- Your home becomes the registered office if you run the business from home and serve as agent there.
- A move out of Michigan ends your eligibility, and a move within the state changes your registered office, so either one calls for a filing.
The statute also lists a domestic LLC among the businesses that may serve. It does not say whether an LLC can name itself, so if that is your plan, ask the Corporations Division how to complete the form.
Owners outside Michigan can't serve themselves and need a Michigan resident or a qualifying company. People also turn to a service when they want a fixed office on file instead of a home. The comparison of Michigan resident agent services sets their published prices side by side.
How do you name a resident agent when forming a Michigan LLC?
The agent goes in the Articles of Organization (Form CSCL/CD-700), the filing that creates the LLC, in the resident agent and registered office lines. The state fee is $50.2, 3
Filing methods listed on the form: Online (MiBusiness Registry Portal), by mail or in person. The in-person counter is at 2407 N Grand River Ave, Lansing. This guide's sources don't give a standard processing time for Articles sent through the regular queue. If timing is tight, LARA sells faster review through Form CSCL/CD-272 Expedited Service Request: 24-hour $50 (formation); same day $100 (formation); 2-hour $500; 1-hour $1,000, on top of the filing fee.2, 9
Before filing, settle three points.
- The agent. A Michigan resident or a qualifying company.
- The registered office. The agent's own Michigan business office or home, matching what the agent will use.
- Consent. The sources checked for this guide don't describe a consent signature on the Articles, so read the form's instructions on that point.
The step-by-step guide to forming a Michigan LLC covers the other lines on the form, and the cheapest ways to form a Michigan LLC page totals the fees, including expedite.
How do you change your resident agent in Michigan?
You file the Certificate of Change of Registered Office and/or Change of Resident Agent (Form CSCL/CD-520) with LARA. The fee is $5, set in MCL 450.5101(1)(i), and the same form changes the registered office, which in Michigan usually moves with the agent anyway.3, 10
Order counts more than the form.
- Choose the new agent and confirm they meet the statute's test.
- Note the new registered office. It has to be the new agent's Michigan office or, for an individual, their office or home.
- File Form CSCL/CD-520 with LARA.10
- Keep the old agent in place until LARA has filed the change.
- Cancel the old service last, so your LLC never has a gap.
Several providers' cancellation terms build in that order. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change, and Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. InCorp's terms require that you dissolve entity, appoint new agent, or resign InCorp with fees before the annual fee is due. Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, otherwise the service renews. Before you file the change, look up the renewal date in your current contract so a new term doesn't start while you switch.11, 12, 13, 14
The Annual Statement you file each year lists your resident agent and registered office, so it is the natural moment to confirm both. The general guides on changing an agent and cancelling an agent service cover the steps that work the same everywhere.10
What happens if your Michigan resident agent resigns?
A resigning Michigan agent must notify both LARA and someone inside your LLC, and the appointment ends soon after, so you need a successor quickly.
Under MCL 450.4208, the process starts this way: Agent files written resignation with LARA and with a member or manager. The appointment ends 30 days after filing with LARA or when a successor is appointed, whichever is first, which leaves a short window to line up a replacement.15
Two features of that rule are worth knowing. The resigning agent must deliver the notice to someone inside the LLC, so a current member or manager address on file with the agent is your early warning.
The statute says the LLC shall promptly appoint a successor resident agent. The statute text quoted here gives no number of days for that, but the next section explains what Michigan does when an LLC has no agent, which is reason to act within the notice period. Filing Form CSCL/CD-520 costs $5, so the paperwork itself is rarely the obstacle.3, 10, 15
A resignation can follow a relative moving, an employee leaving, or a service ending the arrangement after an unpaid renewal. If you think your agent may have stopped serving, look up your LLC in LARA's records to see who is listed.
What happens if a Michigan LLC has no resident agent?
Having no resident agent is not a listed dissolution ground for a Michigan LLC, according to the facts checked for this guide. It carries a different risk if the LLC is sued.4
Under MCL 450.4207(4), when an LLC fails to appoint or keep an agent, process may be served on the administrator (LARA), by delivering or registered-mailing the summons and complaint to the administrator.4
In practice, a plaintiff can serve the state office instead of you. If the agent and registered office on file are stale, those papers may never reach you before a response deadline passes. The risk is a default judgment entered before you know about the case, and keeping the agent current avoids it.
The separate route to losing good standing runs through the annual statement. Michigan's rule is that missing 2 consecutive annual statements leads to loss of good standing; more precisely, after 2 consecutive missed years and 60 days after the administrator's notice, the LLC is not in good standing. Because the annual statement is the filing that reports your agent, an LLC that lets its agent lapse often lets that filing lapse too.4, 16
Restoration means filing the $50 Certificate of Restoration of Good Standing (Form 770/771), plus $25 for each missing annual statement. Review can take up to 10 business days for non-expedited submissions. The Michigan compliance guide walks through restoration and the yearly filing in detail.17
What does a Michigan LLC file each year to stay in good standing?
Michigan LLCs file an Annual Statement, due February 15 each year, starting the year after formation. The statute says it is a filing "containing the name of its resident agent and the address of its registered office in this state." So it doubles as the yearly check on your agent.4, 10, 18
- The fee is set in the LLC Act's fee section. The fee is $25 through September 30, 2027 and $15 after that.3
- An LLC formed after September 30 skips the February that comes right after formation, so a late-year formation gets a longer first stretch.18
- Missing the statement in back-to-back years, followed by the notice period, ends good standing, as described above.
The Michigan compliance calendar sets out the first and second year in order, and annual reports explained covers how these filings compare across states.
Do out-of-state LLCs need a Michigan resident agent?
Yes, in practice. An LLC formed elsewhere registers with an Application for Certificate of Authority, Form 760, for $50, and then files the annual statement that names its resident agent.19
The sources for this guide don't quote the section that sets a registered foreign LLC's agent duty, so read the form's instructions on the agent and office lines.
Your home-state agent does not qualify automatically. Under MCL 450.4207, a company agent must have a business office in Michigan matching the registered office, and an individual must live in Michigan. An Ohio agent with no Michigan office cannot fill the role. If a national service already acts for you elsewhere, ask how it bills a Michigan appointment.
That annual statement applies after qualification, since LARA's guidance gives the due date as "February 15 each year after organization/qualification". If your LLC also works across the border, compare Illinois's registered agent rules, New York's rules and Delaware's rules.18

Michigan resident agent questions
Can I be my own resident agent in Michigan?
Yes, if you live in Michigan and your registered office is your Michigan home or business office (MCL 450.4207). If you move out of state, you no longer qualify and must file a change naming someone else.1
Does the registered office have to be where my business operates?
No. Michigan law reads: "A registered office that may, but need not be, the same as its place of business." It does have to match the agent's own business office or, for a person, their residence.4
How much does it cost to change my resident agent in Michigan?
The state fee is $5 on Form CSCL/CD-520. A paid agent service bills its own fee on top of the state's.3, 10
How long does my LLC have after an agent resigns?
The appointment ends 30 days after filing with LARA or when a successor is appointed, whichever is first. The statute tells the LLC to appoint a successor promptly, and filing the change before the resignation takes effect avoids any gap.15
What happens if someone sues my LLC while it has no resident agent?
Under MCL 450.4207(4), the plaintiff can serve the state administrator, by delivering or registered-mailing the summons and complaint to the administrator. The case can proceed even if you never see the papers, so keeping a current agent is the practical protection.4
Can a Michigan resident agent use a P.O. box?
The statute ties the registered office to the agent's business office or residence (MCL 450.4207), which points to a real location. This guide's sources include no LARA statement on boxes, so ask the Corporations Division before using one.1
Does the annual statement update my resident agent?
The statute describes it as a filing "containing the name of its resident agent and the address of its registered office in this state." To appoint a new agent, file Form CSCL/CD-520 with LARA; the annual statement is a good moment to confirm the details on file are still right.4, 10
