Registered agent requirements in Illinois

Facts checked October 13 to 14, 2026.

Every Illinois LLC must "continuously maintain in this State a registered agent and registered office" (805 ILCS 180/1-35). The agent can be "an individual resident of this State" or any other "person authorized to transact business in this State". Forming the LLC with the Articles of Organization costs $150, and a later switch of agent costs $25. Read the rule to the end: Illinois wants a registered office as well as an agent, and the two have to stay on record together.1, 2

Who can be a registered agent in Illinois?

The Limited Liability Company Act gives two routes (805 ILCS 180/1-35). The agent must be either "an individual resident of this State" or some other "person authorized to transact business in this State".1

The first route covers people. Anyone who lives in Illinois fits the statute's wording: an owner, a co-founder, a spouse, a bookkeeper in Peoria. The quoted rule names no age, licence or professional test, so the real question is whether that person will be at the registered office when legal papers turn up and will pass them on the same day.

The second route covers businesses. "Person" in this sense reaches beyond individuals, so a company can act as agent provided it holds authority to do business in Illinois. Commercial agent services rely on this route, which means a service you hire needs that authority and a registered office in Illinois.

A few common assumptions fall outside both routes.

For the duties that apply in every state, read what a registered agent does, and the glossary defines service of process and the other legal terms used here.

What counts as a registered office in Illinois?

The registered office is an address in Illinois that the LLC keeps alongside its agent, and the statute requires both (805 ILCS 180/1-35).

The office is a filing item in its own right: the state's fee schedule has a filing for a change of its address ($25), separate from the agent's name.

The sources checked for this guide do not include the Secretary of State's own guidance on which kinds of address it accepts as a registered office. A home or a storefront in Illinois where the agent can be found fits the word "office" plainly. A P.O. box, a coworking desk or a mailbox service is less clear, because papers can't be handed to the agent there, so ask the Illinois Secretary of State, Department of Business Services before you list one.

Because the office and the agent are filed as a pair, moving the office is a filing of its own, even when the agent stays the same (see the change section below).

Whoever you name, their address goes in the agent field of the public record. A commercial agent puts its office there, which is true of every provider. Your own business details still go on the other parts of your filings: the Annual Report asks for the LLC name, registered office address and registered agent, principal place of business, and names and business addresses of managers (or members with manager authority). If you'd rather not list a home address in those fields, some providers sell a separate address product. Tailor Brands lists one (Virtual Address product offered; price not published). Bizee (formerly Incfile) lists a virtual address ($29/month; 1 month free with Bizee LLC formation). Northwest Registered Agent lists mail forwarding (Mail Forwarding $20/month (24 select states)), so check whether Illinois is one of those states, and Harbor Compliance lists an address service ($350/year per company, per location (limited time offer)). Our page on what an agent can and can't keep off the record sets out the limits.2, 3, 4, 5, 6, 7

Can you be your own registered agent in Illinois?

Yes, if you live in Illinois. As an individual resident you meet the statute's first route (805 ILCS 180/1-35).

Before you do, weigh how your week actually runs. A process server may come to the registered office with no warning. If you work from client sites, drive a delivery route or split time between Illinois and another state, nobody may be there to take the papers.

Your registered office address also appears with your agent details, and for a business run from home that usually means your home address. A move inside Illinois means filing a change of office; a move out of Illinois ends your eligibility as an individual, so line up a replacement before the moving truck arrives.

Owners who live outside Illinois cannot name themselves. Their options are an Illinois resident they trust or a business authorized to operate here. The facts checked for this guide don't say whether an LLC may list itself under the second route, so ask the Illinois Secretary of State, Department of Business Services if you want to try that.

Paid services tend to suit owners without a fixed Illinois address or those who want papers scanned to them wherever they are. Their prices and terms are compared on the Illinois registered agent services page.

How do you name a registered agent when forming an Illinois LLC?

You file the Articles of Organization, which creates the LLC, and from then on the duty to keep an agent and office applies (805 ILCS 180/1-35).2

The state fee is $150 for a standard LLC. An LLC set up with series pays more, as the statute sets $400 for an LLC with a series. This guide's sources don't quote the form's fields, so read its instructions for where the agent and office go.2

Have three things settled before you file.

  1. The agent's legal name, either an Illinois resident or a business with Illinois authority.
  2. The registered office: the address in Illinois where that agent can be reached.
  3. The agent's agreement to take on the role. The sources checked for this guide don't show whether the Articles ask for the agent's signature, so read the form's instructions on that point.

The Secretary of State's own pages on filing methods and processing times were not among this guide's sources, so this page gives no turnaround figure. If you want to hold a name while you sort out the agent, a name reservation costs $25. The Illinois LLC formation guide walks through the full Articles, and the cheapest ways to form an Illinois LLC totals the fees.2

How do you change your registered agent in Illinois?

You file a Statement of change of registered agent and/or registered office with the Illinois Secretary of State, Department of Business Services. The fee is $25, and the statute's fee line covers a "change of address of registered office or change of registered agent, or both", so one filing can record a new agent, a new office or both at once.2

The order of steps protects you from a gap.

  1. Pick the new agent and confirm they qualify: an Illinois resident or a business authorized here.
  2. Get their agreement, and their Illinois office address if it is changing too.
  3. File the statement of change and keep the filed copy.
  4. Check the state's record to confirm the new agent and office are showing.
  5. Then cancel the old service. Cancelling first can leave the LLC without an agent, which is a dissolution ground covered below.

Providers handle the exit in different ways, and several of their terms build in this order. LegalZoom notes that proof of new RA may be required. Bizee (formerly Incfile) lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. InCorp Services requires one of its cancellation conditions to be met before the annual fee falls due; the options are to dissolve entity, appoint new agent, or resign InCorp with fees. Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, or the term renews.8, 9, 10, 11, 12

Spotted a typo in the agent's name or address after filing? The same fee line also covers filing a statement of correction. The general guides on changing a registered agent and cancelling an agent service cover the steps that work the same everywhere.2

What happens if your Illinois registered agent resigns?

An Illinois agent can quit, but the statute builds in notice for the LLC. The agent mails notice to the LLC at least 10 days before filing with the Secretary of State, and the resignation's effective date is no sooner than 30 days after filing.1

Put together, those two rules give an owner a few weeks between the letter arriving and the agent actually dropping off the record. That window is the time to find a replacement and file the statement of change.

The notice goes by mail to the address the agent has for the LLC. If you have moved, changed your principal office or stopped reading the old mailbox, the warning can go unseen.

The statute text checked for this guide sets no separate countdown for the LLC to replace the agent. The practical deadline comes from the dissolution rule in the next section: once the resignation takes effect, the LLC has no agent, and that is a ground for dissolution. If you are unsure whether your agent is still on file, look up your LLC on the Secretary of State's records.

What happens if an Illinois LLC has no registered agent?

Illinois lists this failure among its grounds for administrative dissolution. Under 805 ILCS 180/35-25, the Secretary of State may dissolve an LLC that has failed to appoint and maintain a registered agent in Illinois.13

The same section lists a second ground: an LLC that has failed to file its annual report and pay its fee as required by this Act. An LLC whose agent has lapsed may also miss notices about its report.13

Banks, landlords and licensing offices may ask for proof that an LLC is in good standing, and contracts signed while it was dissolved can raise questions for a lawyer. A lawsuit filed while no agent is on record can also move ahead before you hear of it.

Illinois lets a dissolved LLC apply for reinstatement, for a filing fee of $200. The sources checked here do not confirm what else the state asks for, such as back reports or penalties, so ask the Illinois Secretary of State, Department of Business Services what your record needs. The Illinois compliance guide covers reinstatement in more detail.2

What does an Illinois LLC file each year?

The recurring filing is the Annual Report, with a state fee of $75, plus a penalty if delinquent. It asks for the LLC name, registered office address and registered agent, principal place of business, and names and business addresses of managers (or members with manager authority), so each report is also a chance to confirm the agent and registered office are right.2, 3

Reading those lines before you submit is a simple way to catch a stale agent record. The exact due date and the penalty amount were not in the sources checked for this guide; the Illinois compliance calendar explains what is known and where to confirm it.

For how annual reports work across states, see annual reports explained. Some agent services include report reminders; services with compliance tools compares them.

Do out-of-state LLCs need an Illinois registered agent?

Yes, in practice. An LLC formed elsewhere applies for admission ($150), then files the same Annual Report as an Illinois LLC, which asks for its registered agent and office ($75).2

Your home-state agent does not carry over unless it also has an Illinois office and authority to operate here. A Delaware LLC with a Wilmington agent, for example, needs a second appointment for Illinois. If one national service already acts for you in other states, ask how it bills an added state, since its price comes on top of the state's admission fee.

The sources checked here don't say whether an admitted LLC changes its agent with the same statement of change, so confirm the form with the Illinois Secretary of State, Department of Business Services. Owners abroad can start with services that work with non-residents. If you also operate next door, compare the rules in Indiana, Wisconsin, Missouri and Iowa.

Illinois registered agent questions

Can I be my own registered agent in Illinois?

Yes, if you live in Illinois. The statute allows "an individual resident of this State" to act as agent (805 ILCS 180/1-35). You list yourself and your Illinois registered office, and someone needs to be there to accept papers when they arrive.1

Can a relative in Chicago be the agent for my out-of-state LLC?

Yes, as long as they live in Illinois and agree to take papers for the LLC. A resident individual meets the statute's test (805 ILCS 180/1-35). Their Illinois address would then be listed as your registered office.1

What is the difference between a registered agent and a registered office in Illinois?

The agent is the person or business that accepts legal papers; the office is the Illinois address where they do it. The statute requires an LLC to continuously maintain in this State a registered agent and registered office (805 ILCS 180/1-35), so both must stay current.1

How much does it cost to change my registered agent in Illinois?

The state charges $25 for a statement of change, which can update the agent, the office or both together. A paid service's own yearly fee is separate from that state charge.2

How much notice does an Illinois registered agent have to give before resigning?

The agent must mail notice to the LLC at least 10 days before filing, and the resignation takes effect no sooner than 30 days after filing. File a statement of change naming a new agent within that window.1

Can Illinois dissolve my LLC for not having a registered agent?

Yes. The dissolution statute, 805 ILCS 180/35-25, lists an LLC that has failed to appoint and maintain a registered agent in Illinois as a ground. Reinstatement is possible, with a filing fee of $200, but other conditions may apply.2, 13

Do I need a separate Illinois agent if my LLC already has one in another state?

Usually yes. An LLC admitted to Illinois files the state's Annual Report ($75), which asks for its registered agent and registered office. A provider that already serves you elsewhere may be able to add Illinois, so check its price for a second state.2
