Cheapest LLC formation in Mississippi
Facts checked October 13 to 14, 2026.
The lowest first-year bill is the Secretary of State's $50 Certificate of Formation fee, with no agent charge if you act as your own registered agent or take a package listed at $0 + state fee that includes the agent's first year. From year two the state's recurring charge is the annual report at $0, so the yearly cost of keeping the LLC on file is whatever you pay an agent, such as Bizee's renewal of $149/year (ongoing annual fee). That renewal is why a "free" formation package still costs money: the state fee is always added in year one, and a bundled agent starts billing in year two.1, 2, 3
What does the state of Mississippi charge to form an LLC?
One fee always applies: $50 for the Certificate of Formation. No provider can discount it, and every package price on this page is quoted before it.
| Filing | Fee |
|---|---|
| Form the LLC | $50 sos.ms.gov |
| Reserve a name | $25 sos.ms.gov |
| Change of registered agent | $10 sos.ms.gov |
| Recurring report | $0 sos.ms.gov |
| Reinstatement after dissolution | $50 (F0109); certain LLCs also need a tax clearance letter from the Department of Revenue sos.ms.gov |
| Register an out-of-state LLC | $250 (Application for Registration of Foreign LLC, F0200) sos.ms.gov |
The state doesn't publish an expedite tier or fee for LLC filings, and online filings that need staff review are handled generally within 24 hours. Paper costs the same fee but is slower: paper filings take significantly longer.4
A name reservation, at $25, is optional. It only helps if you want to hold a name before you are ready to file. When you are ready, filing the certificate directly makes it unnecessary.5
An LLC already formed in another state pays a different and larger fixed fee, $250, to register in Mississippi, instead of the formation fee.5
The yearly report adds nothing. Mississippi's annual report carries no fee for a domestic LLC (Annual Report (F0108), $0 for domestic LLCs, due April 15, online only), so a Mississippi LLC's fixed state filing cost after year one is $0. Taxes are a separate subject that this page doesn't cover; the Department of Revenue or an accountant can say what applies. If you are weighing a neighboring state, its own rules are on the Louisiana registered agent page.5
What raises the cost of a Mississippi LLC?
With a low filing fee and a free report, the bill grows mainly through what you buy: a paid agent, a provider's rush handling, a report-filing service and package add-ons. A missed deadline can add a reinstatement fee too.
The registered agent
This is the cost that recurs. A Mississippi LLC must keep an agent on file, because going without one for 60 days or more is grounds for administrative dissolution. There are three ways to cover it.6
- Act as your own agent. Under Miss. Code Ann. § 79-35-2, an individual who isn't on the commercial list is a noncommercial agent, so an owner can serve at no cost, though your own address then goes in the agent field and you need to be there to receive legal papers. The Mississippi registered agent guide explains the rules.7
- Take a first year bundled with formation, then pay the provider's renewal.
- Buy agent service on its own at the prices in the table below.
Switching later is cheap. The Statement of Change (F0010) costs $10. File it before you cancel the old service, so the LLC is never without an agent. How to change a registered agent walks through the order.1, 5
A paid filing service for a free report
Several providers sell annual report filing, and in Mississippi the whole price is service fee because the state charges $0. Their published prices differ widely.
- ZenBusiness, Annual Report Filing $100 per report8
- LegalZoom, $99 + state filing fees, bills once9
- InCorp, $89 + state fees10
- Northwest, $100 + state fees, charged at filing11
- Harbor Compliance, $199 per state per year plus filing fees12
The report is due April 15 each year and filed online only. It comes pre-populated with the company's existing record, so filing it yourself costs nothing but a short online session.4, 5, 13
Rush handling
The state doesn't publish an expedite option, so a provider's rush fee pays for a shorter wait in that provider's own queue. For a cheapest package with handling of a week or more, filing yourself online can be faster than paying to upgrade.
Add-ons and trials
Checkouts commonly offer an EIN, an operating agreement, a business address and compliance subscriptions. Free trials can turn into yearly charges: Swyft Filings includes a trial of ComplianceGuard $199/year (14-day free trial then auto-charged), and ZenBusiness's Starter includes Worry-Free Compliance free for 1 year (then $199/yr). Put the end date of any trial in your calendar.14, 15
A missed deadline
The state doesn't publish a late fee for the report (No late fee listed), but a report still missing 60 days after due date is grounds for administrative dissolution. Reinstatement costs $50 (F0109), and certain LLCs also need a tax clearance letter from the Department of Revenue. A free report filed on time is the cheapest outcome; staying compliant in Mississippi has the calendar.5, 13

For each provider, here is what its lowest option adds to the $50 state fee in year one and what keeps billing after that.
Tailor Brands. Lite is $0 plus state fees. No agent is listed with it, so add $199/year or act as your own agent. Essential, at $199/yr plus state fees, recurs each year and includes report filing. See the Tailor Brands review.16, 17
ZenBusiness. Starter is $0 + state fees (does not renew), with the agent as an add-on (+$199/yr). LLCs it forms get 50% off the first year ($99), and it then renews at $199/yr. See the ZenBusiness review.15, 18
LegalZoom. The lowest package, $0 + state filing fees, covers the Articles of organization. Its agent is $249/year (first-time registered agent customers) and renews at the purchase rate each year; rate subject to change. See the LegalZoom review.19, 20
Bizee. Basic is $0 + state fee, with the agent free for the first year with any Bizee formation package. In year one the state fee is the only required charge; from year two the agent renewal of $149/year (ongoing annual fee) becomes the main cost. See the Bizee review.3, 21
Swyft Filings. Basic is $0 + state fees. The agent is billed quarterly at $149 per quarter ($596/year), so compare the yearly figure, and the packages don't list an agent. See the Swyft Filings review.22, 23
doola. Starter is $297/yr and includes the agent, but the whole plan renews each year, so year two costs the plan price again. See the doola review.24
Northwest Registered Agent. Formation is $39 + State Fees, described on its corporation page as a total that includes one year of registered agent service; confirm that applies to an LLC. Its agent alone is $125 per year. Its terms say agent customers are automatically enrolled in Compliance Services (annual report filing), billed in annual auto-pay; that report service is $100 + state fees, charged at filing, worth checking given Mississippi's free report. See the Northwest review.11, 25, 26, 27, 28
Rocket Lawyer. Its first registration is free with a Rocket Lawyer membership. Standard is $149/year without an agent; the agent ($125 with a Plus or Pro membership) needs Plus at $249/year or Pro at $349/year. See the Rocket Lawyer review.29, 30, 31
InCorp Services. Formation is priced starting at $99 plus state fees, with the registered agent sold separately at $129 per state per year. InCorp calls that a $129 per year flat rate, while its terms say service is billed at then-current fee unless a cancellation condition is met. See the InCorp review.32, 33, 34, 35
Harbor Compliance. Formation starts at $99 plus state fees. The agent is $99 first year (new customers), then $159 annually, and stopping it takes notice at least 90 days before the end of the current term. See the Harbor Compliance review.36, 37, 38

Mississippi LLC cost questions
Can I form a Mississippi LLC for only the state fee?
Yes. Act as your own registered agent, or use a package listed at $0 + state fee that includes the agent's first year, and file online. The state fee is $50, and the state doesn't publish an expedite fee to add on.1, 2
What does a Mississippi LLC cost each year after formation?
The state's yearly filing charge is the annual report, at $0. What you pay beyond that is your own choice: a paid registered agent, any yearly package and any report-filing service. An owner acting as their own agent who files the report online pays the Secretary of State nothing after formation; taxes are a separate question.1
Is it worth paying a service to file the Mississippi annual report?
Only for the convenience or the reminder. The state fee is $0, the form is online only, and it is due April 15 each year. Published prices for the service include InCorp's $89 + state fees and Harbor Compliance's $199 per state per year plus filing fees.
What does it cost if my Mississippi LLC is dissolved for missing the report?
Reinstatement costs $50 (F0109), and certain LLCs also need a tax clearance letter from the Department of Revenue. That is more than the report itself, which is free, so filing on time is the cheaper route.5
Does it cost anything to switch registered agents after a free first year?
Yes, a small state fee: $10 for the statement of change. Switching saves money when the new agent's yearly price is below your current renewal; just have the new agent on file before you cancel the old one.1
