Registered agent requirements in Mississippi
Facts checked October 13 to 14, 2026.
Every Mississippi LLC needs a registered agent in the state, and the Mississippi Secretary of State can dissolve one that has no registered agent in Mississippi for 60 days or more. You name the agent on the Certificate of Formation (F0100), which costs $50 to file, and you can switch agents later for $10. The detail most specific to Mississippi is the agent category: Mississippi's Registered Agents Act splits agents into commercial and noncommercial types (Miss. Code Ann. § 79-35-2), and a friend or relative who agrees to help is a noncommercial agent, not a listed service.1, 2, 3, 4
Who can be a registered agent in Mississippi?
Mississippi lets an individual or a business entity serve, and it sorts every agent into one of two groups under its Registered Agents Act (Miss. Code Ann. § 79-35-2).4
- A commercial registered agent: under the same section, a commercial registered agent is an individual or entity listed under Section 79-35-6.4
- A noncommercial registered agent: the statute says the term "means a person that is not listed as a commercial registered agent under Section 79-35-6 and that is an individual or a domestic or foreign entity". That covers you, a family member, your lawyer, or a business you own that agrees to accept papers for the LLC.4
The sources for this guide don't set out a residency rule or any other qualification for an individual agent. What the dissolution statute does say is that an LLC which "is without a registered agent in this state for sixty (60) days or more" can be dissolved (Miss. Code 79-29-821(c)). So in practice the agent has to be someone who can receive papers in Mississippi. A brother in Memphis who never crosses into DeSoto County would be a poor choice even if he is willing.1
The sources for this guide do not set out what a noncommercial agent must supply on a filing compared with a listed one, so read the form's instructions before you choose. For the role itself, which is the same everywhere, see what a registered agent does, and the glossary defines service of process and the other legal terms used here.
What address does a Mississippi registered agent need?
The agent needs a place in Mississippi where papers can be delivered to them, because the dissolution test turns on having an agent "in this state" (Miss. Code 79-29-821(c)).
The state's change form is titled LLC Registered Agent/Office Statement of Change (F0010). The word "Office" in that title suggests the record pairs the agent with an address that is updated on the same filing. Beyond that, the sources for this guide contain no Secretary of State statement on P.O. boxes, mail drops or virtual offices. Those points are worth a short call to the Secretary of State before you list anything other than a street address where someone is present during the working day.2
Some practical points about common choices follow.
- Your home. If you serve as your own agent from home, your home address is the one tied to the agent on the LLC's record.
- An office, shop or storefront in Mississippi works when someone there can accept papers and get them to you the same day.
- A commercial agent's office. A listed commercial agent supplies its own location, so your address does not appear in the agent field at all.
That last point applies to every provider, not to any one of them. Naming a service changes only the agent field. Other names and addresses the Certificate of Formation asks for stay as you enter them, and the sources for this page don't say which of those fields the public search shows. If you want a separate business address for those fields, some providers sell one apart from the agent service: Northwest lists Mail Forwarding $20/month (24 select states), so check whether Mississippi is covered, Bizee prices a virtual address at $29/month; 1 month free with Bizee LLC formation, and Swyft Filings prices one at $29/mo; Standard 1 month free; Premium 3 months free. The list of agent services compared for privacy sets out which providers sell an address product.5, 6, 7
Can you be your own registered agent in Mississippi?
Yes. An individual qualifies as a noncommercial registered agent under Miss. Code Ann. § 79-35-2, so an owner can name themselves, as long as they can be reached for service in Mississippi. It costs nothing beyond the filings you make anyway.4
Before you list yourself, weigh three things. First, your name and the address you give become part of the LLC's agent record. Second, someone has to be there when a process server arrives. Owners who drive a route, work on farms or job sites, or split time between Mississippi and another state can miss a delivery, and a missed lawsuit can end in a default judgment. Third, if you move away later, you need to file a change before the gap rule described below can count against you.
The statute's list also includes domestic and foreign entities, but the quoted definitions don't say whether an LLC may name itself. If that is your plan, ask the Secretary of State how to fill in the agent fields.
A paid service tends to make sense when you live outside Mississippi, travel for work, or would rather not tie your home to the agent record. The Mississippi registered agent services compared page sets out each provider's published price and terms.
How do you name a registered agent when you form a Mississippi LLC?
You name the agent on the Certificate of Formation (F0100), the filing that creates the LLC. The Secretary of State's FAQ says "All business filings may be submitted and paid for online." It also warns that paper registrations will take significantly longer to process than online filings.2, 8
- Pick the agent and decide whether it is a listed commercial agent or a noncommercial one.
- Get the agent's agreement before you file. The sources for this guide don't describe a separate consent form for Mississippi, so check the online filing screens.
- Enter the agent's details on the Certificate of Formation and pay $50.3
Some online filings are accepted at once. Others go to staff review, which the Secretary of State says should happen within 24 hours of submission. The sources for this guide don't list an expedite option or fee for LLC filings. The full sequence, from the name check to the EIN, is on the Mississippi LLC formation guide, and the cheapest ways to form a Mississippi LLC adds up the fees.8
How do you change your registered agent in Mississippi?
You file the LLC Registered Agent/Office Statement of Change (F0010) with the Secretary of State. The fee is $10, and the Secretary of State's FAQ notes that agent changes are handled as an amendment in the online system.2, 3
Getting the order right keeps the LLC covered the whole time.
- Choose the new agent and confirm they will serve.
- Log in to the online filing system and file the change as an amendment, naming the new agent and its address.
- Keep the old agent in place until the Secretary of State shows the new one on your record.
- Cancel the old service last.
Cancelling first is the expensive mistake. It can leave the LLC with no agent of record, and a long enough gap is one of the state's grounds for dissolution, as described below.
Providers handle the hand-off differently. LegalZoom says proof of new RA may be required when you cancel. InCorp's service keeps billing unless a cancellation condition is met (dissolve entity, appoint new agent, or resign InCorp with fees). Northwest's terms are simpler (Cancel anytime through the online account; no cancellation fee). Harbor Compliance wants notice of non-renewal at least 90 days before the end of the current term, or a new term starts. Look up your provider's renewal date before you begin, so the switch doesn't land just after a fresh charge.9, 10, 11, 12
The steps that work the same in every state are in the general guide to changing a registered agent, and cancelling an agent service covers the provider side.
What happens if your Mississippi registered agent resigns?
A Mississippi agent cannot just walk away overnight. Under Miss. Code 79-35-11, the agent owes the LLC written notice at least 30 days before filing, and the resignation takes effect on the 31st day after filing or when a new agent is appointed, whichever is earlier.13
That gives an owner two signals. The first is the written notice, which arrives before anything has been filed. The second is the filing itself. Treat the first one as your deadline to act.
The dissolution statute adds a separate test: an LLC that fails to notify the SOS within 60 days that its agent changed or resigned has given the state grounds to dissolve it (Miss. Code 79-29-821(c)). So the safe course is to file the statement of change naming a replacement as soon as the warning letter lands. Doing so also ends the resignation early, because a new appointment cuts the period short.1
A commercial agent may resign for a client that stopped paying, and the notice then goes to whatever mailing or email address the provider still has, which may be years out of date. Keeping your contact details current with the agent is the cheapest protection you have. If you think an agent has resigned without telling you, ask the Secretary of State which agent is on file.
What happens if a Mississippi LLC has no registered agent?
The LLC can be administratively dissolved. Mississippi law lists, as a ground for dissolution, an LLC that "is without a registered agent in this state for sixty (60) days or more" (Miss. Code 79-29-821(c)).1
Here is how the problem tends to unfold.
- The agent resigns, moves away or stops serving.
- Nobody files a replacement, so the LLC has no agent on record in Mississippi.
- Once the gap reaches the statutory period, or the LLC has failed to tell the Secretary of State about the change in time, the state has grounds to dissolve it.
A dissolved LLC loses its good standing. Lenders, landlords and licensing offices that ask for a certificate of good standing will see the problem. Worse, papers in a lawsuit can be served while nobody is there to receive them, and the case may move ahead without you.
Reinstatement is open to dissolved LLCs. The filing is $50 (F0109), and certain LLCs also need a tax clearance letter from the Department of Revenue. If the letter applies to your LLC, ask the Department of Revenue for it at the start. The Mississippi compliance guide explains reinstatement and the other dissolution grounds in more detail.2
What does a Mississippi LLC file each year to stay in good standing?
Each Mississippi LLC files an Annual Report (F0108) by April 15 each year (may be filed from January 1). The fee for a domestic LLC is $0, and the Secretary of State is plain about the method: All annual reports must be filed online.2, 3, 14
The report is the yearly check on your agent. The annual report will be pre-populated with the information already in the system. So when you file, look at the agent name and office before you submit. If either is wrong, fix it with the change filing rather than leaving stale details in place for another year.8
The report is free, but skipping it still has a cost: a report not delivered within 60 days after due date is a ground for administrative dissolution (Miss. Code 79-29-821(b)). The Mississippi compliance calendar lays out the first and second year in order, and annual reports explained covers how these filings work in other states.14
Do out-of-state LLCs need a Mississippi registered agent?
An LLC formed elsewhere that wants to do business in Mississippi registers by filing an Application for Registration of Foreign LLC, F0200, at a cost of $250.2
The sources for this guide don't quote the foreign application's agent field line by line, so read the form before you file and see what agent details it asks for. A Tennessee LLC whose agent sits in Nashville should ask the Secretary of State whether that agent can be named on the Mississippi application, or appoint one here.
If you also operate across the state line, compare the rules in Alabama, Louisiana, Tennessee and Arkansas.

Mississippi registered agent questions
Can I be my own registered agent in Mississippi?
Yes. An individual can serve as a noncommercial registered agent under Miss. Code Ann. § 79-35-2, so you can list yourself on the Certificate of Formation. You need to be reachable for service in Mississippi, and your name and address will sit on the agent record.4
What is the difference between a commercial and a noncommercial registered agent?
A commercial agent is one on the statutory list; the statute says a commercial registered agent is an individual or entity listed under Section 79-35-6. Anyone else who serves, including an owner or a relative, is a noncommercial agent (Miss. Code Ann. § 79-35-2). Both satisfy the requirement to have an agent.4
How much does it cost to change my registered agent in Mississippi?
The state charges $10 for the LLC Registered Agent/Office Statement of Change (F0010). A paid agent service bills its own fee on top. The sources for this guide don't list an expedite fee for LLC filings.2, 3
How much warning do I get if my agent resigns?
The agent must send the LLC written notice at least 30 days before filing. After the filing, the resignation takes effect on the 31st day after filing or when a new agent is appointed, whichever is earlier. Naming a replacement as soon as the notice arrives is the safe course, because failing to tell the state about the change in time is a dissolution ground.13
Does the annual report let me update my registered agent?
The report arrives filled in with what the state already holds, so it shows whether your agent details are current. Agent changes themselves are filed as an amendment in the online system, for $10.3
Can a Mississippi LLC be reinstated after losing its agent?
Yes. Reinstatement costs $50 (F0109), and certain LLCs also need a tax clearance letter from the Department of Revenue. Have a new agent ready to name, because the state record still needs one.2
Do I need a Mississippi agent if my LLC was formed in another state?
If you register to do business here, you file an Application for Registration of Foreign LLC, F0200, which costs $250. Plan on having an agent who can be reached in Mississippi, and check the application for the agent details it asks you to supply.2
