Cheapest LLC formation in Nebraska

Facts checked October 13 to 14, 2026.

The lowest possible first-year bill for a Nebraska LLC is the filing fee, $100 online, plus the newspaper's charge for the required notice and the proof-of-publication filing ($30 in office / $25 online). Reaching that floor means filing yourself or using a package priced at $0 + state fee, and either serving as your own agent if you live in Nebraska (Neb. Rev. Stat. § 21-113) or taking an agent year bundled with formation. After that, the state's recurring charge is the biennial report fee of $30 (paper filing) in odd-numbered years, and a paid agent renews every year. A package advertised as free never means a free LLC: the state fee, the newspaper and the agent's later renewal all remain.1, 2, 3, 4, 5

Nebraska law uses the term agent for service of process. Most states call the same role a registered agent. What the term means in Nebraska

What does the state of Nebraska charge to form an LLC?

The Nebraska Secretary of State sets these fees, and no service can lower them. Every package price on this page excludes them.

Nebraska Secretary of State fees for LLCs
FilingFee
Form the LLC$100 online, $110 in office sos.nebraska.gov
Reserve a name$30 sos.nebraska.gov
Expedited processingNo paid expedite service listed; online filings are processed first sos.nebraska.gov
Change of agent for service of process$25 online, $30 in office sos.nebraska.gov
Recurring report$30 (paper filing) sos.nebraska.gov
Reinstatement after dissolution$30 (within 5 years of dissolution); Application for Late Reinstatement: $500 sos.nebraska.gov
Register an out-of-state LLC$110 in office / $100 online, plus $10 for the certificate (Certificate of Authority) sos.nebraska.gov

The main charge every new Nebraska LLC pays is for the Certificate of Organization. The fee is $100 online, against $110 in office, so the online route is both the cheaper and, because online filings are processed first, the faster one. The state also adds $10 for a certificate if one is requested; you can skip it unless you need a certificate.1, 6

The notice is also fixed in the sense that you can't avoid it. A new LLC publishes for 3 successive weeks in a legal newspaper near the designated office, then files proof of publication at $30 in office / $25 online. The newspaper's own price is the part the state doesn't publish, so ask a paper near your designated office for a quote before you file.2

Optional state fees are small. Reserving a name costs $30, which you need only if you aren't ready to file. An LLC formed in another state and registering here pays $110 in office / $100 online, plus $10 for the certificate instead of the formation fee.1

What raises the cost of a Nebraska LLC?

Mostly the agent, compliance plans and add-ons from formation checkouts. Nebraska's fee schedule lists no paid expedite, and the state says online filings are processed first, so speed adds nothing on the state's side.6

The agent for service of process

The statute says the agent must be an individual who is a resident of this state or other person with authority to transact business in this state. A Nebraska resident can name themselves and pay nothing. A commercial agent means a yearly charge, either from day one at its standalone price or after a bundled first year runs out. If the renewal climbs, a Statement of Change (designated office, registered agent/office) costs $25 online. File it before cancelling the old provider so the LLC is never without an agent; how to change an agent for service of process has the order of steps.1, 4

The biennial report and compliance plans

Nebraska's report costs $30 (paper filing) and is due by April 1 of odd-numbered years. That makes the timing of a compliance plan's billing a real cost question. A plan that bills every year, such as Swyft Filings' ComplianceGuard $199/year, charges in even-numbered years with nothing to file. A per-filing price, such as ZenBusiness's Annual Report Filing $100 per report or Northwest's $100 + state fees, charged at filing, is charged only when a report goes in. Filing it yourself costs only the state fee.5, 7, 8, 9, 10

Late filing and reinstatement

The state says an LLC whose biennial report is still missing on June 16 will be administratively dissolved. Its fee schedule shows no separate late fee, but reinstatement costs $30 (within 5 years of dissolution), and a late reinstatement application costs $500. Staying compliant in Nebraska explains the schedule.1, 7

Add-ons and upsells

The providers on this page sell extras such as an EIN, an operating agreement, a business address and compliance plans. Some packages bundle these; others sell each one. A free trial that auto-charges, such as the one Swyft describes as a 14-day free trial then auto-charged, turns into a charge if nobody cancels it.8

Here is what each lowest-priced option adds to Nebraska's filing fee in year one and what keeps costing afterwards.

Tailor Brands. Lite is $0 plus state fees. No agent is listed, so budget $199/year or serve as your own if you qualify. Essential, $199/yr plus state fees, bills every year. See the Tailor Brands review.11, 12

ZenBusiness. Starter is $0 + state fees (does not renew). The agent is an add-on +$199/yr, though ZenBusiness offers 50% off the first year ($99) when you form an LLC; afterwards it is $199/yr. Starter also bundles Worry-Free Compliance free for 1 year (then $199/yr), which renews unless you stop it. See the ZenBusiness review.13, 14

LegalZoom. The lowest package is $0 + state filing fees. Its agent is $249/year (first-time registered agent customers) and renews at the purchase rate each year, with the rate subject to change. See the LegalZoom review.15, 16

Bizee. Basic is $0 + state fee, and the agent is free for the first year with any Bizee formation package. From then on it is $149/year (ongoing annual fee). That pairing leaves the state fees and the newspaper as the main first-year costs. See the Bizee review.17, 18

Swyft Filings. Basic is $0 + state fees. The agent costs $149 per quarter ($596/year), billed quarterly, so compare the yearly figure. The package lists don't mention an agent. See the Swyft Filings review.19, 20

doola. Starter is $297/yr with the agent included, but the plan itself recurs every year. See the doola review.21

Northwest Registered Agent. Formation is $39 + State Fees. Its corporation page says formation there ($39 + state fees) includes a year of agent service; the LLC page doesn't repeat it, so confirm before ordering. The standalone agent is $125 per year. See the Northwest review.22, 23, 24

Rocket Lawyer. Formation is tied to membership (First registration free with a Rocket Lawyer membership). Standard ($149/year) doesn't include an agent; the agent is $125 with a Plus or Pro membership, meaning Plus ($249/year) or Pro ($349/year). See the Rocket Lawyer review.25, 26, 27

InCorp Services. Formation starts at $99 plus state fees, with the registered agent sold separately at $129 per state per year. Its terms describe the agent as billed at then-current fee unless a cancellation condition is met. See the InCorp review.28, 29, 30

Harbor Compliance. Formation starts at $99 plus state fees. The agent is $99 first year (new customers), then $159 annually, and stopping renewal takes notice at least 90 days before the end of the current term. See the Harbor Compliance review.31, 32, 33

Nebraska LLC cost questions

Can I form a Nebraska LLC for just the state fee?

Not quite, because the newspaper notice always adds a cost. The floor is the $100 online filing fee, the newspaper's charge, and the proof filing at $30 in office / $25 online, and the agent costs nothing only if you or another eligible person serves without charge, or you take a bundled first year. The Nebraska agent guide covers serving as your own agent.1, 2

What does a Nebraska LLC cost after the first year?

The recurring state cost is the biennial report, $30 (paper filing), due by April 1 of odd-numbered years. Add a paid agent's renewal and any yearly package or compliance plan you kept. Even-numbered years have no report fee.5, 7

Is it worth paying more to file faster in Nebraska?

There is nothing extra to pay the state, because its fee schedule lists no expedite fee. Filing online is both cheaper and faster, since online filings are processed first. A provider's rush fee speeds up only its own work.6

How much does the Nebraska newspaper notice cost?

The Nebraska Secretary of State doesn't publish newspaper rates, so ask the paper. The notice runs for 3 successive weeks in a legal newspaper near the designated office, and filing the proof costs $30 in office / $25 online.2
