Agent for service of process requirements in Nebraska
Facts checked October 13 to 14, 2026.
Every Nebraska LLC must keep an agent for service of process and a separate "designated office" in the state (Neb. Rev. Stat. § 21-113), and the agent rule also covers out-of-state LLCs registered here. The agent has to be a Nebraska resident or another person with authority to transact business in Nebraska. You name both on the Certificate of Organization, which costs $100 online, $110 in office, and you can change either later on a Statement of Change for $25 online, $30 in office. A rule that's easy to miss is that the agent and the designated office are separate entries, and the office address also decides where your formation notice gets published.1, 2
Nebraska Registered Agent vs Agent for Service of Process
Nebraska calls this role an "agent for service of process"; most states call it a registered agent. Nebraska also requires a "designated office" in the state, which is listed separately from the agent on the Certificate of Organization.
The designated office is an in-state office the LLC must keep (the statute says it need not be a place of the LLC's activity); the Certificate of Organization lists it separately from the agent.
- Nebraska law: “an agent for service of process.” nebraskalegislature.gov
- State filing form: “Name of the initial agent for service of process:” sos.nebraska.gov

Who can be an agent for service of process in Nebraska?
Nebraska allows two kinds of agent. The statute says the agent "must be an individual who is a resident of this state or other person with authority to transact business in this state" (Neb. Rev. Stat. § 21-113). So a person qualifies by living in Nebraska, and a company qualifies by being authorized to do business here.1
The second route is the one commercial agent services rely on. A company that has authority to transact business in Nebraska can take the role wherever its owners are based, and it lists a local address in the agent field. Ask any company you consider whether it holds that authority here.
Here is how some common choices work out.
- A co-owner who lives in Omaha or Lincoln can be your agent if they're willing.
- A friend in Council Bluffs qualifies. A friend across the river in Iowa does not, because the individual route needs Nebraska residency.
- Your out-of-state accountant's firm qualifies only if the firm itself is authorized to transact business in Nebraska.
- A national agent company that has registered here qualifies under the business route.
The qualification sentence quoted above names only residency or authority to transact business. It says nothing about a licence or legal training. What the agent does is accept service of process, the formal delivery of lawsuit papers, and pass it on to you. The explainer on what an agent for service of process does covers those duties in more depth, and the glossary defines the legal terms used here.
What address rules apply in Nebraska, and what is a designated office?
Nebraska splits the address question in two: the LLC must keep "an office, which need not be a place of its activity in this state" (Neb. Rev. Stat. § 21-113), called the designated office, plus an agent.1, 3
The Certificate of Organization asks for each one separately: one line reads "Street and mailing address of the initial designated office" and another reads "Name of the initial agent for service of process".2, 3
The designated office does not have to be where your business actually works. A rented storefront in Kearney, a home office in Grand Island, or another in-state address can fill that line, and the statute's wording allows an office where the LLC carries on no activity at all. The sources for this guide don't say whether a P.O. box or a virtual mailbox is acceptable for either entry. The form asks for a street address for the designated office, so check with the Nebraska Secretary of State before listing a box.
The office address has a second job. Under Nebraska's publication rule (Neb. Rev. Stat. § 21-193), the notice of organization must be published for 3 successive weeks in a legal newspaper near the designated office. Pick an office in Scottsbluff and the notice runs there. Choose Omaha instead, and an Omaha paper carries it. The state doesn't publish what newspapers charge for the notice, so the choice of office can change your formation bill.4
Every agent lists its own address in the agent field. Naming a commercial service therefore puts the service's address there instead of yours; that is true of every provider. The designated office is a separate line, and the facts behind this guide don't say that any service fills it for you. Some providers limit how their address may be used. Tailor Brands' terms say "You must not designate or otherwise refer to the Registered Address as your business location in any public materials." If you want a business address for the office line, a few providers sell an address product apart from the agent service. Tailor Brands offers a separate Virtual Address product ("Keep your home address off public records with a professional business address") and doesn't publish its price. Northwest lists Mail Forwarding $20/month (24 select states), so ask whether Nebraska is one of those states. The page on what an agent can and can't keep off the record explains which fields stay public.5, 6, 7
Can you be your own agent for service of process in Nebraska?
Yes, if you live in Nebraska. A resident owner meets the statute's individual test (Neb. Rev. Stat. § 21-113) and can list themselves in the agent field.
The practical side deserves more thought than the legal one.
- Whoever is named needs to be reachable at the listed address when papers arrive. If you farm, drive routes, or travel for work, papers can sit undelivered.
- Your name goes into the agent field of the state filing. For a business run from home, the address you give is usually your home address.
- The biennial report later asks for the "name and addresses of the agent for service of process", so the address you list will be repeated on each report until you change it.8
- If you move out of Nebraska, you no longer qualify as an individual agent, and you'll need to name someone else.
Owners who live elsewhere can't use the individual route themselves. They can ask a Nebraska resident they trust, or hire a business that is authorized here. Whether an LLC may list itself as its own agent is not addressed in this guide's sources; if that is your plan, ask the Nebraska Secretary of State how to complete the form. The Nebraska agent services comparison sets out each provider's published price and terms if you decide to pay for the role.
How do you name an agent when you form a Nebraska LLC?
You name the agent on the Certificate of Organization, in the line that reads "Name of the initial agent for service of process", and you list the designated office on its own line.2, 3
Accepted filing methods: Online, in person or by mail. The fee is $100 online, $110 in office, so filing online is the cheaper route. There's no paid way to jump the queue: the Nebraska Secretary of State says "We process online filings first", and no expedite fee appears on the fee schedule. Nor does the state publish a standard processing time, online or on paper, so there is no official turnaround to plan around.2, 9, 10
Before you file, settle three points.
- Who the agent will be, and whether they meet the residency or authority test.
- Which in-state address you'll list for the designated office, since that also picks the newspaper for your notice.
- That the agent has agreed. This guide's sources don't describe a separate consent form at formation, so read the certificate's instructions or ask the Nebraska Secretary of State.
Publication is a separate step. The notice must be published for 3 successive weeks, and then proof of publication is filed with the Secretary of State. The walkthrough on forming an LLC in Nebraska covers the full sequence, and the cheapest ways to form a Nebraska LLC adds up what the filings and the newspaper cost.4
How do you change your agent for service of process in Nebraska?
You file a Statement of Change (Designated office, registered agent/office) with the Nebraska Secretary of State. It costs $25 online or $30 in office, and the same filing updates the designated office.2
Order is what keeps you covered during a switch.
- Choose the new agent and confirm they qualify under the statute.
- Get their agreement to act for your LLC, and their Nebraska address.
- Decide whether the designated office is changing too. If your old office address belonged to the departing agent, update it in the same filing.
- File the Statement of Change. Online filing costs less and, per the Nebraska Secretary of State, is handled first.
- Once the state shows the new agent on file, cancel the old service.
Cancelling first is the mistake to avoid. The old agent stops forwarding papers, and your LLC sits with nobody named to receive them.
Provider terms differ on how they release you. Northwest's terms let you cancel anytime through the online account, with no cancellation fee. At ZenBusiness, cancelling means contacting customer support by phone. Swyft Filings states that a replacement agent must be designated (or business dissolved) before cancellation, which puts the safe order into its terms. Read your current provider's renewal date before you file so you aren't billed for a term you won't use. The step-by-step guide to changing agents and the guide to cancelling an agent service cover what works the same in every state.11, 12, 13
What happens if your Nebraska agent resigns?
A resigning agent files a statement of resignation with the Nebraska Secretary of State. The agency ends on the earlier of the 31st day after the Secretary of State files the resignation or when a new agent designation takes effect (Neb. Rev. Stat. § 21-115(b)-(c)).14
One detail in the Nebraska rule is easy to overlook: the SOS sends a copy to the LLC's designated office. That copy goes to the office address on file, not to your inbox. If your designated office is the departing agent's own address, which happens when one company handles both lines, the copy may land with the very company that is leaving. Keep your contact details current with any agent you use so their own notice reaches you.14
Agents resign for ordinary reasons. A relative who agreed to help moves to Kansas. An employee leaves the company. A service drops a client whose renewal went unpaid. In each case the safe step is the same: file a Statement of Change naming a replacement as soon as you hear about the resignation, rather than waiting for the effective date.
If you're unsure who is on file, look up your LLC with the Nebraska Secretary of State and compare the agent and office entries with what you expect.
What happens if a Nebraska LLC has no agent for service of process?
Nebraska's statute says "A limited liability company shall designate and continuously maintain in this state" both an office and an agent (Neb. Rev. Stat. § 21-113), so an empty agent line breaks that rule. The sources behind this guide don't describe a penalty that applies only because the agent line is empty.1
The risk shows up in other ways.
- Lawsuit papers. Without an agent on file, someone suing your LLC may not be able to reach you through the usual channel, and a case can move ahead without you seeing it in time.
- The biennial report. It asks for the agent's name and addresses, so a report with an outdated or missing agent is an incomplete record. The ground for dissolution these sources do describe is tied to the report: administrative dissolution if the report is not filed by the delinquency date (June 16).15
- Standing. A dissolved LLC loses good standing, which can hold up loans, contracts and licence renewals.
Reinstatement is available. The fee is $30 (within 5 years of dissolution), and the fee schedule also lists an Application for Late Reinstatement: $500. The Nebraska compliance guide explains what a reinstatement involves and how past-due reports factor in.2
What does a Nebraska LLC file to stay in good standing?
Nebraska LLCs file a biennial report, due by April 1 of odd-numbered years; delinquent June 16. On paper, the Nebraska Secretary of State's own form states that "The Biennial Filing fee is $30.00"; the state pages checked for this guide give no separate online figure.15, 16
The report links back to this page's topic. It asks for the designated office street and mailing addresses and the name and addresses of the agent for service of process, so each report is a chance to confirm both entries are still right. If your agent changed since the last report, file the Statement of Change first so the two records match.8
These are the items to keep on your own calendar.
- The biennial report in each odd-numbered year, filed before the delinquency date.
- Your agent service's renewal date, if you pay for one.
- A check of the agent and office entries whenever someone involved moves.
The Nebraska compliance calendar lays out what comes due after formation, in order, and annual reports explained describes how these filings work across states.
Do out-of-state LLCs need a Nebraska agent for service of process?
Yes. The statute's agent rule opens with "An agent for service of process of a limited liability company or foreign limited liability company", so a foreign LLC registered here meets the same test as a local one (Neb. Rev. Stat. § 21-113).1
An LLC formed elsewhere registers by filing for a Certificate of Authority, which costs $110 in office / $100 online, plus $10 for the certificate. The agent you use in your home state doesn't carry over unless that same company is authorized to transact business in Nebraska. Ask a national service whether its price covers each state or is billed per state.2
The sources behind this guide quote the designated-office rule and the Statement of Change fee for domestic LLCs, so a foreign LLC should confirm its own office and update filings with the Nebraska Secretary of State. If your LLC operates across state lines, the registered agent rules for Iowa, Kansas, Colorado and Missouri each have their own page.

Nebraska agent for service of process questions
Can I be my own agent for service of process in Nebraska?
Yes, if you are a Nebraska resident (Neb. Rev. Stat. § 21-113). You list yourself in the agent field of the Certificate of Organization. If you later leave the state, you no longer qualify as an individual agent and need to file a Statement of Change naming someone else.1, 2
Is the designated office the same as the agent's address?
Not necessarily. Nebraska treats them as separate entries, and the office need not be a place where the LLC does business (Neb. Rev. Stat. § 21-113). If you plan to use your agent's address for both, check the agent's terms first, since some limit how their address may be used.1
How much does it cost to change agents in Nebraska?
A Statement of Change costs $25 online or $30 in office. That fee also covers updating the designated office in the same filing. Any new service's own charge is separate from the state fee.2
Can I pay to speed up a Nebraska filing?
No. The Nebraska Secretary of State says it handles online filings first, and no expedite fee appears on the fee schedule. So filing online is the only faster route, and the state doesn't publish a standard processing time for either method.10
How long does an agent's resignation take to become effective?
The agency ends on the earlier of the 31st day after the Secretary of State files the resignation or when a new agent designation takes effect (Neb. Rev. Stat. § 21-115(b)-(c)). The state sends its copy to your designated office, so check that address. Naming a replacement right away, before the resignation takes effect, avoids any gap in coverage.14
Does the designated office decide where I publish my formation notice?
Yes. Under Neb. Rev. Stat. § 21-193, the notice of organization must be published for 3 successive weeks in a legal newspaper near the designated office, and proof of publication is then filed with the Nebraska Secretary of State. Choosing the office address therefore also chooses the newspaper.4
Does an LLC from another state need a Nebraska agent?
Yes. The statute's agent rule covers a foreign LLC registering for a Certificate of Authority the same way it covers a domestic one (Neb. Rev. Stat. § 21-113). The registration fee is $110 in office / $100 online, plus $10 for the certificate.1, 2
