Registered agent requirements in Alaska
Facts checked October 13 to 14, 2026.
Every Alaska LLC needs a registered agent, and under AS 10.50.055 that agent must be either an individual resident of this state whose business office is the same as the registered office, or a domestic or foreign corporation authorized to transact business in this state whose business office is the same as the registered office. The LLC itself is created by Articles of Organization ($250), and the agent can be replaced later on the Change of Registered Agent (Statement of Change), a paper filing that costs $25. Timing is where owners slip: an LLC that fails for 30 days to appoint and maintain a registered agent gives the state grounds to dissolve it.1, 2, 3, 4
Who can be a registered agent in Alaska?
Two kinds of agent appear in the statute: an Alaska resident, or a corporation formed in Alaska or authorized to do business here (AS 10.50.055).1
Both carry the same extra condition about the agent's business office, covered in the next section.
The resident option is the one most small owners consider. A spouse in Anchorage, a business partner in Fairbanks or a bookkeeper in Juneau can qualify if they live in Alaska and their business office is the address you file. Someone who lives in Seattle does not qualify as an individual, however often they fly north for work.
The business option is how commercial services fit in. A corporation formed in Alaska qualifies, and so does one formed elsewhere that is authorized to transact business here. The sentence quoted in this guide's source names corporations. It does not mention limited liability companies, so if the agent you have in mind is an LLC (including your own company), ask the Division whether it can be listed before you file.
The quoted statute text mentions no licence, exam or legal training. The job is receiving service of process, the formal delivery of court papers, plus official mail from the state, and passing it to you fast. Our explainer on what a registered agent does covers the duties that are the same everywhere, and the glossary defines the legal terms used here.
What address can an Alaska registered agent use?
The agent's own business office must be your LLC's registered office, the Alaska address on record where papers are delivered (AS 10.50.055).
The statute repeats that condition for both kinds of agent, resident and corporation alike.
That wording points to a working address where the agent actually does business. Common choices compare against it as follows.
- An Alaska office or shop where the agent works fits the wording directly.
- A home address is less clear. The statute speaks of a business office, and this guide's sources include no Division statement on whether a residence counts when the business is run from home. If you plan to list your house, ask the Division first.
- A P.O. box is a harder fit for that wording, and the sources checked for this guide say nothing about one either way. Ask the Division before you try it.
- A mail drop or virtual office raises the same question. If it is not where the agent actually does business, it may not meet the statute.
Whoever you appoint, the agent field shows the agent's address. Hiring a commercial service puts the service's Alaska office in that field instead of your own, and that is true of every provider. What it does not change is the rest of the record: Alaska's Initial Report, due within 6 months of formation, asks for the company's ownership or officers, and this guide's sources do not say which of those details the Division displays publicly.5
If what you want is a separate business address, a few providers sell one apart from the agent service. Northwest Registered Agent lists Mail Forwarding $20/month (24 select states), without saying here whether Alaska is one of them; Harbor Compliance lists $350/year per company, per location; Swyft Filings lists $29/mo; and Tailor Brands lists a Virtual Address product (price not published). Our page on what a registered agent can and can't keep off the record explains what stays public.6, 7, 8, 9
Can you be your own registered agent in Alaska?
Yes, if you live in Alaska and your business office is the address you list as the registered office (AS 10.50.055). The statute text quoted here sets no other condition for an individual.
Whether it suits you depends on how you work. Papers arrive on the server's schedule, not yours. Owners who spend weeks on a fishing boat, at a remote job site or out of state for the winter can miss a delivery, and a missed lawsuit can end in a default judgment. Mail is the other half of the job: the Division mails notices such as an agent's resignation to the addresses on file, and a slow mail route to a rural address shortens the time you have to react.
There is also the address itself. If your business office is your home, the registered office on file is your home. Owners who want a commercial address there instead tend to hire a service.
Owners outside Alaska have no "serve yourself" option at all. They need an Alaska resident who agrees to the role or a qualifying corporation. The Alaska registered agent services comparison lists each provider's published price and renewal terms.
How do you name a registered agent when you form an Alaska LLC?
The agent goes on record when the LLC is formed through the Articles of Organization, Domestic Limited Liability Company (Form 08-0484), the filing made under AS 10.50.075 that creates the LLC, which costs $250 whether you file online or on paper.2
The facts checked for this guide don't list the form's fields, so its instructions are the place to see where the agent and registered office are entered. The form can go in two ways: Online or by U.S. mail (not by email). Online filing has no published processing time. Paper filings normally take 10 to 15 business days, run longer during biennial report periods, and the form itself warns that paper submissions can take up to 3 weeks from receipt. The state doesn't publish an expedite option in the facts checked for this guide.2, 10
Before filing Form 08-0484, settle three points.2
- The agent's identity, checked against the two categories in the statute.
- The registered office: the agent's Alaska business office, as a street address someone can walk into.
- The agent's agreement. This guide's sources do not say whether the Articles carry an agent signature or consent line, so read the form's instructions and confirm with your agent in writing before you file.
The full set of formation steps, from name check to the initial report, is on our page on forming an Alaska LLC, and the cheapest ways to form an Alaska LLC adds up the fees.
How do you change your registered agent in Alaska?
You file the Change of Registered Agent (Statement of Change), Form 08-409, with the Division and pay $25. The Forms and Fees page lists it as paper (PDF) filing only, and the Division adds that agent changes cannot be made on the biennial report, so a change waits for no reporting cycle.3
Because it goes on paper, plan for mail plus processing of 10 to 15 business days, longer in the busy report months. The order of steps decides whether you have a gap.
- Choose a new agent who fits the statute and whose business office will be the new registered office.
- Get their agreement in writing.
- Complete and mail the statement of change with the fee.
- Watch the Division's record until the new agent shows up. Until it does, papers may still go to the old agent.
- Cancel the old service last.
Cancelling early is the expensive mistake here, because Alaska gives you little slack. Leaving the agent role empty and missing a change filing are each grounds for dissolution on a short clock: an LLC that fails for 30 days to appoint and maintain a registered agent is exposed, and so is one that does not file a change of registered office or agent within 30 days (AS 10.50.408(a)(2)).4
Some provider terms build the same order in. InCorp Services lists cancellation conditions you must meet first: dissolve entity, appoint new agent, or resign InCorp with fees. LegalZoom says proof of new RA may be required when you cancel. Northwest Registered Agent lets you cancel through your account with no cancellation fee. If your current service bills every quarter, as Swyft Filings does at $149 per quarter, time the switch around the next charge. Our guides to changing a registered agent and cancelling an agent service cover the parts that work the same in every state.11, 12, 13, 14
What happens if your Alaska registered agent resigns?
An agent who wants out files a written notice with the Division, and the resignation is effective 30 days after filing, or earlier if a successor agent is appointed (AS 10.50.063(b)).15
The statute adds that "The department shall immediately mail a copy of the notice to the company at its principal office." That copy goes to the principal office address on the Division's record, which is why an out-of-date principal office is a real risk in Alaska: the notice can sit at an old address while the clock runs.15
That window is short when the replacement form travels by mail. If you receive a resignation notice, line up a new agent the same week and send the statement of change at once. Waiting for the resignation to take effect before acting leaves a thin margin before the no-agent rule in the next section applies, once paper processing is counted.
A commercial agent may resign after a renewal goes unpaid; an individual agent may move, retire or change jobs. If you suspect your agent has stopped acting but never saw a notice, look up your LLC on the Division's records and check who is listed.
What happens if an Alaska LLC has no registered agent?
An Alaska LLC without an agent can be involuntarily dissolved by the commissioner, and the trigger is short: the company fails for 30 days to appoint and maintain a registered agent (AS 10.50.408(a)(2)).4
A second ground sits beside it. An LLC that does not file a change of registered office or agent within 30 days can also be dissolved, so a change you made in practice but never filed counts against you too.4
Losing the LLC's standing can stall a bank loan, a contract that asks for a certificate of good standing, or a licence renewal. It also means court papers may have nowhere to go, and a case can move forward without you.
Reinstatement is possible, but Alaska only allows it within 2 years of involuntary dissolution. There is no published flat fee; the LLC must cure what caused the dissolution and pay double the delinquent amount plus what would have been due. The Division's page on reinstating a dissolved entity explains how to apply. The Alaska compliance guide covers the other grounds for dissolution, including a missed report.4
What does an Alaska LLC file to stay in good standing?
Alaska LLCs file a Biennial Report every second year, due by January 2, for $100; filed on or after February 2, the same report costs $137.50.5, 10, 16
New LLCs also file an Initial Report within 6 months of formation, which adds the owners or officers to the record. The Biennial Report can't be used to change your agent; that still takes its own statement of change.5
The Alaska compliance calendar shows which years your report falls in and what each filing asks. For how these reports work in general, see annual reports explained.
Do out-of-state LLCs need an Alaska registered agent?
The Division's forms point that way, though the facts checked for this guide don't quote Alaska's agent rule for foreign LLCs. The Division lists its change-of-agent form for "All Entity Types", which takes in foreign LLCs.3
An LLC formed in another state registers here on the Certificate of Registration, Foreign LLC, Form 08-0497, for $350, with online filing also offered. The resident-or-corporation test quoted above comes from the statute for Alaska LLCs (AS 10.50.055), so ask the Division which test applies to a foreign LLC's agent and whether your home-state agent can serve here.17
If you already use a national service in your home state, ask how it bills a second state before assuming Alaska is covered. Owners who also work in other Pacific states can compare Washington's agent rules, Oregon's rules and Hawaii's rules.

Alaska registered agent questions
Can I be my own registered agent in Alaska?
Yes, if you are an Alaska resident and your business office is the registered office you list (AS 10.50.055). If you move out of state, you stop qualifying and need to file a statement of change naming someone who does.1
Can my LLC's agent be someone who lives outside Alaska?
Not as an individual. The statute allows an individual resident of this state whose business office is the same as the registered office. For a business agent, the quoted text names a corporation authorized to transact business in Alaska whose business office is the registered office.1
How much does it cost to change my registered agent in Alaska?
The statement of change (Form 08-409) costs $25 and is filed on paper. If you are moving to a paid service, its own fee comes on top of the state charge.3
Can I change my agent on the Biennial Report?
No. The Division says agent changes cannot be made on the biennial report. You file the separate statement of change, whenever the agent changes, regardless of when your report is due.3
How long do I have after my agent resigns?
The resignation is effective 30 days after filing, or earlier if a successor agent is appointed. The Division mails a copy of the notice to your principal office. An LLC that fails for 30 days to appoint and maintain a registered agent can be dissolved, so file the change as soon as the notice arrives.4, 15
Can I reinstate an Alaska LLC dissolved for having no agent?
Yes, within 2 years of involuntary dissolution. Alaska publishes no single reinstatement fee; instead you cure the problem and pay double the delinquent amount plus what would have been due. After that window closes, reinstatement is no longer available under the statute.4
