Registered agent requirements in Hawaii

Facts checked October 13 to 14, 2026.

Every Hawaii LLC "shall continuously maintain in this State a registered agent", and that agent must have a business address in the state (Haw. Rev. Stat. § 428-107). You name the agent on the Articles of Organization, which cost $50 to file, and you can switch later on Form X-7 for $25. The rule to check first is residency: an individual agent must be someone who resides in Hawaii, so an owner based on the mainland can't list themselves.1, 2, 3

Who can be a registered agent in Hawaii?

Hawaii's statute allows an agent from any of the categories below, and each must also have a Hawaii business address (Haw. Rev. Stat. § 428-107).1

  1. An individual who resides in this State.1
  2. A domestic entity, meaning a company formed under Hawaii law.
  3. A foreign entity authorized to transact business in this State, meaning a company formed elsewhere that has registered with the Business Registration Division.

The statute words the entity options as "a domestic entity or a foreign entity authorized to transact business in this State". So a Hawaii corporation, another Hawaii LLC, or an out-of-state company that has registered here can all take the role, provided they have a business address on the islands.1

What the list leaves out is just as useful. A co-owner who moved to Seattle no longer qualifies as an individual. A California accounting firm can't act for you unless it has registered in Hawaii and keeps a business address here. Nothing in the statute asks for a licence, a law degree or any training.

The agent's job is to receive service of process (the formal delivery of lawsuit papers) and official mail for the LLC, then pass it on. Our explainer on what a registered agent does covers those duties in general, and the glossary defines the legal terms used on this page.

What address can a Hawaii registered agent use?

The statute's address test is short: the agent "shall have a business address in this State" (Haw. Rev. Stat. § 428-107). It does not use the phrase "street address", and the Division's pages cited here don't define what counts as a business address.1

Here is how common choices line up with that wording.

Because Hawaii is spread across several islands, location has a practical side too. An agent on Maui can legally act for an LLC run from Hilo, but papers delivered there still have to reach you in time to respond.

Every commercial agent puts its own address in the agent field. The other names and addresses your Articles ask for are a separate matter, and this guide's sources don't list which of those the Division shows publicly, so read Form LLC-1 before you file. Some providers sell a business address product separately from the agent service; whether the Division accepts that kind of address in a given field isn't covered by this guide's sources. Swyft Filings lists one at $29/mo, and Harbor Compliance lists a limited-time price of $350/year per company, per location. Tailor Brands sells one too, with its price not published. The page on registered agents and privacy explains what stays on the public record either way.4, 5, 6, 7

Can you be your own registered agent in Hawaii?

Yes, if you live in Hawaii and have a business address in the state, the statute lets you act as your LLC's agent (Haw. Rev. Stat. § 428-107).

Whether it suits you depends on your routine more than the law. Consider these points before you list yourself.

Owners who live on the mainland or abroad have two routes: a Hawaii resident they trust, or a company that qualifies under the statute, which in practice usually means a commercial service. The statute lists domestic entities as eligible agents but doesn't say whether an LLC can name itself; if you want to try that, ask the Division how to fill in the form. People outside the U.S. may find the providers that serve non-U.S. founders useful.

A service can also keep deliveries away from home, or cover an owner who splits time between islands. The comparison of Hawaii registered agent services sets their published prices and terms side by side.

How do you name a registered agent when you form a Hawaii LLC?

You list the agent's name and Hawaii business address on Form LLC-1, the Articles of Organization for Limited Liability Company. That is the filing that creates the LLC, and the state fee is $50.2, 4

The Division takes filings several ways: Online, by email, mail or fax, or in person at the service window in Honolulu.4

Settle these points before you submit.

  1. The agent's identity. Confirm they fit one of the statute's categories.
  2. The address. It must be the agent's business address in Hawaii, written in full.
  3. The agent's agreement. This guide's sources don't describe a separate consent form at formation, so read the instructions on Form LLC-1 or ask the Division whether a signature from the agent is needed.4

On timing, this guide's sources give no standard processing time. Expedited review costs an additional $25 per filing, but the Division's fee schedule gives no turnaround time for it. If you want the name held while you sort out the agent, a name reservation costs $10. The Hawaii LLC formation guide walks through the rest of the Articles, and the cheapest ways to form a Hawaii LLC adds up the state fees.2, 4

How do you change your registered agent in Hawaii?

You file a Statement of Change of Registered Agent By Entity (Form X-7) with the Business Registration Division. The fee is $25, and expedited review is available for an additional $25 per filing.2, 3

Order counts here more than the form itself.

  1. Find the replacement and confirm they meet the statute's test: Hawaii resident, Hawaii entity, or registered foreign entity, with a business address in the state.
  2. Get their agreement to act for you.
  3. File the statement of change by any of the Division's methods (Online, by email, mail or fax).4
  4. Check the Division's record shows the new agent before you do anything else.
  5. Cancel the old service last. If you cancel first, there is a stretch with nobody on file to receive papers.

Provider contracts don't all end the same way. InCorp's terms set cancellation conditions you must meet before the annual fee falls due (dissolve entity, appoint new agent, or resign InCorp with fees). LegalZoom cancels by phone or online, and proof of new RA may be required. Northwest lets you cancel through the online account; no cancellation fee. Harbor Compliance's terms ask for notice of non-renewal at least 90 days before the end of the current term; without it, the service renews for another term. Read your own provider's terms before the switch, especially the renewal date.8, 9, 10, 11

Our general guides to changing a registered agent and cancelling an agent service cover the steps that are the same everywhere.

What happens if your Hawaii registered agent resigns?

The agent files a Statement of Resignation of Registered Agent (Form X-9) with the Division. Under HRS 425R-10, a resignation takes effect on the earlier of the 31st day after filing or the appointment of a new agent.12

The agent, not the LLC, files that statement, and the same law says the agent must promptly notify the entity of the filing date. That notice is your cue to act. The sources here set no separate deadline for the owner, but appointing a replacement on Form X-7 before the resignation takes effect means there is never a day without an agent.3, 12

Why do agents resign? A relative relocates to the mainland. A staff member who handled it leaves the company. A commercial agent drops a client whose renewal went unpaid, and the warning goes to an inbox nobody checks any more. Keeping your contact details current with the agent is the cheapest protection against that last case.

If you suspect your agent has stopped acting for you but never got a notice, check the Division's record for your LLC to see who is on file.

What happens if a Hawaii LLC has no registered agent?

The statute's word is "continuously", so an LLC must keep an agent in Hawaii at all times (Haw. Rev. Stat. § 428-107), but the Division sources checked here don't spell out the penalty for a gap.1

Ask the Division how it treats an LLC left without one.

The practical risks are easier to state. Lawsuit papers need somewhere to go. With no agent on file, you may not learn about a claim against the LLC until a court has already moved ahead. Official mail sent to the agent can also go astray.

The Division does run a reinstatement process for LLCs that have lost their standing: the Application for Reinstatement, Form X-4, with a filing fee of $25. What else a reinstatement requires, such as back filings, isn't covered by this page's sources. The Hawaii compliance guide covers good standing in more depth.2

What does a Hawaii LLC file each year to stay in good standing?

The yearly filing is the annual report (Form C5), due by the last day of the calendar quarter in which the LLC was organized. No report is due in the year the LLC is organized, so your first report lands in the following year.13, 14

Filing online costs $12.50, and a late report adds $10 per year delinquent. Because the deadline follows the quarter you formed in, an owner with several Hawaii LLCs can face different due dates for each.13, 15

The report is also a natural point to confirm your agent's details. This guide's sources don't say whether the report can update the agent, so a new agent goes on Form X-7. The Hawaii compliance calendar lays out the first and second year in order, and our explainer on annual reports covers how these filings work generally.3

Do out-of-state LLCs need a Hawaii registered agent?

Yes. A foreign LLC authorized to transact business in Hawaii must keep a Hawaii agent with a business address in the state, under the same statute that covers Hawaii LLCs (Haw. Rev. Stat. § 428-107).1

An LLC formed in another state gets that authorization by filing an Application for Certificate of Authority ($50).16

Your home-state agent doesn't carry over. A Nevada LLC with its agent in Las Vegas still needs someone in Hawaii, unless that same agent company is registered here and has a Hawaii business address. A national service may cover both states; check whether it bills each state separately before assuming coverage.

To change a foreign LLC's Hawaii agent later, the same statement of change applies. If you also operate on the West Coast, compare California's registered agent rules, Washington's rules and Nevada's rules.

Hawaii registered agent questions

Can I be my own registered agent in Hawaii?

Yes, if you live in Hawaii and have a business address in the state (Haw. Rev. Stat. § 428-107). You put your own name and that address on the Articles. Move away and you no longer qualify, so the LLC would need a new agent.1

Can my registered agent live on the mainland?

Not as an individual. Hawaii only accepts an individual who lives in the state, and the agent must have a Hawaii business address (Haw. Rev. Stat. § 428-107). An out-of-state company can act only if it has registered to do business in Hawaii and has a business address here.1

How much does it cost to change a registered agent in Hawaii?

The state charges $25 for the Statement of Change of Registered Agent By Entity. Expedited review costs an additional $25 per filing. Any commercial agent you switch to bills its own fee on top.2, 3

How long does Hawaii take to process a change of agent?

This guide's sources give no standard processing time. You can pay an additional $25 per filing for expedited review, though the Division's fee schedule names no turnaround for it either. File early, before the old agent's term or resignation ends.4

What should I do when my agent sends a resignation notice?

The LLC names a new agent on Form X-7, ideally before the resignation takes effect on the earlier of the 31st day after filing or the appointment of a new agent, and the law requires Hawaii LLCs to keep an agent continuously (Haw. Rev. Stat. § 428-107).3, 12

Can a Hawaii registered agent use a P.O. box?

The statute requires a business address in Hawaii (Haw. Rev. Stat. § 428-107), and process servers need a place to deliver papers in person. This page's sources include no Division ruling on boxes, so ask the Division before listing one.1

Do I need a separate agent for each island?

No. The statute asks for a business address in the state, not on a particular island (Haw. Rev. Stat. § 428-107). An agent in Honolulu can act for an LLC that operates on Kauai, as long as papers reach you in time.1
