Registered agent requirements in Wisconsin
Facts checked October 13 to 14, 2026.
Every Wisconsin LLC keeps a registered agent and a registered office in the state, and the office must be an actual physical location with a street address, not solely a post office box, mailbox service, or telephone answering service (Wis. Stat. § 183.0115). You name the agent in your Articles of Organization (Form 502), which cost $130 online, $170 by mail, and you can switch later on Form 13 for $10 online, $25 by mail. A detail that is easy to miss is the e-mail rule: the statute requires the agent to have an e-mail address, and the agent's e-mail is part of the record you keep current.1, 2, 3, 4
Who can be a registered agent in Wisconsin?
A Wisconsin registered agent can be an individual who lives in the state or a business formed in Wisconsin or authorized to transact business here, as long as it meets the office and e-mail tests (Wis. Stat. § 183.0115).1
The statute's list of eligible businesses names a domestic corporation, a nonstock corporation, an LLC, a limited partnership and an LLP, plus a foreign entity of any of those kinds once it holds authority to transact business in Wisconsin.
Three further conditions apply to every agent on that list.
- The agent's business office has to be identical with your LLC's registered office. In plain terms, the place where the agent works is the address you file.
- The agent needs a place of business or activity in Wisconsin.
- The agent must have an e-mail address (Wis. Stat. § 183.0115).
So a sister in Eau Claire who agrees to serve, and who works from the Wisconsin address you list as the registered office, can be your agent. A partner who moved to Chicago cannot, and neither can an out-of-state bookkeeping firm unless it registers in Wisconsin and works from a Wisconsin office. The statute sets no licence or legal training requirement. The job is to accept service of process (the formal hand-off of lawsuit papers) and pass state mail along, which our explainer on what a registered agent does covers for every state. Legal terms on this page are defined in the glossary.
What address can a Wisconsin registered agent use?
A Wisconsin registered agent needs a street address in the state, because the statute says the registered office must be an actual physical location with a street address, and not solely a post office box, mailbox service, or telephone answering service (Wis. Stat. § 183.0115).1
Read that wording closely before choosing an address.
- A Wisconsin home address can work if the agent also uses it as their business office. It then appears on your LLC's record as the registered office.
- A Wisconsin storefront, office or workshop works if it is where the agent actually does business.
- A post office box, on its own, does not meet the rule.
- A mailbox service or a virtual mailbox, on its own, does not meet it either, because the statute names mailbox services in the same exclusion.
- A phone answering service is excluded by name as well.
The word "solely" is worth noticing. The exclusion targets an address that is only a box or a mail drop. An agent with a real street office that also uses a suite number or mailroom may be in a different position, but if your plan depends on that distinction, ask the Wisconsin Department of Financial Institutions (DFI) before filing.
What goes public is a separate question. Any commercial agent puts its own street address in the agent and registered office fields, as every provider does. Other details still go on file: the annual report asks for the principal office address and the name of at least one manager or member.5
A home-based owner who wants a different address in the principal office field can look at address products sold apart from the agent service. Northwest lists Mail Forwarding $20/month (24 select states), so check whether Wisconsin is among those states. Swyft Filings lists a virtual address at $29/mo; Standard 1 month free; Premium 3 months free. Harbor Compliance sells one at $350/year per company, per location (limited time offer). Ask DFI whether a mail-forwarding address is acceptable in the principal office field; under the statute, a mailbox service alone cannot be the registered office. The guide to what an agent can and cannot keep off the public record goes further.6, 7, 8
Can you be your own registered agent in Wisconsin?
Yes, if you live in Wisconsin, use a Wisconsin street address as both your business office and the registered office, and have an e-mail address (Wis. Stat. § 183.0115). You name yourself in the same Articles filing that forms the LLC.1
The questions that decide it are practical.
Can you be reached at that address during business hours? A process server who finds a locked door does not wait for you to come home from a job site in Waukesha. Missing papers can mean missing a court deadline.
Are you comfortable with that address on the record? For a home-based business, being your own agent usually means your home address becomes the registered office.
Will you keep the e-mail current? The annual report asks for the registered agent name/email and office address, and a statement of change covers updates to the registered agent's name, e-mail address, or street address. An old inbox is a weak link.3, 5
Owners who live in another state can't serve, and an owner who moves away has to appoint a replacement. The statute lists LLCs among the entities that may be an agent, but the sources checked for this page do not say whether an LLC may name itself, so ask DFI if you want your company to act as its own agent. A service becomes the practical choice when no one in the business lives in Wisconsin, when you want your home address off the agent field, or when nobody is reliably at a fixed address. How do you name a registered agent when forming a Wisconsin LLC?
You name the agent and the registered office street address in the Articles of Organization, Form 502, which DFI charges $130 online, $170 by mail to file.2, 3
DFI takes the Articles through its online filing system or as a paper form by mail, and paper filings may also be emailed as PDF after paying online. The online route costs less, and online filings are usually accepted on receipt with immediate notice, while DFI has no standard time published for paper filings. For faster handling DFI offers a $100 next-business-day expedite, and at its counter $250 within 4 hours or $500 within 1 hour.9, 10
Have these ready before you start the form.
- The agent's full legal name, and confirmation that they qualify under the statute.
- The Wisconsin street address of the registered office, matching the agent's business office.
- The agent's e-mail address. The statute requires one, and the annual report asks for the registered agent name/email and office address every year.5
- The agent's agreement to serve. The sources checked for this page do not describe a separate consent form for Wisconsin, so read the instructions on Form 502 or ask DFI.2
The rest of the filing, including the name check and operating agreement, is covered in the Wisconsin LLC formation steps, and the full fee arithmetic is on the cheapest ways to form a Wisconsin LLC.
How do you change your registered agent in Wisconsin?
You have two routes: file a Statement of Change of Registered Agent (Form 13) at any time, for $10 online or $25 by mail, or, according to DFI's FAQ, the agent can also be changed on the annual report when that report comes due.3, 4
The standalone statement is the route to use when the change can't wait. Under the fee statute it covers a new agent, a new registered office, or a change to the registered agent's name, e-mail address, or street address ($10 online, $25 by mail).3
A safe order of steps looks like this.
- Pick the replacement and confirm they meet the office, residency and e-mail tests.
- Get their agreement, their Wisconsin street address and their e-mail.
- File Form 13 online if you can. Online filings are usually accepted on receipt with immediate notice; paper has no published standard time.4, 9
- Check DFI's record shows the new agent.
- Cancel the old service last. Until the change is on file, the old agent is still the one served.
The annual report route saves a filing fee if your report is due soon anyway, but it ties the change to your report quarter. If your current agent is leaving now, file the statement instead.
Provider contracts add their own conditions. InCorp's terms require you to meet one of its cancellation conditions before the annual fee falls due; the options are to dissolve entity, appoint new agent, or resign InCorp with fees. LegalZoom takes cancellations by phone or through the account, and its terms warn that proof of new RA may be required. Northwest lets you cancel in the online account with no cancellation fee. ZenBusiness handles it by contacting customer support by phone. Read your provider's renewal date before filing so the switch does not straddle a new billing year. Our general walkthroughs on changing a registered agent and cancelling an agent service cover the steps that are the same in every state.11, 12, 13, 14
What happens if your Wisconsin registered agent resigns?
Wisconsin's resignation section was not among the official pages verified for this guide, so this page can't state the notice an agent must give or the date a resignation takes effect; ask DFI for those details.
What the verified facts do show is how to respond. The fix is the same statement of change you would file for any switch, Form 13, for $10 online, $25 by mail, and online filings are usually accepted on receipt with immediate notice. There is no reason to wait for a resignation to become final before filing.3, 4, 9
Agents step down for ordinary reasons. A relative retires to Arizona. A bookkeeper closes the practice. A commercial service stops acting for a client whose renewal went unpaid. In each case, the warning tends to arrive by mail or e-mail at whatever contact details the agent holds for you, so a stale inbox can hide it.
If you are unsure who is listed as your agent, search your LLC on DFI's records. The annual report also shows the agent on file, since the report form asks for the registered agent name/email and office address.5
What happens if a Wisconsin LLC has no registered agent?
An LLC without a registered agent cannot receive lawsuit papers or state notices through the channel the law sets up, and it falls out of line with the statute's requirement to keep an agent and office in Wisconsin (Wis. Stat. § 183.0115).1
The specific consequences Wisconsin attaches to that gap, and any cure period, come from a statute this guide could not verify, so they are not stated here. Treat any notice from DFI as urgent.
The practical risks are easier to describe.
- Papers in a lawsuit may be served in a way you never see, and a court can move forward without your response.
- An agent gap can travel with a missed annual report, because the report is where the agent is confirmed. DFI says that when a report is missed, the LLC becomes delinquent; the Wisconsin compliance guide explains delinquency, administrative dissolution and how to get back on track.10
- Lenders, landlords and licensing offices may ask for proof of good standing, and a gap in the record can delay it.
Appointing a new agent online on Form 13 closes the gap.4
What does a Wisconsin LLC file each year to stay in good standing?
Each year after formation, a Wisconsin LLC files the Annual Report (Form 5) with DFI, due in each year following the calendar year in which the entity registered, during the calendar quarter in which the registration anniversary falls, at $25 online or $40 by mail.3, 10
Two points about that rule are easy to miss. Nothing is due in the calendar year the LLC was formed. After that, the deadline is a whole calendar quarter, not your anniversary date: an LLC formed in August reports during the July to September quarter each later year.
The report doubles as an agent check. It asks for the registered agent name/email and office address, and DFI's FAQ says the agent can also be changed on the annual report. That makes the report a good moment to confirm the agent is still the right one.4, 5
The Wisconsin compliance calendar covers late reports, delinquency, and the first and second year in order. For how reports work across states, see annual reports explained.
Do out-of-state LLCs need a Wisconsin registered agent?
Yes. An LLC formed elsewhere that registers to do business in Wisconsin keeps a Wisconsin registered agent and registered office under the same rules, including the street address and e-mail requirements (Wis. Stat. § 183.0115).1
Your home-state agent does not count unless it also qualifies here. A Minnesota LLC whose agent sits in Minneapolis needs a separate Wisconsin agent with a Wisconsin street office, unless the same company is authorized in Wisconsin and works from a Wisconsin location. If a national provider already serves you in another state, ask how it bills a second state.
The foreign registration fee is not among the facts verified for this page, so check DFI's business entity fees page before filing. A registered foreign LLC also changes its Wisconsin agent by filing a statement of change; check DFI's forms for the version that fits a foreign LLC. If you also operate next door, compare the registered agent rules in Minnesota, Illinois, Michigan and Iowa.

Wisconsin registered agent questions
Can I be my own registered agent in Wisconsin?
Yes, if you live in Wisconsin, have an e-mail address, and list a Wisconsin street address that is also your business office as the registered office (Wis. Stat. § 183.0115). If you move out of state, appoint a new agent on Form 13.1, 4
Can my Wisconsin registered agent use a P.O. box or virtual mailbox?
No. The statute requires the registered office to be an actual physical location with a street address, not solely a post office box, mailbox service, or telephone answering service (Wis. Stat. § 183.0115). A street office that also has a suite or mail slot is a different case; ask DFI if unsure.1
Does a Wisconsin registered agent need an e-mail address?
Yes. The statute lists an e-mail address among the agent's requirements (Wis. Stat. § 183.0115), and the annual report asks for the registered agent name/email and office address each year. A change to the registered agent's name, e-mail address, or street address goes on the same statement of change used for a new agent.1, 3, 5
How much does it cost to change a registered agent in Wisconsin?
The statement of change costs $10 online, $25 by mail. If your annual report is due soon, DFI's FAQ says the agent can also be changed on the annual report, which avoids a separate filing. A paid service's own fee is separate from DFI's.3, 4
How fast does DFI process a change of agent?
Online filings are usually accepted on receipt with immediate notice. DFI has no standard time published for paper filings, though it sells a $100 next-business-day expedite.9, 10
When is the first annual report due for a new Wisconsin LLC?
Not in the year you form it. The Annual Report (Form 5) is due in each year following the calendar year in which the entity registered, during the calendar quarter in which the registration anniversary falls, and costs $25 online, $40 by mail.3, 10
Does a foreign LLC registered in Wisconsin need its own agent here?
Yes. It needs a Wisconsin agent and a Wisconsin street office that meet the same statute (Wis. Stat. § 183.0115). An agent in your home state qualifies only if it also meets Wisconsin's rules, for example a business authorized in Wisconsin that works from a Wisconsin office.1
