Registered agent requirements in Missouri
Facts checked October 13 to 14, 2026.
Every Missouri LLC must keep a registered agent and a registered office in the state, and the agent's business office has to be that same registered office (Mo. Rev. Stat. § 347.030). You name both in your Articles of Organization (LLC 1), which costs $50 online or $105 on paper. Switching agents later takes a Statement of Change of Registered Agent or Registered Office (Corp. 59) and a fee of $10. The rule to read closely is the pairing itself: Missouri ties the agent to one specific in-state office, so a person or company with no office in Missouri cannot fill the role.1, 2, 3, 4
Who can be a registered agent in Missouri?
Missouri lets the agent be an individual resident of Missouri or a domestic or foreign corporation authorized to do business in Missouri, whose business office is identical with the registered office (Mo. Rev. Stat. § 347.030). Anyone outside those two groups cannot be named, and the office condition applies to both.1
Read the two halves together. For a person, residence in Missouri is the starting point, and the address you file as the registered office must also be where that person does business. For a company, being incorporated in Missouri or registered here as a foreign corporation is the starting point, and again the filed office must be that company's own business office.
Kansas City and St. Louis both sit on a state line, so an owner's first choice of agent may live a short drive away in Kansas or Illinois. A friend who lives in Overland Park or across the river in Illinois is not a Missouri resident, so they cannot serve as an individual, even if they work in Missouri every day. An accounting firm on the Kansas side would need to be a corporation authorized in Missouri with a business office in Missouri to qualify.
The statute's wording, as quoted in this guide's sources, names individuals and corporations. It does not mention an LLC serving as another company's agent. If the person or business you have in mind is organized some other way, ask the Secretary of State's Corporations Division how the rule applies before you file.
The qualifications quoted above say nothing about a licence or legal training. The job is to receive service of process (court papers starting a lawsuit) and official notices, then get them to you fast. Our explainer on what a registered agent does covers the duties every state shares, and the glossary defines terms such as registered office.
What address can a Missouri registered agent use?
The address must be the LLC's registered office in Missouri, and it must also be the agent's business office (Mo. Rev. Stat. § 347.030). The statute says the registered office may be, but need not be, the same as a place of its business in this state, so it does not need to be where your LLC operates.1
That flexibility is what lets an owner in Springfield name a commercial agent whose office is in another Missouri city. Your shop or home stays your place of business; the agent's office becomes the registered office on file.
Here is how common address choices line up against that wording.
- A home address in Missouri works when the agent is the person who lives there and uses it as a business office. It then appears on the state record as your registered office.
- An office you rent or own in Missouri works if the agent you name does business from it.
- A P.O. box is doubtful. The statute describes an office, and a box is nowhere anyone can hand over court papers. This guide's sources include no Secretary of State statement on boxes, so ask before listing one.
- A virtual mailbox raises the same doubt. If no one works there, it is hard to call it the agent's business office.
A commercial agent puts its own office in the agent field, and that is true of every provider, not a feature one sells. The other names and addresses your articles ask for are a separate question, and this guide's sources do not say which of them the Secretary of State publishes. Some providers sell a business address product apart from the agent service: Northwest lists Mail Forwarding $20/month in select states, Bizee lists a virtual address at $29/month, and Swyft Filings lists a business address and mailbox at $29/mo. Check whether a provider's address product covers Missouri before you rely on it. The page on what an agent can keep off the public record explains which fields stay visible.5, 6, 7
Can you be your own registered agent in Missouri?
Yes, if you live in Missouri and the address you file as the registered office is your business office (Mo. Rev. Stat. § 347.030).
The Missouri fees in this guide's sources include no separate charge for naming yourself; you file the same articles either way.
Whether it suits you depends on how you work.
- Someone has to be at that office when a process server arrives. If no one is, you can miss a court deadline you never knew about.
- The registered office you file is the address the state holds for your agent. For a home business, that usually means your home.
- If you move out of Missouri, you stop qualifying, and the LLC needs a new agent on file right away.
- The statute speaks of individuals and corporations. It does not say an LLC may serve as its own agent, so if you hoped to name the company itself, ask the Secretary of State first.
Owners who live in Kansas, Illinois or further away cannot serve at all. Their options are a Missouri resident they trust or a corporation authorized here, such as a commercial service that meets that test. People also choose a service when they travel for work, run the business from a job site, or would rather not list a home address. The Missouri registered agent comparison sets out each provider's published price and terms.
How do you name a registered agent when you form a Missouri LLC?
You name the agent and the registered office in your Articles of Organization (LLC 1), the filing that creates the LLC. The filing method changes the price, at $50 online or $105 on paper.2, 3
Before you file, have three things settled.
- The agent's name, matching a person or corporation the statute allows.
- The registered office, written as the agent's Missouri business office.
- The agent's agreement to serve. This guide's sources do not describe a consent signature on the articles, so read the form's instructions or ask the Secretary of State how consent is handled.
If you are not ready to file but want to hold a name, Missouri reserves one for $25 for up to 60 days. The Secretary of State does not publish a standard processing time for the articles, and this guide's sources list no expedite option or fee. For the rest of the articles, see the step-by-step guide to forming an LLC in Missouri, and for the full fee arithmetic, the cheapest ways to form a Missouri LLC.3
How do you change your registered agent in Missouri?
You file the Statement of Change of Registered Agent or Registered Office (Corp. 59) with the Secretary of State and pay $10. The same form, known as Corp. 59, also updates the registered office, so it covers a move by your current agent as well as a switch to a new one.2, 4
The order of the steps is what keeps the LLC covered.
- Pick the new agent and confirm they meet the statute's test: a Missouri resident, or a corporation authorized in Missouri, with a business office at the registered office you will list.
- Get their agreement to serve and their exact office address.
- File the statement of change and pay the fee. The Secretary of State doesn't publish a processing time for it, so allow for some delay.
- Confirm the change shows on the state's record for your LLC.
- Cancel the old service last. Cancelling first leaves a gap with no agent, and that gap is grounds for administrative cancellation, covered below.
Several providers' cancellation terms point the same way. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. At Swyft Filings, a replacement agent must be designated (or business dissolved) before cancellation. LegalZoom notes that proof of new RA may be required. InCorp requires you to meet a condition first (dissolve entity, appoint new agent, or resign InCorp with fees). Harbor Compliance expects notice of non-renewal at least 90 days before the end of the current term, or the service renews. Read your current contract for its notice period before filing, so a renewal does not land mid-switch.8, 9, 10, 11, 12
The parts that work the same everywhere are in our guides to changing a registered agent and cancelling an agent service.
What happens if your Missouri registered agent resigns?
A resigning agent files the LLC 6, Statement of Resignation of Registered Agent of Limited Liability Company with the Secretary of State, certifying written notice to the LLC. The resignation is effective 30 days after receipt, or earlier if a new agent is appointed.1
So the agent has to certify that it notified the LLC in writing. That notice is your signal to act. Missouri's sources checked for this guide set no separate deadline for the owner to name a replacement. What they do set is the consequence of having no agent at all. Failing to maintain a registered agent is grounds for administrative cancellation of the LLC. Treat the notice period as your window to file a Corp. 59 naming someone new.2
Agents step down for ordinary reasons. A relative retires to another state, an employee leaves, a firm closes its Missouri office. A paid service may resign after an unpaid renewal, and its notice goes to the LLC at whatever contact details the service holds. Keeping your contact details current with your agent is the cheapest protection.
If you think your agent has stopped serving but never received a letter, look up your LLC on the Secretary of State's records or ask the office which agent it has on file.
What happens if a Missouri LLC has no registered agent?
Failing to maintain a registered agent is grounds for administrative cancellation of the LLC under RSMo 347.183.2. Missouri's statute uses the word cancellation where many states say administrative dissolution, and the ground covers any Missouri LLC whose agent is gone with no replacement on file.13
A cancelled LLC can run into trouble with anyone who checks its status. That can stall a bank loan, a lease, a licence renewal or a contract that asks for a certificate of good standing. It also means no one is in place to receive court papers, so a lawsuit can move ahead while you hear nothing.
The cancellation statute also sets a path back. Reinstatement costs $100 plus any delinquent fees and penalties, and the LLC must show grounds for cancellation no longer exist. For a missing agent, that means a qualifying agent and registered office have to be on file again. The Missouri compliance guide walks through reinstatement and what else to keep current after formation.13
What does a Missouri LLC file each year to stay in good standing?
Nothing, at the Secretary of State. Its FAQ asks and answers the question in one line ("Do limited liability companies have to file an annual report? No."), so the yearly report fee for a Missouri LLC is $0.3, 14
For the agent, that has a side effect. In states with a yearly report, filing it is a natural moment to notice that your agent quit or your registered office is out of date. A Missouri LLC gets no such prompt. An agent who resigned long ago can sit unnoticed until a bank or court turns up the problem.
A few items still deserve a yearly look.
- Your agent's renewal date, if you pay a service. It may be the only recurring charge tied to your state record.
- The registered office. If the agent moves offices, the record needs a statement of change.
- Your agent's residence, if a person serves. A move out of Missouri ends their eligibility.
The Missouri compliance calendar sets out the first year and the one after it. For how yearly reports work in states that have them, see annual reports explained. Some agent services advertise annual report reminders; a Missouri LLC has no annual report for them to track.
Do out-of-state LLCs need a Missouri registered agent?
Yes. An LLC formed elsewhere registers here with the Application for Registration of a Foreign LLC, LLC 4, at $105, and that application names a Missouri registered agent and registered office.15
Under Missouri's foreign registration statute, the application gives the name and physical address of its registered agent and registered office in this state, and that agent and office are subject to the same rules as a Missouri LLC's.
The agent your LLC uses at home does not carry over. A Kansas LLC with a Topeka agent needs a separate agent with a business office in Missouri before it can register here. A national service that already represents you in Kansas or Illinois may cover Missouri too, but check whether it bills each state separately.
Foreign LLCs change their Missouri agent on the same Corp. 59 form ($10), and the same sequence applies: new agent on file first, old service cancelled after. If your business also operates nearby, compare the registered agent rules in Kansas, Illinois, Iowa, Arkansas and Tennessee.2, 4

Missouri registered agent questions
Can I be my own registered agent in Missouri?
Yes, if you are a Missouri resident and the registered office you file is your business office (Mo. Rev. Stat. § 347.030). You list yourself and that address in the articles. If you later move out of Missouri, you need to appoint a new agent.1
Can someone who lives across the state line in Kansas be my agent?
Not as an individual. Missouri limits the role to an individual resident of Missouri or a domestic or foreign corporation authorized to do business in Missouri, so a person living on the Kansas side of the metro does not qualify. A company there could serve only if it is a corporation authorized in Missouri with a business office in Missouri.1
Does the registered office have to be where my business operates?
No. The statute says the registered office may be, but need not be, the same as a place of its business in this state. It must, however, be the agent's business office, which is why a commercial agent's Missouri office can be your registered office.1
How much does it cost to change my registered agent in Missouri?
The state fee for the Statement of Change of Registered Agent or Registered Office (Corp. 59) is $10. A paid agent service charges its own recurring fee on top of that. The same filing updates the registered office if only the address changes.2, 4
How long does a resigning agent's notice give me?
The resignation is effective 30 days after receipt, or earlier if a new agent is appointed, and the agent must give the LLC written notice. Missouri's sources checked here set no separate replacement deadline, but going without an agent is grounds for administrative cancellation, so file a statement of change during that window.1
Can a dissolved or cancelled Missouri LLC get its status back?
Yes, through reinstatement. The fee is $100 plus any delinquent fees and penalties, and the LLC must show grounds for cancellation no longer exist. If the problem was a missing agent, a qualifying agent and registered office on file is part of that showing.13
Does a foreign LLC pay a different fee to register in Missouri?
Yes, in practice. The Application for Registration of a Foreign LLC, LLC 4 costs $105. The fee schedule this guide relies on lists the lower online rate for Missouri LLCs only, so plan on the paper amount for a foreign registration.15
