Resident agent requirements in Kansas
Facts checked October 13 to 14, 2026.
Kansas law says every covered entity, a term its statutes define to include an LLC, "shall have and maintain in this state a resident agent" (K.S.A. 17-7925). The agent can be the LLC itself, a Kansas resident or a business entity of a kind the statute lists. You name it in your Articles of Organization (Form DL), which costs $85 online, $90 by paper, and if you later want someone else, you switch by filing Form ROA with the state. Pay attention to the registered office: the state's formation form says it "Must be an address in Kansas where the resident agent may be regularly present", so a mailbox drop with nobody behind it may not meet that test.1, 2, 3, 4
Kansas Registered Agent vs Resident Agent
Kansas calls the registered agent a "resident agent," the term used on the Secretary of State's LLC formation form. Most states say "registered agent," but the job is the same: accepting legal papers for your LLC. The form also asks for a "registered office," a Kansas address (not a P.O. box) where your resident agent may be regularly present.
The registered office is a Kansas address, not a P.O. box, where the resident agent may be regularly present, per the formation form.
- State filing form: “Registered office: Must be an address in Kansas where the resident agent may be regularly present.” sos.ks.gov
Who can be a resident agent in Kansas?
Kansas law lets the LLC itself, an individual who lives in Kansas, or a domestic or foreign business entity of the kinds the statute lists act as resident agent (K.S.A. 17-7925).1
The statute opens its list with "The covered entity itself". So a Kansas LLC can name itself, provided it keeps a qualifying registered office in the state, which is the subject of the next section.1
The next category is "an individual resident in this state". That covers you, a co-owner, a relative or an employee, as long as the person lives in Kansas. Someone who lives in Kansas City, Missouri, does not qualify on residence alone, however close the office is.1
The remaining items cover business entities, domestic and foreign, including limited liability companies. Commercial agent services usually fall in this group.
The parts of the statute quoted here say who may serve; they set out no licence or training. What the role does ask for in practice is someone reachable at the registered office when legal papers arrive. The explainer on what a resident agent does covers the duties that hold in every state, and the glossary defines service of process and the other legal terms used here.
What address does a Kansas resident agent need?
The address is called the registered office, and Kansas law (K.S.A. 17-7924(a)) says it "may, but need not be, the same as its place of business". The Secretary of State's formation form adds the practical test: it "Must be an address in Kansas where the resident agent may be regularly present".1, 3
Read together, the two rules leave room. The office can be your shop, your home or a commercial agent's location, and it does not have to be where your business runs day to day. What it must be is a Kansas address where your agent can be found.
Here is how the usual choices compare against that wording.
- Your own Kansas office or storefront fits if you or a staff member is there during normal hours to take papers.
- A Kansas home address fits for a resident who acts as agent, though it then appears as your LLC's registered office.
- A commercial agent's Kansas location fits, and the agent field then shows the service's address.
- A P.O. box or a mail drop is doubtful, because the form asks for a place where the agent "may be regularly present". The terminology note on this page reads the form as excluding P.O. boxes. Ask the Kansas Secretary of State (Business Services Division) before relying on any address where nobody is present.3
Every resident agent lists its own address in the agent field, so naming any commercial service puts that service's address on the record in place of yours; no single provider has an edge there. The biennial report form, Form ILC, asks for a principal office address and for members' addresses. This guide's sources do not say which of those fields Kansas shows publicly, so read the form before filing.5
If you want a business address for those fields, some providers sell an address product apart from the agent service. Swyft Filings lists one at $29/mo, and Harbor Compliance at $350/year per company, per location (limited time offer). Tailor Brands lists a Virtual Address product but doesn't publish its price. Check whether each covers Kansas. Our page on what an agent can and can't keep off the record explains the limits.6, 7, 8
Can you be your own resident agent in Kansas?
Yes. A Kansas resident can act as agent personally, and the LLC can act as its own agent, as long as the LLC keeps the Kansas registered office the law requires (K.S.A. 17-7925).1
Being your own agent costs nothing beyond the filings you make anyway. The trade-offs show up in daily life.
- You need to be reachable at the registered office during business hours. If you spend days at job sites around Wichita or on the road, a process server may find nobody there.
- The address you list becomes your LLC's registered office on the state's record, which for a home business means your home.
- If you move out of Kansas, you stop qualifying as an individual agent. The LLC itself could still act, but only with a Kansas office.
- Anything delivered to the registered office lands with you, so a missed letter is yours to catch.
An owner who lives outside Kansas and has no Kansas office cannot use the self-agent route in any form, which leaves a trusted Kansas resident or a business entity that qualifies under the statute. Owners who want their home address off the agent field, or who travel often, may prefer a service. The comparison of Kansas resident agent services sets out each provider's published price and terms.
How do you name a resident agent when you form a Kansas LLC?
You name the resident agent in your Form DL, the Articles of Organization; Kansas law (K.S.A. 17-7673(a)(2)) requires the articles to name the agent the statute calls for.1, 2
You can file online or by mail (paper form), and the fee is $85 online, $90 by paper. The state describes online processing as happening within minutes (certified copy printable immediately); for paper filings it doesn't publish a turnaround time.3, 9
Settle three things before you start the form.
- Who the agent is. Pick the LLC itself, a Kansas resident, or a business entity that qualifies under the statute.
- The registered office address, a Kansas address where that agent "may be regularly present".3
- Whether the agent has agreed. This guide's sources do not describe a separate consent form at formation in Kansas, so read the instructions on the form and confirm the agent has agreed before you name it.
The rest of the filing, including the name check and what comes after approval, is covered in the walkthrough on forming an LLC in Kansas. The fee arithmetic, online against paper, is on the page about the cheapest ways to form a Kansas LLC.
How do you change your resident agent in Kansas?
You file a Certificate of Amendment to Change of Resident Agent and/or Registered Office (Form ROA) with the Kansas Secretary of State (Business Services Division), naming the new agent, and the same form also updates the registered office if that is moving too.4
On cost, Kansas revised its business filing fees by regulation this year, and the state pages checked for this guide do not confirm the current fee for Form ROA. Check the form or the Secretary of State's change page before you pay.4
The safe order of steps looks like this.
- Choose the new agent and confirm they qualify: the LLC itself, a Kansas resident, or a business entity of a kind the statute lists.
- Confirm the registered office address with the new agent, since the form can change both at once.
- File the certificate of amendment and keep the filed copy.
- Treat the old agent as your agent until the change is on file.
- Cancel the old service last. Doing it the other way round can leave your LLC without an agent, and Kansas forfeits a business that "fails to maintain an active Kansas resident agent and registered office".10
Commercial agents set their own cancellation terms. LegalZoom lets you cancel by phone or online and notes that proof of new RA may be required. InCorp Services asks you to meet one of its cancellation conditions (dissolve entity, appoint new agent, or resign InCorp with fees) before the annual fee falls due. Rocket Lawyer lets you "cancel the Registered Agent Service at any time" by phone; its terms add that the service must be canceled prior to the renewal date to avoid recurring annual charges and that you must file change-of-agent paperwork with the state. Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term; otherwise service auto-renews for another one-year term. Read your current provider's terms before filing so a renewal does not land mid-switch.11, 12, 13, 14
The general steps are in our guide to changing a resident agent, and the guide to cancelling an agent service covers the provider side.
What happens if your Kansas resident agent resigns?
An agent that wants to stop acting without naming a successor files a Resignation of Resident Agent Without Appointing a Successor under K.S.A. 17-7929, after giving your LLC at least 30 days' notice before filing. Under the form's wording, the resignation takes effect 30 days after the certificate is filed.15
Put together, those two rules give an owner a warning before filing and a further window after it. The sources checked for this guide do not set a separate deadline for the LLC to name a replacement. Once the resignation takes effect, though, the LLC has no agent on file until it files Form ROA, so the simplest course is to file the change as soon as the notice arrives.4
An agent may stop acting for ordinary reasons. A relative moves out of Kansas, an employee who held the role leaves, or a paid service ends after an unpaid renewal. If the notice goes to an inbox nobody reads, the owner may not hear about it in time.
If you think your agent may have stopped acting but you never saw a notice, look up your LLC with the Kansas Secretary of State (Business Services Division) and confirm which agent and office are on file.
What happens if a Kansas LLC has no resident agent?
Kansas can forfeit an LLC whose business "fails to maintain an active Kansas resident agent and registered office". Forfeiture is the state's word for a business losing its active status.10
A forfeiture shows on the state's record for anyone who looks the LLC up, such as a bank or a landlord. And with no agent on record, legal papers may not reach the owners in time to respond.
Reinstatement runs through Form RL, the Certificate of Reinstatement. The fee is built from parts: a $35 filing fee, an $85 penalty fee where the LLC forfeited for not filing reports, and $110 per past-due information report. Businesses forfeited only for lacking a resident agent may ignore the $85 penalty fee, so an LLC forfeited for the agent problem alone pays less than one that also missed reports. The form notes that RL must be filed with all past-due reports.16
The Kansas compliance guide walks through the other route to forfeiture, a missed report, and the reinstatement steps.
What does a Kansas LLC file to stay in good standing?
The recurring filing for a Kansas LLC is an Information Report every other year, due by April 15 of the even or odd year matching the year the LLC was formed; there is no report in the years between.17
In the state's words, "Businesses forming in even years file reports in each succeeding even year" and "Businesses forming in odd years file reports in each succeeding odd year". Read literally, an LLC formed in an even year files its first report in the next even year after that, not in the year right after formation.17
The report and the agent are linked in practice. Papers and notices sent to an out-of-date registered office may never reach you. Kansas changed its filing fees this year, and the official pages checked for this guide do not yet state the current fee for the report (Form ILC), so check the Secretary of State's information reports page before you file.5
Deadlines, late rules and a calendar for the first years are on the Kansas compliance page. For how these reports work across states, see annual reports explained.
Do out-of-state LLCs need a Kansas resident agent?
The agent duty in K.S.A. 17-7925 applies to every covered entity, a term that includes a limited liability company, but this guide's sources do not address foreign LLCs separately.1
So confirm the agent requirement with the Kansas Secretary of State (Business Services Division) when you register. Foreign LLCs register by filing Form FA for $115.18
The state says foreign entities must file by paper, so there is no online route for that application, unlike the Articles for a new Kansas LLC. Allow time for the mail.18
An agent you use in your home state can act in Kansas only if it fits one of the statute's categories and has a Kansas registered office. If a national service already acts for you in another state, ask how it bills a second state before you assume Kansas is included.
If your business crosses state lines, compare Missouri's registered agent rules, Oklahoma's rules, Nebraska's rules and Colorado's rules.

Kansas resident agent questions
Can my LLC be its own resident agent in Kansas?
Yes. The statute lists "The covered entity itself" as the first option (K.S.A. 17-7925). The LLC still needs a Kansas registered office where the agent "may be regularly present", so in practice it needs a Kansas location where someone acting for it can be found.1, 3
Can someone in another state be my Kansas resident agent?
Not as an individual. A person must be "an individual resident in this state" (K.S.A. 17-7925). An out-of-state company can act only if it is a business entity of the kind the statute lists and has a Kansas registered office.1
Can the registered office be a P.O. box?
The formation form says the office "Must be an address in Kansas where the resident agent may be regularly present", and a P.O. box has no one present. The terminology note on this page reads the form as ruling boxes out. Ask the Kansas Secretary of State (Business Services Division) if you are unsure about a particular address.3
How much does it cost to change my resident agent in Kansas?
Kansas revised its filing fees this year, and the official pages checked for this guide do not confirm the current fee for Form ROA. Check the form before filing. A paid agent service charges its own price on top of whatever the state charges.4
How much warning do I get if my agent resigns?
The agent must give the LLC at least 30 days' notice before filing, and the resignation takes effect 30 days after the certificate is filed (K.S.A. 17-7929). Filing your change of agent as soon as the notice arrives avoids any gap.15
What happens if my LLC goes without a resident agent?
The state can forfeit an LLC that fails to maintain an active Kansas resident agent and registered office. Reinstatement uses Form RL, starting with a $35 filing fee, and an LLC forfeited only over the agent, with its reports up to date, can skip the $85 penalty fee.10, 16
