Registered agent requirements in Maine
Facts checked October 13 to 14, 2026.
Every Maine LLC must keep a registered agent in the state, and a noncommercial agent's address on file has to be "An actual street address or rural route box number in this State" (5 M.R.S. § 104 and § 105). You name the agent on the Certificate of Formation (Form MLLC-6), which costs $175, and you can switch later on Form CLKRA-3 for $35. The rule that reaches furthest is the duty to keep the state informed: an LLC left without an agent, or one that never tells the Secretary of State its agent changed, moved or resigned, gives the state grounds to dissolve it under 31 M.R.S. §1591.1, 2, 3, 4, 5
Who can be a registered agent in Maine?
Maine's agent law gives you two kinds of agent to choose from: a commercial registered agent, or, if you don't use one, a noncommercial agent named with a Maine address (5 M.R.S. § 104 and § 105).1
The rules sit in the general part of the Maine statutes that holds the state's version of the Model Registered Agents Act, separate from the LLC Act. The statute (5 M.R.S. § 104 and § 105) tells a filing what to state about the agent, in this order.6
- "The name of the represented entity's commercial clerk or commercial registered agent".1
- If there is none, "The name and address of the entity's noncommercial clerk or noncommercial registered agent".1
A commercial agent is, in general terms, a business that takes on the role for many companies. For that kind of agent, the statute asks the filing for a name only. A noncommercial agent is anyone else you appoint: you, a co-owner, an employee, a relative or a local lawyer. For that person, the filing gives both a name and a Maine address.
The statute also uses the word "clerk", placing a commercial or noncommercial clerk in the same lines as a registered agent. "Represented entity" is its term for the company the agent acts for.
What the agent does is the same everywhere: accept service of process (the formal delivery of lawsuit papers) and official notices, then pass them on. Our explainer on what a registered agent does covers those duties, and the glossary defines the legal terms used here.
What address can a Maine registered agent use?
A noncommercial agent's address must be a physical location in Maine, described in the statute as "An actual street address or rural route box number in this State". A separate Maine mailing address may be added, but only on top of that physical one (5 M.R.S. § 104 and § 105).1
Note the rural route option. It lets an agent in a part of Maine that still uses rural route addressing list that box number as the physical address. The second half of the rule allows "A mailing address in this State, if different from the address under subsection 1." (5 M.R.S. § 104 and § 105), so a post office box could fit only as that extra mailing address, beside a street or rural route address and not in place of it.1
Here is how common choices fit the rule.
- A home in Maine works for a noncommercial agent who lives there. That home address then sits on the state's record next to the agent's name.
- A shop, office or farm in Maine works if it has a street address or rural route box number and someone there can take delivery.
- A P.O. box on its own does not meet the wording. It can only be the extra mailing address.
- A virtual office or mailbox service in Maine is not addressed by the sources for this page. If it has a real street address where papers can be handed over, ask the Division of Corporations before you rely on it.
- An address outside Maine fails the "in this State" test outright.
Naming a commercial agent puts that service's details in the agent field instead of yours, as it would with any provider, while the other fields stay as you file them. The annual report, for example, asks for the LLC name, registered agent information, principal office address, brief statement of the business, and name/address of at least one member, manager or other authorized person.7
Some providers sell a business address as a separate product: Swyft Filings charges $29/mo for its address product, and Harbor Compliance lists $350/year per company, per location (limited time offer). Tailor Brands sells a Virtual Address product but doesn't publish its price. Whether the Division accepts such an address in a given field isn't covered by the facts for this page. Our guide to agents and privacy explains which fields stay public.8, 9, 10
Can you be your own registered agent in Maine?
Yes. An owner with a Maine street address or rural route box number can be named as the LLC's noncommercial registered agent (5 M.R.S. § 104 and § 105). The state fees listed for this page include no separate charge for doing so.1
What you take on is practical. Court papers can arrive on any business day, and the agent has to be reachable at the listed address to accept them. If you fish, farm, guide or work a seasonal trade and are often away, a missed delivery is a real risk. Your name and address also go on the state's record as the agent's.
If you leave Maine, you no longer have an in-state address to list, so the LLC needs a new agent. If your Maine address changes, the state has to be told: the dissolution statute lists the failure to notify the SOS of an agent change, agent address change, or agent resignation among its grounds.5
Owners who live in New Hampshire, Massachusetts or further away cannot serve as their own agent here unless they also keep a qualifying Maine address. Their choice is a Maine resident or business they trust, or a commercial service. The list of Maine registered agent services compares published prices and renewal terms, and it is ordered by our score.
How do you name a registered agent when you form a Maine LLC?
You name the agent on the Certificate of Formation (Form MLLC-6), the filing that creates the LLC. The formation statute requires the certificate to carry the agent information from 5 M.R.S. § 104 and § 105: a commercial agent's name, or a noncommercial agent's name and Maine address.2
Plan for paper and for waiting, since the Division's forms page offers the form as a fillable PDF and tells filers to "simply complete on-screen, print and mail to our office together with the proper filing fee". It lists no online option for formation. Payment can be by check, money order or credit card via payment voucher. Standard processing for corporate filings is 40 to 55 business days, and for a faster result the Certificate of Formation lists two paid tiers, 24-hour (next business day) $50 and immediate (same business day) $100 per entity.2, 3
Before you mail the form, settle three things.
- Who the agent is, and whether it is a commercial service or a noncommercial person.
- For a noncommercial agent, the exact Maine street address or rural route box number, plus a mailing address if it differs.
- Whether the agent has agreed to act. The sources for this page do not describe a separate consent form at formation, so read the instructions on Form MLLC-6 or ask the Division.2
The full set of formation steps is on the Maine LLC formation guide, and the cheapest ways to form a Maine LLC page adds up the state fees with and without expediting.
How do you change your registered agent in Maine?
You file the Statement of Appointment or Change of Commercial or Noncommercial Registered Agent (Form CLKRA-3) with the Division of Corporations. The fee is $35, and the same form is used whether the new agent is commercial or noncommercial.2, 4
Because Maine posts long processing times for corporate filings, the order of steps carries more weight here than in states where an agent change goes through the same day.
- Choose the new agent and confirm it has a qualifying Maine address, or that it is a commercial agent.
- Complete the statement and file it with the $35 fee. The facts for this page don't say whether this form can be filed online, so check the Division's forms page.
- Keep the old agent in place while the Division works through its queue. Its posted processing time for corporate filings is 40 to 55 business days. The formation form prints two expedite tiers, 24-hour (next business day) $50 and immediate (same business day) $100 per entity. Ask the Division whether they apply to an agent change.3
- Look up your LLC on the state's records and confirm the new agent appears.
- Cancel the old service after that, and not before.
Cancelling too early leaves a gap, and having no agent is a ground for dissolution under 31 M.R.S. §1591. Several providers write a similar order into their terms. LegalZoom says proof of new RA may be required. InCorp's service continues until a cancellation condition is met, and one listed condition is "appoint new agent". Swyft Filings states that a replacement agent must be designated (or business dissolved) before cancellation. Northwest lets you cancel any time through your online account, with no cancellation fee, so the timing there is up to you. Read your own provider's terms for renewal dates before you start.5, 11, 12, 13, 14
The parts that work alike in every state are in our guides to changing a registered agent and cancelling an agent service.
What happens if your Maine registered agent resigns?
A resignation filed with the state takes effect on the earlier of the 31st day after the statement of resignation is filed or the appointment of a new agent, and the agent must send your LLC notice of the filing date.6
The statute does this through a statement of resignation that the agent files, not the LLC. The agent must promptly notify the entity in a record of the filing date. That notice goes out using the contact details the agent holds for you, so an old email address or a closed P.O. box can mean you never see it.6
The dissolution statute lists the failure to notify the SOS of an agent change, agent address change, or agent resignation as a ground for administrative dissolution, and the reinstatement fee statute names failure to notify of an agent change or replace a resigned agent among the grounds it charges for. The sources for this page do not give a set number of days to file the replacement. The resignation notice is the cue to file Form CLKRA-3, keeping in mind how long filings take to process.2, 5, 15
If you think your agent may have stopped acting for you but you never received a notice, search your LLC on the Secretary of State's records to see which agent is listed.
What happens if a Maine LLC has no registered agent?
A Maine LLC without an agent can be administratively dissolved under 31 M.R.S. §1591, and reinstating it costs $150 per ground for dissolution.5, 15
The dissolution statute, 31 M.R.S. §1591, lists two grounds tied to the agent.5
- "The limited liability company is without a registered agent in this State".5
- The failure to notify the SOS of an agent change, agent address change, or agent resignation.5
Because the fee is charged per ground, an LLC that both lost its agent and fell behind on reports can face several reinstatement charges at once. The reinstatement statute lists separate amounts for failure to notify of an agent change or replace a resigned agent and for failing to keep an agent. Unfiled annual reports are charged on a scale of their own, $150 capped at $600.15
Having no agent also removes the contact point for lawsuits. A case served while no agent is on file can proceed without you hearing of it in time, and a lender or licensing office asking for proof of good standing will find the LLC dissolved. The sources for this page do not describe the notice the state sends before dissolving an LLC or how long you have to respond, so answer any letter from the Division quickly. The Maine compliance guide walks through reinstatement in more detail.
What does a Maine LLC file each year to stay in good standing?
Each Maine LLC files an annual report, Form MLLC-13, for $85. It is due January 1 to June 1, with June 1 each year as the legal deadline, and a late report adds $50.2, 15, 16
The report is a yearly check on your agent. Among other things, it asks for registered agent information. If the details you see no longer match reality, the report is the moment to notice; the form the Division lists for an agent change is Form CLKRA-3.2, 7
Three recurring items belong on a Maine owner's list.
- The annual report, filed between January and June.
- Your agent's renewal, if you pay a service.
- A check that your agent still has a qualifying Maine address and current contact details for you.
The Maine compliance calendar sets out the first and second years month by month, and annual reports explained covers how these reports work across states.
Do out-of-state LLCs need a Maine registered agent?
Yes. An LLC formed elsewhere that wants to do business in Maine files a Statement of Foreign Qualification, Form MLLC-12, for $250, and the foreign qualification statute requires that statement to carry the same agent information as a Maine LLC's certificate.15
The address requirement in 5 M.R.S. § 104 and § 105 is written for filings in general, so your home-state agent will not satisfy it unless that same company also has a Maine street address or acts as a commercial agent here. A Vermont LLC with an agent in Burlington, for example, still needs one for its Maine registration.
Changing that agent later uses the same Form CLKRA-3 and the same sequence applies: the new appointment goes on file first, and the old service ends after. If your LLC also operates nearby, compare New Hampshire's agent rules, Massachusetts' rules and Vermont's rules.2

Maine registered agent questions
Can I use a P.O. box as my Maine registered agent's address?
Not by itself. The agent's address must be "An actual street address or rural route box number in this State" (5 M.R.S. § 104 and § 105). A P.O. box can be listed only as an extra Maine mailing address alongside that physical address.1
Is a rural route box number accepted for a Maine registered agent?
Yes. The statute names a rural route box number in Maine as an alternative to a street address (5 M.R.S. § 104 and § 105). It must be in Maine, and the agent must be reachable there to accept papers.1
How much does it cost to change my registered agent in Maine?
The state fee for Form CLKRA-3 is $35. If you switch to a paid service, its annual price is a separate charge. Processing of corporate filings is posted at 40 to 55 business days, so keep the old agent until the change shows on the state's records.2, 4
What is the difference between a commercial and a noncommercial agent in Maine?
A commercial agent is, generally, a business that acts as agent for many entities, and your filing gives only its name. A noncommercial agent is any other person you appoint, and the filing gives that person's name and Maine address (5 M.R.S. § 104 and § 105).1
My agent resigned. When does the resignation take effect?
It takes effect on the 31st day after the statement of resignation is filed, or sooner if you appoint a new agent. Not notifying the state of an agent's resignation is a ground for administrative dissolution under 31 M.R.S. §1591, so a prompt change filing protects the LLC.5, 6
Can I file my Maine LLC's paperwork online?
Not for formation, going by the Division's LLC forms page, which tells filers to "simply complete on-screen, print and mail to our office together with the proper filing fee" and lists no online option for that form. Paid expediting is available on the formation form, at 24-hour (next business day) $50 or immediate (same business day) $100 per entity.3
What does it cost to reinstate a Maine LLC dissolved for having no agent?
The reinstatement fee is $150 per ground for dissolution, so each problem that led to dissolution carries its own charge. Failing to keep an agent and failing to report an agent change are listed as separate grounds.15
