Registered agent requirements in New Hampshire
Facts checked October 13 to 14, 2026.
Every New Hampshire LLC keeps a registered agent and a registered office in the state (N.H. Rev. Stat. Ann. § 304-C:36), and a separate section sets the same duty for out-of-state LLCs registered here. Naming one is part of the Certificate of Formation (Form LLC-1), which costs $100, and replacing one later takes Form 10 at $15. The detail owners most often get wrong is the office test: the registered office has to be the same place as the agent's own home or business office, so a mail drop that is not the agent's own office is unlikely to meet the statute's wording.1, 2, 3, 4
Who can serve as a registered agent in New Hampshire?
New Hampshire allows two kinds of agent (N.H. Rev. Stat. Ann. § 304-C:36). The first is "An individual who resides in this state and whose residential or business office is identical with the registered office". The second is a business entity: a corporation organized or authorized under RSA 292, 293-A or 294-A, an LLC formed or authorized under RSA 304-C, or an LLP under RSA 304-A:44, provided its business office is the registered office.1
Put simply, the candidates fall into these groups.
- A person who lives in New Hampshire.
- A corporation formed in New Hampshire or authorized to do business here.
- An LLC formed in New Hampshire or registered here as a foreign LLC.
- A registered limited liability partnership.
Each of them must also pass the office test described in the next section. A resident of Manchester who works from a shop in Concord could list either address, as long as it is truly theirs. A cousin across the river in Vermont cannot serve as an individual, however reliable they are, because the statute asks for a New Hampshire resident.
The statute's test is about residence and office; the sources behind this guide show no licence or training requirement. What the role asks for is someone who will accept service of process (formal delivery of lawsuit papers and official notices) on the LLC's behalf and pass it on without delay. The duties that apply in every state are set out in what a registered agent does, and the glossary explains the legal terms used here.
What address can a New Hampshire registered agent use?
The registered office must be identical with the agent's residential or business office (N.H. Rev. Stat. Ann. § 304-C:36). In practice, the address on file is where the agent actually lives or works.
The same section also says the registered office may be the same as any of its places of business. So if your LLC runs a storefront in Nashua and the agent works there, one address can do both jobs.1
Here is how common choices compare against that wording.
- Your own home works if you live in New Hampshire and serve as the agent yourself.
- A business office in the state works if it is the agent's office, whether the agent is a person or a company.
- A P.O. box is a poor fit for wording about a residence or office, and the sources behind this guide contain no Secretary of State statement on boxes. Ask the Corporation Division before listing one.
- A virtual office or mail-forwarding address raises the same doubt. If it is not the agent's own office, it may fail the "identical" test.
Every registered agent lists its own address in the agent field, so a commercial agent puts its office there instead of yours. That is true of every provider. It does not change the other names and addresses the formation form asks for, and this guide's sources do not say which of those the state displays publicly, so read the form before filing. Some providers sell a business address product apart from the agent service: Northwest sells mail forwarding in select states (Mail Forwarding $20/month), Swyft Filings lists an address product at $29/mo, and Tailor Brands sells a virtual address product (price not published). Check whether New Hampshire is covered before relying on one. The privacy list explains which details stay on the record either way.5, 6, 7
Can you be your own registered agent in New Hampshire?
Yes, if you live in New Hampshire and list your own home or business office as the registered office (N.H. Rev. Stat. Ann. § 304-C:36). The state doesn't publish any separate fee for naming yourself.
The legal test is simple. The practical side deserves more thought.
- Someone has to be reachable at that address to accept papers. A process server who finds a locked door can leave your LLC unaware of a lawsuit until a deadline has passed.
- A home-based owner ends up listing the home address as the registered office.
- Moving across the border to Maine, Vermont or Massachusetts ends your eligibility, and the gap rule in the section on lapses starts to matter.
- Moving out of the office you listed means filing Form 10 for $15, because the registered office has to follow you.4
Owners who live outside the state cannot act as their own agent. They choose between a New Hampshire resident they trust and a qualifying business. The statute includes LLCs formed under its own chapter among the entities that may serve, but the sources behind this guide don't say whether an LLC may name itself, so ask the Corporation Division if you want to try that route.
A service tends to suit owners who live out of state, travel for work or would rather not list a home address. The comparison of New Hampshire registered agent services sets their published prices and terms side by side.
How do you name a registered agent when forming a New Hampshire LLC?
The agent and registered office go on the Certificate of Formation (Form LLC-1), the filing that creates the LLC, and the agent you list must already meet the residence and office test.2
The formation statute requires the certificate to give the registered office address and the agent's name and address.
The Secretary of State lists its filing routes as Online (NH QuickStart), by mail or in person. Online filings go through NH QuickStart, carry a $2.00 handling charge, and are generally no more than 10 business days in processing. A faster turn costs $25 more and is available in person at the Customer Lobby only, which suits only owners who can get to the lobby.3, 8, 9
Before you file, settle three points.
- The agent's identity. A resident individual or a qualifying entity from the statute's list.
- The registered office. It must be the agent's own residence or business office in New Hampshire.
- Whether the agent has agreed. The formation statute doesn't mention agent consent, and this guide's sources do not describe how consent is recorded on the form, so read its instructions or ask the Corporation Division.

How do you change your registered agent in New Hampshire?
You file Form 10 Statement of Change of Registered Office or Registered Agent or Both with the Secretary of State and pay $15. The same form updates the registered office, the agent, or both at once.3, 4
The order of steps protects you from a gap.
- Pick the new agent and confirm they qualify: a New Hampshire resident or a qualifying entity, with an office that will become the registered office.
- Complete Form 10 with the new agent's name and office.4
- File it with the Secretary of State. The state's estimate for online filings is generally no more than 10 business days; the in-person expedite option adds $25.
- Watch for the state to accept the filing. Until then, the old agent remains your agent of record.
- Cancel the old service last, and only once the change is on file.
Commercial agents set their own exit rules, and these can decide when you file. ZenBusiness asks you to cancel by contacting customer support by phone. InCorp requires a cancellation condition, such as appointing a new agent, to be met before annual fee is due. LegalZoom notes that proof of new RA may be required. Harbor Compliance wants notice of non-renewal at least 90 days before the end of the current term. Reading those terms first can save a renewal charge.10, 11, 12, 13
An LLC that moves its registered office without telling the state also risks dissolution, because one ground is that the LLC fails to report an agent/office change within 60 days. The step-by-step guides to changing a registered agent and cancelling an agent service cover the parts that are the same everywhere.14
What happens if your New Hampshire registered agent resigns?
The agent files a notice of resignation, and the SOS mails a copy to the LLC's principal office. The agent's appointment ends 31 days after filing or on appointment of a successor, whichever is first, so you have that window to line up a replacement.1
Where the copy lands decides whether you see it in time. It goes to the principal office on file, so an LLC that changed offices without updating the record may never receive it. Keeping the principal office current is the simplest defence.
Once the appointment ends, the LLC has no agent, and New Hampshire treats being without a registered agent or office for 60 days or more as a ground for administrative dissolution. Filing Form 10 the week the notice arrives keeps both windows comfortably open.4, 14
Agents resign for ordinary reasons. A friend moves to Boston. A bookkeeper retires. A paid service stops acting for a client whose renewal payment failed, and the owner may first hear of it from the state's copy at the principal office. If you think your agent may have stopped serving, ask the Corporation Division which agent it has on file.
What happens if a New Hampshire LLC has no registered agent?
An LLC left without a registered agent or office for 60 days or more, or one that fails to report an agent/office change within 60 days, gives the state grounds for administrative dissolution under the state's dissolution statute.14
A dissolved LLC loses good standing. Lenders, landlords and licensing offices that ask for proof of standing may stall. Worse, papers in a lawsuit against an LLC with no agent may never reach the owners, and a case can move ahead without them.
Reinstatement is available, but the clock is limited. The fee is $135, and the application must come within 3 years of dissolution. The statute adds a condition: the application must come with a tax certificate if more than 120 days after the dissolution notice, so a quick response is simpler as well as safer.3
Missing annual reports leads to the same place: the state lists administrative dissolution after two consecutive years of non-filing. The New Hampshire compliance guide walks through reinstatement and the rest of the post-formation duties.3
What does a New Hampshire LLC file each year?
Each LLC files an annual report between January 1 and April 1 every year after its formation year, for $100. Filing after the deadline brings a $50 late fee after April 1.3, 15
The timing has a wrinkle for LLCs formed late in the year: an LLC formed in December files its first report in the second calendar year after formation. Check your formation date before assuming the first report is due the following spring.15
The annual report asks for the LLC's registered office and agent, so it gives you a yearly prompt to confirm both are still right. If the agent changed during the year, file Form 10 rather than waiting for the report window. The annual reports explainer covers how these filings work in general, and the New Hampshire compliance calendar sets out the first and second years in order. Some agent services include reminders for this deadline; the compliance-focused list shows which ones publish a filing service.4, 15
Do out-of-state LLCs need a New Hampshire registered agent?
Yes. An LLC formed elsewhere registers on Form FLLC-1 for $100 and must keep an agent and registered office here under the foreign LLC agent statute, which lists the same kinds of eligible agent as the domestic rule.3
Your home-state agent does not automatically carry over. A Massachusetts LLC whose agent sits in Boston needs a New Hampshire agent with a New Hampshire office. A national service that already acts for you elsewhere may cover this state too; check whether its price is charged per state before you register.
Foreign LLCs change their New Hampshire agent by filing a statement of change under that same section. Form 10 is listed among the state's LLC forms, so ask the Corporation Division whether a foreign LLC uses it. The order is unchanged: appoint the new agent before you drop the old one. If you also do business nearby, compare the rules for Maine, Vermont and Massachusetts.4

New Hampshire registered agent questions
Can I be my own registered agent in New Hampshire?
Yes, if you live in New Hampshire and your home or business office is the registered office you list (N.H. Rev. Stat. Ann. § 304-C:36). You list yourself as the agent on the Certificate of Formation (Form LLC-1). If you later move away or change offices, you file Form 10 to update the record.1, 2, 4
Can a friend in another state be my New Hampshire registered agent?
Not as an individual. The statute limits individual agents to people who reside in New Hampshire (N.H. Rev. Stat. Ann. § 304-C:36). An out-of-state company can serve only if it is authorized here and its business office in the state is the registered office.1
How much does it cost to change a registered agent in New Hampshire?
The state fee for Form 10 Statement of Change of Registered Office or Registered Agent or Both is $15. Faster handling costs $25 and is offered in person at the Customer Lobby only. A paid agent service charges its own fee on top.3, 4, 9
How long do I have after my agent resigns?
The agent's appointment ends 31 days after filing or on appointment of a successor, whichever is first. After that, going without a registered agent or office for 60 days or more is a ground for administrative dissolution. File the change as soon as the state's copy of the notice arrives.1, 14
Can a New Hampshire registered office be a P.O. box?
The statute requires the registered office to be identical with the agent's residence or business office (N.H. Rev. Stat. Ann. § 304-C:36), which points to a physical place. This guide's sources hold no state statement on boxes, so ask the Corporation Division before using one.1
What does it cost to reinstate an LLC dissolved for having no agent?
The reinstatement fee is $135, and the application must be filed within 3 years of dissolution. An application must also come with a tax certificate if more than 120 days after the dissolution notice, so a quick fix costs less effort than a slow one.3
Does a foreign LLC need a separate agent in New Hampshire?
Yes. Registering on Form FLLC-1 costs $100, and the foreign LLC agent statute requires an agent whose business office in the state is the registered office. An agent you use in your home state counts only if it also qualifies here.3
