Agent for service of process requirements in Vermont

Facts checked October 13 to 14, 2026.

Every Vermont LLC must keep an agent for service of process under 11 V.S.A. § 4007, and the agent must be either an individual resident of this State or a business organization that has a place of business in, and is authorized to conduct business in, this State (11 V.S.A. § 1655). You name the agent in your Articles of Organization ($155), and a later switch goes on a Statement of Change for $35. The rule that sets Vermont apart is the designated office: Vermont asks for it separately from the agent's address, and unlike the agent it may but need not be located in this State.1, 2

Vermont Registered Agent vs Agent for Service of Process

Vermont's LLC statute calls this role an "agent for service of process", though the Secretary of State's website uses "registered agent", the term most states use. The statute also requires a "designated office" for notices, and the state's site refers to the agent's physical address as the registered office.

The statute requires a designated office for notification purposes, which need not be a place of business and need not be in Vermont. The Secretary of State's site separately calls the agent's physical address the Registered Office.

Who can be an agent for service of process in Vermont?

Vermont allows two kinds of agent: an individual resident of this State, or a business organization that has a place of business in, and is authorized to conduct business in, this State (11 V.S.A. § 1655). Anyone outside those two groups cannot take the role, however willing they are.1

For a person, the test is residence. A sibling in Burlington or a bookkeeper who lives in Rutland can be named. A co-owner who moved to New Hampshire cannot, even if they still drive over for work most days.

For a business, the statute sets two conditions that must both be met.

  1. It has a place of business in Vermont.
  2. It is authorized to conduct business in Vermont, which for an out-of-state company means it has registered here.

A law firm or accounting practice can qualify on those terms, and so can a commercial agent service with a Vermont office. The section says nothing about licences or legal training. What the role asks is that someone reliable accepts service of process (the formal hand-off of lawsuit papers) and gets it to you quickly. The explainer on what an agent for service of process does covers the duties that are the same in every state, and the glossary defines the legal words used here.

When the LLC lists its agent, the statute asks for the agent's name, email, and address information (11 V.S.A. § 1655). An email address is part of what you file, so the agent needs an inbox someone checks.1

What address does a Vermont agent need, and what is the designated office?

The agent's address has to be a physical one: the Secretary of State's instructions ask for "The physical address of your registered agent" and call it the Registered Office.3

Because a business agent must have a Vermont place of business and a person must live here (11 V.S.A. § 1655), that address is in practice a Vermont one.1

Vermont then asks for a second address, separate from the first. Under 11 V.S.A. § 4007, the LLC must also keep a designated office for notification purposes, which may but need not be a place of its business. That office also may but need not be located in this State. So the two addresses do different jobs.1, 4

AddressWhere it can beWhat it is for

Here is how common choices fit the agent's address.

Naming a commercial agent puts the provider's address in the agent field, as it would with any provider. It does not change your designated office or the other contact details you file. If you want a business address for those, some providers sell one separately: Northwest Registered Agent lists Mail Forwarding $20/month (24 select states), so check whether Vermont is covered, and Bizee (formerly Incfile) lists $29/month; 1 month free with Bizee LLC formation. Our page on what an agent can and can't keep off the public record explains which details stay visible.5, 6

Can you be your own agent for service of process in Vermont?

Yes, if you live in Vermont. A resident member or manager can list themselves as the LLC's agent (11 V.S.A. § 1655), and doing so costs nothing beyond the filings you make anyway.1

Before you do, weigh a few practical points.

Owners who live in another state cannot serve themselves. They choose between a Vermont resident they trust and a qualifying business such as a commercial service. Vermont's flexible designated office does help them, though: the notice address can be their own out-of-state office even while the agent sits in Vermont.

The statute's list covers business organizations generally and doesn't say whether an LLC can name itself. If you want that, ask the Secretary of State how to complete the form. To see what paid services charge here, the Vermont agent for service of process comparison sets out their published prices and terms.

How do you name your agent when you form a Vermont LLC?

You list the agent in the Articles of Organization ($155), giving the agent's name, email, and address information. Vermont law also requires the LLC to designate an office (11 V.S.A. § 4007), so have that address ready as well.1, 2

Your filing options are these: Online (preferred, no extra fee), by mail, or walk-in at 128 State Street, Montpelier. The state's guidance is that online filing is normally less than 1 business day, while mail filings take 7 to 10 business days. The facts gathered for this page include no paid expedite option.7

Settle these before you file.

  1. Who the agent is, and that they fit one of the two categories.
  2. The agent's Vermont physical address and a working email.
  3. Your designated office, which can be the same address or a different one, in or out of state.
  4. That the agent has agreed to act. The sources behind this page don't describe a separate consent form for Vermont, so check the filing screen or ask the Secretary of State how consent is handled.

If you are still picking a name, a reservation costs $25 for 120 days. The step-by-step Vermont LLC formation guide walks through the rest of the Articles, and the cheapest ways to form a Vermont LLC page adds up the state fees.2

How do you change your agent for service of process in Vermont?

You file a Statement of Change with the Secretary of State under 11 V.S.A. § 4008, and the fee is $35. The same filing updates the designated office.2

A safe order of steps keeps your LLC covered throughout.

  1. Pick the new agent and confirm they qualify under 11 V.S.A. § 1655.1
  2. Get their agreement, their Vermont physical address and the email to list.
  3. File the Statement of Change. Online it is normally less than 1 business day; by mail allow 7 to 10 business days.
  4. Check the state's record shows the new agent.
  5. Then cancel the old service.

Cancelling first is the mistake to avoid. Several provider contracts expect the state record to change before they let you go. Bizee (formerly Incfile) lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. At Swyft Filings, a replacement agent must be designated (or business dissolved) before cancellation. InCorp Services lists its exits as dissolve entity, appoint new agent, or resign InCorp with fees, and one must be met before the annual fee falls due, or billing continues. Some contracts also set a notice window: Harbor Compliance needs notice of non-renewal at least 90 days before the end of the current term, or the service renews for another term. Read your current provider's terms before you file so a renewal date doesn't land in the middle of the switch.8, 9, 10, 11

The general walkthroughs on changing an agent for service of process and cancelling an agent service cover the steps that are the same everywhere.

What happens if your Vermont agent resigns?

The agent files a statement of resignation with the Secretary of State and delivers a copy to the LLC. The agency then ends 30 days after the Secretary files it, or earlier when a new agent's designation takes effect.1

These timing rules came in with 2025 Act 10, so older guides may describe a different process.1

The copy the agent delivers is your warning, and it can only reach you through the contact details the agent has. If those are out of date, the notice may land somewhere nobody looks. Treat any resignation notice as a prompt to file a Statement of Change for a replacement.

The cleanest outcome is a new agent whose designation takes effect before the old agency ends, so there is never a day without one. If you think your agent has stopped acting for you but never saw a notice, look up your LLC with the Secretary of State to see who is on file.

What happens if a Vermont LLC has no agent?

The Vermont sources checked for this page don't set out a specific penalty for having no agent on file.

That doesn't make a gap harmless. The statute still requires the LLC to keep an agent (11 V.S.A. § 4007).1

The real cost of a gap is practical. A lawsuit can be started against your LLC while nobody is in place to pass the papers on, and you may learn of it late.

Where Vermont is specific is termination for missed annual reports. The reinstatement rules in 11 V.S.A. § 4034 are written around them: a terminated LLC pays $35 per year missed, plus the overdue annual report(s) and annual report fee(s). Reinstatement relates back to and takes effect as of the effective date of termination. Waiting too long also puts the name at risk (name protection lost if not filed within five years of the due date).2

If you have any doubt about where your LLC stands, ask the Secretary of State, and talk to a lawyer if papers may have been served while the record was out of date. The Vermont compliance guide covers reinstatement in more depth.

What does a Vermont LLC file each year?

Each Vermont LLC files an annual report within three months after the end of the LLC's fiscal year, and the fee is $45. The date follows your fiscal year, not the anniversary of your formation.2, 12

The report is also the routine moment to check your agent. Before you submit it, confirm the agent named on your record still acts for you, still has a Vermont address and still uses the email on file. If anything changed, file a Statement of Change as well.

The Vermont compliance calendar sets out the first and second year in order, and how annual reports work explains these filings across states.

Do out-of-state LLCs need a Vermont agent?

Yes. An LLC formed elsewhere registers here with an Application for Certificate of Authority, for $155, and it needs an agent who meets the same Vermont test (11 V.S.A. § 1655).1, 2

Your home-state agent doesn't carry over. A New York LLC whose agent sits in Albany needs a Vermont resident or a business with a Vermont place of business before it can register. A national service may bill each state separately, so ask how a second state is charged before you assume it is included.

The designated office rule can work in a foreign LLC's favour: that notice address may stay at your out-of-state headquarters. If you also operate across the border, compare New Hampshire's agent rules, Massachusetts' rules and New York's rules.

Vermont agent for service of process questions

Can I be my own agent for service of process in Vermont?

Yes, if you live in Vermont. The statute allows an individual resident of this State to act (11 V.S.A. § 1655). You list your Vermont physical address and an email you check, and you need a replacement on file if you move away.1

Can someone who lives in another state be my Vermont agent?

Not as an individual. Vermont accepts a person only if they are a resident of the state (11 V.S.A. § 1655). A business based elsewhere can act only if it has a Vermont place of business and is authorized to do business here.1

Does my designated office have to be in Vermont?

No. Under 11 V.S.A. § 4007 the designated office for notices may but need not be located in this State, and it need not be a place of business either. The agent's address is different: it must be a physical Vermont address.1

How much does it cost to change my agent in Vermont?

The Statement of Change costs $35, and it covers a new designated office too. Filed online it is normally less than 1 business day. A new paid service bills its own fee on top of the state's.2, 7

How long do I have after my agent resigns?

The agency ends 30 days after the Secretary files it, or earlier when a new agent's designation takes effect. File a Statement of Change naming a new agent before that date so there is no gap.1

Can I use a P.O. box as the agent address in Vermont?

The state's form asks for "The physical address of your registered agent", which a box isn't. This page's sources include no Secretary of State ruling on boxes, so ask before you list one. Your designated office is a separate address with looser rules.3

Does a foreign LLC need a Vermont agent?

Yes. A foreign LLC files an Application for Certificate of Authority for $155 and must name an agent who meets the Vermont resident or Vermont business test (11 V.S.A. § 1655).1, 2
