Registered agent requirements in Montana

Facts checked October 13 to 14, 2026.

Every Montana LLC, and every out-of-state LLC registered to do business here, needs a registered agent whose address is an actual street address or rural route box number in this state (Mont. Code Ann. § 35-7-104). You name that agent when you file the Articles of Organization online for $35, and the state's fee sheet lists a later change of agent as "No fee". One rule worth learning early is the gap rule: failing for 60 days to appoint and maintain a registered agent gives the Montana Secretary of State grounds to dissolve the LLC.1, 2, 3

Who can be a registered agent in Montana?

Montana follows the Model Registered Agents Act (Mont. Code Ann. § 35-7-104), so the answer comes from that Act's definitions section: a registered agent "means a commercial registered agent or a noncommercial registered agent". Either kind has to meet the Montana address rule set out below.1

In plain terms, a commercial agent is a company in the business of receiving legal papers for many clients, such as the national services compared on this site. A noncommercial agent is everyone else: you, a co-owner, a family member in Billings, your bookkeeper's office in Great Falls.

The materials behind this guide show no licence, bar membership or training requirement for either kind of agent. What the role does demand is reliability. The agent accepts service of process (the formal delivery of court papers) for the LLC, along with official notices from the state, and passes them to you fast enough to act on them.

In practice, the address rule below does most of the filtering. Someone in Spokane with no Montana street address can't meet it, however willing. A business partner with a ranch outside Bozeman can, provided they agree and someone at that address can take delivery. For the duties that apply in every state, read what a registered agent does, and look up unfamiliar terms in the glossary.

What address can a Montana registered agent use?

The address in an agent filing must be an actual street address or rural route box number in this state (Mont. Code Ann. § 35-7-104). Montana's statute names a rural route box number alongside a street address, which fits the way many properties outside towns are addressed.1

Common choices compare like this.

Every agent, commercial or not, puts its own address in the agent field. Hiring a service therefore swaps your address out of that field for the service's, and that is true of all providers. Other parts of your record are a separate question. The annual report asks for your business mailing address, registered agent, shares (if applicable) and principals of record, so owner and mailing details sit on the record however your agent is handled. If you want a business address for those fields, a few providers sell one apart from the agent service: Northwest lists Mail Forwarding $20/month (24 select states), so confirm Montana is among them, and Bizee lists a virtual address at $29/month. The guide to what an agent can and can't keep off the record covers this in more depth.4, 5, 6

Can you be your own registered agent in Montana?

Yes. With a Montana street address or rural route box number where you can accept papers, you can name yourself as a noncommercial agent (Mont. Code Ann. § 35-7-104).

The question is whether it suits how you work. A few practical points weigh on it.

Owners who live outside Montana can't act as their own agent unless they also keep a Montana address. Their options are a person in Montana they trust or a commercial service. The Montana registered agent services comparison sets out each provider's published price and terms.

How do you name a registered agent when you form a Montana LLC?

You name the agent inside the Articles of Organization, the filing that creates the LLC, and in Montana that filing can only be made online, because the Secretary of State has "moved to an online-only filing system".2, 7

The state fee is $35. A series LLC pays that fee plus $50.00 for each series member named in the series LLC. If you want to hold a name before you are ready to file, a name reservation costs $10.2

Before you start the online filing, settle three things.

  1. Whether the agent is commercial or noncommercial, and the agent's exact name.
  2. The agent's Montana street address or rural route box number.
  3. That the agent has agreed to act for you. This guide's sources don't describe how Montana records an agent's consent, so follow the prompts in the online system and ask your agent whether it needs anything from you.

The Montana Secretary of State does not publish a standard processing time. Paid speed-ups are available: 24-hour processing $20; 1-hour processing $100. The step-by-step guide to forming a Montana LLC covers the rest of the filing, and the cheapest ways to form a Montana LLC adds up the costs.2

How do you change your registered agent in Montana?

You file a statement of change through the Secretary of State's online system, listed in its help center as "Registered Agent/Office Change by Entity". The fee sheet entry for changing the registered office, the agent or both reads "No fee".2, 8

Because the filing is free, the only real cost of switching is whatever the new provider charges. The order of steps is where owners slip.

  1. Choose the new agent and confirm it has a Montana street address or rural route box number.
  2. Get the new agent's agreement to act for your LLC.
  3. File the statement of change online. The fee sheet lists paid speed-ups among its business charges (24-hour processing $20 or 1-hour processing $100); ask the office whether they apply to this filing if timing is tight.2
  4. Check the business search to confirm the new agent now appears on your record.
  5. Cancel the old service last. Dropping it before the change is on file can leave the LLC with no agent, which starts the gap clock.

Provider terms differ on how cancelling works. Bizee lets you cancel by assigning a new registered agent with the state and notifying Bizee of the change. InCorp lists cancellation conditions (dissolve entity, appoint new agent, or resign InCorp with fees), one of which must be met before its annual fee falls due. Northwest's terms allow cancelling at any time through the online account, with no cancellation fee. Harbor Compliance requires notice of non-renewal at least 90 days before the end of the current term, or the service renews for another term, so check that date before you switch.9, 10, 11, 12

The general guides on changing a registered agent and cancelling an agent service cover the steps that work the same in every state.

What happens if your Montana registered agent resigns?

An agent who wants to stop acting for your LLC files a statement of resignation, and under MCA 35-7-111 it takes effect on the 31st day after filing, or earlier when a new agent is appointed.13

The agent must promptly notify the entity of the filing date. That notice is your signal to act, and it only reaches you if the agent has current contact details for you.13

Once the resignation takes effect, the LLC has no agent until you appoint one. Montana treats failing for 60 days to appoint and maintain a registered agent as a ground for involuntary dissolution, so the safest course is to file a statement of change as soon as the notice arrives, without waiting for the effective date.3

A commercial agent may resign when a client stops paying. A relative, manager or accountant acting as agent may move away, change jobs or retire. If you suspect your agent has quit but you never saw a notice, look up your LLC on the Secretary of State's business search and see which agent is listed.

What happens if a Montana LLC has no registered agent?

Going without an agent can cost the LLC its existence. Under MCA 35-8-209(1), an LLC that has been failing for 60 days to appoint and maintain a registered agent has given the state grounds for involuntary dissolution.3

The same section lists a second ground: failing for 140 days to file the annual report. An owner who stops reading the agent's mail can miss the annual report reminder as well, and then both clocks run at once.3

A dissolved LLC is no longer in good standing, which can block a bank loan, a contract that requires a certificate of good standing, or a licence renewal. A lawsuit served while no agent is on file may also go forward without you hearing about it in time.

Reinstatement is available. The fee is $35 plus $35 for each year of delinquent annual reports, so an LLC that let its reports lapse for several years pays for each of them. The materials behind this guide do not set out a time limit for applying, so ask the Secretary of State promptly if your LLC has been dissolved. The Montana compliance guide covers reinstatement and the other causes of dissolution.2

What does a Montana LLC file each year to stay in good standing?

Each Montana LLC files an annual report, due each year between January 1 and April 15 under the LLC Act's annual report section. The fee is $0 if filed January 1 to April 15 (fee waived), and a report filed later costs $35 after April 15.4, 14

The report is also a yearly check on your agent. It asks for your business mailing address, registered agent, shares (if applicable) and principals of record, which means each spring you see the agent the state has on file. If that name or address is out of date, fix it with a statement of change, which carries no fee.4

The Montana compliance calendar sets out the first year and the next one, and annual reports explained shows how reports work across states.

Do out-of-state LLCs need a Montana registered agent?

Yes. An LLC formed elsewhere that does business in Montana registers by obtaining a Certificate of Authority, which costs $70, and the agent it lists must have a Montana address.2

Montana's address rule is written for addresses in filings generally (Mont. Code Ann. § 35-7-104), so the agent a foreign LLC lists needs a Montana street address or rural route box number too.

Your home-state agent does not carry over automatically. A Wyoming LLC whose agent sits in Cheyenne needs an agent with a Montana street address or rural route box number, which may be the same national company if it covers Montana, billed as a second state. Ask how it charges before assuming Montana is included.

If your LLC also operates next door, compare the registered agent rules in Idaho, Wyoming, North Dakota and South Dakota.

Montana registered agent questions

Can I be my own registered agent in Montana?

Yes, if you can list a Montana street address or rural route box number where you accept papers (Mont. Code Ann. § 35-7-104). You would act as a noncommercial agent. If you move out of the state, appoint a replacement before you lose that address.1

Can my Montana registered agent use a P.O. box?

The statute calls for an actual street address or rural route box number in this state (Mont. Code Ann. § 35-7-104), and a post office box is neither. Ask the Montana Secretary of State before listing one.1

How much does it cost to change my registered agent in Montana?

There is no state fee: the fee sheet lists a statement of change to the registered agent or office as "No fee". The fee sheet also lists paid speed-ups (24-hour processing $20; 1-hour processing $100) among its business charges; ask whether they apply to a statement of change. A paid agent service bills its own fee on top.2

Can I mail a paper form to change my Montana registered agent?

No. The Secretary of State has moved to an online-only filing system, so the statement of change is filed through its online system.7

How long do I have to replace an agent who resigns?

The resignation takes effect on the 31st day after filing, or earlier when a new agent is appointed. After that, failing for 60 days to appoint and maintain a registered agent is a ground for involuntary dissolution. Filing the change as soon as the resignation notice arrives keeps you well clear of both dates.3, 13

What is the difference between a commercial and a noncommercial registered agent in Montana?

Montana's definition says a registered agent "means a commercial registered agent or a noncommercial registered agent". A commercial agent is a business that acts for many entities as its line of work. A noncommercial agent is anyone else, including an owner acting for their own LLC.1

Does a foreign LLC need a separate Montana agent?

It needs an agent with a Montana street address or rural route box number. That can be the same company that acts for it at home if that company covers Montana. Registration itself requires a Certificate of Authority, at $70.2
