Registered agent requirements in South Dakota

Facts checked October 13 to 14, 2026.

A South Dakota LLC must give its registered agent details in its Articles of Organization (SDCL § 59-11-6), and an LLC from another state names an agent in this state when it applies to do business here. The statute asks for "An actual street address or rural route box number in this state" as the agent's address (SDCL 59-11-5). Forming the LLC costs $150 online, $165 by paper, and switching agents later costs $10 at the South Dakota Secretary of State. The second half of the address rule is easy to overlook: if the agent's mail goes somewhere other than its street address, that mailing address must be in South Dakota too.1, 2, 3

Who can be a registered agent in South Dakota?

South Dakota uses the Model Registered Agents Act, which gives an LLC three choices: a commercial registered agent, a noncommercial agent named by name and address, or the title of an office inside the LLC (SDCL § 59-11-6).2

The statute lists these as alternatives for what the articles must say. Where the LLC has no commercial agent, the articles give "The name and address of the entity's noncommercial registered agent" or, instead, the title of an office in the entity. The commercial option has its own subdivision in the same section.2

In everyday terms, the three routes look like this.

  1. A commercial agent is a company whose business is accepting legal papers for clients, such as the national services compared on this site.
  2. A noncommercial agent is anyone else you name, with an address: yourself, a co-owner, a cousin in Aberdeen, or the office of your bookkeeper in Watertown.
  3. An office title names a role in your LLC, such as its manager, in place of a named person. This guide's sources don't describe how the Secretary of State handles that choice on the form, so read the form's instructions before relying on it.

The sources behind this guide show no license, residency or training test for any of the three. The agent's job is to accept service of process (the formal delivery of court papers) and official notices for the LLC, then pass them on quickly enough for you to respond. In practice, the address rule in the next section decides who can do that job. The explainer on what a registered agent does covers the duties common to every state, and the glossary defines the legal terms.

What address can a South Dakota registered agent use?

The agent filing needs "An actual street address or rural route box number in this state" and also "A mailing address in this state, if different", under South Dakota's agent address statute (SDCL 59-11-5). Both parts point inside the state.2

The rural route wording fits farms and ranches that use a rural route box number in place of a house number, so a rural property can still qualify. The mailing address clause is the stricter piece. An agent who lives in Rapid City but has mail sent to a box in Wyoming does not fit it.

Here is how the usual options compare.

Any agent, from any provider, lists its own address in the agent field, so naming a commercial service puts the service's address there in place of yours. Your other details are a separate matter. The annual report asks for the names and addresses of the principal Officers and Directors (Governors), so those names and addresses reach the state each year whoever your agent is. Some providers also sell a business address apart from the agent service, though this guide's sources don't say whether one can stand in for an officer's address on the report. Northwest lists Mail Forwarding $20/month (24 select states), so check that South Dakota is covered; Swyft Filings lists a virtual address at $29/mo; and Tailor Brands' virtual address page says "Keep your home address off public records with a professional business address." without publishing a price. The guide to what an agent can and can't keep off the record goes further.4, 5, 6, 7

Can you be your own registered agent in South Dakota?

Yes. You can name yourself as a noncommercial agent if you have a South Dakota street address or rural route box number where you can accept papers, and a South Dakota mailing address if mail goes elsewhere (SDCL § 59-11-6).

Doing it yourself costs nothing beyond the filings you make anyway. Whether it suits you depends on your routine.

If you live outside South Dakota, you need a person in the state you trust or a commercial service. The South Dakota registered agent services comparison sets out each provider's published price and terms.

How do you name a registered agent when you form a South Dakota LLC?

You name the agent in the Articles of Organization, which by statute must include "The information required by § 59-11-6", meaning the agent details described above. The state fee is $150 online, $165 by paper.1, 2, 3

Filing methods: Online (SOS Enterprise) or by mail on a paper form (paper adds a $15 fee). Online, through SOS Enterprise, is cheaper and faster, because the Secretary of State's FAQ says online filings are processed immediately, while paper filings take on average 1-3 business days. Its list of general business fees also includes a $50 expedite fee for completion sooner than normal. If you need to hold a name before you file, a name reservation costs $25.3, 8

Settle three points before you start.

  1. Which route you are using: a commercial agent, a named noncommercial agent, or an office title.
  2. The street or rural route address, and a separate South Dakota mailing address if the agent's mail goes elsewhere.
  3. That the agent has agreed to act for you. This guide's sources don't describe a consent form for South Dakota, so ask your agent whether it needs anything from you before you file.

The step-by-step guide to forming an LLC in South Dakota covers the rest of the articles, and the cheapest ways to form a South Dakota LLC adds up the fees.

How do you change your registered agent in South Dakota?

You file a Statement of Change of Registered Office or Registered Agent or Both with the Secretary of State. The fee schedule lists a "Statement of Change of Registered Agent and/or Address" at $10, and it can be filed on paper or online.3, 9

Filing online avoids the paper surcharge and is processed at once. The order of the steps is where switches go wrong.

  1. Choose the new agent and confirm it has a South Dakota street address or rural route box number.
  2. Get the new agent's agreement to act for your LLC.
  3. File the statement of change. Online, it goes through right away; a paper copy costs more because paper adds a $15 fee.8
  4. Look up your LLC in the Secretary of State's records and check that the new agent appears.
  5. Cancel the old service last. Dropping it first leaves nobody to accept papers in between.

Provider terms often build that order in. Swyft Filings says a replacement agent must be designated (or business dissolved) before cancellation. LegalZoom lets you cancel by phone or online, though proof of new RA may be required. ZenBusiness handles cancellation by contacting customer support by phone, and Tailor Brands' terms say you cancel by notifying Tailor Brands and completing the required steps. Check your current provider's renewal date before you start, so you aren't billed for a term you don't need.10, 11, 12, 13

The general walkthroughs on changing a registered agent and cancelling an agent service cover the parts that work alike in every state.

What happens if your South Dakota registered agent resigns?

An agent who wants to stop files a statement of resignation, which takes effect on the 31st day after filing or when you appoint a new agent, if that comes first, under SDCL 59-11-15.14

The statute also says the agent must promptly notify the LLC of the filing date. That notice goes to whatever contact details the agent has for you, so out-of-date details can mean you never see it.14

Resignations tend to follow ordinary events. A commercial agent may resign after a renewal invoice goes unpaid. A relative who agreed to act retires to Arizona. When the resignation takes effect, your LLC has nobody to receive papers until you file a statement of change, and papers served in that gap may never reach you. File the change as soon as the notice arrives.

If you think your agent has stopped acting but you never saw a notice, look up your LLC with the Secretary of State and see who is listed.

What happens if a South Dakota LLC has no registered agent?

South Dakota's administrative dissolution statute, SDCL 47-34A-809, does not list a missing agent as a ground. The two grounds it does list are unpaid fees/taxes/penalties and an annual report not delivered within 60 days of its due date.15

That sets South Dakota apart from states such as Arizona and Montana, where going without an agent is itself a ground. A gap is still costly here, for three reasons.

A dissolved LLC can be reinstated, at a cost of $150 plus delinquent annual reports and fees, and the process requires an approved Tax Clearance Certificate from the SD Department of Revenue. The Secretary of State's reinstatement instructions add that the application must be mailed. The South Dakota compliance guide explains the reinstatement steps in full.3

What does a South Dakota LLC file each year to stay in good standing?

Each South Dakota LLC files an annual report every year by the 1st day of the anniversary month of the original filing, for $55 online, $70 by paper. A report filed after its delinquency date adds a $55 late fee.3, 8, 16

The report asks for the names and addresses of the principal Officers and Directors (Governors). This guide's sources don't say it updates the agent, so change your agent through the statement of change described above, not through the report.4

Your due month follows the month the Secretary of State first filed your articles, so an LLC formed in a spring month reports in that month each year. The South Dakota compliance calendar sets out the first year and the one after, and annual reports explained shows how other states handle the same filing.

Do out-of-state LLCs need a South Dakota registered agent?

Yes. An out-of-state LLC registers with a Foreign Certificate of Authority, and the foreign LLC statute says its application must state "the name and street and mailing address of the company's initial agent for service of process in this state".3

That registration costs $750 online, $765 on paper, far more than forming a new South Dakota LLC ($150 online, $165 by paper); the cheapest formation page compares the fixed fees.3

An agent who serves only your home state does not meet that rule. A Minnesota LLC whose agent sits in Minneapolis needs an agent with a South Dakota address, which can be the same national company if it covers both states, though it may bill South Dakota as a separate state. Ask before you assume South Dakota is included. If you also operate next door, compare the registered agent rules in North Dakota, Minnesota, Iowa, Nebraska, Wyoming and Montana.

South Dakota registered agent questions

Can I be my own registered agent in South Dakota?

Yes. You can list yourself as a noncommercial agent if you have a South Dakota street address or rural route box number where you accept papers (SDCL § 59-11-6). If your mail goes elsewhere, that mailing address must be in the state as well.2

Can my South Dakota registered agent use a P.O. box?

Not as the main address. The rule calls for "An actual street address or rural route box number in this state" (SDCL 59-11-5), and a post office box is neither. A South Dakota box may work as the separate mailing address the same rule allows.2

Does the agent's mailing address have to be in South Dakota?

Yes, if it differs from the street address. The statute requires "A mailing address in this state, if different" (SDCL 59-11-5), so mail sent on to a box in another state does not meet it.2

How much does it cost to change my registered agent in South Dakota?

The state fee is $10 for the statement of change filed online. Paper costs more because paper adds a $15 fee. A paid service charges its own fee on top.3, 8

Can my LLC name an office instead of a person as its agent?

The statute allows the title of an office in the entity in place of a named agent (SDCL § 59-11-6). This guide's sources don't show how the form records it, so read the form's instructions or ask the Secretary of State first.2

How long do I have to replace an agent who resigns?

The resignation takes effect on the 31st day after filing, or sooner if you name a new agent (SDCL 59-11-15). After that, nobody is on record to accept papers for you. File a statement of change as soon as the notice arrives.14

Can a South Dakota LLC be dissolved for having no registered agent?

The dissolution statute (SDCL 47-34A-809) doesn't list it as a ground. It lists unpaid fees/taxes/penalties and an annual report not delivered within 60 days of its due date. A gap still leaves lawsuits unanswered and your state record out of date.15
