Registered agent requirements in North Dakota
Facts checked October 13 to 14, 2026.
North Dakota law is short on this point: "Every limited liability company shall have a registered office and a registered agent" (N.D.C.C. § 10-32.1-16). Under § 10-01.1-04, the agent's address must be "An actual street address or rural route box number in this state", so a mailbox outside the state or a bare post office box won't do. You name the agent when you file articles of organization in the FirstStop Portal, for $135, and a later switch is a Registered Agent/Office Change filing for $10. The risk that is easiest to overlook is the agent itself: if the agent stops serving and nobody replaces it, the LLC faces involuntary termination after 60 days' notice to cure.1, 2, 3, 4, 5, 6
Who can be a registered agent in North Dakota?
The sources checked for this page don't quote the eligibility list in the Registered Agents Act, N.D.C.C. ch. 10-01.1; what they do show is that the agent's address must be a North Dakota street address or rural route box.1
The LLC statute itself says only that every LLC needs both an agent and a registered office (N.D.C.C. § 10-32.1-16), and it hands the details to the Registered Agents Act. Two things from the state's own materials shape who fits.
First, the address. The Act asks for a physical location inside the state, and that alone rules out a business partner in Moorhead or an accountant in Billings unless they also have a North Dakota location you can list.
Second, the state's fee schedule sorts agents into two kinds. It prices a "Statement of change of noncommercial registered agent or address" separately, and a note on the Secretary of State's maintenance page says the fee is per entity when the agent is a noncommercial agent. In other words, the state bills a noncommercial agent's change once for each LLC it acts for. The pages checked here do not define the two categories, so if you are unsure which one describes the person or firm you have in mind, read the Registered Agents Act, N.D.C.C. ch. 10-01.1 or ask the Secretary of State's business services team.5
None of the materials checked here mention a licence, bar membership or training. What the agent does is accept service of process (the formal hand-off of court papers) and official notices for the LLC. The explainer on what a registered agent does covers those duties, which are much the same in every state, and the glossary defines the legal terms used here.
What address can a North Dakota registered agent use?
The address on file must be "An actual street address or rural route box number in this state" (§ 10-01.1-04), wording that also lets rural owners list a rural route box where no street address exists.1
That second option is uncommon among state rules and fits a state where many businesses run from farms and ranches. Here is how common choices compare with the wording.
- A home address in North Dakota works, provided it is a real street address or a rural route box.
- A farm, ranch or shop listed by its rural route box number fits the statute's words directly.
- A P.O. box is neither a street address nor a rural route box, so on the plain wording it does not qualify on its own.
- Virtual offices and mail drops. These need care. A suite at a mail-receiving business has a street address, but the agent still needs to be reachable there to accept papers. Ask the Secretary of State before you rely on one.
- An address in Minnesota, Montana or South Dakota does not meet the "in this state" part of the test, even for a business a short drive across the border.
When you hire a commercial agent, its North Dakota address goes in the agent field instead of yours. That is true of every provider. The other addresses the articles ask for are a separate matter, and the sources for this page don't list which of them the Secretary of State shows publicly, so check the FirstStop screens as you fill them in. If you want a business address for those fields, a few providers sell one apart from the agent service. Swyft Filings lists a virtual address at $29/mo, Harbor Compliance lists $350/year per company, per location, and Tailor Brands lists a Virtual Address product (price not published). Whether any of them covers a North Dakota location is something to confirm with the provider. The guide to what a registered agent keeps off the public record explains which details stay visible either way.7, 8, 9
Can you be your own registered agent in North Dakota?
The state's sources checked here do not bar an owner from acting as the LLC's agent, provided the owner has a qualifying North Dakota street address or rural route box and can be found there.
Serving yourself avoids a yearly service fee. The costs show up elsewhere.
- You have to be at that address, or have someone there, whenever papers or notices arrive. Harvest, seasonal work in the oil patch and long drives between job sites all make that harder.
- Your own address goes into the agent field on the state record. For a business run from home, that is your house or your farm's rural route box.
- If you move out of the state, you stop meeting the address test and need a replacement on file before the gap described below becomes a termination risk.
- A change of agent or address later costs $10 each time, filed in FirstStop.5
Owners who live in another state have no address to list, so they need a North Dakota resident they trust or a commercial service. People also look at services when they want the agent's address on the record rather than their own. The comparison of North Dakota registered agent services sets out their published prices and terms side by side.
How do you name a registered agent when you form a North Dakota LLC?
You name the agent inside the articles of organization, filed online in the FirstStop Portal; the state says "A limited liability company (LLC) is created by filing articles of organization", and the filing fee is $135.2, 3
The state's registration pages send you to the FirstStop Portal and mention no paper or mail option, so plan on filing online.2
Have these ready before you open the portal.
- The agent's legal name, exactly as it should appear on the state record.
- Its North Dakota street address or rural route box number, matching the Act's wording, "An actual street address or rural route box number in this state".1
- Confirmation that the agent has agreed to act for your LLC. The sources checked for this page do not describe how, or whether, consent is recorded in the online filing, so read the portal's instructions or ask the Secretary of State.
- If you are hiring a service, the exact name and address it tells you to enter.
The Secretary of State does not publish a standard processing time in the sources used here. The rest of the filing, including name checks and what follows approval, is covered in the step-by-step guide to forming a North Dakota LLC, and the cheapest ways to form a North Dakota LLC adds up the state fees with each provider's price.
How do you change your registered agent in North Dakota?
You file a Registered Agent/Office Change in FirstStop; the Secretary of State lists it at $10, charged per entity when the agent is a noncommercial one.4, 5
The fee line in the schedule reads "Statement of change of noncommercial registered agent or address" and adds that it applies to changes not resulting from rezoning or postal reassignment. So if your address changed only because a county renamed roads or the post office reassigned your route, ask the office how that update is handled before you pay for a change.5
A safe order of steps looks like this.
- Pick the new agent and check its North Dakota street address or rural route box against the statute.
- Get the new agent's agreement to act for your LLC, in writing if it is a person you know.
- Sign in to FirstStop and file the Registered Agent/Office Change with the new agent's details.4
- Keep treating the old agent as your agent until the state's record shows the new one.
- Then cancel the old service, following its terms.
Cancelling first is the expensive mistake, because it can leave the LLC with no agent of record. Some providers' terms build the right order in. LegalZoom lets you cancel by phone or online and notes that proof of new RA may be required. InCorp Services's terms ask for a cancellation condition to be met before the annual fee is due (dissolve entity, appoint new agent, or resign InCorp with fees). ZenBusiness handles cancellation by contacting customer support by phone. Check your provider's renewal date too, so a switch late in the term doesn't trigger another year's charge.10, 11, 12
The steps that work the same everywhere are in our guides on changing a registered agent and cancelling an agent service.
What happens if your North Dakota registered agent resigns?
The agent's resignation takes effect on the 31st day after the resignation is filed, or earlier if a new agent is appointed, and the law adds that the agent must promptly notify the LLC (N.D.C.C. § 10-01.1-11(2)-(3)), so watch your inbox and post for that notice.13
The agent files the resignation, not the LLC. Its notice to you is your cue to act, because the state then has a record with no agent behind it.
That window is short. Once the resignation takes effect, the LLC is failing the duty to "Appoint and maintain a registered agent and registered office as provided in chapter 10-01.1". Filing a Registered Agent/Office Change as soon as the notice arrives keeps the gap from opening at all; naming a replacement also ends the resignation period early.4, 6
A resignation can follow something ordinary. A neighbour who agreed to help sells the farm and moves. A bookkeeper retires. A commercial service stops serving after an unpaid renewal and sends the notice to an inbox nobody reads. The last one is the hardest to spot, which is why your contact details with any agent service should stay current.
If you suspect a resignation you never saw, look up the LLC in the Secretary of State's business search and check which agent is listed.
What happens if a North Dakota LLC has no registered agent?
Failing to keep a registered agent and registered office on file is one of the grounds for involuntary termination for a North Dakota LLC, after 60 days' notice to cure (N.D.C.C. § 10-32.1-90(1)).6
In North Dakota's words, the duty the LLC breaches is to "Appoint and maintain a registered agent and registered office as provided in chapter 10-01.1". The sequence runs roughly like this.6
- The LLC has no agent on file, or the agent's address no longer meets the Act.
- The LLC receives 60 days' notice to cure.
- If the LLC doesn't cure within that time, it can be terminated involuntarily.
Inside the cure period, the fix is one change filing at $10. An LLC with no working agent can also miss court papers entirely.
The sources for this page do not include North Dakota's reinstatement fee or deadline, so check with the Secretary of State before assuming a terminated LLC can be revived on any particular terms. The North Dakota compliance guide covers what else can put an LLC at risk and how the annual report fits in.
What does a North Dakota LLC file each year to stay in good standing?
Each year a North Dakota LLC files an annual report, due November 15 each year for a fee of $50, though farming or ranching LLCs and ALF LLCs file by April 15 instead of the November date.3
There is no report in the year you form. Under the state's rule, the first report is due in the year following the calendar year of registration. So an LLC registered at any point this year files its first report next year.3
The report asks you to update your business mailing address, business activities, and stakeholders, and it asks for no financial statements. The state's description doesn't list the registered agent among those items, so an agent change belongs on the separate Registered Agent/Office Change filing, not on the report.4
For agent upkeep, that leaves three habits worth keeping.
- Look up your LLC's record when you file the report each year and confirm the agent and registered office.
- If your agent service renews on a different date from the report, put both on the same calendar.
- After any move by your agent, file the change straight away; don't wait for the November report.
The North Dakota compliance calendar sets out the first year and the year after in order. For how annual reports compare across states, see annual reports explained.
Do out-of-state LLCs need a North Dakota registered agent?
An LLC formed elsewhere registers here by obtaining a certificate of authority for $135; the sources checked for this page don't quote a separate agent rule for foreign LLCs, so confirm the requirement with the Secretary of State.3
What the sources do show is the address test in the Registered Agents Act for addresses given in state filings (§ 10-01.1-04). If the registration asks for an agent, a home-state agent's address won't meet it: a Minnesota LLC with its agent in Minneapolis would need someone with a qualifying North Dakota address.1
Foreign LLCs also file the $50 annual report, since the state lists the report fee as "domestic and foreign". If you already pay a national service in another state, ask how it bills for adding North Dakota before assuming it is included. For neighbouring rules, compare Minnesota's registered agent rules, South Dakota's rules and Montana's rules.

North Dakota registered agent questions
Can a P.O. box be my North Dakota registered office?
Not on its own, going by the wording of the Act, which asks for "An actual street address or rural route box number in this state" (§ 10-01.1-04). A P.O. box is neither. If your business has no street address, a rural route box number is the option the law names.1
Can I be my own registered agent in North Dakota?
The sources checked for this page don't bar an owner from acting as agent, as long as you have a qualifying North Dakota address and can be found there. If you move away, you need to file a change naming someone else.
How much does it cost to change a registered agent in North Dakota?
The Secretary of State lists the Registered Agent/Office Change at $10, charged per entity when the agent is noncommercial. A paid agent service bills its own fee on top of that.4, 5
Can I file North Dakota LLC paperwork by mail?
The state's pages point you to the FirstStop Portal for registering a business, and none of those checked for this page mention a paper or mail option. Agent changes are filed in FirstStop as well.2
How long do I have to replace an agent who resigns?
The resignation takes effect on the 31st day after the resignation is filed, or earlier if a new agent is appointed. After that, the LLC is out of line with the agent requirement, which is a ground for involuntary termination after 60 days' notice to cure. File a change as soon as you get the agent's notice.6, 13
Does a North Dakota LLC need an agent if it has no office in the state?
Yes. The statute says "Every limited liability company shall have a registered office and a registered agent", wherever the owners live. Owners outside North Dakota need a resident they trust or a commercial agent with an address in the state.1
Does the annual report update my registered agent?
The state describes the report as updating your business mailing address, business activities, and stakeholders, and the agent isn't on that list. Use the Registered Agent/Office Change filing for agent changes, at $10.4
